THAILAND SOURCING-OFFICE ROUTE
Thailand Sourcing Office Setup: Representative Office, TISO, or IPO?
Choose the legal presence from who buys, owns, negotiates, invoices, stores, and sells the goods.
A “sourcing office” is a business description, not a Thai legal form. Use a representative office when a foreign parent needs a narrow, non-revenue presence for its own support; consider a BOI Trade and Investment Support Office (TISO) for an eligible sourcing-information or other listed service model; and test an International Procurement Office (IPO) when the project will procure and manage manufacturing inputs through a Thai warehouse for domestic wholesale and/or export. Contracts, invoices, and stock ownership decide the route.
For TISO, the current BOI Guide sets annual selling and administrative expenses of at least THB 10 million; IPO instead requires paid-up registered capital of at least THB 10 million. These are different tests. A further trap is that public BOI background material about representative-office licensing is older than DBD’s later guidance on the narrow category that no longer needs FBA permission.
Key takeaways
- A representative office serves its foreign head office or group within a narrow, non-revenue mandate; it should not accept orders or sell on behalf of the parent.
- TISO is a BOI service activity with a THB 10 million annual selling and administrative expense condition and a defined service scope.
- IPO is the BOI route to assess for qualifying manufacturing inputs, a warehouse, dedicated inventory IT, and wholesale/export transactions.
- DBD’s 2025 interpretation says a representative or regional office meeting the specified international-trade-office category does not need FBA permission under the 2017 exemption; activity outside that scope may still need approval.
- FBA permission, DBD registration, capital remittance, tax, premises approval, and work authorization are separate questions.
Define the real office task
Start with a transaction map, not a proposed office name. Identify the goods, the buyer, the seller, the party that places each purchase order, who owns inventory at each point, who pays whom, who receives a sourcing fee, and whether a Thai person will negotiate or close local sales. These facts show whether the team will only inform the foreign parent, provide an eligible service, or trade and handle stock.
A representative office is an extension of a foreign juristic person, not a new Thai limited company. The DBD’s July 2025 foreign-business Q&A describes a representative or regional office for an international-trade business as a service business exempt from FBA permission under Ministerial Regulation No. 3 B.E. 2560. It also says that an activity outside the defined representative-office category can require permission if it falls in an FBA list. The exemption is therefore scope-specific ; it does not convert every sourcing or sales team into a representative office.
The words “sourcing support” can hide very different work. Finding candidate suppliers for a parent and reporting product information is closer to representative support. Providing eligible procurement information or another BOI-listed service may fit TISO. Buying, receiving, controlling, and reselling manufacturing inputs is a trading flow that should be screened against IPO conditions, foreign-business rules, customs requirements, and any product controls.
Compare representative office, TISO, and IPO
The table compares the operating mandate, legal vehicle, commercial flow, and strongest disqualifier. It keeps two unlike money tests separate: TISO’s annual expense threshold and IPO’s paid-up capital requirement.
| Route | Best fit | Main condition | Wrong signal |
|---|---|---|---|
| Representative office | Non-revenue research, liaison, sourcing information, and support for the foreign parent or group. | Stay within the defined office mandate; confirm the DBD registration, capital, accounts, tax, and staff requirements separately. | The Thai office accepts orders, sells goods, invoices customers, earns local service fees, or buys for resale. |
| BOI TISO, activity 10.1.1 | An eligible Thai service operation, including specified goods-sourcing information, technical services, support, or other listed work. | Annual selling and administrative expenses of at least THB 10m plus an approved plan and listed service scope. | The model mainly buys and resells goods but treats service promotion as a general trading permit. |
| BOI IPO, activity 10.1.3 | Procurement of manufacturing raw materials, parts, or components, with Thai warehouse handling and domestic wholesale and/or export. | At least THB 10m paid-up registered capital, a warehouse, dedicated inventory IT, proper product handling, and several sources including one domestic source. | The goods are finished products for retail, or transactions have no Thai warehouse or IPO project activity. |
The BOI Investment Promotion Guide 2026 classifies TISO and IPO under separate activity codes and Group B. TISO’s THB 10 million figure is an annual expense floor, not paid-up share capital. IPO’s THB 10 million figure is paid-up registered capital, not an annual budget. Neither threshold alone proves that the operating model fits or guarantees a certificate.
TISO covers listed service activities; the 2026 Guide excludes specified advisory fields such as securities, foreign-exchange, accounting, legal, advertising, architecture, and civil engineering services. Machinery-related work has its own limits, including products manufactured by an associated enterprise or officially authorized by the manufacturer. TISO is not a blanket authorization to buy any product, sell to any customer, or perform a restricted activity outside the approved project.
For IPO, the goods must be inputs used in manufacturing, not finished items ready for ordinary use. The project needs a warehouse and a dedicated warehouse-management system, procurement and handling work such as quality inspection or packaging, several procurement sources including a domestic source, and domestic wholesale and/or overseas exports. The application should identify goods, suppliers, customers, system, and warehouse flow.
Map the real sourcing activity before you reserve an office
Separate information support from a service operation and a goods-trading flow before the entity or lease is fixed.
Follow the transaction boundary
A sourcing project changes character at the points where someone negotiates, contracts, owns stock, or receives money. Trace each step from supplier discovery to buyer payment. Start with the local party that owns and trades the goods; if it does not, screen its service income and parent-support mandate.
Use the representative-office lane only when the parent or group receives the support, the Thai office does not earn service income, and no one in Thailand accepts purchase orders, offers goods for sale, or negotiates business with customers. Parent funding for local expenses is not the same as a service fee. A local purchase or resale flow should not be hidden inside the representative-office name.
Use TISO analysis when the local entity will provide a BOI-listed service such as goods-sourcing information and can support the required annual expenses and business plan. Use IPO analysis when it will procure eligible inputs, manage warehouse inventory, undertake suitable goods handling, and sell through an allowed channel. A combination of service and trading activity may require separate BOI scopes and distinct records; do not describe everything as “procurement services” to avoid examining each activity.
Keep the functions of each party visible in the contracts and evidence. If the foreign parent remains the buyer and owns the goods, a Thai support office may be doing market research; if the Thai company purchases goods in its own name and resells them, it is doing a different commercial job. The legal form should follow transaction ownership , not the team’s internal title.
Resolve the representative-office approval question
A live source conflict makes this step important. A BOI English background page last updated 27 September 2011 still says representative offices need permission under FBA List 3(21) and shows a THB 3 million minimum investment rule. DBD’s later July 2025 foreign-business Q&A says a foreign juristic person’s representative or regional office for the specified international-trade-office category is exempt from FBA permission under Ministerial Regulation No. 3 B.E. 2560. The DBD representative-office dataset gives the same exemption direction. Do not use the old BOI page by itself to budget an FBL fee or decide that a new license is required.
| Question | Current planning position | What to verify before spending |
|---|---|---|
| FBA permission | No permission for the defined international-trade representative/regional-office category under the 2017 exemption, according to DBD’s later guidance. | Does the actual mandate stay inside that category? Any separate listed service needs its own analysis. |
| DBD registration or notification | A foreign office still has local registration, identification, records, and filing work; exemption from an FBA license does not equal no registration. | Ask DBD which current filing channel and parent-company documents apply to this exact office. |
| Capital and remittance | The published 2011 BOI page and the Thai government's general foreign-capital summary do not, by themselves, establish the exact rule for this exempt representative-office case. | Get DBD confirmation of the applicable minimum capital, remittance schedule, evidence, and timing before transferring funds. |
| Other operating approvals | Tax, accounting, premises, product, immigration, and work rules remain separate from FBA permission. | Confirm the tax-ID/filing position, site use, visas, work permits, and any product or customs requirements. |
The official DBD online-services page separately lists e-Foreign Business and e-foreign services. Those labels point to different work: a foreign business license or certificate is not the same as identifying/registering a foreign juristic person or setting up a representative office. Confirm the exact DBD workflow with the Foreign Business Administration Division; do not submit an FBC application merely because the term “foreign business” appears on a portal.
The capital question deserves separate advice. Thailand’s 2019 minimum-capital regulation sets general amounts for foreign business commencement, while the DBD Q&A explains an FBA-permission exemption for a defined representative-office category. The two rules address different gates. The safest file records the intended office category, the regulation relied on for FBA permission, the DBD registration evidence, the exact remittance instruction received, and the person responsible for annual accounting and tax filings.
No office label protects activity that exceeds its legal scope. If local staff start earning a fee, taking purchase orders, selling to Thai customers, or managing third-party transactions, pause that work and obtain a fresh FBA and licensing analysis before the contract or first invoice is issued.

A precise scope note can help separate FBA permission from the office’s registration, capital, tax, and staff requirements.
Sequence the setup and first shipment
Work in this order so that the office design, parent authority, funding, and first commercial transaction support the same legal route.
- Write the transaction map. List goods, supplier and customer countries, contracting party, invoice issuer, inventory owner, service-fee recipient, office staff duties, and expected customs or product steps.
- Select the office lane. Keep a representative office for qualifying parent-only support; choose TISO only for a listed BOI service scope; test IPO for manufacturing inputs, warehouse handling, and the specified sales flow.
- Confirm the legal person and DBD work. A representative office is attached to the foreign parent; TISO and IPO projects generally proceed through a BOI applicant company. If a Thai entity is part of the plan, align the incorporation record and shareholders with the chosen activity before filing.
- Prepare the route-specific evidence. For a representative office, confirm parent authority, permitted functions, office address, funding, and staff responsibilities with DBD. For TISO, document the business plan, listed service, and projected expenses. For IPO, add products, sourcing sources, buyer countries, warehouse, IT system, quality control, and packaging.
- Submit in the correct channel and wait for the decision. BOI applications go through e-Investment; do not begin a BOI-promoted activity merely because the application was submitted.
- Close the non-BOI workstreams. Confirm FBA scope or permission, registration number, capital remittance, tax and accounting, customs, premises use, product approvals, bank onboarding, and work authorization as applicable before the first purchase order or shipment.
| Milestone | What is established | Evidence to retain |
|---|---|---|
| Route confirmed | The activity, entity, contract flow, and applicable authority path agree. | Signed activity map and authority/DBD/BOI confirmations. |
| Application filed | The agency has received a request; the activity is not automatically cleared. | Portal receipt, submitted documents, and any deficiency notice. |
| Office ready to operate | The selected presence is registered, its permitted activity is known, and separate conditions are effective. | DBD number or BOI certificate, remittance proof, site and product approvals, tax/work records as relevant. |
The 2026 BOI Guide gives general application-evaluation periods of 40, 60, or 90 working days after complete documents, based on the investment value bands. These are BOI project-review periods, not total setup time, and not applicable to a simple DBD representative-office registration. They do not include preparation, correction requests, company formation, a separate FBA decision, customs work, bank checks, or visas. Wait for each required certificate or registration output before treating that track as complete.
For Thai entity setup, place the chosen activity beside Thailand company registration requirements and ensure the company record, shareholder plan, and signed documents are consistent. Incorporation records do not grant BOI promotion, and a BOI resolution does not automatically register the company or clear every product, premises, or foreign-business requirement.
The DBD’s online-services menu lists separate services for the foreign-business permission/certificate process and foreign-juristic-person registration. Use the current DBD online-services page to locate the applicable system, then confirm the filing type with the authority before uploading parent documents or paying a fee. Keep the filed scope, agency decision, business contracts, and invoices together so a later review can compare the proposed route with actual activity.
A sourcing office reaches an operating “go” point only when its legal presence, authority to perform the work, counterparty flow, premises, goods, and staff permissions all match the actual first transaction. A filed application is a milestone, not the authority to start a restricted activity.
Select the route for your actual plan
Choose a representative office if the team only researches, liaises, and supports its foreign parent or group within a non-revenue mandate. Choose TISO if the Thai operation provides a specified service, including a relevant sourcing-information scope, and can meet the THB 10 million annual expense condition. Choose IPO if the company will source eligible inputs, manage them in a qualifying warehouse, perform product-handling work, and trade through wholesale and/or export channels with THB 10 million paid-up registered capital.
Before relying on a representative-office FBA exemption, confirm that the proposed office fits the international-trade-office category in DBD’s later guidance, and verify its registration, capital, reporting, and employment steps separately. If its work crosses into fee-earning services, contract negotiation, local purchase orders, goods ownership, or sales, reclassify the project before it acts.
A neutral next question is whether your group needs only a local market-information desk or a local operating counterparty. For the wider presence decision, review foreign-company presence options for a Thailand market entry ; the sourcing function and entity choice should be planned together, but the article does not replace the BOI or DBD classification for a particular activity.
The plan is ready for filing when each operating step has an identified legal person, contract role, stock owner, funding path, and source of authority. Choose by what the office will do on its first real purchase order, invoice, and shipment .
Check the proposed office against its first transaction
Review the activity, counterparties, stock owner, sales channel, BOI scope, and DBD route before the team begins sourcing.
Frequently asked questions
Can a representative office buy goods in Thailand for its parent?
The representative-office model is for limited support to the foreign parent or group, not operating a purchase-and-resale business. A sourcing-information or quality-check role must remain within the permitted scope; if the Thai operation places orders, takes title, invoices, or sells, get a fresh classification before starting.
Does a representative office still need FBA permission?
DBD’s later interpretation says the defined representative or regional office for an international-trade business is exempt under Ministerial Regulation No. 3 B.E. 2560. The exemption depends on the activity; other restricted services can require separate permission.
Is THB 10 million the same requirement for TISO and IPO?
No. TISO activity 10.1.1 has a THB 10 million annual selling and administrative expense condition. IPO activity 10.1.3 requires at least THB 10 million paid-up registered capital. Do not enter one figure in place of the other.
Does IPO cover finished goods or sales to retail customers?
The current Guide describes IPO procurement of raw materials, parts, and components used in manufacturing, followed by domestic wholesale and/or export. A ready-to-use finished product or retail model is a warning that the proposed route may not fit.
Can the office begin business while the BOI application is pending?
A filing receipt is not promotion or an operating permission. Wait for the applicable DBD registration, BOI certificate, FBA decision, sector approval, and any other required output before performing the activity that depends on it.
