Thailand Special Purpose Vehicle Setup for Investment Projects

Build the project company around the commitments it must lawfully make and finance.

Use a Thai special purpose vehicle (SPV) when an identifiable investment project needs its own investors, contracts, funding records and decision controls. For the ordinary project structure considered here, the vehicle is a Thai private company limited with a defined commercial mandate. Calling it an SPV does not establish a special tax treatment, operating permission or guaranteed separation of every project risk.

Start with the activity and ownership analysis, then align the company, project approvals and financing before committing investment. If the proposed benefit depends on a statutory securitisation structure, regulated investment product or a particular sector concession, that requires a separate assessment. The immediate decision is which obligations this company will undertake and what must be evidenced before each becomes binding.

Key takeaways

  • A project mandate should identify the revenue activity, assets, contractual role and intended exit.
  • Foreign ownership and project promotion must be tested against the actual business, rather than the SPV label.
  • Registration evidence, operating permissions and lender conditions close different questions.
  • Parent guarantees and shared liabilities can materially reduce the commercial separation investors expected.
  • Release each commitment against its own evidence; a completed incorporation file is only one input.

Decide what the project company must actually do

Write a one-page project mandate before selecting the company name. Describe what the vehicle will buy, build, own, supply or operate; who pays it; and which entity contracts with customers and suppliers. Distinguish ownership of an investment from provision of management, construction or other services. Those are different activity questions even where they belong to the same commercial project.

A registered company has its own legal personality under Civil and Commercial Code section 1015 . That supports putting project assets and obligations in a separate entity. It does not establish the scope of a sponsor’s guarantee, the effectiveness of security or the outcome of a creditor claim. Review the contracts that reconnect the SPV to its sponsors.

A new entity is most useful where investors genuinely need a separate ownership arrangement, a financing package or a defined sale perimeter. An existing group company may be simpler where the project adds no distinct investor or contractual boundary. Include the additional administration in that choice, and identify which assets, people and systems the new company would still depend on.

Test the reason for a separate vehicle

Bring the proposed project activity, investor structure and sponsor obligations to an initial structuring discussion.

Clear ownership and project approvals before commitments

Analyse the proposed shareholders and every revenue activity together. Sections 4 and 8 of the Foreign Business Act address foreigner status and restricted business categories. A Thai-incorporated company can still fall within the Act’s definition of a foreigner. Identify the applicable restriction, current exception or permission route before relying on a percentage share split. The DBD legislation register also lists amendments and service-business exemptions; a historic activity list is insufficient.

Where the project qualifies for promotion by the Thailand Board of Investment (BOI), put the promoted activity, location, capital and ownership conditions into the project plan. BOI’s operational compliance guidance checks these matters alongside relevant operating licences. Promotion therefore needs to match the project actually implemented. For a promoted foreign business within Lists Two or Three, section 12 of the Foreign Business Act provides the notification and Foreign Business Certificate (FBC) route; the certificate is separate from incorporation.

Genuine ownership and funding must support the chosen structure. Section 36 of the Thai Foreign Business Act text addresses nominee arrangements used to circumvent the law. Do not solve an ownership restriction by adding a shareholder who merely lends a name. For a particular site or regulated activity, establish the competent authority and required permission before signing an unconditional project obligation.

Match each project commitment to evidence

Use a commitment-release matrix to connect the investment plan to the company setup. The matrix below is a suggested internal control, rather than a statutory form or an authority’s approval checklist. For each applicable row, add the specific document, its status and the person who can authorise release. A general “legal complete” entry conceals which commitment is actually safe to progress.

Commitment Evidence before release Responsible parties Hold trigger
Site commitment Usable site rights and the approvals relevant to the planned use Project lead and property adviser Unresolved site eligibility or an obligation in the wrong party’s name
Equipment or build contract Approved specification, budget and permit assumptions Technical lead and authorised company signers Design or location no longer matches the approval plan
Customer or offtake contract Lawful activity, delivery capability and contracting authority Commercial lead and legal adviser The contracting entity lacks the permission or resources to perform
Investor funding Agreed equity or debt basis and applicable company approvals Finance lead and investors Cash is requested before its recipient, purpose or conditions are settled
Sponsor support Reviewed guarantee, security or service obligations Sponsor and project company decision-makers The support exceeds the exposure sponsors intended to retain
Sale or refinancing Transfer restrictions, consent requirements and approval implications Investors and transaction adviser The assumed exit depends on an unconfirmed consent or transfer

Apply the hold to the affected commitment. A missing customer contract does not necessarily prevent preparing incorporation documents; an unresolved operating permission may prevent the proposed revenue activity. Ask the responsible adviser to define the consequence precisely. Keep the last approved project assumptions with the matrix so that a change in site, owner or activity triggers a fresh check.

The company, permission and funding work can progress together, but they must meet at the point where the project takes on the relevant obligation.

Three evidence streams meet before a project commitment A defined project mandate feeds company, permissions and funding checks. When the evidence relevant to a commitment aligns, it can be released; a gap holds that commitment for repair. Defined project mandate Company and signing authority Ownership and project permissions Funding and sponsor support Relevant commitment evidence complete and consistent? Yes Gap remains Release the matched project commitment Hold that commitment and repair the gap
Use the gate for a specific transaction. Company registration alone does not close the permission and funding checks.

Register the company against the agreed project design

Prepare the underlying company formation requirements in Thailand from the agreed project facts: name, objectives, office, capital, ownership and director authority. Avoid filing a convenient placeholder structure that the financing or approval process will immediately require you to change.

The Department of Business Development (DBD) company-formation manual requires at least two promoters, full share subscription, the formation meeting, appointment of directors and the called share payment. The initial payment must be at least 25% of each share’s value. These are incorporation requirements; a project’s approval conditions or financing needs can require a different capital plan.

  1. Confirm investor identities, the share allocation and who supplies each amount. For a corporate investor, prepare its existence and signing-authority evidence for the relevant review.
  2. Agree the company objectives and director authority alongside project controls. Check proposed reserved decisions, signing arrangements and sponsor service contracts with the drafter.
  3. Assemble the memorandum, meeting records, director and shareholder particulars, office details and payment evidence into one consistent application file.
  4. Complete the digital filing, respond to any registrar query and retain the registered documents. Reconcile the approved particulars with the documents that banks, investors and project counterparties will receive.

DBD’s current digital-registration notice confirms that new limited-company formations have used DBD Biz Regist exclusively since July 1, 2026. The DBD Biz Regist portal is the filing channel; identity verification, signatures, review and payment still need completion. Build the project schedule around outstanding decisions and approvals, rather than treating an online submission as an approved company.

Foreign participation can also change the evidence file. DBD’s Order 2/2569 implementation announcement describes additional investment explanations and three-month bank statements for arrangements within its scope, effective August 1, 2026. Screen the proposed shareholders and foreign signing authority before collecting signatures. If the registrar requests clarification, correct the underlying ownership or payment evidence and every dependent filing record.

Resolve a project condition before cash is committed

Use the release matrix to identify whether the remaining obstacle sits with registration, an approval, a counterparty or the financing documents.

Fund the SPV without rebuilding group exposure

Design the funding schedule around project milestones, with a clear basis for each investor payment and lender drawdown. Keep equity subscriptions, shareholder debt and third-party borrowing distinguishable. The payment classification and overseas funding records should support what the SPV receives and how it is recorded. An expected investment figure is not evidence that the company has available cash.

A parent guarantee is a separate sponsor commitment. Review its beneficiary, scope, cap, duration, release mechanism and relationship with security and default provisions. Also examine cross-defaults and shared borrowing arrangements. A separate company chart can look convincing while the agreed support package exposes the wider group to the project’s failure.

Give shared resources written treatment: identify the owner of equipment or intellectual property, the service provider, the charge and the termination consequences. Arrange company payment controls and a project ledger that can show transactions with sponsors separately. These are recommended controls for understanding exposure; they cannot themselves determine creditor priority or make an obligation unenforceable.

Before the first drawdown, reconcile the remaining cost to complete against committed funding and realistic contingencies. Include approval work, professional input, banking preparation and ongoing administration in the project budget. Do not budget on a special SPV tax exemption or assume a bank account or financing facility will be approved because incorporation has finished.

Keep the project company usable through changes and exit

Plan the exit while the company’s boundaries are still being designed. Decide whether investors expect to sell shares, dispose of project assets, refinance or wind down after a fixed purpose. List contractual restrictions and required consents against that route. A share sale and an asset sale leave different items inside the company, so the investment agreement should identify what the buyer is meant to receive.

For a promoted project, BOI publishes project amendment and business-transfer procedures . A change of owner, activity, location or project configuration should therefore enter the approval review before the transaction is implemented. Do not assume the intended buyer can rely on an existing promotion or permission without checking the applicable conditions.

Assign a company administrator and accountant to maintain records, track obligations and report deviations from the approved plan. For BOI certificate issuance, the official supporting-document list includes company registration, shareholder and foreign-funding evidence as applicable. Preserve those records as a connected project file; later financing and transaction reviews are easier when the legal company and the implemented project can be traced together.

Release investment only when the SPV passes its gates

Proceed with an ordinary project SPV where the separate entity serves a clear investment purpose and the activity, ownership, approvals and financing are compatible. The priority is a documented release decision for each material commitment , supported by the matrix and the responsible parties’ evidence. Incorporation can close while other project gates remain open.

Hold the affected transaction if its contracting party, permission, funding source or sponsor exposure remains unresolved. Escalate a change that invalidates the agreed project assumptions before accepting new obligations. The useful completion standard is an identified company authorised and resourced for the particular project action, with its remaining conditions visible to investors.

Turn the agreed SPV structure into an execution file

Bring the investor chart, project mandate and outstanding release conditions for a coordinated incorporation and project setup discussion.

Frequently asked questions

Does the SPV have to own every project asset?

That depends on the intended project boundary and financing terms. Identify assets it will own, lease or use under a licence, and document each right. Investors should be able to see which essential resources remain with sponsors or third parties.

Can one company be used for several investments?

Revisit the purpose of separation before adding another investment. Additional assets, obligations and investors can change the original financing and exit assumptions. Assess the new activity and approval implications before expanding the company’s mandate.

Who should sign a project agreement before incorporation?

Identify the actual proposed signatory and obtain advice on pre-incorporation responsibility and any later company adoption. Do not describe a company that has not yet been formed as an existing contracting party, or assume a sponsor’s agreement automatically moves to it.

Should a new investor pay before all project approvals exist?

Set the conditions in the investment documents. Investors may negotiate staged contributions or other arrangements, but the recipient, purpose, release conditions and response to an approval failure should be explicit before funds move.

What should investors receive at the first funding milestone?

Agree a milestone-specific evidence package: current company particulars, the relevant approvals and conditions, executed funding documents, authorised release decision and evidence of the payment received. Add the unresolved-condition list so the package does not imply the entire project is operational.
