PARENT-COMPANY DECISION CLOCK

Timeline for PT PMA setup Singapore company

The Indonesian filing date depends on a Singapore decision that can be proved.

A Singapore company should plan its Indonesian PT PMA in three clocks: allow 1–3 weeks as a working allowance for parent approval and an accepted document file, about 3–6 weeks for straightforward legal registration after that file is complete, then 2–8 weeks or longer for tax, OSS, bank and any sector permission needed for its first transaction. Some Indonesian design and bank preparation can overlap with parent-company work. These ranges are project estimates rather than statutory processing promises.

The parent board, document issuer, Indonesian notary, AHU, OSS and bank each control a different gate. The timetable below starts with the Singapore investment mandate, records the release evidence for each hand-off, and identifies when a changed signer, ownership chain, KBLI or site resets the schedule.

Key takeaways

  • The board-authority path and the Indonesian KBLI/site path can begin in parallel.
  • The notary should accept the ACRA record, signer authority and required authentication before the deed is executed.
  • AHU incorporation, OSS licence status, tax and bank access produce different completion dates.
  • A change to share subscription or signer after the Singapore decision may require a new approval.

Obtain a valid parent-company mandate

The Singapore parent first needs to decide who invests, how much it subscribes, who signs and which account supplies the funds. Check the constitution and board process rather than assuming any director can bind the company to an Indonesian acquisition or subscription. The resolution should identify the proposed PT PMA, shareholding, currency and principal signatory; the notary can advise whether a specific power of attorney is necessary.

Allow decision time for internal circulation, any required shareholder consent, updated registers and verification of natural-person controllers. A multi-layer holding company may need an explanation of each entity in the ownership chain. These tasks do not have a standard government processing period because they depend on the investor’s own governance. Assign a named Singapore owner and deadline to each record.

Treat the resolution as the source of truth. If the Indonesian deed later changes share numbers or the subscribing entity, send it back for authority review. A quick notary appointment cannot cure a mismatched mandate.

Set the parent-company decision

Identify who can approve and sign the Singapore investment before the notary books a filing date.

Clear document acceptance before signing

ACRA permits verification of Business Profiles and incorporation certificates. The Singapore Academy of Law supports eligible e-Apostille services, but the Indonesian notary may require a particular age, format, translation or physical original. Obtain written acceptance requirements from the receiving notary before placing an order with SAL or a translator. An appointment slot is not equivalent to an accepted file.

The document owner should track four states: requested, issued, authenticated and accepted. A file is ready for the notary only in the fourth state. If an e-Apostille is rejected, the next move may be a hard copy or a different certification route rather than simply resending the same file. Keep the ACRA verification result and the recipient’s response in one transaction folder.

Individual shareholders do not use this corporate-authority sequence. This timeline is specifically for a Singapore company holding Indonesian PT PMA shares, and the Singapore corporate shareholder guide gives the wider legal and tax context.

Run Indonesian design work in parallel

While the parent obtains corporate authority, Indonesian advisers should screen the five-digit KBLI against foreign-ownership conditions, OSS risk level, project location and address suitability. They can also prepare the proposed name, director information, capital structure, tax and bank KYC story. If this work uncovers a sector restriction, it is cheaper to amend the Singapore decision before authentication than after the deed is submitted.

Parent-company approval and incorporation timetable
Planning window / owner Parent and subsidiary action Release evidence or reason to pause
Kickoff to week 2 · Singapore board Approve investment amount, shares, authorised signer, funding source and beneficial-owner chain. Executed resolution and current company records; a changed subscription or signer requires reapproval.
Weeks 1–3 · document owner and notary Verify ACRA records, agree recipient format, arrange required apostille or translation; Indonesian KBLI and address checks run in parallel. Notary confirms the complete corporate-shareholder file is acceptable. The 1–3-week window is a planning allowance, not an issuer guarantee.
About 3–6 weeks after accepted file · Indonesian notary/AHU Reconcile parent mandate with deed, sign, file and obtain legal-entity approval. AHU approval and deed match shareholder, capital and activity. A new KBLI or site may require revised inputs.
After AHU: allow 2–8+ weeks · PT PMA officers and bank Reconcile tax and OSS/NIB, complete sector verification where needed, and answer bank KYC and source-of-funds requests. Required permission and account are usable for the first transaction; regulated premises or complex ownership can extend this window.

The first two gates can be reviewed at once. The third depends on both being consistent. A change at the first gate can invalidate the following document, so record version and approval dates.

Critical path of a Singapore parent investment Board authority and Indonesian KBLI design converge at notary acceptance, then AHU and operating gates; changes to the mandate return to the board. Parent board authority and ACRA evidence Indonesian KBLI and site decision Notary accepts both sets of data AHU → OSS → bank / licence Capital or signer change → reapproval The clock restarts only for the affected document and downstream dependency.
Two preparatory paths converge at notary acceptance; later changes loop back to the responsible decision-maker.

Test the critical path

Map your accepted documents and KBLI decision to the earliest defensible AHU submission.

Move from AHU to operating controls

After the notary completes the deed and the Ministry of Law approves the legal entity, the company can proceed with tax records and OSS/NIB data. The OSS risk classification determines whether the NIB suffices for the relevant activity or further validation or permission is needed. Each official output must be checked against the Singapore resolution and Indonesian deed: shareholder identity, capital, activity and site.

Bank KYC often follows its own calendar. The bank may request Singapore parent ownership records, beneficial-owner data, source of funds, investment purpose, Indonesian incorporation, NIB and contracts. Start the bank evidence pack early; do not claim an account will open on the day AHU approves the company. If the first action is importing, a product or customs approval may be on the critical path instead.

Use separate milestone dates for “legal entity established,” “applicable licence effective,” “tax and invoice access ready,” and “bank can receive the first payment.” This prevents a board from releasing commercial contracts against the wrong completion date.

Make the schedule survive a change

If the parent changes its investment amount, signer or ownership chain, pause the document route and assess what must be reissued or reauthenticated. If the Indonesian project changes KBLI or location, pause the deed or OSS filing and check whether a different licence and budget apply. If a bank requests new source-of-funds evidence, give Singapore finance an owner and a response deadline rather than adding a fictional agency processing time.

A usable project schedule is therefore conditional: a date, its owner, the accepted proof, and the event that forces reapproval. The general PT PMA process may still take several weeks after the file is complete, but a Singapore parent should approve the first operating milestone only after the dependent authority and licence gates have been cleared. Frequently asked questions

Does a Singapore parent need a fresh resolution if the PT PMA capital changes?

Assess its constitution and the scope of the original authorisation; a material change in the subscription can require a new decision or mandate.

Can apostille and KBLI checks happen at the same time?

Yes, if the proposed investor and business model are sufficiently defined. Avoid authenticating final documents until the receiving notary has accepted the format.

Does AHU approval fix the launch date?

No. OSS risk conditions, tax setup, bank onboarding and any sector licence each have their own acceptance evidence.

Who owns the critical-path schedule?

The Singapore parent should own its authority documents and funding decision; the Indonesian team should own activity, deed, OSS and local operations. A named coordinator reconciles them.
