Tire Factory Setup in Indonesia: Entity, Industrial Site, and Approvals

Make the plant, production line and tire-model evidence agree before you commit to a launch date.

An Indonesia tire factory needs an operating entity, an eligible production site and approvals that match its actual activity. Foreign investors normally use a PT PMA; a company certificate or NIB alone does not establish that the plant may operate or that a particular tire may enter the Indonesian market. Start by defining whether you make new tires, inner tubes or retreaded products, then separate factory authorization from product conformity.

For new outer and inner tires, OSS lists KBLI 2025 code 22111 . Tire-standard planning must also take account of the 2026 amendment to the compulsory tire-SNI rule . Do not commit to a certification scheme, model grouping or first-sale date using the older rule alone.

Key takeaways

  • The product boundary matters: new-tire manufacture and retreading are separate classification questions.
  • Foreign shareholding must be screened against the selected activity; a domestic shareholder does not automatically remove foreign-investment requirements.
  • A tire site needs more than an industrial postal address: curing utilities, compound handling, traffic and environmental responsibilities must be workable.
  • Treat industrial operating permission and product conformity as separate release conditions, each with its own evidence owner.
  • Link every proposed tire model to its producing factory, technical specification, testing route and permitted market before commercial release.

Define the Tire Project Before Choosing the Entity

Write a production description that a notary, site adviser and certification body can all use. Specify the vehicle or equipment applications, whether you produce outer tires or inner tubes, the materials, proposed annual capacity and whether the plant mixes its own compounds. Include the factory steps rather than describing the business simply as a rubber company. A tire brand, sales office and tire manufacturer are different operating models.

The official 22111 description covers outer and inner tires made mainly from natural or synthetic rubber. Retreading is separately identified in the OSS hierarchy. If your plan also includes recycling, producing compounds for third parties or distribution, assess those revenue-generating activities separately instead of adding unrelated codes as insurance.

A finished tire, a retreaded tire and a tire compound should not share an assumed licensing description. A useful project brief names the customer-facing outputs and the physical operations that create them. It also states which stages are outsourced. That prevents the company from claiming to manufacture a product while the crucial manufacturing or conformity evidence actually belongs to another factory.

  • Define the first production range and proposed tire brands; do not include every possible future line.
  • Mark the boundary between in-house mixing, component preparation, tire building, curing, testing and outsourced work.
  • List actual sales channels: domestic supply, export, distributor sales or contract manufacturing.
  • Keep a dated change log when products, capacity, process or factory identity change.

Resolve the tire-production boundary

Share the proposed products, manufacturing stages and shareholder structure so the company and licensing scope can be assessed together.

Choose a Vehicle That Can Own the Manufacturing Activity

A PT PMA is an Indonesian limited liability company with foreign investment, rather than a separate rubber-sector licence. Use it when a foreign individual or overseas corporate investor will own shares. A genuinely Indonesian-owned local PT follows a domestic ownership route; installing nominee shareholders to disguise foreign control does not solve the investment analysis. A representative office is not the ordinary vehicle for owning and operating a revenue-generating tire plant.

Confirm the exact activity against the amended investment-business framework before the ownership percentages are fixed. The existence of an OSS code is not proof of unrestricted ownership. Keep the admission conclusion, applicable conditions and approved activity wording together in the shareholder decision file.

The corporate workstream begins with consistent investor documents: identities or corporate extracts, authority to subscribe and sign, the ownership chain, beneficial-owner information and proposed management. For overseas corporate investors, align the entity names across originals, translations and authentication records. The notarial deed and legal-entity output should agree with the company data used in later tax and licensing records.

The underlying company formation requirements in Indonesia help establish the legal entity and registration sequence; they do not clear the tire factory or its product range. Keep incorporation acceptance separate from the manufacturing acceptance checklist, especially when different advisers control the two workstreams.

Test the Site Against Mixing, Curing and Material Flow

Screen a prospective unit against the actual tire process before accepting a landlord’s description of it as factory-ready. Confirm lawful industrial use, the relevant spatial position and the industrial-estate rule or applicable exception. PP 20/2024 is the industrial-location framework ; an estate brochure is not a substitute for the legal site file.

For a tire line, request evidence for electrical supply, steam or other curing utilities, cooling, water, access and the proposed loading arrangement. Establish what the estate supplies, what the tenant must install and who pays for an upgrade. A utility reservation should identify the service point, available capacity, conditions and delivery milestone. Treat engineering specifications as project inputs, not as permit approvals.

Inspect the process layout for compound and chemical receiving, segregated storage, mixing, extrusion or calendaring, tire building, curing, quality testing and finished-stock dispatch. Assess extraction, dust control, waste routes, fire access and maintenance access with the technical team. These are due-diligence questions to answer from the design; they are not universal equipment specifications imposed on every tire manufacturer.

Use a conditional lease commitment while material approval assumptions remain unresolved. The commercial terms should identify the evidence the landlord must deliver, the company’s review window, access for surveys, responsibility for alterations and the outcome if the proposed industrial use cannot proceed. Negotiate these terms before paying for a configuration that cannot be supported.

Once the product boundary and site facts are recorded, the operating and product tracks can be managed together without treating them as one approval.

Two independent gates for a tire launch A defined tire project passes through company and site readiness. Factory operating evidence and tire-model conformity then converge in a documented launch decision. Defined tire project Company + site readiness Factory operating gate Tire-model conformity gate Documented launch release
The plant and the product must both clear their own conditions; one completed track cannot clear the other.

Sequence Environmental, Building and Industrial Evidence

Build the environmental brief from the operations that will occur at this factory: rubber and chemical inputs, dust, heat, water use, wastewater, noise, emissions and waste. Include supporting plant and planned expansion. Under the environmental-management framework , the applicable route depends on the project and its impacts. Do not assign AMDAL, UKL-UPL or SPPL solely because the shareholder is foreign or the business name contains factory.

The building workstream must establish the permitted function and the evidence for lawful building work and use. Review the PBG or relevant historical building record and SLF position for the actual premises. If you add a boiler room, exhaust system, curing equipment, mezzanine or major structural load, obtain a technical assessment of the proposed changes instead of treating the existing shell as a permanent approval for any production line.

For industrial licensing, Permenperin 37/2025 links the OSS process with SIINas and distinguishes the risk-based issue mechanisms. Record the risk and obligations shown for the actual activity and scale. Where verification or a licence is required, keep the issued status and satisfied conditions; an unverified Standard Certificate is not an operational completion certificate.

  1. Prepare the site, capacity, process and utility evidence before filing inconsistent applications.
  2. Establish the entity and reconcile the legal-entity and taxpayer data used for OSS access.
  3. Register the actual project location and production activity; retain the NIB and project records.
  4. Complete the applicable environmental, building and industrial requirements with their assigned owners.
  5. Resolve verification comments against the controlling project brief, then retain the final decisions and conditions.

Administrative company registration may be shorter than the physical factory programme. HSJGlobal’s published planning reference is roughly two to four weeks after acceptable documents for a straightforward entity registration; the tire plant’s construction, verification, utilities and conformity schedule must be separately built from confirmed milestones. This reference is not a statutory deadline or a tire-factory opening promise.

Check the site before equipment orders

Bring the lease plan, production capacity, utility requirements and environmental assumptions into one review before supplier deposits become committed.

Tie Each Tire Model to the Correct Conformity Route

A plant may be ready while its proposed domestic-sale products are still blocked. The tire-specific compulsory SNI framework is Permenperin 9/2025 , with the 2026 amendment identified above. Obtain a written scope assessment for the actual product categories and current rule version before instructing testing. No blanket standard number, sampling quantity or model-grouping rule should be inferred from the word tire.

Give the relevant conformity-assessment provider the factory identity , brands, sizes, construction, intended applications, technical specifications, manufacturing arrangements and proposed market. Ask which models can share evidence, what factory assessment is necessary, how samples are selected, which labels or markings apply and how changes are handled. Record the basis of the answer and the provider’s applicable designation or accreditation scope.

The product-to-certification scope checks are useful when organizing that file. Keep product conformity separate from import controls, industrial permission and customer qualification. A supplier’s overseas certificate or a buyer’s acceptance may contribute evidence, but neither automatically establishes the Indonesian compulsory route.

Release object Evidence connection Hold condition
Factory identity Legal holder, site and production line agree with the assessment file Assessment names another factory or an obsolete holder
Tire model or justified group Specification, test basis, product scope and certificate coverage connect A new size or construction is assumed to be covered
Brand and marking Approved holder and applicable marking instructions match the product Artwork is printed before conformity instructions are settled
First domestic shipment Factory-operation and product-release evidence are both complete Sales team relies only on an NIB or a laboratory report

This matrix is an investor control, not an additional statutory certificate. Its value is that commercial staff can see precisely why a tire is held and who can release it. It also reveals whether a factory change or product revision requires a fresh assessment before further sales.

Release the Tire Factory Only When Both Gates Are Evidenced

Approve the first operational phase only for the location, production activity and equipment configuration that have been evidenced. Approve the first commercial tire range only for products covered by the applicable conformity and market-entry route. Completing the company file does not close either release gate. Record the documents reviewed, their scope and the person responsible for each acceptance decision.

Pause the affected workstream when the factory address differs across records, the chosen activity does not describe the process, a utility or waste route is unconfirmed, or a tire model sits outside the assessed product scope. Repair the source of the mismatch and propagate the correction to linked applications. Do not solve a technical or regulatory hold by changing only the invoice description.

Before handover, retain the corporate records, OSS project outputs, SIINas records, site and environmental evidence, building documents, conformity files and the change-control register in a company-accessible location. Assign continuing responsibility for industrial reporting, tax and investment reporting where applicable, product surveillance and scope changes. The decision to launch should leave an evidence trail the next manager can understand.

Prepare a defensible tire launch decision

Use the factory and model evidence to identify what is ready, what is conditional and what must be completed before production or first sale.

Frequently asked questions

Does producing only for export remove every Indonesian approval?

No. The plant still needs an Indonesian operating and site-compliance route. Product requirements must then be separated by destination and any applicable export-specific treatment; an export plan is not a blanket factory exemption.

Can an acquired factory keep using the seller’s product certificates?

Do not assume so. A change in legal holder, factory identity, brand, models or production arrangements can affect the approval basis. Compare the transaction documents with the certificate scope before relying on continuity.

Is a different tire size just a commercial catalogue change?

It may affect the product evidence and grouping decision. Record the specification change and obtain the appropriate scope assessment before releasing the new size.

Can a head-office address also prove the factory location?

Only if the actual project and lawful use are evidenced there. A correspondence address does not establish the production site, utility capacity or environmental boundary.

Who should control the certification records after handover?

The company should retain accessible copies and nominate a quality or compliance owner. A provider’s private folder is not a sufficient operating control for renewals, changes or inspections.
