US Business License Guide: Federal, State and Local Requirements

A practical way to identify the permissions that attach to a US entity, its activity and every place it operates.

There is no single nationwide document called a “US business license” that authorises every ordinary business. The real answer is a stack: entity registration, tax identifiers, state activity rules, county or city permissions, zoning and any regulator approval that follows the product or profession.

An LLC certificate and an EIN are important, but they answer different questions. Formation establishes a legal entity; an EIN identifies it for federal tax purposes; neither automatically approves the activity or premises. Start from what the company will do and where it will do it.

Why a US business licence is not one document

Search results often flatten four different systems into one task: form a company, secure tax numbers, obtain a business licence and satisfy regulator or premises requirements. That shortcut creates false comfort. A state may recognise the company as an LLC or corporation while a city requires a local business tax certificate, a county regulates an unincorporated address, a zoning office limits the use of a home, and a separate regulator controls a profession or product.

The U.S. Small Business Administration frames the sequence around location, structure, registration, tax IDs and licences/permits. Its guidance says that location affects taxes, zoning and regulations, and that licences and permits are needed in the place selected for the business. This is why an answer based only on the state of formation is incomplete: the business may be formed in one state, physically operate in another and sell or employ in further states.

Keep the labels separate. An entity filing creates or registers the company. A fictitious-name or DBA filing can govern a trading name. A federal or state tax ID supports tax administration. A general business licence may be an occupational or revenue-registration requirement. A sector licence, health permit, building approval, alcohol authorisation, sales-tax permit or environmental permit addresses a particular activity or risk. The correct outcome can be “no general licence here, but three other registrations apply.”

Work through federal, state, county and city layers separately

Federal. Most ordinary local businesses do not obtain a single federal general business licence. Federal work is usually role-specific: tax identification, federal tax obligations, intellectual-property filings, government-contracting registrations or licences tied to a federally regulated activity. The IRS describes an EIN as a federal tax ID for businesses and other entities, available free directly from the IRS. It also says to form an LLC, partnership or corporation with the state before applying for its EIN. Treat that sequence as an identifier workflow, not an operating-authority workflow.

State. The state normally handles formation and may require foreign qualification if an out-of-state entity is doing business there. States also administer many profession, sales-tax, employer, industry and product-related registrations. The SBA notes that an LLC, corporation, partnership or nonprofit may need to register in every state where it conducts business activities, with physical presence, employees, client meetings and significant revenue among the facts that may matter. State-specific advice should be checked against the actual secretary of state, tax and licensing authority.

County. County rules matter particularly in unincorporated areas and for health, land use, construction, environmental, public-safety or business-tax functions. An address that uses a city postal name can still be outside city limits. Confirm the governing jurisdiction before relying on a city web page or paying an application fee.

City or municipality. Cities often operate the front door for local business tax registration, general business licensing, home occupation rules, signage, occupancy, building or fire reviews. A city’s terminology varies—business licence, certificate, tax registration, permit or receipt—but the operational question is the same: may this named entity perform this activity at this address?

Use a licence triage matrix before spending on applications

Replace the question “Which licence do I need?” with a controlled intake. Identify the legal seller or service provider, state of formation, every operating address, who works there, the precise offer, customer locations, inventory, imports, cash handling, vehicles, alcohol/food/health exposure and whether the public enters the site. The facts give each agency a reason to say yes, no or ask for a different filing.

Do not pre-fill a matrix with assumptions. If an agency says the business is outside its jurisdiction, preserve the response and the facts asked. If it says an application is required, record the legal name, fee, due date, inspections, sign-off dependencies and renewal cycle. That log becomes more useful than a collection of PDFs with no owner or expiry date.

Use an order of work that avoids circular applications

1. Freeze the operating facts. Decide whether the business is serving customers at a location, operating from home, storing inventory, employing staff, using contractors, importing, selling taxable goods or performing a licensed profession. A change later—such as adding a warehouse or storefront—can trigger a new review.

2. Establish or verify the entity. Confirm the formation state, legal name, responsible officers, registered agent and whether the entity must be registered as foreign in an operating state. The SBA says foreign-qualified businesses normally have taxes and annual-report fees in both their formation and foreign-qualified states; it also cautions that each state’s requirements and fees differ.

3. Obtain the tax identifiers and accounts that are actually needed. The IRS states that an EIN is free directly from the agency, and it lists situations in which an EIN is needed. Do not buy a third-party “licence package” merely to obtain an EIN, and do not mistake the number for a city, county, state or sector authorisation.

4. Clear the address before committing to a lease, build-out or home launch. Confirm jurisdiction, zoning, allowed use, occupancy/building/fire dependencies, signage and any home occupation rule. The SBA explicitly notes that zoning can apply to home-based businesses and is typically local. A lease should not be treated as permission to open to the public or run a regulated operation.

5. File activity-specific and local applications in the dependency order set by the authorities. Some applications ask for the entity name and EIN; others require lease documents, inspections or professional credentials. Build a critical path instead of submitting everything at once and discovering that a later inspection cannot occur until construction or an earlier registration is complete.

Test location, home office and multi-state facts before relying on a formation state

A Delaware or Wyoming entity, for example, does not make the operating address disappear. A physical office, store, clinic, workshop, warehouse, employee base or regular client presence can change the state and local analysis. The SBA lists physical presence, in-person client meetings, significant revenue and employees as factors that can indicate a company is conducting business in a state. That is a screening guide, not a conclusion for every statute or agency; use it to identify where to ask.

For a home-based operator, the relevant question is not whether customers see the house online. It is whether the activity changes traffic, signage, deliveries, storage, noise, employees, public visits, hazardous materials or the permitted use of the property. The owner may also face landlord, condominium or insurance restrictions outside the government licensing system. Resolve those constraints before representing the address to regulators, banks, marketplaces or customers as the business premises.

For a company expanding across states, create a state-by-state fact sheet rather than cloning the first-state paperwork. Include entity status, registered agent, employees, payroll, sales activity, inventory, customer-facing site, permits, local tax accounts and renewal dates. The entity may need a foreign qualification, but that filing does not settle local business licensing, tax registration or professional licensing. A single expansion can therefore have several independent effective dates.

For a foreign founder, the same principle applies. Formation, EIN eligibility/process, banking, immigration status, employment, sector regulation, local licensing and tax nexus are separate workstreams. Make evidence, costs and renewal ownership visible

Budgeting is more accurate when it is split by authority and lifecycle. The SBA says total state registration cost is often less than US$300 , while stressing that fees vary by state and business structure. That is a general formation observation, not a quote for a licence package and not a substitute for the actual authority’s fee schedule. A local licence, building review, professional credential, inspection, tax registration, registered agent, bond, insurance or renewal can add a separate cost.

Use a register with columns for requirement, legal entity, location, authority, application number, issue date, renewal date, named responsible person, payment evidence, display/posting rule and change trigger. A change trigger is particularly important: new address, additional state, new owner/officer, new trade name, new product category, employee hire, public access, renovation or warehouse move should cause someone to reconsider the permission set.

Retain official confirmations rather than relying on a portal screenshot alone. Save the relevant approval, scope, conditions, receipt, correspondence and inspection report. If the authority says no filing is needed, preserve the inquiry and answer with the activity and address described. That file allows a future manager to see why the business believed it could operate, what fact pattern the answer covered and when it should be rechecked.

Do not let a vendor’s label determine the legal task

Service providers may call an offering a “business licence,” “compliance bundle” or “startup package.” Read the included filings one by one. An offering that gives a formation filing, registered agent and EIN application support may be valuable for those defined tasks, but it may include no local licence, tax account, professional approval, zoning clearance, inspections or product analysis. Compare deliverables against the facts in the triage matrix, not the marketing label.

Likewise, bank, payment-platform, marketplace or insurer onboarding is not a government determination. These companies may request entity documents, EIN confirmation, proof of address or a licence. Their acceptance can help with commercial operations, but it does not establish that every public authority has accepted the business’s proposed activity. Keep the public-law path and commercial-onboarding path reconciled but separate.

Choose a conservative launch boundary

Where a requirement is unresolved, set a boundary that the business can honour: do not serve a location, do not open to the public, do not offer the regulated service, do not hire into a state, do not hold inventory there, or do not use the new trade name until the right response is obtained. This is more defensible than launching broadly and trying to repair records after a regulator, landlord or customer asks about them.

A staged launch can also make evidence clearer. Start with the approved entity, address and activity; preserve the approvals; then add locations, products and staff through a documented change process. The operating record becomes a living compliance asset rather than a one-time formation folder.

Do I need a federal business licence?

Most ordinary businesses do not have one general federal licence. Federal requirements can apply to tax identification and particular activities, products or programs. Check the regulator responsible for the exact activity rather than looking for one nationwide certificate.

Does an LLC replace a city business licence?

No. LLC formation registers the entity. A city or county may still have its own business, tax, zoning, occupancy or sector rules for the actual address and activity.

Is an EIN a business licence?
