Vietnam Company Setup for an Overseas Parent Company

Turn a group investment decision into a subsidiary with documented ownership, authority and control.

An overseas parent can establish a Vietnam subsidiary where the proposed investment satisfies foreign market-access conditions. The parent must be identified as the corporate investor, its authority and ownership evidence must reconcile, and its Vietnam appointments must create the intended local governance. Start by fixing which group company will invest and who can bind it; a parent resolution alone does not authorise the subsidiary’s project, satisfy capital obligations or make it ready to trade.

Key takeaways

  • The direct investor is the legal entity named in the dossier; using the group brand or ultimate holding company interchangeably can break the evidence chain.
  • A corporate owner needs documented representatives, but the parent’s representative, the subsidiary’s legal representative and the filing agent have different authority.
  • Ownership review continues beyond intermediate companies to the relevant natural persons under the rules amended in July 2026.
  • Choose a local governance model before signing the charter, then align voting powers, management appointments and escalation procedures.
  • Keep parent approvals, Vietnam registration, project permissions, funding and operating readiness as separate completion tests.

Choose the investing parent before drafting documents

Select the exact overseas legal entity that will own the Vietnam interest before obtaining corporate extracts or approving the investment. A regional holding company, operating company and ultimate parent are different investors even when they share a brand. Record the chosen entity’s registered name, registration number, jurisdiction, address and ownership percentage in a single control sheet used by group legal, treasury and the Vietnam filing team.

For a sole corporate owner, a one-member limited liability company (LLC) is a possible structure. A multiple-member LLC has 2–50 members; placing two group companies on the ownership register therefore changes the legal form even if both have the same ultimate parent. Articles 46 and 74 of the Enterprise Law distinguish these structures. Foreign ownership eligibility still depends on the actual activity; sole ownership is not permission for every sector.

The subsidiary becomes a separate legal person upon issuance of its Enterprise Registration Certificate (ERC). The parent’s business licence is not the subsidiary’s operating permission. Define what the Vietnam entity itself will sell, deliver, import or employ, and test those activities under Article 8 of the 2025 Law on Investment , rather than assuming that a group activity can be copied into Vietnam.

Treat company formation in Vietnam as the underlying entity-establishment workstream. The corporate-parent workstream adds proof that the named investor exists, can authorise its participation and has made appointments that match the proposed ownership and charter.

Resolve the investing-entity choice

If several group companies could invest, bring their jurisdictions, proposed ownership and Vietnam activities so the corporate evidence can be scoped around one investor.

Build a parent-to-subsidiary authority file

Build an evidence file that connects the parent’s identity to the people signing and exercising its rights. Article 21 of the Enterprise Law identifies organizational legal documents, the appointment of an authorised representative and that representative’s identity evidence within the LLC dossier. A resolution or power of attorney should be prepared for its actual purpose, rather than used as a substitute for all three.

The matrix below is a reconciliation tool for the parent’s legal team, not an additional statutory filing checklist. A parent board or shareholder approval is required only where its governing law, constitution or applicable approval rules require it. Retain the basis for the chosen signatory even where that supporting material is not a prescribed Vietnam enterprise-registration attachment.

Parent decision or fact Evidence to reconcile Vietnam dependency Stop if
Which entity invests Corporate register evidence and consistent legal name Owner/member information and investor identity The resolution names a different group company
Who binds that entity Applicable constitutional authority and any required approval or delegation Valid execution of investor documents The signatory’s authority cannot be demonstrated
Who exercises ownership rights Written appointment, identity details, term and allocated interest where relevant Corporate-owner representation Appointment and charter use incompatible roles
Who ultimately owns or controls it Dated ownership chart with records supporting each level and control arrangements Beneficial-owner determination and declaration The chart stops at an intermediate company
What funding is committed Approved amount, asset type, source and proposed funding date Charter commitment and project funding evidence Treasury cannot fund the named investor’s commitment

Authenticate the right documents, then translate them

Do not order authentication for an undifferentiated “parent pack.” Article 21 states the consular-legalisation requirement for copies of a foreign organizational investor’s legal documents. The applicable international route must also be checked: the Vietnam Embassy’s September 2026 Apostille notice confirms that the Convention took effect for Vietnam on September 11, 2026 for covered public documents between states having applicable treaty relations. It does not turn every private corporate resolution or power of attorney into a covered public document.

Identify the issuing country, document category, competent certifying authority and any applicable exemption for each item. Covered documents with a valid Apostille follow that route; documents outside its scope require the relevant alternative authentication or exemption analysis. Authentication and translation are separate checks : Article 10 of Decree 168/2025 requires a notarised Vietnamese translation alongside foreign-language documents in the enterprise-registration dossier. Reconcile names and dates before certification so the translated file preserves the same corporate identity.

Trace natural-person ownership beyond the parent

The corporate parent is the registered investor; the beneficial owner is a natural person determined under the applicable rules. Articles 3 and 4 of Decree 296/2026 replace the relevant beneficial-ownership provisions and require review through each ownership level until ultimate natural-person ownership or control is identified. A chart ending at a holding company does not complete this task.

The amended ownership criterion includes direct, indirect, or combined ownership of at least 25% of charter capital or voting shares. It also addresses groups linked by the specified family relationships or agreements. Where the ownership criterion is not met, or does not identify the true beneficial owner, apply the actual-control criterion; if neither identifies a person, the rule provides for the manager with the greatest authority, subject to its stated exception for state-capital representatives. Do not jump straight to the local director because the parent’s shares are widely held.

Ask the parent to identify the record owner for every link, the relevant interests and any agreement affecting ultimate control. Mark the date of each supporting record and explain discrepancies between registers, constitutional documents and the chart. This is especially useful when several group entities hold interests through different routes: one diagram must represent the structure used for the declaration, rather than separate charts that omit one another’s holdings.

Allocate responsibility for later upstream changes as well as formation. A group reorganisation can alter the underlying determination while the direct Vietnam owner stays the same. The company should receive enough information to assess and complete any applicable beneficial-owner update; a formation chart should not become an unattended historical attachment.

From parent mandate to subsidiary authority Parent identity, signing authority and ultimate ownership evidence meet in a reconciled investor file. That file supports local appointments and registration, while project, capital and operating conditions remain a separate release gate. Parent identity and legal evidence Authority to sign and appoint Ultimate ownership and control evidence Vietnam appointments and charter plus entity / project registration Capital, licences and operating release Reconciled corporate investor file One entity, consistent authority
The parent evidence converges before local authority is assigned. Registration then feeds a separate funding and operating release decision.

Translate group control into Vietnam company roles

Choose the subsidiary’s governance before using the parent’s standard appointment forms. Under Articles 79–82 of the Enterprise Law , an organization-owned one-member LLC uses either a Company President with a Director/General Director, or a Members’ Council with a Director/General Director. The Members’ Council model has 3–7 members. This council does not turn the sole parent into several owners; it is the governance structure of the one-member LLC.

Role Whose authority it exercises Record to align Common mismatch
Parent authorised representative Corporate owner/member/shareholder rights within the applicable framework Written appointment and interest allocation where relevant A filing power is treated as ownership authority
Company President or Members’ Council Vietnam company governance under law and charter Charter, appointment and reserved decisions Parent board titles are copied without local functions
Vietnam legal representative The subsidiary’s representation under law and charter Registered position and defined powers The parent CEO is assumed to hold the role automatically
Director/General Director Daily management within assigned powers Appointment and management authority Bank access is assumed to confer all management powers

For the corporate owner’s authorised representative, Articles 14 and 15 require written authority and specify appointment information, including the represented entity, identity details, term and signatures. Where several representatives are appointed, allocate the relevant interest; the law provides an equal allocation if none is specified. Give the company the appointment document and retain evidence of receipt, because effectiveness against the company depends on receipt.

A parent’s internal approval limit should be reflected in the governance design rather than left in an email. Article 15 states that restrictions on the authorised representative’s exercise of the owner/member/shareholder rights at the relevant council or general meeting are ineffective against third parties. Internal group controls need a Vietnam-law implementation through the charter, valid appointments and decision procedures; they should not be treated as an automatic external veto.

Separately, Article 12 requires at least one legal representative resident in Vietnam at all times, with written delegation rules when the sole remaining resident representative leaves. Decide who will cover absences and how documents reach the parent. Ownership or appointment does not itself resolve an individual’s work or immigration position, which requires a separate assessment before that person works in Vietnam.

Reconcile appointments before signing

A role chart, draft charter and parent delegation can reveal gaps between intended group control and the authority that the Vietnam documents actually create.

File the entity and project on the applicable 2026 route

Set the registration sequence from the proposed investor, activities, project and location. Article 19(2) of the 2025 Law on Investment permits foreign investors to establish an economic entity before the Investment Registration Certificate (IRC) issuance or amendment procedure while satisfying market-access conditions. Article 7 of Decree 296/2026 implements the applicable IRC-copy exception and market-access commitment in the enterprise dossier. Neither provision makes a parent appointment a licensing exemption.

For a new project, record which investment policy approval, IRC and sector permissions apply and when each is required. Article 29 of the Investment Law preserves applicable project approvals before execution. An acquisition of an existing Vietnam company is a different transaction: Article 21 has its own pre-change registration tests. Do not reuse a new-subsidiary approval pack as if it automatically covers buying a target.

  1. Freeze the agreed entity details: Vietnamese name, registered office, business activities, charter capital, owner information, governance, legal representatives and beneficial-owner information.
  2. Complete the prescribed application and charter, add the form-specific lists and identity/organizational evidence, and include the applicable IRC or lawful enterprise-first documentation. Match the parent’s appointment and signatures to these records.
  3. Confirm who signs and who submits. For electronic registration, Article 9 of Decree 296/2026 uses electronic-identity login through the National Public Service Portal or National Identification Application to access the enterprise-registration system. Establish the actual signatory/filer authentication route before relying on a remote parent signature.
  4. Submit to the competent Business Registration Agency, retain the receipt and track the application. Respond to a request for correction by resolving the underlying inconsistency across affected documents; do not merely replace the page identified in isolation.
  5. On issuance, check the ERC and registered data against the approved parent mandate. Retain the final filed documents and continue the applicable investment-project and operating-permission workstreams.

The parent’s legal existence and its ability to finance the project are different questions. Group treasury should assemble evidence of the investor’s available financial capacity for the actual proposed funding structure. A profitable ultimate group does not, by itself, explain how the named investing entity will meet its commitment.

Fund the commitment and document group transactions

Approve a contribution the parent can actually deliver, and distinguish charter capital from project investment capital, borrowing and operating cash. For a one-member LLC, Article 75 of the Enterprise Law generally requires the owner to contribute the committed capital within 90 days after ERC issuance, excluding the specified time for transporting/importing contributed assets and administrative ownership-transfer procedures. An anticipated group budget release is not one of those exclusions.

If the parent does not contribute in full, Article 75 requires registration of the adjusted capital within 30 days after the contribution deadline and sets liability consequences for the shortfall. Limited liability is subject to the owner’s capital obligations. Monitor the deadline from the actual ERC date and escalate a funding failure early; a parent approval or intercompany receivable does not prove that capital reached the subsidiary.

Before remitting, have treasury and the proposed bank confirm the applicable account route, named remitter, currency and payment reference for the actual investment. This is a transaction-preparation step, not a promise of bank acceptance. Retain the transfer evidence and company records, and reconcile the amount received to the contribution obligation. Bank due diligence is separate from the Business Registration Agency’s review.

Decide whether later money is an additional equity contribution, a loan or payment for a real transaction before it moves. Each needs its own legal, foreign-exchange, accounting and tax assessment. Articles 77 and 86 require separation of owner and company assets and govern related-party contracts for an organization-owned one-member LLC. For parent services, IP, leases or financing, identify the applicable approvers and conflicts under law and the charter; group affiliation does not remove the approval analysis.

Make the operating handover explicit: assign responsibility for applicable project and sector permissions, tax and electronic-invoice setup, accounting and audit arrangements, employment and immigration checks. Retain the evidence relevant to the planned first transaction. An ERC, a funded account and an internal launch announcement are different records; none should be used as a universal permission to begin every registered activity.

Release the parent mandate when the handover matches

Release the parent’s mandate only when the direct investor, ownership chain, authorised representatives, Vietnam governance and funding commitment tell the same story. Group legal should be able to trace each local appointment to valid authority; treasury should be able to match its proposed transfer to the registered commitment; the Vietnam team should hold the current charter and filed evidence.

Pause the affected step if a parent reorganisation changes the investor, a beneficial-owner determination is unresolved, an appointment conflicts with the charter, or funding cannot meet the commitment. Resolve that mismatch before replacing signatures or sending money. Where the corporate file is coherent, proceed on the verified entity/project route and release operations only against the permissions required for the actual activity.

Bring the corporate file to a setup review

Share the chosen parent, ownership chart, draft appointments, proposed activities and funding plan for a case-specific review of the remaining setup dependencies.

Frequently asked questions

Is a wholly owned subsidiary the same as a foreign parent’s branch?

No. A one-member LLC is a separate Vietnam legal person from ERC issuance. A foreign branch follows a different establishment and licensing regime. Confirm that the group intends to own a subsidiary before preparing the corporate-investor dossier.

Can two subsidiaries of the same group be recorded as one owner?

They remain separate legal entities. Two registered corporate members require the applicable multiple-member structure and separate investor evidence, even if their ultimate ownership overlaps.

Does appointing the parent’s CEO also appoint the Vietnam legal representative?

No. A title at the parent does not itself confer a position at the Vietnam subsidiary. The local charter, appointment and registration must establish the intended role and authority.

Can an Apostille replace the Vietnamese translation?

No. Authentication addresses the relevant signature, capacity and seal; language requirements remain separate. Foreign-language enterprise-registration documents require the accompanying notarised Vietnamese translation under Article 10 of Decree 168/2025.

What should the Vietnam team receive after the parent signs?

Provide the executed appointments and final corporate evidence, the approved charter and funding instructions, and the contact responsible for upstream ownership or authority changes. Retain the filed version as well as internal approvals so future changes can be reconciled.
