Representative-office operating scope

What Can a Representative Office Legally Do in Thailand?

Turn everyday staff instructions into permitted support outputs, and identify the handoff that requires another operating route.

A supplier assessment for head office can fit a representative office’s role in Thailand; confirming the resulting purchase crosses its boundary. Before assigning a mixed instruction, review the employee’s actual acts, the recipient and the authority involved.

A representative office in Thailand can research suppliers, inspect head-office purchases, advise on head-office products, share information about new offerings and report Thai business developments. It must stay within these support functions: accepting orders, offering sales and negotiating business are outside its role, even when head office receives the money. The Department of Business Development’s activity guidance makes those distinctions explicit.

Key takeaways

  • Describe the intended deliverable before deciding whether a job belongs in the office.
  • Separate product explanation from installation, maintenance and repair.
  • Moving an invoice overseas does not change the acts performed by the Thailand team.
  • A new recipient, transaction role or fee should trigger a fresh scope review.

Define the output within the five support functions

The permitted categories describe a narrow support role, rather than a general mandate to develop or run the parent’s Thai business. The Thailand Board of Investment’s description of the five functions provides an English reference for the categories below. Their practical value lies in distinguishing an information output from execution of a transaction.

Function Output to define before work starts Boundary to preserve
Find Thai sources of goods or services A supplier shortlist for head office Research does not become purchasing.
Check quantity and quality An inspection report on goods head office buys or commissions in Thailand Do not turn this into an inspection service for unrelated clients.
Advise on head-office goods Product explanations for distributors or users Advice does not become installation or repair.
Share information on new head-office goods or services Information about a new offering Do not assume all promotional campaigns qualify.
Report Thai business developments A market-development report to head office Do not turn internal reporting into an outside service.

As checked on October 27, 2026, the current DBD government data catalogue confirms that representative offices no longer require the former Foreign Business License under the 2017 ministerial regulation. The exemption does not enlarge the permitted activities. Older official summaries still contain historic licence procedures; those procedures should not be used as current setup instructions.

For this operating decision, first match the proposed output to a category and then test its limits. A broad job description such as “support Thailand sales” is too vague: it can cover product information, quotations, order handling and commercial negotiation, which do not have the same treatment.

Check the role before hiring around it

Bring the proposed staff duties and intended outputs so the representative-office boundary can be assessed before the team takes on commercial responsibilities.

Redline the work order before assigning it

Break each instruction into verbs. “Find, compare and report” describes a different role from “negotiate, confirm and deliver,” even when the same employee does both. The DBD scope note specifically identifies purchase execution and payment, export execution, order taking, sales coordination, installation or repair, and contracting for head office as activities beyond the representative-office boundary.

The following work-order redline test is a recommended control, not a government form or an approval. Every instruction is hypothetical. The revised deliverable is suitable for scope assessment only if the recipient, goods and actual conduct also fit the applicable permitted function.

Hypothetical instruction Verb or handoff to remove Revised support deliverable Stop or escalate when…
“Compare Thai suppliers, confirm the order and arrange payment.” Confirm and pay: the team moves from research into purchase execution. Send head office a comparison of supplier capability and the information collected. Staff are asked to issue an order, pay a supplier or carry out the purchase.
“Explain the equipment, then install it at the customer’s site.” Install: product explanation becomes after-sales execution. Explain the head-office product’s published features and usage information; remove installation from the assignment. The requested result requires installation, repair or maintenance.
“Brief visitors on the new product and collect their orders.” Collect orders: an information event becomes order handling. Provide information on the new head-office offering, with no ordering or sales-negotiation role. The team must take an order, quote an offer for sale or bargain over terms.
“Prepare our Thailand market report and send the same analysis to a client.” Serve the client: an internal report acquires another recipient. Prepare the report for head office and restrict its distribution accordingly. The proposed output is an outside research or advisory service, paid or unpaid.

Do not merely delete an awkward verb from a document while leaving the assignment unchanged. Ask what the counterparty expects the employee to achieve. If the supplier still expects a binding order confirmation, “liaison” in the employee’s signature does not solve the problem. Actual conduct must match the revised instruction. Preserve the original request alongside the revision so the removed obligation remains visible.

A mixed sourcing instruction illustrates why the handoff matters. The office may gather information for a head-office decision while the purchasing activity itself needs to be removed from its assignment and assessed separately. The diagram separates those acts rather than treating the entire instruction as one permitted sourcing task.

Separate supplier research from executing a purchase A hypothetical instruction contains three acts. Supplier assessment and reporting feed a head-office report. Order confirmation is removed and purchasing activity is escalated. Hypothetical instruction Assess, confirm order, report Assess supplier for head office Confirm purchase order Send findings to head office Keep: supplier assessment Report supports a decision Remove: order confirmation Escalate purchasing work
One instruction can contain both support work and a prohibited purchasing act. Rewrite the deliverable and remove the transaction handoff before assigning it.

Keep the handoff visible in daily work

Use one short activity record for each recurring workflow. Record the requester and recipient; the relevant support function; the precise output; the employee’s permitted communications; and the point at which the employee must stop. Attach an example email, report or product-information sheet so a reviewer can see how the role works in practice.

For the hypothetical supplier assignment above, a useful record would say: “Deliver a supplier assessment to head office. No purchase order, supplier payment, export execution or commercial commitment is assigned to the Thailand office.” Identify who will receive any transaction request for separate assessment. This is an internal management recommendation, not a statement that moving execution abroad automatically resolves every Thai-law issue.

Review the counterparty-facing handoff as carefully as the internal instructions. A supplier should not be told that the local team can confirm a purchase if the team’s role ends with an assessment. A customer-facing employee should have a clear route for requests the office cannot perform, rather than improvising a quotation or repair commitment.

A useful completion check is evidence of a support output and no assigned commercial execution. Inspect an actual report and its covering email, rather than relying solely on the job title. Reopen the activity record when an employee gains a new approval right, a new service recipient or a different performance target.

Untangle a mixed instruction

A single work request may combine research with order execution or advice with repair. Submit the instruction and expected customer or supplier handoff for a focused scope discussion.

Unpaid work and offshore invoices still need scrutiny

A non-revenue label is insufficient. The Revenue Department’s published representative-office interpretation distinguishes head-office expense funding for the described support functions from services to others, including unpaid services. This is a historical tax interpretation, used here for that narrow distinction; its old business-tax procedures are not current filing instructions.

Apply two separate questions: does the act fit the representative-office function, and how is the resulting payment or funding characterized? A foreign parent issuing the invoice does not erase a local employee’s negotiation, order acceptance or service delivery. Conversely, an office expense reimbursement is not evidence that every task financed by it is permitted.

Do not assume that “same group” settles the recipient question either. Identify the legal entity receiving the work and the relevant activity. Affiliate relationships need a specific scope assessment; they do not turn a representative office into a general shared-service centre. Keep that review separate from the classification of head-office funding.

When commercial execution is essential, the transaction roles of a branch and representative office become relevant to the operating choice. If the parent instead selects a Thai subsidiary, the requirements for forming a company in Thailand address the underlying entity; incorporation and permission for the intended activity remain separate decisions. The Foreign Business Act requires the foreign status, activity and applicable permission or exemption route to be assessed.

Escalate the representative-office task before it becomes a transaction

Keep an instruction in the representative office only when you can identify its permitted function, appropriate recipient and bounded support output, and show that actual communications stay within that role. The immediate action is to approve a specific deliverable and handoff, rather than a broad promise to “handle Thailand.”

If a task depends on taking orders, commercial negotiation, purchasing execution, installation, repair or outside service delivery, remove that act from the office’s assignment before work starts. Assess the required operating structure and permission separately. If staff have already crossed the boundary, preserve the instructions, correspondence and payment records for legal and tax review; changing the next work order does not resolve the earlier conduct.

Plan the activity that needs another route

Use the marked-up work order to identify which support duties can remain and which commercial acts require a separate operating and permission assessment.

Frequently asked questions

Can a sales target change the scope of an otherwise administrative role?

It can expose a mismatch. A target that requires staff to close deals or secure orders should trigger review of the duties, authority and actual communications. A job title alone cannot establish a permitted function.

Can the parent sign after the Thailand team negotiates the terms?

A later head-office signature does not remove the local negotiation from the assessment. Review who discussed and agreed the commercial terms, rather than looking only at the signature page.

Does a free product demonstration automatically qualify?

No. Identify the acts involved: explaining a product differs from making a sales offer, accepting an order or undertaking installation. Assess the intended demonstration and its follow-up before assigning it.

Should the activity record cover email and online meetings?

Yes, as a recommended control. Record the task regardless of communication channel. An email accepting an order or an online commercial negotiation still needs the same scope assessment as an in-person interaction.
