From registration to operation
What Happens When a Company Is Registered?
Accept control, assign owners and release each first business action on its own evidence.
When a company is registered through incorporation, it has an entity record around which ownership, management and business transactions can be organised. The practical next steps are to accept the company records and access, establish financial controls, check tax and operating requirements, and assign continuing duties. Registration does not itself complete banking, licensing or employee setup.
For a foreign founder, the immediate deliverable is a usable handover: who can act, which records support that authority, and what evidence permits each planned transaction. The framework below assumes a newly incorporated company; UK and Singapore examples illustrate separate workstreams.
Key takeaways
- Accept constitutional, ownership and decision records alongside the registry outcome.
- Give each bank, tax, licence and employment task a named owner.
- Treat an application receipt as pending evidence, rather than completed approval.
- Check access and correspondence routes when directors or shareholders live overseas.
- Record recurring duties and change triggers before closing the formation engagement.
What changes when the company is registered?
The operating change is that the incorporated company becomes the reference point for its assets, finances and records. GOV.UK’s company and accounting record guidance requires a clear separation between a UK limited company’s finances and those of its owners and directors. It also requires records of the company and its financial transactions.
Translate that separation into daily practice: use the company’s legal identity in new supplier onboarding, organise its accounting file and record decisions made on its behalf. Ownership, signing authority and possession of a login are different things. A shareholder should not assume that holding shares authorises every payment or filing.
For overseas teams, agree who receives official correspondence and who escalates it. A registered address that nobody monitors can leave a valid company unable to respond to a tax letter, bank request or filing notice. Test the delivery route as part of acceptance.
Accept the handover before releasing transactions
Accept a complete governance and access file before treating the provider’s work as delivered. Compare the constitutional rules, ownership information, officer appointments and relevant resolutions. Record who may authorise borrowing, sign contracts and approve payments under the applicable rules. The board below is a management tool; it is not a statutory filing checklist.
| Next action | Accountable owner | Evidence to hold |
|---|---|---|
| Accept governance | Director / secretary | Constitution, ownership record, appointments and transaction approvals |
| Start bank onboarding | Finance lead | Chosen bank’s document list, approved signers and identity evidence |
| Enable tax administration | Tax adviser / director | Relevant tax reference, authorised access and activity-start facts |
| Release a regulated activity | Operations lead | Required authority approval, correct holder, activity and premises |
| Prepare first payroll | Employer / payroll lead | Employment assessment, required registration and payroll instructions |
Store the latest approved version and identify the custodian of any originals. Keep sensitive credentials in controlled access systems. Ask the provider to demonstrate authorised access or delegate appropriate roles; forwarding a screenshot is weaker evidence than confirming that the responsible person can actually complete the task.
In Singapore, ACRA’s local-company checklist identifies Corppass for government transactions and maintenance of company registers. Registrable-controller and nominee-register duties have exemptions, so the handover should record the applicable position rather than mark every register “not needed”.
Make the company ready to receive and control money
Registration allows the next bank application to proceed; it does not mean an account has been accepted or made usable. Ask the chosen provider to confirm its eligibility, ownership evidence, signers and attendance requirements before promising customers a collection date.
ACRA’s guidance highlights signers, board decisions, certified company documents and identity checks for Singapore corporate banking. It also flags physical attendance. A foreign founder should confirm the bank’s actual route before arranging travel or assuming remote completion.
Set a separate completion test for control of money : the account is active, intended users have the right permissions, and payment approval limits are understood. Preserve the bank’s confirmation and mandate. Reconcile incoming capital or loans with their supporting records; money received and shares recorded are different facts.
Check tax, activity and employee permissions
A tax identifier, a service login and permission to charge a particular tax are separate matters. In the UK, GOV.UK’s Corporation Tax account instructions cover companies whose services were not already activated. They identify the company number, business-start date, first accounts date and Unique Taxpayer Reference as inputs. They also explain that official letters go to the registered office.
Have the tax owner confirm the company’s actual activity status and applicable registrations before issuing invoices. Do not label a company dormant simply because it has no customer receipts: the UK guidance includes buying, advertising, renting and employing among business activities. Review invoice-tax treatment separately rather than treating a corporate tax reference as a universal invoice approval.
For activities, ACRA warns that extra licences or permits may be needed before operations. Check the intended service, products, premises and responsible people with the issuing authority. An application receipt is not an issued operating permission. Match the approval’s holder and scope to the planned action. The UK business licence guide develops that activity-and-location assessment for a UK operation.
For hiring, allocate the employment and payroll review before confirming a pay run. UK employer-registration guidance normally requires registration when employing staff and requires it before the first payday. It provides a procedure if the reference has not arrived when payment is due. That trigger belongs to the employment workstream; it is not a worldwide deadline measured from incorporation.
Build the first compliance calendar around triggers
Create the first calendar from the company’s own records and official notices. Give each entry an obligation, trigger, authority, due date, preparer, reviewer and evidence location. Separate company filings, tax returns and payments, permit renewals and employment submissions. Leave an unresolved deadline visibly pending with an owner to confirm it.
A useful calendar includes change events as well as recurring dates: a new shareholder, bank signer, operating address, activity or employee can require fresh assessment. When an approval arrives, record its conditions and any renewal or notification requirement at the same time.
For a UK company, the director-responsibility rules make clear that hiring an accountant does not remove the director’s legal responsibility for records, accounts and performance. Agree who prepares each filing and who authorises it; a service contract should identify the deliverable and the evidence of submission.
Decide what the company can do next
Decide what happens when a company is registered by testing the next real action, not by applying a blanket “ready” label. Record “bank onboarding pending”, “tax access active” or “premises approval outstanding” against the relevant owner. Preparatory work can move forward while a dependent operating action remains on hold.
For a UK setup, HSJGlobal’s UK company registration and business setup service provides a route to discuss entity and post-registration planning. Bring the handover file, actual business activity and first intended transaction so the discussion addresses a defined gap.
Close the handover when each item has an accepted record, a usable access route or an explicit outstanding task with a responsible person. Release the first action only after its particular authority and operating conditions have been checked.
Frequently asked questions
Should every shareholder receive government-account access?
Assign access by authorised role and actual task. Ownership alone should not determine permissions. Keep a record of the administrator, authorised users and a recovery route, with sensitive credentials protected.
What if the provider keeps original documents?
Agree a custody schedule stating what exists, who holds it and how the company obtains it. Request usable copies and clarify any bank or authority requirement for originals before committing to a transaction.
Can supplier onboarding begin while the bank application is pending?
You can prepare the supplier file and negotiate the intended workflow. Confirm signing authority, payment arrangements and any activity permission before making a commitment that depends on an active account or approval.
What should we do if an approval has no obvious renewal date?
Read the conditions and ask the issuing authority what continuation and change rules apply. Save its response. Do not invent an annual expiry or assume that an undated document has no continuing conditions.
