Corporate existence and effective dates
When Is a Company Legally Formed? Incorporation Explained
Identify the legal creation event before the proposed company makes a commitment.
A company is legally formed when the event specified by its governing company law takes effect. For a UK company, registration creates the body corporate from its incorporation date. For a Delaware corporation, existence normally starts with the filed certificate of incorporation, subject to a permitted later effective date or time. Signing documents or paying an agent does not settle that question.
Identify the jurisdiction and entity type, then check the official formation outcome and any delayed-effect provision before committing the proposed company. The UK and Delaware examples below explain the legal trigger; other jurisdictions need their own statutory check.
Key takeaways
- Separate document preparation, statutory formation and the first trading day.
- Read a delayed effective date before treating a Delaware corporation as existing.
- Review who bears any contract signed before the company is formed.
- Formation evidence does not establish every operating permission.
When is a company legally formed under the governing law?
The legal trigger comes from the entity’s governing law. A signed constitution, reserved name or provider receipt is not interchangeable with that trigger. “Company formation” can describe a project; legal incorporation identifies an event within it.
For UK companies, Companies Act 2006, section 16 gives registration its corporate effects from the incorporation date. Section 15 requires the registrar’s certificate to state that date and makes it conclusive evidence of due registration. Read the date on the certificate rather than substituting the day a founder submitted the application.
For Delaware corporations, General Corporation Law sections 103(d) and 106 connect corporate existence to the filed incorporation certificate, subject to delayed effectiveness. Section 103(d) permits a later effective time no later than the ninetieth calendar day after filing. This corporation rule should not be copied onto an LLC or another country’s company form.
Read the effective date before releasing a contract
A filing timestamp and an effective timestamp can differ. In an illustrative Delaware filing, a certificate filed on Monday specifies effectiveness on Wednesday at 10:00 in the applicable local time. On Tuesday, the future effective time has not arrived. The fact that a document is already filed does not remove its delayed-effect provision.
| State | Evidence position | Action before contracting |
|---|---|---|
| Prepared or submitted | No official formation outcome established | Keep the proposed company out of an existing-party description. |
| Filed with future effectiveness | A filing exists; the stated future time has not arrived | Wait for the effective event before relying on corporate existence. |
| Effective incorporation | The statutory trigger has occurred | Check authority to sign and any transaction-specific conditions. |
Record the effective date and time , including the time zone where relevant, beside the proposed signature time. Resolve contradictory or incomplete records with the registry or appropriate local adviser before relying on them. This is a cutover check, not an estimate of registry processing speed.
Who carries a commitment made before incorporation?
The person signing may carry personal exposure. Under UK Companies Act 2006, section 51 , a contract purporting to be made by or for an unformed company generally takes effect as a contract with the person acting for it, who is personally liable, subject to an agreement to the contrary. The provision also addresses specified deeds and Scottish obligations.
For a lease, supplier order or engagement signed early, retain the signed instrument and identify its actual parties. Ask a qualified adviser to review liability and any replacement agreement or transfer needed after incorporation. Do not assume that incorporation automatically releases the original signer. Calling the party “a company to be formed” is not, by itself, a complete allocation of risk.
Confirm the formation cutover before acting
Use a short handover record before authorising the first company signature. The four stages of company formation provide the wider project context; this record isolates the moment at which the proposed entity becomes an existing company.
- Identify the exact entity, company form, jurisdiction and official registry.
- Retain the official outcome and record the statutory formation date or time.
- Check delayed effectiveness, the proposed signer’s authority and earlier commitments.
- Assess tax administration and operating approvals separately for the intended activity.
For a US formation project, HSJGlobal’s US company registration and LLC formation services describe the relevant entity-setup scope. Specify whether the requested deliverable is filing coordination, formation evidence or a separate operating workstream.
When is a company legally formed? Proceed from the verified legal trigger, then decide whether the particular commitment can be made. Legal existence and readiness for every business activity are different conclusions.
Frequently asked questions
Does the first sale determine the formation date?
No. A commercial launch date does not replace the statutory incorporation event. A company can already exist before its first sale; determine the formation date from the applicable law and official record.
Does a UK filing receipt prove incorporation?
Do not treat a submission receipt as the incorporation certificate. GOV.UK’s registration guidance identifies the certificate as confirmation that the company legally exists and shows its number and formation date.
Can founders outside the country use their own local date?
Record the date or time recognised by the formation jurisdiction. A founder’s different local calendar day should not silently replace the official date. Clarify the applicable time zone when a transaction depends on the precise cutover.
Is this the same as deciding when a partnership exists?
No. Partnership formation can follow different rules. First identify the legal form; a company-incorporation test should not be applied automatically to an unincorporated venture or a different statutory entity.
