INDONESIA SALES OPERATING MODEL

When Do Indonesian Sales Operations Need a Local Company? Contracts, People and Activities

Decide which local responsibilities require an operating entity and which need a separate permission or tax assessment.

Plan an Indonesian company when your group intends to carry on its own locally licensed sales business, subject to the sector’s permitted structures. Under Article 5 of the Investment Law , foreign direct investment generally uses an Indonesian limited liability company, or PT PMA. An Indonesian customer, an offshore invoice or a salesperson’s presence does not, by itself, settle that decision. Contracts, actual activities and people’s authority must be examined together.

An overseas supply arrangement, a permitted representative office and a genuine local distributor carry different responsibilities. Tax permanent-establishment exposure and immigration or employment permissions must then be assessed separately. Before expanding sales, identify who binds the seller, fulfils the contract and works in Indonesia.

Key takeaways

  • Your own local operating seller needs an activity and ownership assessment before it promises delivery.
  • Representation can support a permitted mandate without providing a general right to transact commercially.
  • An offshore contract can leave fixed-place, service or agency tax questions in Indonesia.
  • Contract records, premises access and actual duties are more useful evidence than labels such as “support”.
  • Reassess the model when authority, stock, customer work or personnel duties change.

Identify who actually makes and fulfils the sale

Start with the proposed customer contract and the work needed to deliver it. Identify the seller, the party accepting orders, the owner of inventory, the importer, the invoice issuer and the party responsible for installation, warranty and returns. These roles can sit with different businesses. A customer’s request for an Indonesian invoice is a commercial requirement to resolve; it is not a complete statement of the legal structure required for every overseas sale.

For your own foreign-invested operating business, Article 5(2) of the Investment Law generally requires an Indonesian limited liability company, unless another law provides otherwise. This is the basis for the PT PMA route, not a rule that every foreign supplier with an Indonesian customer must incorporate. Check the permitted ownership and activity before promising that the proposed local seller can perform the contract.

Incorporation also does not settle the permission to trade. OSS’s current risk-based licensing system links the required permissions to the business activity and risk level. Map the actual sales and fulfilment functions to the applicable business classification, then confirm the licence status needed for those functions. For an entity that will take on that local role, the underlying company formation requirements in Indonesia belong in the implementation file alongside the activity-specific permissions.

A company’s legal existence is not permission for every sales activity. Record exactly what the proposed entity will do, rather than approving an undefined description such as “sales support”.

Assign the proposed seller’s responsibilities

Bring the customer contract and delivery model to a structure and activity-scope review before accepting local operating obligations.

Use the sales-trigger ledger before changing the operating model

Use the ledger to decide which review must happen before the next commitment. Each row is an assessment trigger, not an automatic conclusion that incorporation, a tax permanent establishment and a work permission all arise together. Complete it from contracts and actual conduct; a job title or payment destination is insufficient evidence.

The legal distinctions behind the ledger are the representative-office activity limits , the DGT’s permanent-establishment tests and the C2 business-visit conditions . The action column is an editorial control derived from those different rules. It deliberately sends the same fact to more than one reviewer when necessary, without treating the reviewers’ answers as interchangeable.

Add an owner and a release decision to each applicable row in your internal copy. An unresolved importer, premises operator or person’s duties should remain visible as an unresolved fact. These questions must be read together before choosing whether the group needs its own company or a different permitted arrangement.

One sales change, four independent reviews A proposed sales change connects to corporate and licensing, tax, representation and distribution, and people permissions. Each review reaches its own answer before the activity is released. Proposed sales change Corporate / licensing Local operator and scope Tax presence PE and treaty facts Representation and distribution Mandate and authority People permissions Employer, duties and visa
A changed sales model can require four reviews in parallel. Clearance in one track does not clear the others.

Keep representation and distribution within their own mandates

A representative office is suitable only while its real activities remain within its mandate. Under Article 270 of Investment and Downstreaming/BKPM Regulation 5/2025 , a general foreign representative office, or KPPA, may perform liaison, coordination and preparatory functions. It must not seek Indonesian-source income or carry out commercial goods or services transactions between its parent and Indonesian businesses or individuals. Routing the invoice offshore does not expand that mandate.

The same regulation treats a foreign trade representative office, KP3A, separately: Articles 271–272 require an NIB and SIUP3A and include a declaration against trading and sales transactions. Do not copy a general KPPA assessment into a trade-office file, or assume that a representative office is a sales branch.

For goods distribution, Article 1 of Trade Regulation 24/2021 distinguishes an agent acting for its appointing principal for commission from a distributor acting in its own name. Article 6 sets agreement formalities and minimum terms, including authority and territory. Check the applicable registration and product rules as well; medical devices and medicines have a separate sectoral regime under Article 10.

A genuine local distributor can provide the local selling operation without your group owning that seller. Test who bears the customer obligation , commercial risk and stock responsibility. The choice between selling through a distributor or your own subsidiary should follow that allocation. A distribution label cannot settle whether the overseas principal has a tax presence.

Resolve the local-presence question

Use the authority, premises and service records to identify the corporate and tax issues that need separate answers.

Test permanent-establishment exposure on a separate file

A tax permanent establishment, or bentuk usaha tetap (BUT), concerns the overseas enterprise’s taxable presence. It is not an Indonesian incorporated subsidiary and does not itself supply an operating licence. Keeping the customer contract abroad therefore leaves a separate question about what the overseas enterprise actually does inside Indonesia.

Articles 4–5 of PMK 35/PMK.03/2019 address a permanent place used for business; Article 9 addresses a non-independent agent. A formal office lease is not the only relevant evidence. Review continuing access to premises, the activities performed there, instructions to local representatives and the commercial risks they bear. Independent-agent treatment depends on the agent actually conducting its own business, not merely on the agreement using that description.

Service delivery is another route to examine. The domestic rule includes services performed for more than 60 days within 12 months, while Article 8 expressly refers to the period in the applicable tax treaty when treaty provisions apply. The service-day threshold is not a general safe harbour. A fixed-place or agency issue may require assessment independently of those days.

Prepare a treaty-specific analysis using the overseas seller’s jurisdiction, residence evidence, activities and travel records. The regulation also recognises preparatory or auxiliary exceptions for treaty purposes, but those depend on the actual function. Describe the function precisely rather than calling a revenue-critical team “marketing”. A tax conclusion should state its facts and treaty basis; it should not be reused as confirmation of corporate or immigration permission.

Approve people’s duties before their next visit or hire

A local company does not automatically authorise a foreign employee to work, and the absence of a subsidiary does not make every business visit prohibited. Match each person’s intended duties to the permission held. Keep the corporate employer or host, the immigration purpose and the day-to-day work description consistent.

The official C2 business-visit page permits meetings, negotiations and signing business agreements, among other stated activities. It prohibits selling goods or services and receiving Indonesian remuneration for work or business. Those boundaries require a duties-based review: permission to attend negotiations must not become an assumed permission to operate a continuing local sales role or deliver the customer’s contracted services.

For foreign employment, Manpower Regulation 8/2021 establishes the approved foreign-worker utilisation plan, RPTKA, framework and recognises eligible employers including certain representative offices and Indonesian legal entities. Check the employer, role, required approval or documented exemption, and corresponding immigration permission together. Do not turn the existence of a representative-office employer into authority for activities outside that office’s mandate.

For Indonesian hires, record the actual employer and reporting line before approving the arrangement. A headcount number alone is not the incorporation test. The more useful evidence is what the team may promise, whose business it carries out and which locally permitted operator takes responsibility.

Choose the next sales model from the unresolved trigger

Choose your own PT PMA route when the approved model calls for your group’s foreign-invested Indonesian operating seller and its activities can be licensed. Keep a genuine distributor route where that business will carry the local customer and fulfilment responsibilities. Restrict a representative office to its permitted mandate; do not let the first order silently change its function.

Make the decision on a dated version of the contract, authority matrix, premises and stock map, and people’s duties. Release the next sales commitment only when each relevant corporate, tax, partner and people review has an identified answer. If the model changes, reopen the affected row of the ledger before the new activity begins. That preserves a usable decision even when a tax finding and an incorporation decision lead to different outcomes.

Prepare the decision file for the next sale

Align the selected entity or partner route with its permitted activities, customer obligations and planned personnel duties.

Frequently asked questions

Does a customer’s procurement rule prove that incorporation is legally required?

No. Ask for the requirement in writing and identify whether it concerns the supplier entity, invoice format, tax status or tender eligibility. It may change the commercially viable route without establishing a universal incorporation rule.

Which file should hold the first evidence of an expanded role?

Keep the changed contract, written authority and dated description of actual duties together. Add the owner of each affected review so a contract amendment does not bypass tax, licensing or people-permission checks.

Can a planned subsidiary erase the overseas seller’s earlier tax exposure?

Do not assume that it can. Preserve the earlier contracts, premises records and service dates for a separate historical assessment. The future operating model and past activities need distinct conclusions.

What if the distributor also provides warranty services?

Allocate the warranty obligations, stock ownership, service location and performing personnel explicitly. Check whether the distributor’s permissions cover that work rather than treating the appointment agreement as sufficient evidence.
