Indonesia market-entry decisions
When Not to Set Up a PT PMA: Activity, Budget and Market Entry Alternatives
Use activity, funding and operating-role evidence to decide whether incorporation should wait.
An IDR 29.5 million formation benchmark is only one part of deciding whether a PT PMA belongs in your Indonesia entry plan. Defer incorporation when the actual activity cannot accommodate your foreign ownership, credible funding is missing, or your immediate work needs only a narrower lawful presence. Identify which condition fails before paying to establish a company; a cheaper structure is useful only if its permitted work matches what you will actually do.
For a qualifying standard PT PMA, that HSJGlobal benchmark is a one-time service price approved on September 7, 2026, excluding VAT. Separately, Article 26 of Investment/BKPM Regulation 5/2025 generally requires investment above IDR 10 billion per five-digit KBLI activity per project location, excluding land and buildings, and at least IDR 2.5 billion of issued/paid-up capital per company, subject to applicable exceptions. These are different funding tests, not extra registration charges. Legal rules were checked on October 20, 2026.
Key takeaways
- A formation invoice, paid-up capital, the investment plan and operating cash answer different questions; keep their evidence and accounting treatment separate.
- A permitted ownership percentage must fit the actual activity and its conditions. A convenient business code cannot repair a mismatch.
- A general foreign representative office has a restricted preparatory and liaison role. Commercial selling requires a different, properly authorised arrangement.
- An independent distributor may support a demand test, while a genuine joint venture still needs the applicable foreign-investment checks.
- Give each deferred decision a named owner, a missing document and a reopening condition, so postponement produces usable evidence.
Separate the entry budget from the investment commitment
Stop on budget when you can afford the formation bill but cannot fund the business described in the application. A PT PMA is an Indonesian limited liability company with foreign investment. Its project must be commercially credible at the required scale; buying incorporation services does not finance premises, stock, people or the period before customers pay.
| Budget line, in IDR | Amount or basis | Cycle and scope | Treatment |
|---|---|---|---|
| HSJGlobal PT PMA Essential | IDR 29,500,000 | One-time; no automatic renewal. Approved September 7, 2026. | Standard formation support; excludes VAT and the items below. |
| AHU government PNBP | Applicable official tariff; Essential includes an allowance up to IDR 5,000,000 | Once on the applicable legal-entity filing; reconcile the official billing basis and payment demand. | Already included within Essential to that limit; do not add the allowance again. |
| Issued/paid-up capital | At least IDR 2.5 billion per PT, unless another rule applies | Company funding under Article 26(10); checked October 20, 2026. | An equity contribution, not an HSJGlobal or government fee. |
| Investment plan | Generally above IDR 10 billion, with activity/location exceptions | Project commitment under Article 26; checked October 20, 2026. | Not an immediate service invoice or a second pot to add mechanically to capital. |
| Third-party and additional work | Obtain itemised quotes for the actual scope | Address or premises, foreign-document work, extra notarial work, and approvals as applicable. | Check government charges, disbursements and VAT separately in each quote. |
| Operating cash and ongoing compliance | Prepare your own monthly cash forecast | Rent, payroll, inventory, tax/accounting, LKPM support and other applicable obligations. | Recurring business funding; formation support does not include these obligations. |
The Essential benchmark applies to one standard PT PMA, one project location, no more than two low-risk or medium-low-risk KBLI activities, and an existing qualified business address. It includes an ownership/activity initial screen, standard notarial deed coordination, AHU legal-entity application, the stated AHU PNBP allowance, and basic NPWP tax-registration and OSS/NIB assistance. It excludes address provision, overseas authentication/translation, extra notarial work, Standard Certificate verification, higher-risk or sector licensing, environmental/building approvals, banking, immigration, tax filings and LKPM reporting. VAT is outside the price and is charged separately only when legally applicable to the transaction.
This is an approved editorial benchmark, not a new quotation obtained on October 20. Confirm current eligibility and scope before instructing work. It supplies no price for a local PT, representative office or distributor arrangement, and it includes no statutory audit. No market-price range or all-in operating total is asserted.
Use cash available through the first credible revenue milestone as a management test. Record opening cash, committed funding dates, approved capital deployment, monthly expenditure and customer-payment assumptions. Reconcile overlapping uses so paid-up cash used for operations is not counted twice. Article 27 restricts transfers of paid-up capital during the first 12 months, with exceptions for asset purchases, building construction and business operations; preserve the relevant commitment and transaction records. If funding depends entirely on immediate sales that cannot start until approvals are complete, reconsider the launch sequence.
Check what the budget actually funds
Bring the proposed activities, location and funding assumptions so the formation scope can be separated from the operating commitment.
Reject an activity before choosing a company
A company certificate cannot cure an ineligible activity. Screen the actual work before selecting the ownership structure: who contracts with the customer, supplies the product or service, imports goods, employs people and uses the premises? A brand description such as “consulting” or “trading” is insufficient when the underlying work belongs to a different regulated activity.
Start with the activities actually performed , then map them to the current Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) classification and the scope available in Online Single Submission (OSS). The current classification is KBLI 2025 under BPS Regulation 7/2025 as amended by BPS Regulation 6/2026 . Keep the conversion record where an earlier code is being migrated. A classification change alone does not liberalise foreign ownership or prove that the activity is open.
Read Presidential Regulation 10/2021 as amended by 49/2021 against the precise activity and applicable sector rules. Identify any foreign-ownership ceiling, activity allocated to cooperatives and micro/small businesses, required partnership, or other condition. Some activities cannot support the proposed foreign shareholding at all. Stop if the proposed ownership or work is outside the permitted boundary; reopening requires a lawful change in the real activity or ownership arrangement, not simply a different label.
Check the investment calculation before reducing the project
The general investment threshold is measured per five-digit activity and project location, but Article 26(3)–(8) changes the calculation for specified activities. Wholesale trade and construction use the first four KBLI digits; food and beverage services use the first two digits, with the location basis defined per regency/city. Products from one industrial production line also have a specific grouping rule. Multiple activities or locations therefore cannot be assumed to share one general threshold.
Land and buildings enter the calculation for specified property, accommodation, agriculture, plantation, livestock and aquaculture activities, with further distinctions for property projects. Public electric-vehicle charging has a provincial grouping rule; activities in special economic zones have their own referenced regime. Obtain an activity-by-location calculation identifying the exact exception before treating a small pilot as compliant. Other legislation can also change the minimum capital requirement. Avoid applying the general numbers to a regulated sector without checking its own rule.
A PT PMA is incorporated under Indonesian law; it is not the foreign parent’s branch. Article 23 distinguishes domestically formed entities from foreign business entities and their specific routes. A branch or specialised representative-office route needs its own sector authority and cannot be assumed to be an interchangeable low-cost substitute. The practical fork is whether you need your own authorised Indonesian operating business now, or only evidence that could justify one later.
Match the smallest lawful presence to the work
Choose an alternative by the work it permits and the party that bears responsibility. The following routes are conditional options, not cheaper ways to give the foreign parent every power of an operating PT PMA. Keep an explicit list of activities the foreign business and its people will avoid during the test period.
A limited general representative office for preparation
A Kantor Perwakilan Perusahaan Asing (KPPA) can fit supervision, liaison, coordination and preparation for establishing or developing a foreign-investment company. Article 270 requires an NIB and restricts its activities: a KPPA cannot seek Indonesian-source income or enter commercial sales/purchase transactions between its parent and Indonesian parties, and cannot participate in managing an Indonesian company, subsidiary or branch. Its office must be in an office building in a provincial capital. If local invoicing or commercial delivery is central to the plan, a general KPPA fails the functional test.
Other representative-office types have distinct sector rules; a name containing “representative office” is not evidence of permission to trade. For a proposed KPPA, collect the parent’s corporate documents, appointment materials and proposed office lease, then test the written job descriptions against the permitted scope. Employment and immigration arrangements require their own applicable checks. Do not tell a sales team that incorporation can be postponed while the same selling activity simply moves into a KPPA.
An independent distributor for an initial sales channel
An independent distributor may buy and resell in its own business where its authorisations and the product requirements support the arrangement. The distributor must actually take the agreed commercial role, including contracts, invoices, stock and customer obligations. A foreign supplier deciding on testing Indonesian demand through an independent distributor should agree measurable demand data and exit rights before committing exclusivity. This route gives evidence about a channel; it does not itself create the supplier’s own Indonesian operating company.
Check the distributor’s legal entity, relevant OSS/sector and import or product documents, the identity of the invoicing seller, payment flow, after-sales duties and ownership of customer data. Stop if the proposal needs the foreign supplier to perform local regulated work under the distributor’s name. Neither an independent partner nor a contract automatically removes separate regulatory or tax questions for the foreign supplier; assess the actual conduct before people begin work.
A genuine joint venture, or a deliberate pause
Consider a genuine joint venture only when the activity allows the proposed foreign participation and both investors intend to own and fund their actual shares. Foreign investment remains foreign investment when combined with Indonesian capital; Articles 1 and 33 of the Investment Law also prohibit shareholding arrangements declaring that shares are held for another person and render those agreements void. An Indonesian shareholder’s name cannot conceal foreign beneficial ownership as a workaround. A genuine JV still needs the applicable PMA capital, investment and licensing analysis.
Postponement is preferable when eligibility, demand or funding evidence remains weak. Set a limited research or partner-evaluation objective with its own lawful boundaries, avoid taking commitments that require an unlicensed local operator, and state what result would justify reopening. A wholly Indonesian-owned local PT belongs to its real Indonesian owners; it is not a substitute vehicle for secretly holding foreign equity. No alternative should be chosen solely because its formation invoice looks lower.
Resolve the gate that is holding entry back
Use the failed condition and its evidence request to focus an activity, partner or funding review before the project grows.
Record stop conditions and the evidence that can change them
Use this stop-and-reopen register before authorising formation expenditure. It is an editorial planning tool, not an official OSS scoring system. A failed legal gate stops the proposed activity; a commercial or funding gap usually means defer the commitment while collecting evidence. Assign one accountable person and keep the source documents beside the decision.
| Stop or reconsider condition | Evidence to collect next | Condition for reopening |
|---|---|---|
| The actual work or proposed foreign ownership is ineligible. | Activity description, current KBLI mapping, ownership/sector rule and intended customer contracts. | A documented lawful activity or ownership structure. Changing the code label alone does not qualify. |
| Only the formation fee is funded. | Capital contribution evidence, activity/location investment calculation and a monthly cash forecast with committed funding dates. | A fundable project and operating runway supported by identifiable cash sources, including the approval period. |
| The proposed KPPA must sell, invoice or manage an Indonesian business. | Contract and invoice map, staff job descriptions and the precise representative-office category. | Remove prohibited work genuinely, or select an operating route with the required authority. |
| A partner would operate as an undisclosed proxy. | Ownership and beneficial-owner records; distributor/JV contracts, payment flows and decision rights. | A transparent, legally supportable arrangement whose documents match actual conduct. |
| Premises or operating permissions remain unresolved. | Proposed address and actual site, OSS risk/approval requirements, sector conditions and responsible operators. | Evidence of a feasible approval route and a budget/launch plan that can wait for its completion. |
Distinguish an absolute rejection of the present proposal from a temporary evidence gap. If foreign participation is unavailable for the intended activity, a higher budget cannot fix it. If demand is unproven but a lawful independent channel exists, a limited distributor test can produce relevant orders, margins and payment evidence. If no compliant temporary route fits, pause the local activity rather than using the research phase to begin it informally.
Record a documented reopening condition before the team spends further money. For example, require the specific missing licence analysis, a signed funding commitment or a verified distributor transaction report. Give the condition a review date chosen for the business; there is no universal official waiting period that makes an unsuitable structure become suitable. Reassess sooner if the activity, ownership, location or intended contracting party changes.
Prepare an operating-ready handover before committing
Commit only after the proposed operator can explain how it will move from formation to authorised work. A notarial deed and AHU legal-entity approval establish the company track. The Taxpayer Identification Number (NPWP), NIB and applicable operating permissions perform separate functions. Articles 13–16 and the risk-based licensing provisions distinguish preparation from commercial operations and provide different effects for an NIB according to risk. An NIB is not a universal statement that every listed activity may begin.
- Approve an activity file: actual services/products, contracting and invoicing parties, current code mapping, ownership limits and sector-specific conditions.
- Approve a funding file: shareholder contributions, the applicable project/location investment calculation, cash deployment and recurring operating obligations.
- Approve a premises and permission file: business address, actual operating site, spatial/environmental/building requirements where relevant, and the required Standard Certificate, licence or supporting approval.
- Name the continuing operators: directors and authorised signers, the owner of accounting/tax and applicable LKPM work, and the people responsible for employment, immigration and licence conditions.
- Define launch evidence: legal-entity output, current OSS project data and permission status, applicable verified certificates/approvals, and separately any bank or third-party acceptance needed for the business.
The underlying company formation requirements in Indonesia help distinguish the deed, AHU and registration documents from later operating permissions; keep those completion states separate in the approval memo. If formation has already started, freeze any unsupported operating step, reconcile the deed/OSS activity and location data with the actual plan, and have the relevant professional assess correction before adding more filings. Do not discard the existing official outputs or treat a new code as a retrospective cure.
Finally, ask who will own the compliance calendar after handover. Service support for a filing does not transfer the company’s legal responsibilities or guarantee government, bank or immigration acceptance. A viable entry decision includes an accountable team and funded recurring work, even while revenue is uncertain. If those owners remain unnamed, the proposal is still missing an operating component.
Choose a PT PMA only after the stop conditions clear
Keep the present PT PMA proposal on hold until the failed gate has a documented resolution. Prioritise activity and ownership eligibility first, then credible investment/capital funding and operating cash, then the authority and resources needed for the actual launch. A lawful narrower route can be appropriate while collecting evidence; it must remain within its own limits throughout that period.
Escalate the decision when a partner is expected to conceal ownership, a representative office is expected to trade, a sector exception changes the capital calculation, or the site and permissions cannot support the promised customer work. Reopen formation when the responsible decision-maker can attach the missing evidence and explain why an Indonesian operating company is now needed. A company should follow that business case, not be used to postpone answering it.
Turn the decision into a scoped instruction
Prepare the evidence for a lawful route or a documented pause, with a clear boundary for any formation support that follows.
Frequently asked questions
Can I register now and choose the activities later?
Prepare the real activity and ownership analysis first. Later changes can require new document and OSS work, and an existing company cannot use an ineligible code or begin an unapproved activity simply because it already exists.
Does a foreign shareholder becoming a minority make the company a local PT?
A genuine foreign shareholding still requires foreign-investment analysis. A minority position can fit a particular ownership ceiling, but does not by itself remove applicable PMA obligations. Review the complete ownership chain and the precise activity.
What should a distributor provide before I agree to exclusivity?
Request its identity and relevant authorisations, evidence of product/channel capability, and an agreed transaction and reporting model. Specify customer-data access, performance measures, termination and stock handling. Obtain legal review for the actual contract and conduct.
Can paid-up capital cover ordinary business expenditure?
Article 27 permits the specified operational, asset-purchase and building-construction uses within its transfer restriction. Keep payment and accounting evidence, follow the applicable capital commitment, and avoid describing contributed capital as a fee paid to the formation provider.
What if my team has already signed a lease or customer commitment?
Check who signed, what obligations were accepted, and whether performance requires an entity or permission that is still missing. Have the relevant adviser review amendment, timing or correction before performance. Formation alone cannot validate every earlier commitment.
