Alabama LLC formation and budgeting
Alabama LLC: Formation, Costs and Requirements
Price the legal entity, the ownership arrangement and the operating business separately.
An Alabama LLC starts with a reserved name, an Alabama registered agent and office, and a Certificate of Formation filed with the Secretary of State. As verified on October 16, 2026, the one-time paper fees are US$25 for name reservation plus US$200 for formation: a US$225 government-fee baseline when paid by check or money order, before postage, advice, agent services, taxes or operating permits.
Use that subtotal for an ordinary new domestic LLC, then add the costs your actual ownership and business require. An existing out-of-state LLC follows a different registration route. Formation creates the entity; tax registration, local business permission and any regulated activity still need their own review.
What does an Alabama LLC actually cost?
The statutory formation and reservation charges are only the fixed starting point. The Secretary of State’s LLC instructions list US$200 for domestic formation and require name reservation first. The domestic name-reservation form specifies US$25 for a paper request. These are US-dollar government charges for the stated filings, not annual subscriptions or a professional service quote.
| Budget line | Amount and cycle | What the figure covers |
|---|---|---|
| Government filing | US$25 + US$200, once | Paper name reservation and Certificate of Formation; check or money order assumption. |
| Payment and delivery | Additional if incurred | Postage, courier, card convenience or online portal charges; verify the selected channel before payment. |
| Professional support | Written quote required | Legal drafting, filing assistance, tax advice and bookkeeping are separately scoped services. No HSJGlobal fee is stated here. |
| Third-party agent | Provider quote; check renewal cycle | Commercial registered-agent service, mail forwarding or optional address services, if purchased. |
| Tax and operating cash | Depends on facts | Business Privilege Tax, income or employment taxes, permits, insurance, rent and working funds are outside the filing subtotal. |
US$225 is a filing subtotal, not the amount needed to open every Alabama business. For example, a founder who uses the paper forms, pays the two state charges by check and arranges an eligible agent without buying an agent subscription starts with US$25 + US$200 = US$225. Add actual postage. If advice, a commercial agent or local permissions are needed, add their separately confirmed amounts rather than assuming they are included.
Keep the two payments separate in the estimate even if a provider collects one combined invoice. Ask whether its total includes name reservation, state formation, payment surcharges, corrections and renewals. A low filing-assistance price can coexist with recurring agent charges or tax-preparation costs. Compare the complete scope and the next renewal, not just the first payment.
The linked formation form explains that US$100 of the US$200 processing fee is distributed to the registered agent’s county. Do not add a second US$100 county formation charge to this current state filing. Older instructions that route domestic formation through a probate office can describe an earlier procedure. Online and card totals can differ from the paper-check example; use the amount displayed for your actual transaction.
Which requirements must be settled before paying?
An ordinary Alabama LLC needs a valid name, at least one member, a registered agent and an Alabama registered office. Settle the ownership and signing arrangements before submitting the public record. The current linked Certificate of Formation supplies the state particulars; it should not be replaced by a generic document called “Articles of Organization” taken from another state.
Name and local contact
Use “Limited Liability Company,” “L.L.C.” or “LLC” in the entity name and obtain the reservation certificate for that exact wording. Check distinguishability from existing names without relying on a domain name or trademark filing as proof of state acceptance. The official business-form directory also flags additional approval for names containing terms such as engineer, insurance, bank or trust, and an Alabama architect-license condition for architect.
The certificate calls for one registered agent, an Alabama street address with no post-office box, the county, and an Alabama mailing address if different. Confirm who receives legal documents and who alerts the owners. An overseas founder’s home address, a forwarding mailbox and a registered office serve different purposes; do not substitute one simply because it is convenient.
Owners, authority and internal records
Record who will own the LLC, what each member contributes, who can commit it to contracts and how decisions will be made. A written operating agreement should address voting, distributions, transfers, departures and disputes. This is a governance recommendation, not an extra attachment demanded by the standard state certificate. A sole owner also benefits from a clear record separating personal decisions from company transactions.
The IRS explanation of LLC ownership and classification recognizes that members can include individuals and foreign entities, while warning that state and business-type rules matter. Alabama’s standard certificate asks for at least one member rather than a universal passport package. For overseas owners, confirm the proposed activity’s eligibility and professional restrictions, then prepare identity and ownership evidence separately for advisers and financial institutions.
If an LLC already exists under another state’s law, assess Alabama foreign registration instead of creating an unintended second company. The SOS LLC page lists a US$150 foreign-registration filing fee, with name reservation also required. Foreign registration describes the entity’s origin ; it does not mean that every company with a non-US owner uses the foreign-LLC form. An Alabama-created LLC remains a domestic Alabama entity for this filing distinction.
Turn the approved particulars into an Alabama LLC
Move from the reserved particulars to a signed filing, then retain the accepted state record. Keep governance and tax decisions alongside that process so the person completing the form does not make commercial choices by default.
- Reserve the chosen name. Save the issued certificate and compare its exact spelling and LLC ending with the proposed formation document. Confirm the reservation is usable before paying for a different name on related materials.
- Prepare the certificate using the currently linked form. Include the reserved name, agent and office particulars, the member statement, any applicable special LLC designation, and the authorized organizer’s signature and title. Use a delayed effective date only if deliberately chosen and permitted.
- Choose the filing channel. For paper filing, the current instructions require two copies and a self-addressed stamped envelope sent to the Secretary of State, with the US$200 payment. The form must be typed and is not accepted by email. Follow the online prompts if using the electronic route.
- Reconcile the outcome. Retain the accepted certificate, receipt, Entity ID and effective date. Resolve any correction request promptly and compare the accepted record with the agreed name and agent particulars before relying on it in contracts.
The SOS domestic-entity guidance says a processed entity receives an Entity ID and its record shows “Exists.” That ID is not the federal Employer Identification Number (EIN). Save copies locally rather than assuming that an agent’s dashboard or payment receipt will remain your only access to the documents.
After formation, use the IRS EIN application instructions to obtain an EIN directly without an IRS application fee. Identify the actual responsible party and select the route that fits the principal place of business. Applicants whose principal business is outside the United States can use the IRS international telephone, fax or mail options; they should not assume the domestic online route is available.
If you engage support, the US company registration and LLC formation service page describes the broader formation, EIN coordination and agent-arrangement scope. Put the exact Alabama filing, document delivery, recurring services and exclusions into the engagement before payment. A provider’s identity checks are not automatically state-mandated formation attachments.
Plan around acceptance and separate setup tasks
An online submission session is not a promised end-to-end opening date. Allow separate time for agreeing ownership, obtaining the name reservation, preparing a correct filing, resolving payment or document issues and completing tax and operating registrations. The SOS materials describe online processing, but do not establish a guaranteed completion date for your whole business setup.
The certificate provides for effectiveness on receipt or a permitted delayed date. Use the effective date shown by the accepted filing rather than the day you signed an engagement or paid an intermediary. For the broader distinction between preparing documents and creating the legal entity, see when incorporation creates a company’s legal existence .
Prepare the operating agreement and activity review while assembling the state particulars. Apply for the EIN after the entity is formed, as the IRS directs. Bank onboarding, commercial contracts, premises work and sector permissions may depend on further evidence; their timing should be planned independently. Formation alone does not ensure a bank account, immigration status or permission to perform regulated work.
What changes the first-year and recurring budget?
The largest budgeting mistake is carrying an old flat annual LLC figure forward without testing the current tax exception. Business Privilege Tax and business privilege licenses are different obligations. One concerns the entity’s tax position; the other concerns specified business activities and locations.
Calculate the tax before inserting an annual amount
The current Alabama Business Privilege Tax guidance states that, for taxable years beginning after December 31, 2023, calculated tax of US$100 or less is fully exempt and the taxpayer need not file BPT-IN, CPT or PPT for that exempt amount. US$100 is the calculated tax threshold, not a revenue threshold and not an annual registration fee.
If the calculation exceeds US$100, determine the correct return, tax and deadline. Where required, the initial BPT-IN is due within two and one-half months after organizing, qualifying or starting business; annual PPT/CPT deadlines follow the corresponding federal income-return date. Do not treat inactivity as automatic cancellation of the entity’s tax obligations. Retain the calculation supporting any claimed exemption.
Do not insert a routine SOS annual-report fee into an ordinary LLC budget. LLCs were excluded from the separate corporation-report system, and the current SOS business-entities page now states that corporations are no longer required by law to file an annual report either. Older corporation-report charges are therefore unsuitable as an LLC renewal estimate. Income-tax returns, payroll and other applicable registrations still need an assigned owner.
Foreign-owner reporting needs its own provision
A single-member LLC is generally disregarded for federal income-tax purposes unless it elects corporate treatment; a domestic LLC with two or more members generally defaults to partnership treatment. Classification changes which returns and owner obligations need review. “Pass-through” does not establish a blanket absence of tax or reporting in either the United States or the owner’s home country.
Under the IRS Form 5472 instructions , a wholly foreign-owned US disregarded entity with a reportable related-party transaction generally files Form 5472 with a pro forma Form 1120. Formation funding, contributions or distributions can require review even before customer revenue begins. Budget the recordkeeping and professional work separately; do not wait for a profit before asking which filings apply.
For beneficial ownership information (BOI), FinCEN’s current reporting notice states that US-created companies are exempt under its final rule effective August 14, 2026. An Alabama-created LLC falls within the US-created category even when its owners are overseas. An entity formed under a foreign country’s law and registered in the US requires a separate assessment. This exemption does not remove IRS filings or a bank’s identity checks.
Allow for the actual business address and activity
The Alabama Revenue privilege-license guidance directs businesses carrying on activities covered by Title 40, Chapter 12 to the county Probate Judge or License Commissioner. It also tells businesses to confirm requirements with each relevant city; ALDOR does not administer municipal licenses. The formation fee therefore cannot stand in for a statewide operating-permit total.
List the activities and counties or cities where the company will operate. Then confirm tax accounts, local permissions and any premises, product or professional approvals with the responsible authority. A warehouse, food operation or licensed professional practice can add requirements that a remote consulting business does not share. Price only the permissions that apply to the stated activity and address.
Decide whether the Alabama LLC budget is complete
Proceed when the fixed filing subtotal is reconciled, the owners and agent are settled, and each conditional cost has a named source. An Alabama LLC budget is complete only for its stated scenario. A paper-check filing example cannot price a foreign-owned trading business, a professional practice and a premises-based operation equally.
- Approve the legal route: a new domestic LLC or registration of an existing entity.
- Match the reserved name, agent address and signing authority across the documents.
- Confirm what the provider’s one-time invoice and recurring charges include, with tax treatment stated in the quote.
- Obtain the applicable Business Privilege Tax calculation, federal filing advice and operating-permit estimates.
- Assign responsibility for the accepted state record, EIN, records, renewals and changes after formation.
If an amount is still unknown, leave it as a separate unresolved budget line with the responsible adviser or authority named. Do not absorb it into a supposed all-in filing price. That gives the founders a usable decision: authorize the defined formation work now, while funding and scheduling the remaining business obligations explicitly.
Frequently asked questions
Does the name reservation protect my brand?
State name reservation addresses the entity name for the formation process. Treat trademark rights and possible infringement as a separate legal review before investing in branding.
Should a standard startup select the Series or Professional LLC box?
Only when the special type fits the intended legal structure and activity. The current certificate includes conditional designations; obtain legal advice before choosing one simply because the form offers it.
Is a certificate of existence the same as the formation certificate?
No. Keep the original formation record. If a counterparty later requests evidence of current existence, identify the separate SOS certificate it requires and check the current ordering charge.
Can I move the registered office without telling anyone?
Use the relevant registered-agent or registered-office change filing rather than assuming a mail-forwarding instruction updates the public record. Confirm separate notices needed by tax authorities and counterparties.
What if I stop trading soon after formation?
Stopping sales does not itself dissolve the LLC. Review formal dissolution, final returns, open tax accounts and contractual commitments before abandoning the records or canceling support services.
