MALAYSIA COMPANY BUDGETING
Budgeting for a Malaysian Company: Setup and Running Costs
Separate setup spending, annual compliance and usable business cash before committing your funds.
Budget for a Malaysian Sdn. Bhd. beyond the MYR 1,010 direct-incorporation payment: secretary services, accounting, reporting and operating cash create separate commitments. Market references checked on 30 October 2026 support a transparent planning model, but the amount changes when you need an outsourced resident director, premises, staff or licences. Price the first year and the renewal year separately, then identify the funding that remains available to run the business.
Key takeaways
- Government payments can sit inside a package: identify them before adding a separate SSM line.
- An annual secretary retainer may include filing work while excluding government payments, accounting and audit.
- The conservative examples retain audit and year-end reporting allowances so small-company assumptions do not hide a missing cost.
- Capital funds the company; refundable deposits restrict available cash and need their own contract terms.
Separate incorporation, compliance and operating cash
A Malaysian company budget needs three different totals: the cost to create the company, the annual cost to keep its records and filings current, and the cash needed to operate. For a small active Sendirian Berhad (Sdn. Bhd.), a conservative illustrated compliance budget is MYR 12,075 in the first year , before operating expenses, deposits and company income tax. The calculation below shows every component and the lower recurring baseline.
Start with the official incorporation payment. The Companies Commission of Malaysia (SSM) currently lists MYR 1,000 for incorporation plus MYR 10 for company-data sharing under CRS Direct Registration. A separate name-reservation route adds MYR 50; it is optional, rather than a compulsory extra stage for every application. These amounts come from SSM’s current incorporation guideline , checked on 30 October 2026. A provider’s package may already include them.
The underlying structure still needs a qualifying resident director and registered-office arrangements. SSM’s company requirements also require the first company secretary to be appointed within 30 days after incorporation. A founder who already meets the director’s residence condition has a different cost base from an overseas founder buying an additional director service; nationality alone does not identify the correct budget.
Settle the entity and shareholder arrangements against the company incorporation requirements in Malaysia before pricing the ongoing work. The models here concern an ordinary private company limited by shares. A branch, limited liability partnership, public company, Labuan structure or regulated operation needs its own budget.
Paid-up capital is funding for the company, not an incorporation service fee. A bank balance, refundable security deposit and annual professional invoice serve different purposes. Keep them in separate columns, even when a supplier asks for several payments before filing.
Match the budget to your company structure
Confirm the shareholder profile, director’s residence and intended activity before treating an entry price as your setup budget.
Read market prices on the same basis
Public prices checked across four independent providers on 30 October 2026 support a market reference, rather than a fixed price promise. The schedules show different combinations of incorporation, secretary retainers, filing work and accounting. These figures are market references and planning assumptions, not HSJGlobal quotations. Obtain a written HSJGlobal scope and price separately.
For recurring bookkeeping, the observed monthly listings include MYR 200–400 for low-volume work, MYR 400–700 for medium-volume work and an entry price of MYR 300 elsewhere. Accordingly, MYR 300–500 per month is used as a planning band for the two models, not a statistical market average. Providers define transaction volume differently; confirm bank accounts, invoice count, foreign-currency work and reporting frequency before adopting that band.
| Budget item | Market reference used | What makes it comparable |
|---|---|---|
| Incorporation | MYR 1,399 app-based or MYR 1,999 assisted | Same published scope: MYR 1,010 official payment, SST and listed disbursements included; secretary subscription extra. |
| Secretary and registered office | MYR 1,296 per 12 months, SST included | Selected filing-inclusive service plan; annual government filing payments remain separate. |
| Bookkeeping | MYR 300–500 monthly model allowance | Monthly recordkeeping only; tax, statutory financial-statement preparation and audit shown separately. |
| Audit and company tax work | MYR 2,000 audit; MYR 1,700 tax annually | Audit model midpoint within published MYR 1,500–2,500; tax combines MYR 300 estimate submission and MYR 1,400 return preparation. |
The selected secretary plan includes professional work for annual-return submission and financial-statement filing; that does not mean it includes preparing the financial statements, auditing them or paying SSM. A low retainer can therefore cost more after the missing work is added. Compare the charges left outside an incorporation headline against your expected annual work, rather than comparing monthly subscription labels alone.
Treat any free first year or discount as a separate event. Record the ordinary renewal charge, billing frequency, included resolutions and government disbursements alongside the promotional total. One checked incorporation offer includes only MYR 1,000 of SSM fees; inclusion of the current MYR 10 data-sharing payment is unclear. Ask whether it is covered instead of presenting it as a known surcharge.
Calculate two first-year and recurring company budgets
Two explicit scenarios make the annual totals reproducible. Scenario A is a small active service company in Peninsular Malaysia, with individual shareholders and a founder who satisfies the resident-director requirement. Scenario B has overseas individual founders, assisted incorporation, more bookkeeping and a separately engaged resident director. Both assume no employees, no leased operating premises, no sector-specific licence or work-pass application, and no unusual corporate changes. These are planning examples, not accounts of actual clients.
Both models use a 12-month secretary plan with a registered office and filing services. They retain an audit allowance rather than assume a new active company is exempt. SSM’s audit-exemption FAQ explains that eligibility requires more than simply being small, and that financial-statement obligations continue where exemption applies. Confirm the actual financial period and eligibility before removing audit costs.
All values below are MYR, checked or modelled on 30 October 2026. The MYR 1,200 statutory financial-statement preparation line and MYR 600 overseas-document line are chosen planning allowances, not published quotes. The latter is a gross third-party reserve for certification, translation or delivery only if required; unused amounts are not a fee.
| First-year budget line, MYR | Scenario A | Scenario B |
|---|---|---|
| SSM incorporation and data sharing, included within the chosen setup price | 1,010 | 1,010 |
| Remaining incorporation package amount, with its embedded SST/disbursement | 389 | 989 |
| 12-month secretary, registered office and filing work, SST included | 1,296 | 1,296 |
| Bookkeeping: 12 × MYR 300 / MYR 500, before assumed SST | 3,600 | 6,000 |
| Statutory financial-statement preparation allowance, before assumed SST | 1,200 | 1,200 |
| Tax work: MYR 300 + MYR 1,400, before assumed SST | 1,700 | 1,700 |
| Audit allowance, before assumed SST | 2,000 | 2,000 |
| Resident-director service, annual allowance before assumed SST | 0 | 5,000 |
| Overseas documents: gross third-party allowance | 0 | 600 |
| Annual SSM filing reserve: MYR 150 + MYR 50 | 200 | 200 |
| Additional assumed service tax: 8% × MYR 8,500 / MYR 15,900 | 680 | 1,272 |
| First-year setup and compliance budget | 12,075 | 21,267 |
The MYR 389 and MYR 989 balances are the difference between the published gross incorporation prices and MYR 1,010, not pure professional fees before tax. They can contain service tax and disbursements. The MYR 5,000 director allowance uses one public annual listing; it is not a verified market-wide range or an offer available to every foreign-owned company.
SSM’s annual submission fees are MYR 150 for a private-company annual return and MYR 50 for audited financial statements, or MYR 20 for non-audited statements. The models reserve MYR 200 for an audited cycle. This is an annual provision: the first anniversary and financial-reporting deadlines may fall beyond the first 12 months. Reserve the money without assuming every filing invoice is due on incorporation day.
The additional SST calculation assumes the selected bookkeeping, financial-statement preparation, tax, audit and director services are taxable at 8%, supplied by appropriately registered providers without an applicable exemption. Customs’ service-tax guidance makes the taxable service and supplier status relevant. Actual invoices control. No further 8% is added to the tax-inclusive setup or secretary lines, and no blanket 8% is applied to the government-fee lines.
| Later 12-month baseline, MYR | Scenario A | Scenario B |
|---|---|---|
| First-year budget carried forward | 12,075 | 21,267 |
| Remove one-time incorporation package | −1,399 | −1,999 |
| Remove one-time overseas-document allowance | 0 | −600 |
| Recurring annual compliance baseline | 10,676 | 18,668 |
Renewal totals hold the remaining scope, fees and assumed tax treatment constant. They do not promise future pricing. Remove the first-year incorporation payment only once, and replace any introductory secretary discount with the actual renewal fee before using this method.
Check the annual cost behind the setup price
Reconcile government payments, tax-inclusive charges, audit scope and the secretary renewal before accepting a combined quotation.
Convert company costs into a funding plan
Your funding requirement is the compliance budget plus operating runway, contractual deposits and forecast company income tax. Use gross cash outflows after considering supplier tax treatment. Keep bookkeeping, secretary and other costs already counted above out of the operating allowance, so the same expense does not appear twice.
For illustration, choose three months of operating cash at MYR 3,000 a month for A and MYR 6,000 a month for B. These are management assumptions for commercial overhead and early trading needs, not Malaysian market rent or salary benchmarks. No incoming customer receipts are assumed during that runway. Replace the amounts with your own payment schedule.
| Funding bridge, MYR | Scenario A | Scenario B |
|---|---|---|
| First-year setup/compliance budget | 12,075 | 21,267 |
| Operating runway: 3 × MYR 3,000 / MYR 6,000 | 9,000 | 18,000 |
| Funding requirement before variable deposits and company tax | 21,075 | 39,267 |
| Less illustrative cash share subscription available to spend | −10,000 | −10,000 |
| Additional cash to arrange, plus deposits and company tax | 11,075 | 29,267 |
The MYR 10,000 share subscription is an illustrative funding choice, not a statutory capital minimum . It can fund eligible company expenditure once available; adding it again to the cost total would double count the same cash. Different activities, licences, banks or immigration routes can require separate capital or balance assessments, so the illustration cannot establish their eligibility.
Leave refundable deposits as a variable until the contract specifies the amount, holder, deductions and release conditions. A director-service deposit is not the director’s annual remuneration. Likewise, a bank minimum balance remains company cash even when it is temporarily unavailable to spend. The cash requirement rises by the amount tied up, without turning that amount into an incorporation expense.
Annual provisions are useful for affordability, but payment dates determine whether the business runs short. Mark incorporation payments before filing, annual retainers when billed, monthly bookkeeping through the year and reporting costs around the financial close. Recalculate the lowest projected bank balance after each planned payment, especially if customer receipts are delayed.
Catch the costs that change the model
The model stops being suitable when its assumptions change. Identify the trigger first, then request the corresponding scope and cash adjustment. Adding a broad contingency percentage cannot repair an excluded licence, employee or director obligation.
- Hiring: add gross pay, employer contributions, payroll administration and any required registrations using each employee’s current status; a payroll-processing fee is not the employment cost.
- Premises or regulated activity: add the actual lease, utilities, fit-out, insurance and relevant sector or local-authority approvals. A secretary’s registered office is not an operating-premises licence.
- Foreign corporate shareholders: price the ownership chain, beneficial-owner checks and any certification, translation or delivery requirements separately from the individual-shareholder model.
- Tax and invoicing complexity: separate company income tax payable from tax-agent fees; add applicable withholding, SST compliance and invoice-system work where triggered. The model does not calculate tax on profits.
- Work or residence plans: obtain a distinct immigration scope and capital assessment. Company incorporation or a director appointment does not itself establish permission to work in Malaysia.
A bookkeeping engagement should specify the records you must supply, frequency of reconciliation and whether year-end adjustments are included. Statutory accounts, an audit opinion, tax computation, tax return and financial-statement lodgement are different outputs. Request the missing output rather than assuming the cheapest item includes all the others.
When two quotes differ sharply, compare deliverables and tax before negotiating the headline amount. Require a list of included filings, government-fee treatment, transaction limits, extra resolutions, out-of-pocket expenses and termination or handover charges. Record the renewal baseline in writing alongside the first-year price; then test whether one corporate change or additional filing would reverse the apparent saving.
Approve a Malaysian company budget with a renewal baseline
Use Scenario A when the founders already satisfy the director’s residence requirement and the activity fits the stated assumptions. Use Scenario B only as a starting model when a separate resident-director service and more ongoing work are needed. If premises, employees, corporate ownership, a regulated activity or immigration enters the plan, replace the affected lines before approving the budget.
Approve three figures together: the first-year setup and compliance provision, the later annual baseline, and the additional operating cash actually required. Attach the supplier’s written scope, SST treatment, renewal schedule and deposit terms. Reopen the calculation when any of those inputs changes; a clear budget is complete when every line has an owner, a payment date and a funding source.
Turn the model into your company budget
Bring your proposed activity, ownership, expected transactions and funding plan so the required work can be scoped and priced in writing.
Frequently asked questions
Can an inexpensive incorporation package still be appropriate?
Yes, if your company matches its eligibility and you can identify the separately priced annual work. An inexpensive filing service can be suitable; the written scope must still account for the company’s actual ongoing obligations.
Should I pay for an optional incorporation certificate immediately?
Only if you need that document or it is already included without an extra charge. SSM issues a registration notice on incorporation; a separately requested certificate and other document copies should be identified in the quotation.
How should exchange-rate movements affect an overseas founder’s budget?
Keep the budget in MYR and record the amount received after bank conversion and transfer charges. If you fund it in another currency, update that conversion assumption before each material payment rather than fixing an unsupported exchange rate.
What happens to the budget if trading starts later than planned?
Keep contractual retainers and statutory responsibilities in the forecast, then revise transaction-based services and operating outflows. Ask the secretary and accountant which dormant or inactive treatment is actually available before cancelling work.
Does a service refund cover government payments too?
Read the specific cancellation terms. Separate work not yet performed, government payments already made and refundable security amounts; a general satisfaction statement does not establish that all three are refundable.
