LLC cost decisions

Can You Form an LLC for Free?

Separate a zero-dollar filing claim from eligibility, future bills and the cost of operating.

Sometimes, but only within a defined cost boundary. A state waiver can remove an LLC formation filing fee for an eligible applicant; Kentucky’s veteran-owned business rules are one example. Otherwise, Kentucky’s ordinary domestic LLC filing costs US$40. A private provider’s US$0 preparation charge does not remove that government fee. Check the ordinary Kentucky fee and the official waiver conditions .

The IRS issues an EIN for US$0 directly. Agent arrangements, recurring reports, taxes and operating permissions need separate checks. The amounts below were verified October 20, 2026, and distinguish a filing-fee subtotal from a complete business budget.

Key takeaways

  • Ask which charge is zero: government filing, private labor, an agent promotion or the IRS identifier.
  • Kentucky has a conditional veteran-owned formation waiver and separate first-four-years annual-report fee relief; report deadlines survive.
  • Self-filing can remove paid preparation work, while an eligible agent and compliant address remain necessary.
  • A direct IRS EIN is free; overseas principal-business facts can require a different application route.
  • Budget through the next reporting and renewal cycle, including taxes, permits and professional work where applicable.

Define the zero-dollar claim

Bring the state, ownership and quote so the charge boundaries can be reviewed.

What does a free LLC offer actually remove?

A zero-dollar claim is useful only when it names the charge being removed. Preparing the state form yourself can avoid paying someone for filing labor. A private provider might also quote no charge for that work. Neither choice changes the state fee unless an official exemption applies. Read the government line and the provider line separately before comparing totals.

For example, a hypothetical US$0 filing-service quote plus Kentucky’s ordinary US$40 Articles of Organization fee still means US$40 for those two items. This is arithmetic, not a live HSJGlobal offer. The Kentucky fee schedule lists the domestic LLC filing at US$40, checked October 20, 2026. Optional services, payment charges and operating costs are outside that subtotal.

Use each zero only within the category it actually covers.
Cost category Can this be US$0? What must be true? What remains?
Government formation filing Yes, under a qualifying waiver The authority accepts eligibility for that filing Other filings, taxes and operating costs
Private preparation or filing labor Yes, if self-filed or expressly quoted Scope and exclusions are clear Government fee unless waived
Registered agent and address Possibly no separate commercial bill An eligible person or entity actually provides the role Continuous compliant contact and any address costs
IRS employer identification number Yes, directly from the IRS Use an available IRS application route Tax and information-return obligations
Recurring compliance Never infer zero from formation Check the applicable report, tax and contract rules Future dates, charges and professional work

Keep business funds separate in the budget too. Capital contributed to the LLC, inventory and a bank deposit are not formation service fees. They may still require cash even when every charge in a filing quote has been waived.

When can the state filing itself cost US$0?

A genuine state waiver can remove the formation filing fee. Kentucky provides a concrete, limited example: KRS 14A.2-165 exempts qualifying veteran-owned businesses organized after August 1, 2018, from listed filing fees, including LLC Articles of Organization. This is why a blanket claim that every LLC must pay a formation fee would be inaccurate.

For an ordinary privately owned for-profit business, the Kentucky statutory definitions require at least 51% unconditional ownership by one or more qualifying veterans. The definition covers specified US military service with the listed qualifying discharge categories, as well as current service in the US Armed Forces, Reserves or National Guard. Being a foreign founder, having a low income or starting a small company does not itself establish this eligibility.

The current Kentucky LLC form and instructions include the veteran-owned declaration and request DD-214 forms or active-duty military IDs for prospective veteran owners. Follow its redaction instructions for Social Security numbers, birth dates and home addresses. Have the ownership facts and qualifying evidence ready before counting the waiver in a cash plan.

There is a separate recurring-fee benefit: KRS 14A.2-060(2) waives annual-report and amended-report fees for eligible veteran-owned businesses organized after that date for the first four years after initial organization. The report and its deadline still apply. Do not extend that four-year relief into a promise of permanent free maintenance. These Kentucky rules establish an example, not a nationwide entitlement.

Can you avoid a paid registered agent or address?

You may avoid a separate agent-service invoice if a legally eligible person or entity agrees to do the work without charging. That is a staffing and location choice, not a government exemption. A founder living overseas should establish who will actually receive legal papers before treating the agent line as zero.

Kentucky’s registered-office and agent statute requires a continuously maintained Kentucky registered office and an eligible agent. An individual agent must reside in Kentucky and have a business address identical to the registered office; the statute also permits qualifying entities. The LLC form instructions require a Kentucky street address and written agent consent. An overseas mailing address alone does not satisfy those requirements.

If using a commercial arrangement, ask for the first billing period, renewal charge, mail handling limits, cancellation terms and replacement procedure. A promotional first period can move cost to the next cycle. Also ask which address is supplied: legal service, ordinary mail and the business’s actual location answer different questions. Do not assume one address product performs every function.

The practical saving is no separate agent invoice , if the arrangement is compliant and workable. It does not mean the statutory role disappears or that an owner’s time, premises and mail handling have no economic cost.

The EIN is free, but the online route has conditions

An employer identification number (EIN) costs US$0 when obtained directly from the IRS. The IRS EIN application page expressly states that no fee is required. A provider may charge for assistance, but that is a private service charge for the work, not an IRS fee for issuing the number.

The online tool requires a domestic organization, a principal place of business in the United States or its territories, the responsible party or an authorized representative, and the responsible party’s Social Security number or individual taxpayer identification number. An LLC should be formed with the state before applying. Free access does not mean every overseas applicant qualifies for that online route.

For a principal place of business outside the United States, the IRS international EIN guidance provides phone, fax and mail routes. Choose the method using the actual principal-business facts. Allow separately for communications, delivery or optional professional assistance rather than relabeling those expenses as an IRS charge. Keep the EIN confirmation in the company’s records.

Calculate the filing floor and the next reporting cycle

Use a fee subtotal with a defined endpoint, then add the unknown items. The following examples concern a new Kentucky domestic LLC organized in October 2026. They use official USD charges verified October 20, 2026; they are government filing amounts, not tax-inclusive commercial offers. They include only the Articles of Organization and first annual report, with no optional filings or paid assistance.

The ordinary case is US$40 for formation plus US$15 for the first annual report: US$55 for those two filings . Under Kentucky’s annual-report statute , the first report is due between January 1 and June 30 of the calendar year after organization, so this example’s first reporting window is in 2027. The official fee schedule supplies the two ordinary amounts.

For the same timing, an LLC that meets the veteran-owned conditions and receives the applicable exemptions has US$0 for formation plus US$0 for that first report: US$0 for those two filings. The formation exemption and first-four-years report-fee exemption are distinct provisions. Record which provision applies, the organization date and the period of relief; keep filing the reports.

For either scenario, calculate the complete cash requirement as: government filing subtotal + paid formation work + agent/address charges + required tax and accounting work + applicable operating permissions + other launch spending. A blank line is unresolved, not zero. Obtain the current quote or authority amount for each applicable line before describing the result as a complete budget.

The boundary around a zero-dollar LLC claim A quoted zero can apply to filing labor, an IRS identifier or an eligible government waiver. Agent arrangements, reports, taxes and operating permits still need their own assessment. Both columns feed a budget for the initial payment and the next cycle. A quoted $0 has a boundary May cost $0 Still assess Filing labor Agent / address Direct IRS EIN Reports / tax Qualified waiver Operating permits Budget the first bill and the next cycle
A zero in one category does not settle the other categories. A waiver changes the applicable government charge; it does not remove the need to assess the business as a whole.

Which obligations survive a free formation?

Formation creates an entity; it does not settle every permission or tax obligation. The SBA launch guidance distinguishes registration from tax identifiers and licenses, and explains that license requirements and fees depend on activity, location and the issuing authority. Check the actual city, county, premises and regulated work before assuming no further official bill exists.

A low-fee formation state may also fail to remove costs where the business actually operates. The same SBA guidance on multistate registration explains that activity in another state can require foreign qualification and charges in more than one state. “Foreign” here can mean an entity formed in another US state. Compare the whole operating footprint before choosing a jurisdiction solely for its initial price.

Foreign ownership deserves a separate compliance allowance. Under the IRS Form 5472 instructions , a foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 attached to a pro forma Form 1120. Reportable transactions can include formation-related contributions and distributions. Lack of sales is therefore not a sufficient budget test for having no information-return work.

For a focused operating-permission check, use the LLC activity and location permission guide . Keep report fees, taxes, permit renewals and optional accounting assistance as separate lines, with a person responsible for each due date.

Decide whether the zero-dollar claim fits your business

You can form an LLC without a state formation fee when a valid waiver applies, and you can avoid some private charges by doing work yourself. The useful decision is whether the required work and remaining expenses fit your facts and cash resources. A zero headline is not enough evidence for that decision.

  • Name the exact item priced at zero: government filing, preparation work, agent service or the EIN.
  • Confirm eligibility with the issuing authority and the current evidence requirements before applying a waiver.
  • Write both the first payment and the next billing or reporting date beside each applicable cost. Mark unresolved amounts as pending.
  • Compare the operating state, overseas ownership, available agent and intended activities against the budget before authorizing a filing.

Keep the quote, its inclusions and renewal terms together with the official fee page and any exemption evidence. If a provider bundles several tasks, request enough detail to distinguish authority charges from private work. This makes it possible to compare an assisted route with self-filing without assuming that either includes tax advice, operating permits or future reports.

HSJGlobal’s US company registration and LLC formation services cover structure and state discussions, EIN coordination, agent arrangements and first compliance planning. Bring the proposed ownership, actual business locations and itemized quote to a scope discussion so the budget can be assessed against the intended business.

Frequently asked questions

Does paying a private filing provider prove that my LLC exists?

No. Keep the authority’s accepted formation record and effective date. A provider’s payment receipt shows a purchase of work; it is not a substitute for the state record.

Should a quote include expedited processing automatically?

Only if the agreed scope includes it and the authority offers it for the filing. Ask whether urgency is necessary and how any optional authority and provider charges are separated.

Is money deposited into the LLC a formation fee?

No. A capital contribution or bank deposit is company funding rather than a filing-service charge. It still belongs in the cash plan and may have recordkeeping or tax implications.

Does a free template replace an operating-agreement review?

A template can provide a starting document. Check that ownership, management, contributions and decision rules fit the actual arrangement; the need for professional review depends on those facts.

What if the quote is in a different currency from the government fee?

Retain the authority amount in US dollars and show the provider’s billing currency separately. Ask how conversion and payment charges are applied before comparing the cash you must pay.
