Company Limited by Guarantee in Malaysia: CLBG Registration

Prepare the constitution and approval evidence that a Malaysian guarantee company needs before incorporation can be completed.

A company limited by guarantee in Malaysia is a public company for permitted community or public-benefit objects, with members rather than share capital. CLBG registration requires a constitution and SSM’s pre-incorporation approval process before incorporation is completed. The current checklist charges MYR 200 for that approval application; the separate incorporation fee is MYR 3,000. Registering the company does not itself authorise a public donation appeal or confer tax-exempt status.

Key takeaways

  • Member guarantees concern contributions on winding up; they are not shares, paid-up capital or the operating budget.
  • The public-company board requires at least two directors ordinarily resident in Malaysia; CLBG promoters and directors also face a fit-and-proper assessment.
  • A signed constitution must accompany incorporation, with the required model provisions and objects that match the activities submitted for approval.
  • The Registrar’s pre-incorporation approval and the final registration notice prove different stages; retain both with the filed documents.
  • A plan that depends on immediate public fundraising needs revision: the current donation-approval checklist excludes CLBGs incorporated for less than one year.

Qualify the CLBG’s purpose and people first

A CLBG fits an organisation whose income supports its objects and cannot be distributed as member dividends. Section 45 covers recreation or amusement, commerce and industry, art, science, religion, charity, pension or superannuation schemes, and other objects useful to the community or country. The Companies Act 2016 also requires a CLBG to be public and prohibits share capital. If founders expect equity ownership or dividends, the guarantee structure does not fit that funding bargain.

Start with one or more members and at least one promoter. SSM’s incorporation requirements require at least two directors ordinarily resident in Malaysia for a public company. Directors must be natural persons aged at least 18 and must satisfy the applicable disqualification rules. A local correspondence address alone does not establish a director’s actual residence.

The CLBG guidelines effective 14 July 2026 add a fit-and-proper assessment of promoters and directors, including relevant experience, competence, integrity and possible security vetting. An available board seat is therefore only the start of the assessment. Match each proposed person to a real governance role and evidence of suitability before asking them to sign.

For an overseas-led project, separate member identity from board eligibility when checking director residence and management duties . Prepare valid passports where applicable, but do not assume an overseas organisation’s existing status replaces Malaysian CLBG incorporation. The current guidance requires a foreign CLBG or foreign company carrying out the specified objects to incorporate a new CLBG under the Malaysian Act.

Turn the mission into a constitution and approval file

The constitution is a registration input, not an optional document to add after approval. Section 38 requires it to be signed by the person intending to incorporate the CLBG and lodged at incorporation. The current CLBG guidance requires adoption of Part A of SSM’s model constitution ; additional clauses must remain consistent with the Act. Prepare the draft early enough for the approval review to address the organisation actually intended.

Set out the proposed name, objects, powers, intended number of members, promoter names, addresses and occupations, and the amount members undertake to contribute on winding up. Decide membership admission, meetings and decision rights coherently within the constitution. A guarantee amount describes a contingent member obligation; it does not explain how the organisation will pay its first year’s bills. Keep the funding forecast separate.

SSM’s Checklist 1 for pre-incorporation approval requires a detailed activity description, draft constitution, identification documents, biodata and relevant qualifications or charitable experience, individual promoter and director consent letters, and a two-year income and expenditure forecast. It also requires statutory declarations addressing previous nonprofit registration applications, their outcomes and reasons for another application where relevant. Clear outstanding compounds for the proposed promoters and directors before submission.

Build the activity description around what the organisation will actually do: beneficiaries, delivery methods, expected receipts and principal expenditure. Cross-check those activities against both the objects and the forecast. For example, a forecast dependent on public donation appeals needs to reflect the separate approval restriction discussed below. An unexplained funding assumption can undermine a file even when every identity document is present.

For a ministry, government agency or authority establishing the CLBG, include the relevant institutional approval letter. Use the annexure formats identified by SSM for the constitution, biodata and forecast rather than substituting a generic share-company pack. The incorporation record and any additional permissions then need to describe the same organisation; the distinct records should not be treated as interchangeable approvals.

CLBG registration evidence and separate permissions Registrar pre-incorporation approval and the constitution with section 14 particulars support incorporation. After incorporation, name omission, public fundraising and tax relief each require a separate approval if relevant. Section 45 pre-approval Constitution and section 14 file SSM incorporation registration notice Omit Berhad Minister licence Public appeal Registrar approval Tax relief HASiL approval
Two inputs support incorporation. The three lower branches are separate applications when relevant; they are not permissions automatically issued with registration.

Complete approval and incorporation through CRS

The current route is SSM’s Corporate Registry System (CRS). Practice Directive 1/2017, revised 14 July 2026 , moves corporate submissions to CRS and preserves substantive requirements in existing guidance. Older counter instructions should therefore not be used as the normal filing route. SSM advises using a company secretary for CLBG incorporation.

  1. Arrange the lodger’s access. SSM’s current account instructions describe individual or professional registration, email activation and identity verification through an SSM counter or tap.it kiosk. Where a secretary files, agree who receives and monitors the application correspondence.
  2. Submit the section 45 pre-incorporation approval application in CRS using Checklist 1 and pay MYR 200. Retain the submission reference, receipt, uploaded versions and any subsequent request for clarification.
  3. Resolve SSM’s queries and retain the Registrar’s approval with its conditions. Check whether any requested change affects the constitution, people, activities or forecast before preparing the incorporation submission.
  4. Complete the section 14 incorporation application for a public company limited by guarantee, using the approved particulars, required constitution and consents. Obtain the required name approval and pay the separate incorporation charge.
  5. Monitor the incorporation application until SSM approves registration. Save the approval notification and registration notice, then reconcile the final company details with the documents actually lodged.

The SSM particulars and submission instructions identify the section 14 Super Form, declarations, lodger information, downloadable PDF and online payment stage. For a CLBG, use member and guarantee particulars where the form distinguishes them from share subscriptions. Include the registered office in Malaysia, directors’ and members’ identity and address information, the activities and any additional evidence requested for the application.

A new CLBG normally incorporates with Berhad or Bhd. in its name. Coordinate name availability with the approval stages: a separate reservation normally requires incorporation within 30 days of approval unless the Registrar allows longer. Do not let a reservation expire while treating the substantive CLBG approval as already complete. Broader company incorporation requirements in Malaysia provide the underlying registration context, but the compulsory CLBG approval and constitution remain additional requirements.

Pre-incorporation approval is not proof that the company already exists. Plan around two review stages rather than a promised completion date. No single guaranteed end-to-end CLBG period is established by the sources used here. Track each stage’s submission date, outstanding query and next responsible person; when a query changes a foundational fact, reconcile the affected records before resubmission instead of uploading an isolated replacement.

Resolve gaps between approval and filing

Review the constitution, consents and forecast where SSM’s approval conditions affect the incorporation submission.

Separate the official charges from the project budget

The core application charges below are separate items, verified on November 5, 2026 against the CLBG checklist and SSM fee table . MYR is Malaysian ringgit. The figures are government charges, not an HSJGlobal package or a quotation for professional services.

Application Official charge Charging basis Scope
CLBG pre-incorporation approval MYR 200 Per application; one-off stage Checklist 1 approval application
CLBG incorporation MYR 3,000 Per incorporation application Registration under section 14
Separate name reservation, if used MYR 50 Every 30 days or part; maximum 180 days Reservation only; not CLBG approval
Omission of Berhad/Bhd., if sought MYR 300 Per separate application Ministerial licence application

The first two listed charges add to MYR 3,200. That arithmetic is a subtotal of those two applications only. It excludes a separate name reservation where used, any optional certificate, other applications, system or integration charges if imposed, professional work and third-party disbursements. It is not an all-in amount for getting an organisation operational.

Keep constitution preparation, secretary services, registered-office arrangements and any necessary translation or document certification in separate budget lines with their own service periods. Obtain a written quotation that specifies applicable SST and disbursements; no professional-service tax rate or approved HSJGlobal CLBG price is assumed here. The member guarantee and money reserved to run the programmes belong in the financial plan, not in the incorporation-fee subtotal.

Identify permissions the registration notice will not supply

A CLBG that wants to omit Berhad or Bhd. must obtain the separate Minister’s licence. Checklist 2 requires, among other items, a member special resolution, evidence of at least MYR 1,000,000 in cash or cash equivalents at application, and a constitutional-compliance declaration. The MYR 1,000,000 condition belongs to name omission , not to a universal CLBG paid-up-capital requirement. Do not assume a preferred foundation-style name removes that licence step.

Public donation solicitation requires the Registrar’s approval. Current Checklist 6 requires the latest one-year audited financial statements and says a CLBG incorporated for less than one year is ineligible for that application. A newly incorporated organisation should therefore not launch a public appeal on the strength of its registration notice. Confirm a lawful funding plan for the initial period rather than promising that donation approval will follow immediately.

Tax approval is another independent status. HASiL’s nonprofit guidance explains that subsection 44(6) approval is application-based, not automatic. Do not advertise tax-deductible donations or tax exemption merely because SSM has incorporated the CLBG. Its tax treatment and any donor-receipt wording must reflect the actual approval held.

Flag planned land ownership, director remuneration, later director appointments, constitution changes or subsidiaries for a CLBG-specific permission check. The current CLBG guidelines impose additional controls in these areas. Record each relevant permission as a separate open item; a banking arrangement or an incorporation number cannot supply an approval reserved to the Registrar, Minister or tax authority.

Reconcile the CLBG records before handover

Use a single reconciliation sheet across the approval pack, signed constitution and incorporation submission. The following checks turn a document bundle into a usable handover: they identify which fact must agree, where to compare it and what must be resolved before someone relies on the file. This is a preparation method, not an additional SSM form.

Fact to reconcile Approval evidence Incorporation evidence Action if inconsistent
Legal name and suffix Name decision and CLBG application Section 14 file and registration notice Confirm the approved legal name; keep any omission licence separate
Objects and planned activity Detailed activities and two-year forecast Signed constitution and filed activity particulars Resolve any activity or funding change before relying on approval
People and guarantees Biodata, identity documents and consents Member/director particulars and guarantee clauses Reconcile identity, consent and undertaking amounts
Completion status Registrar’s pre-incorporation approval Final registration notice and company number Do not describe an approval-stage file as incorporated

SSM’s submission instructions list an approval notification and a registration notice as outputs. The registration notice is the incorporation evidence; a payment receipt or application reference is not a substitute. A certificate of incorporation is available on separate application and payment, rather than being the default document every applicant must buy. Check the notice’s legal name, registration number and incorporation date before distributing the completed company details.

Keep the filed constitution, signed consents, declarations, approval conditions, payment records and final notices together. Current CLBG guidance requires original supporting documents to be maintained at the registered office for production to SSM on request. Arrange appointment of the first company secretary within 30 days after incorporation, and assign responsibility for ongoing public-company and CLBG compliance. A completed registration file still needs a responsible keeper.

Release the CLBG file only when its status is clear

Proceed with incorporation when the permitted objects, member undertakings, suitable board, constitution and Registrar’s pre-incorporation approval describe the same proposed organisation. Hold the file if a change in people, purpose or funding has not been reflected across those records. That is a stronger readiness test than counting attachments or obtaining a payment receipt.

At handover, state the completed result precisely: the company is incorporated under the legal name and number in its registration notice. List any name-omission, fundraising, land or tax permission separately with its actual status. If the launch depends on an approval the CLBG cannot yet obtain, revise the launch or funding plan before making that commitment.

Prepare a clear CLBG handover

Organise the registration evidence and identify the permissions that remain relevant to your organisation’s launch.

Frequently asked questions

Can a CLBG earn income from its activities?

The structure requires profits and other income to support the objects and prohibits member dividends. Assess a proposed revenue activity against the constitution and any separate regulatory requirements; earning income does not turn the organisation into a share company.

Is a member’s guarantee the amount the CLBG must keep in its bank account?

No. It is the undertaking to contribute on winding up, stated in the constitution and incorporation particulars. Programme funding, cash reserves and any approval-specific financial condition must be assessed separately.

Does using a company secretary remove the board’s responsibilities?

No. A secretary can coordinate the filing, but promoters and directors must provide accurate information, valid consents and the evidence relevant to their roles. They should review the final particulars and approval conditions before submission.

Can the founders change the objects after registration?

A CLBG must follow the applicable approval procedure for a constitution amendment. Do not use a later rewrite as a substitute for agreeing the intended objects before incorporation; the change can also affect other approvals.

Is a bank account part of the SSM incorporation result?

No. A bank makes its own account-opening decision. The registration notice, constitution, people and authority records may support that separate process, but incorporation does not guarantee banking access.
