Company Registration Services in California: Process and Support

Match the filing route to the record, agent and compliance handover you need.

Company registration services in California should cover four stages: select a new-entity or foreign-registration route, settle the filing data and agent, submit and resolve state comments, then hand over the accepted record and first compliance deadlines. An LLC, stock corporation and existing overseas company require different documents; a provider should identify the route before taking instructions.

Start with the existing entity, California activity and intended owners. State acceptance does not deliver an EIN, banking approval, immigration status or permission for every business activity. Agree which of those separate tasks is included and who remains responsible.

Choose the California record you actually need

Choose between creating a California entity and registering one that already exists. A new California LLC uses Articles of Organization, with a US$70 state filing fee. A new general stock corporation uses Articles of Incorporation, with a US$100 fee. These are one-time filing charges verified on October 16, 2026, not service quotations or a full launch budget. The domestic LLC form schedule and domestic corporation schedule identify the respective routes.

California filing routes and documents to receive
Starting position State filing Evidence to request
No existing entity; LLC selected Articles of Organization, LLC-1 Accepted articles, entity number and confirmation of the selected management structure.
No existing entity; general stock corporation selected Articles of Incorporation, ARTS-GS Endorsed articles and a separate plan for governance and share records.
Existing LLC formed outside California Application to Register, LLC-5 California registration record plus the home-jurisdiction supporting certificate.
Existing corporation formed outside California Statement and Designation by Foreign Corporation Qualification evidence linked to the same existing legal entity.

The foreign LLC schedule lists LLC-5 at US$70. “Foreign” here includes another US state as well as another country. A foreign founder forming a new California entity is therefore not automatically a foreign-qualification applicant. Conversely, a Delaware certificate does not settle whether that company needs a California registration.

The Secretary of State describes qualification as a requirement before transacting intrastate business and recommends private legal counsel for the factual boundary. Its foreign-entity registration guidance requires a valid official good-standing certificate for the corporation or LLC registration route. Give the adviser the actual contracts, staff, premises and activity; do not commission a second entity merely because a checkout offers incorporation.

Professional, nonprofit and other specialized entities need their own form and regulator analysis. This matrix covers standard LLC and general stock-corporation decisions. If the proposed activity is regulated, settle whether that form is permitted before adapting a general filing. The lowest initial charge cannot answer a legal-form question.

Translate the intake into a California filing

Build the intake around the actual filing fields. An agent address and an operating address perform different jobs. The official LLC-1 form asks for the principal street address, a separate mailing address if different, the agent route, one management selection and the organizer’s signature. It does not ask every applicant for an identical generic document bundle.

  • Applicant and authority: identify the person approving the filing and the authorized signer. If a parent company is investing, ask which parent records and internal approval the engagement needs. Provider identity checks are separate from the state form.
  • Entity: confirm exact name, legal form, formation jurisdiction if already established, and whether the engagement creates a subsidiary or qualifies the parent. For a foreign-registration route, obtain the official good-standing evidence before the filing is treated as ready.
  • Addresses and agent: distinguish principal office, mailing address and service-of-process arrangements. For the LLC-1 individual-agent route, the form requires a California street address rather than a P.O. box.
  • Management: reconcile the LLC form’s one-manager, multiple-manager or all-members selection with the intended authority. For a corporation, arrange the relevant director, officer and share decisions separately from the articles.
  • Activity and premises: document what will be sold or performed and where the business will operate. Keep local, product, professional and premises approvals in a separate list with a named person responsible.

An individual agent must reside in California; the alternative is an active registered corporate agent with a current section 1505 registration. The Secretary of State agent guidance says an entity cannot be its own agent and advance approval is needed before designating a corporate agent. A formation intermediary is not automatically the appointed agent. Ask for the agent’s legal name, consent, renewal terms and method for forwarding urgent papers.

Before submission, compare the approved intake against the rendered filing, not just an order summary. Check names, address roles, management selection, attachments and signature authority. Record who can approve corrections. A mismatched parent name or an unapproved agent should stop the instruction until resolved; they are not details to tidy up after acceptance.

For overseas founders, ask which identification and address evidence the provider needs for its own onboarding, and how documents will be transmitted. Do not describe a passport, translation or notarization as a universal California articles requirement. If extra certification is requested, require the recipient and purpose to be identified so the founder knows which application creates the cost.

Separate submission, acceptance and completion evidence

Measure progress using three different events: the provider has prepared the filing, the state has received it, and the state has accepted it. A payment receipt is not the accepted formation record. The service agreement should explain when the company will receive each update, who receives a returned filing and whether correcting an input error incurs additional work.

Use the current California processing dates for the entity, document and submission method. The page checked on October 16, 2026 was updated October 15 and displayed the dates of requests being reviewed. That is a queue indicator, not a promised number of business days. Keep document preparation, authority review, correction rounds and operational approvals separate when planning a launch.

For a California corporation, the FTB corporation guidance identifies endorsed articles and the endorsed filing date as the existence milestone. For an LLC or qualified entity, ask for the accepted articles or registration record and reconcile the entity number and name with the final filing. If a certified copy or status certificate is required by a downstream recipient, identify that request separately from the basic filing.

A completion email should say whether the initial Statement of Information was filed or merely calendared. Retain the submitted version, state response and any correction history. Arrange company-controlled access to records and an escalation contact if the intermediary later stops acting. A provider-held inbox with no handover procedure leaves the company dependent on someone else for notices.

California reporting clocks after registration The initial Statement of Information is due within 90 days. The recurring statement is every two years for an LLC and annually for a stock corporation. FTB tax deadlines follow a separate calendar. State registration accepted Initial statement Within 90 days LLC Every 2 years Stock corp Every year FTB tax deadlines Separate calendar
The first statement and the recurring cycle are different diary entries. Tax payments need their own responsible person.

Keep filing charges and tax commitments on separate lines

Compare professional work, state charges, third-party renewals and tax commitments separately. The fee schedules cited above show base state filing charges in US dollars, verified October 16, 2026. They are not tax-inclusive service prices. Expedited handling, optional copies, agent services, addresses and professional work can add separate charges; no HSJGlobal fee is inferred from a government amount.

For a standard new California LLC, the base articles charge of US$70 plus the initial Statement of Information charge of US$20 equals US$90 in those two state filings . The LLC Statement of Information schedule confirms the US$20 charge. A general stock corporation has US$100 articles plus a US$25 initial statement, totaling US$125 for those filings. Neither subtotal includes tax, banking, permits or professional support.

The FTB LLC guidance sets a separate US$800 annual tax for the standard California LLC scenario. Adding that tax to the US$90 filing subtotal produces US$890 before agent, service, address, additional LLC fee or other operating costs. This is an arithmetic example for an LLC subject to the annual tax, not a complete first-year quotation. The temporary general first-year LLC exemption covered tax years beginning in 2021–2023; it should not be carried into a 2026 budget.

The same FTB guidance places the first annual-tax payment on the 15th day of the fourth month from the SOS filing and identifies further income-based LLC fee and return obligations. Have the tax adviser confirm the applicable classification, exceptions and dates. The corporation rules differ: FTB provides a first-taxable-year exception to the minimum franchise tax for newly incorporated or qualified corporations. That exception does not remove all corporate tax or return obligations.

A written service quotation should state one-time work, annual renewals, payment timing and applicable taxes on professional charges. Request the agent renewal price and cancellation process separately. If the business already has an entity, include the home-jurisdiction record costs and continuing obligations in the comparison. A lower California filing subtotal can still create a more expensive two-jurisdiction structure.

Agree what happens if the filing is returned, the founder changes instructions or the project stops before submission. Ask who pays for correcting a provider error, which changes require a new quotation and whether unused government payments are returned. Request the contractual refund terms rather than assuming the professional fee is refundable whenever an authority declines a filing. If the provider offers an annual agent renewal, confirm when the renewal starts and how the company can appoint a replacement without losing notice coverage. Keep the signed scope and payment breakdown with the approved filing instructions. These questions make two quotations comparable even when both describe the same basic incorporation service, because they show who carries the cost of an incomplete or changed application.

Test company registration services in California at handover

Accept the engagement only when each deliverable has a document, a deadline and a responsible person. HSJGlobal’s US company formation and registration service describes formation, EIN coordination, registered-agent arrangements and a first compliance calendar. Confirm the California scope in writing; the existence of a national service page does not establish that every local permit, tax filing or legal opinion is included.

What the company should receive after registration
Task What to receive Next owner
State registration Accepted articles or qualification, entity number, corrected final data Company recordkeeper
Agent arrangement Named agent, consent, notice-forwarding contact and renewal terms Company officer or manager
Statement of Information Filed copy or explicit initial due date; recurring cycle recorded Named filer with access
Tax and operations EIN status, FTB review and separate permit decisions identified Tax adviser and operating lead

The initial Statement of Information is due within 90 days. LLCs then follow a two-year cycle; stock corporations follow an annual cycle. Use LLC-12 for the LLC record and SI-550 for the stock-corporation record, as shown in the respective schedules. “Annual compliance” in a quotation should specify which filing it means rather than bundle both cycles under an undefined label.

Keep internal governance records separate from registry deliverables. The Secretary of State says bylaws and operating agreements are maintained by the business, not filed with its office. Ask who prepares, reviews and signs those records and which ownership or share records will be delivered. State acceptance should not be presented as approval of the private agreement between the owners.

The IRS EIN application guidance says to form the LLC or corporation before applying for its employer identification number. The IRS charge is US$0. Online eligibility includes a US principal place of business and the responsible party’s SSN or ITIN; a principal business outside the US uses another application route. Ask how the route was selected and retain the IRS confirmation. Do not accept a universal instant-EIN promise for overseas founders.

Finally, confirm who will arrange the operating permissions. Entity registration is not permission for every activity. The CDTFA seller-permit guidance ties its permit to taxable-goods activity and distinguishes it from city or county business licensing. Use the California business licence and permit guide for that separate operating task. Banking and immigration decisions also remain with their respective institutions; no registration service can promise their approval.

Set the acceptance criteria before instructing support

Before instructing company registration services in California, obtain a short written brief identifying the existing entity, proposed California record, actual operating facts, agent choice and authorized signer. Use the filing table in the engagement discussion and mark which documents are included. Resolve a qualification or regulated-entity question before authorizing a generic formation order.

Use three acceptance tests. First, every material filing detail must match the founder-approved intake. Second, the company must receive the accepted state record and a workable way to obtain future records. Third, the first statement, recurring statement and tax work must each have a named person responsible. If any test is missing, ask for the corresponding document or written responsibility before treating the engagement as complete.

Support is most useful when it closes a specific gap: selecting the filing route, reconciling documents, coordinating a state response or transferring the first compliance calendar. Keep that gap visible in the instruction and the quotation. The result should be a California record the company can maintain and use, together with clearly assigned next steps for becoming operational.

Frequently asked questions

Must I buy a private filing service?

No. The Secretary of State permits direct filings. A private service can coordinate defined work, but its quotation should distinguish professional charges from payments to the state.

Can the provider guarantee that my proposed name will be accepted?

No. Ask the provider to review the name and alternatives, and identify how a state objection will be handled. State review remains separate from the intermediary’s pre-filing check.

Does a different trading name go on the same state form?

Not necessarily. California fictitious-business-name filings are handled at county level. Confirm the relevant county requirements rather than assuming the entity articles cover every name used in trading.

Does the Secretary of State issue a corporate seal?

No. The Secretary of State says corporate seals can be obtained from an office-supply or stationery company after formation. Do not confuse a paid seal add-on with the accepted articles or a state-issued approval.
