Company Registration Services in the Philippines: Process and Support

Define the work, resolve the entity decisions and keep registration responsibilities clear from instruction to handover.

Company registration services in the Philippines typically involve four stages: choosing a legally workable entity, preparing and filing with the SEC, coordinating tax and local permissions, and handing over the company records. The useful service is the one that names the deliverables and unresolved dependencies. Incorporation support does not by itself establish that the business has every permission needed to operate.

Before appointing a provider, confirm the activity, owners, intended city and who will complete each stage. Foreign founders also need an ownership and capital review tied to the proposed business, rather than a generic promise of full foreign ownership.

Key takeaways

  • DTI business-name registration and a BNRS record inquiry are different tasks from forming an SEC corporation.
  • Foreign equity, corporate shareholders and the chosen purpose affect the entity and SEC filing route.
  • The founder approves facts and signs as required; the provider coordinates authorised work; agencies decide applications.
  • BIR, local permits and activity approvals need their own scope and completion evidence.
  • Compare quotations by deliverables, exclusions, correction handling and the records returned to the company.

What should a registration provider be accountable for?

A useful company registration service turns business decisions into a correct application, coordinates responses and leaves the company with usable records. Agree on those deliverables before paying. “Registration assistance” can mean document preparation alone; it does not establish that tax registration, a local business permit or recurring corporate work is included.

The provider coordinates the work; the founder approves the facts and the authority decides the application.

Responsibility test for a Philippine company registration engagement
Workstream Founder or company Provider deliverable Decision remains with
Structure and ownership Describe activities, owners, customers and funding Reasoned route recommendation with unresolved restrictions identified Founder, informed by applicable law and competent advice
SEC application Approve entries; arrange genuine signatories Agreed filing, references and response log Securities and Exchange Commission (SEC)
Tax and local permits Supply transaction and premises facts Named filings or a documented referral, according to scope Bureau of Internal Revenue (BIR) and local authorities
Project closure Accept records and appoint ongoing owners Issued documents, access handover and pending-work list Company management

Use the matrix as an engagement control, not a government form. For every promised task, ask who prepares it, who can sign it, who submits it and what record proves completion. Identify any accountant, local agent or other subcontractor and the person responsible for reconciling their work.

HSJGlobal’s Philippines company registration and business setup services describe route review, document coordination and a registration-to-operations plan. Match the written engagement to your actual entity and activity; a general service description is not confirmation that every downstream application is included.

Which entity decisions must be settled before filing?

Choose the legal route from the ownership and intended operation, then choose the filing channel. A sole proprietor’s DTI business-name application does not create a corporation. Quezon City’s official new-business guide distinguishes DTI evidence for a sole proprietorship from SEC evidence for corporations and partnerships. A BNRS record inquiry is a different task again: inspecting a name record is not an incorporation application.

An individual founder or a corporate shareholder

An eligible individual considering a One Person Corporation (OPC) should compare it with a corporation involving other owners. Under sections 116–124 of the Revised Corporation Code , an OPC has a single stockholder drawn from the permitted categories, with nominee arrangements and specific officer rules. A corporate parent cannot use an OPC merely because it intends to hold all the shares; the statutory stockholder categories are natural persons, trusts and estates.

For an ordinary domestic corporation, section 24 requires the president to be a director, the treasurer to be resident, and the secretary to be a Philippine citizen and resident. Ask who will genuinely fulfil these functions. Paying for filing assistance does not automatically appoint a corporate secretary or make an overseas founder eligible for every office.

Foreign equity and an overseas parent

Foreign participation needs an activity-specific check. Executive Order 113 promulgated the 13th Regular Foreign Investment Negative List in April 2026 . Review its applicable entries and exceptions alongside sector laws, rather than relying on an old blanket ownership statement. The amended Foreign Investments Act also distinguishes domestic-market capital conditions from export-enterprise rules. Incorporation as an OPC does not remove those tests.

If an overseas company itself will transact business, assess a Philippine subsidiary against a foreign-corporation licence route, such as a branch or representative office. SEC’s Regular application selection includes foreign corporations. Require the adviser to explain the permitted activity and revenue position for the proposed route before the parent approves it. Record the ownership and capital conclusion as a pre-filing decision , not an issue to resolve after a name has been reserved.

How should founders assemble the company instruction file?

Give the preparer one approved set of company facts before documents are generated. Separate legal requirements from the provider’s project checklist, and label conditional evidence by its trigger. This makes an overseas signature exercise easier to plan and prevents unnecessary certification of documents that the chosen route does not request.

  • People and ownership: record the incorporators, subscribers, proposed officers, nationalities, addresses and intended holdings. Reconcile the ownership chart with the share figures and identity evidence used by the selected channel.
  • Company and capital: confirm the name choices, specific primary and secondary purposes, Philippine principal office, share structure and subscribed and paid amounts. Section 13 of the Corporation Code identifies the principal articles-of-incorporation particulars.
  • Foreign parent or licensed foreign corporation: obtain a route-specific list before commissioning overseas documents. Section 142 requires certified constitutional documents and translation into an official Philippine language where necessary; other licensing evidence depends on the application.
  • Premises and activity: identify the intended unit and use, lease status, whether products will be stored or processed, and whether customers or employees attend. Give the local-permit preparer these facts before accepting an address service as suitable operating premises.

Ask the preparer to return a version for approval showing uncertain fields, signatories and the supporting record for each disputed fact. Correct names, addresses and capital arithmetic at this stage. Do not solve a mismatch by changing only the portal entry while leaving the signed instrument unchanged.

Three owners of a Philippine company registration decision The founder approves business facts. The provider prepares and tracks the authorised work. The authority decides the application. A certificate then starts a separate check of tax, local and activity permissions. Who owns the decision? FOUNDER Approve facts and funding Sign as the route requires PROVIDER Prepare the authorised filing Track questions and outputs AUTHORITY Evaluate the application Issue a decision or deficiency Certificate received? Check tax, local and activity permissions separately
Registration support has three distinct owners. The final box is a separate operating-permission check, not an extra SEC incorporation step.

Preserve the approved instruction file and the final submitted version together. If a founder later changes the share allocation or business activity, the coordinator should identify which documents and connected applications need revision before further submission.

What happens during SEC filing and correction?

Have the provider identify the actual SEC route and authentication steps in writing. Online registration is not one interchangeable workflow. The OneSEC ZERO conditions cover eligible ownership categories, including foreign equity, but also impose restrictions on the incorporators, predetermined purpose, share arrangements and other particulars. A corporate shareholder or a purpose needing modification can make that simplified route unsuitable.

The live Regular selection directs covered domestic stock corporations to ZERO processing, subject to its exceptions. It says officers authenticating application documents need eSECURE credentials for eSAP authentication. An authorised coordinator can prepare and track the file; the required person must still complete their own applicable identity and authentication steps.

  1. Approve the route and draft data before submission, including the exact purpose and proposed signatories.
  2. Retain the application reference and final documents; check the official Payment Assessment Form and stated payment channel.
  3. Log any SEC question against the relevant data or document. Obtain the founder’s approval for substantive changes, then retain the corrected submission.
  4. Retrieve the issued certificate and final instruments. Reconcile the company name and registration particulars before sending them to other preparers.

SEC’s Regular page describes review-status advice within seven working days. This is a status milestone, not a promise of incorporation or readiness to trade. A provider’s schedule should separately show founder preparation, authentication, agency handling and correction time. Do not apply a legacy hard-copy instruction indiscriminately to a ZERO application; confirm the selected route’s current supporting-document conditions.

Where should support continue after incorporation?

Continue support wherever an operating dependency remains open. BIR registration, the city or municipality’s business permission and any activity-specific approval require their own evidence. Plan tax and local work together against their actual prerequisites rather than treating one provider’s generic sequence as law.

Tax registration and invoicing

The BIR corporate documentary checklist, revised July 2025 distinguishes manual Form 1903 applications from its online ORUS route. For corporate applicants it lists the relevant SEC certificate or foreign-corporation licence and articles, and addresses invoice arrangements. It also identifies representative-authorisation evidence when someone transacts for the company. Confirm the current channel and correct taxpayer category with the tax preparer.

Make tax registration, invoices and books separate deliverables in the work order. Ask what has already been issued through any integrated portal before anyone requests another TIN. The tax preparer should explain the registration record, applicable filing obligations and who will maintain the accounting records; possession of a number alone is not a complete tax handover.

Local permission and the operating site

Quezon City provides a useful local example, not a national checklist. Its route runs through QC E-Services and the Business One Stop Shop (BOSS). The published requirements include entity evidence and premises documentation; the lease must identify the property and parties, be notarised and permit business use. Evaluation can involve zoning and activity-related departments.

For your actual city, ask the business-permit office how barangay clearance, fire-safety, sanitary, zoning and other applicable clearances are integrated or obtained. Require written confirmation of what the provider will submit, what the landlord supplies and which inspections the company must attend. A mailing address by itself does not settle the permitted use of the premises.

Add employer, sector, product or professional tasks when the proposed workforce or activity triggers them. A food business, regulated professional service or importer can need a different operating file from an office-based consultancy. HSJGlobal’s guide to business licence requirements and premises evidence helps organise those questions; the Philippine authority’s current conditions determine the actual requirement.

How can you compare quotations without missing work?

Compare quotations against the same operating assumptions and completion records. A lower incorporation-only quote can be appropriate when an internal team will handle permits and tax. Broader coordination is useful when no one otherwise owns the dependencies. The choice turns on the work needed, not the number of services listed in a brochure.

Scope comparison: questions to put into a written quotation
Support need Deliverable to request Boundary to clarify
Route advice before filing Written entity, ownership and activity conclusion; open decisions Whether the engagement proceeds to document preparation and submission
SEC application support Approved documents, filing reference, correction handling and issued records Which resubmissions, authentication work and officer appointments are covered
Operational coordination Named BIR, LGU and conditional workstreams with responsible preparers Whether applications are executed or only mapped and referred
Ongoing administration Compliance calendar, records owner and recurring work order Start date, renewal basis and separate accounting or secretarial work

Keep professional fees and official assessments distinct. Ask the quotation to identify government charges, documentary work, premises or address costs and recurring administration separately. Capital contributed to the company is a funding commitment, not the provider’s fee. Obtain the currency, tax treatment, payment stages, validity and exclusions before accepting the engagement.

Agree how extra work is authorised. A deficiency caused by an input change, a new regulated activity and a correction to a preparer’s error are different events. The engagement should explain responsibility and any additional charge before the next submission. Neither paying an assessment nor accepting a service quote binds the SEC, city office or bank to approve an application.

Ask for a schedule tied to evidence: which founder action starts each stage, what agency response is awaited and who follows up. Without those dependencies, an advertised completion period is difficult to assess. A genuine blocker should have a named owner and a next action, rather than a repeated assurance that the file is “in process”.

What should you require before accepting the handover?

Accept the engagement against the agreed outputs and remaining restrictions. Use a short closure meeting with the founder, coordinator and the person who will own administration. The objective is to establish what the company may now do, which work remains open and who can access the records.

  • Confirm delivery: retrieve the issued SEC record, final filed instruments, official payment evidence and application references for the tasks actually commissioned.
  • Reconcile operations: match the legal name, location and activity across tax and local records. Mark each conditional approval as issued, pending or inapplicable with a reason.
  • Transfer control: obtain agreed company-controlled account access, recovery arrangements and editable tracking records. Remove obsolete delegated access through the relevant system procedure.
  • Assign the next duties: name the owners of SEC reporting, tax filings, permit renewals and change notifications; record the relevant current deadlines in the operating calendar.

For a foreign founder, close any unresolved ownership, capital or signing question before releasing the related filing or activity. If the immediate need is only an entity decision, commission that decision first. If the structure is settled but downstream responsibilities are missing, ask for a scoped coordination proposal. Choose support by the next unresolved decision and the evidence needed to close it. This article reflects official material checked on November 1, 2026; recheck the chosen channel when the application is prepared.

Frequently asked questions

Can I change providers while an application is pending?

First obtain the application reference, submitted versions, current notices and payment records. Confirm how the relevant system recognises a new authorised representative before anyone submits a duplicate application. Agree responsibility for outstanding responses with both the company and incoming preparer.

Should I give the provider my personal authentication password?

Keep personal authentication under the credential holder’s control. Ask the provider to explain the authorised representative workflow and what the required signatory must complete personally. Use the official system’s permitted delegation and access arrangements.

How should a founder plan signatures across several countries?

Give the preparer each signer’s location before documents are commissioned. Request a route-specific signing plan that distinguishes electronic authentication from any supporting document needing certification or translation. Schedule attendance only after the required method is confirmed.

What if a quotation includes bank account assistance?

Ask which preparation and coordination tasks are included, which bank will receive the file and whether signatory attendance may be needed. A bank makes its own account-opening decision; incorporation and a support engagement do not guarantee an account.

How should confidential owner information be shared?

Agree the recipient, secure delivery method, purpose and retention arrangements before sending identity or ownership documents. Keep a record of what was provided and use the minimum material needed for the identified application or review.
