Documents Required to Register a Company in Hong Kong

The three official filing documents are only one layer of a controlled founder and records pack.

To incorporate a Hong Kong company limited by shares, the official application package contains Form NNC1, a copy of the articles of association and IRBR1, delivered with the correct fees. A formation provider will usually need a separate evidence pack to verify founders, directors, corporate shareholders and beneficial owners. The company then needs a third pack of signed and statutory records after incorporation.

Keeping these categories separate solves two common problems: founders do not upload sensitive identity material as if every item were a public filing, and they do not mistake the three submitted documents for a complete corporate handover. What documents are officially filed?

Form NNC1

NNC1 is the incorporation form for a company limited by shares. It records the proposed name, registered office, email and contact particulars, capital and initial shareholdings, founder members, first directors and company secretary, among other items. Use the current version and required PI-sheet treatment for protected personal information. Do not leave mandatory fields, officeholders or the registered office unresolved.

Articles of association

The articles contain the company’s mandatory constitutional provisions and governance rules. They include the name and applicable limited-liability statement; a company with share capital states its capital and initial shareholdings. Founders may use an appropriate sample or customised articles. Retain the signed original even where an unsigned copy is accepted for filing.

IRBR1

IRBR1 is the Notice to Business Registration Office delivered with NNC1 under the one-stop process. It records the relevant Business Registration Certificate election and accompanies the prescribed business-registration fee and levy. What source data sits behind the forms?

Create a master data schedule before drafting. It should show exact English and Chinese names; entity type; registered office; founder, director and secretary legal names; identity or registration numbers; correspondence and residential addresses as relevant; role and consent; share currency, number, amount paid or unpaid and ownership; business description; signatory; and filing route.

Every entry needs a source. A passport supports an individual name and number; an official corporate extract supports an entity name and registration; an address document supports residence; a board resolution supports authority; the capital table supports subscriptions. When sources conflict, resolve the fact and circulate a clean schedule before regenerating documents.

What do individual participants provide?

Each individual founder, director and beneficial owner normally provides a current government identity document and residential-address evidence acceptable to the provider, plus contact, occupation and tax-residency or source information where requested. The form data may require both a correspondence address and usual residential address. Supply protected information through the correct prescribed and secure channel.

A first director also provides consent. The founder-director signing NNC1 signs the consent statement in that form; another first director can sign there or deliver NNC3 within 15 days after incorporation. Check legal-name order, transliteration, document expiry, identity number and addresses before signing.

What does a corporate shareholder add?

A body corporate founder commonly supplies an official registry extract or certificate, constitution, registered-office evidence, director and shareholder records, ownership chart, board resolution approving the subscription and authorised signatory evidence. Trace the chain to natural-person beneficial owners and explain control rights that percentages alone do not show.

The provider sets risk-based currency, certification and translation requirements under its CDD process. Request the list before ordering documents. For electronic incorporation, the corporate founder arranges an authorised natural-person officer who satisfies the portal’s user, subscription and any account-association requirements.

When are certification or translation needed?

Do not certify every item by default. Confirm which recipient requires the document—the Registry, provider, bank or regulator—the statutory or policy basis, eligible certifier, wording, date limit, language, format and whether an apostille or further legalisation is needed. Requirements for a local-company CDD pack differ from Part 16 foreign-company filings.

Translate when the filing rule or receiving institution requires it, and use the correct certification. Preserve the source-language version, translation, translator or certifier statement and any attachment linkage. A translation without a traceable source can introduce spelling and number mismatches into NNC1.

How do filing route and format change the pack?

Electronic incorporation uses web data, electronic signatures and PDF material. The Registry states that customised articles uploaded electronically must be PDF, no more than 5 MB, and contain the mandatory provisions; it publishes margin and image-quality guidance. Confirm user accounts, subscriptions, association, signature method and payment before submission.

Hard-copy filing uses the prescribed paper form, articles and notice with physical signatures and payment arrangements. Preserve a scan of the final signed set and receipt. Do not print an electronic web form and assume it is the accepted paper version; use the documents intended for the selected channel.

Which documents must be handed over?

Require the Certificate of Incorporation, Business Registration Certificate, final filed NNC1, IRBR1 and articles; signed original articles; director consents; initial board and member resolutions; registers of members, directors and secretary; share subscription and ownership evidence; Significant Controllers Register; designated-representative details; fee receipts; and secretary, address and mail engagements.

For each file, record final version, effective date, signature state, filing state, privacy classification, storage, backup, access and transfer owner. Download electronic certificates promptly because the portal retains them for six months. Confirm that the company—not only its service provider—can retrieve a complete usable copy.

Close the project when the filing pack reconciles to the master data and the handover inventory has no unexplained blank. Bank, licence, accounting, audit and tax files remain separate workstreams. A thick company kit is optional; accurate, signed, accessible and controlled records are not.

Frequently asked questions

Is a passport filed publicly?

The provider may need a passport for CDD, but it is not one of the three standard incorporation documents listed for public filing. Required personal particulars are reported through prescribed form fields and protected-information mechanisms.

Do articles have to be customised?

No. An appropriate sample may fit a simple company. Customise when the founders’ share rights, decisions, transfers or investor arrangements require different governance.

Are notarised documents always required?

No. Requirements vary. Confirm the recipient, document, eligible certifier and purpose before spending on notarisation, apostille or legalisation.

Can I discard drafts after incorporation?

Apply a documented retention and privacy policy. Keep final source, approval, filing and handover evidence; remove superseded sensitive copies only through an authorised, secure process.
