Italy-based LLC owners
Forming a US LLC from Italy: Documents, EIN and Compliance
Keep the filing evidence, responsible party and first-year reporting file consistent.
An Italy-based founder can generally own a US LLC without relocating to America. The useful starting point is a matched document file: who owns the LLC, where its work occurs, which state will register it, and who will handle both countries’ reporting. A passport and a state certificate alone do not resolve those questions.
For a founder managing the business from Italy, the main risk is treating a US tax classification as an Italian tax conclusion. Confirm the Italian treatment and foreign-asset reporting position before funding the LLC; then choose the IRS application route using the real business location and responsible party.
Key takeaways
- A state filing, private ownership records and an IRS application serve different recipients; reconcile their names and addresses before submission.
- One owner and several owners lead to different default US tax classifications, so membership must be settled before the EIN request.
- Owner-paid formation bills and transfers need records even before the first customer pays.
- Italian tax residence and foreign-asset reporting require a separate assessment; US disregarded status does not settle either.
- The operational handover needs named filing owners and retained acceptance evidence, rather than a folder of submitted forms.
Resolve the Italian treatment before moving money
The LLC is a US state-law entity. Its owner’s Italian obligations are a separate analysis. The Italian Revenue Agency’s Quadro RW guidance addresses foreign investments and financial assets held by Italian resident individuals. Whether you report an LLC interest, a related account or a particular value depends on your facts and the applicable return instructions. Do not infer an exemption because the US entity has no employees or has not distributed cash.
Ask your Italian adviser for a short written position covering your tax residence, the LLC’s Italian classification, income recognition, foreign-asset reporting and the consequences of management from Italy. Provide the draft operating agreement and intended activities. A generic statement about “American LLCs” is insufficient if the actual agreement gives different rights to members or managers.
A US filing cannot establish the Italian tax treatment of the owner or the business. If the business will effectively be run from your Italian home, disclose that fact. Identify where contracts are negotiated, services delivered and decisions approved. Those facts belong in the adviser’s assessment before the structure is sold to you as a tax-saving arrangement.
Use a two-column issue note: proposed US treatment on one side and confirmed Italian treatment on the other. Leave unresolved items visibly blank and assign a reviewer. This is an editorial planning tool, not an assertion that every Italian owner has the same tax result. It is particularly useful when income may be recognized at different times in the two systems.
Unsure which documents belong in your filing?
Identify the recipient and the missing evidence before ordering translations or submitting identity records.
Assemble documents around their actual recipients
The state registry needs filing information; an agent or account provider may need identity evidence; the LLC itself needs ownership and authority records. The Wyoming Articles of Organization illustrate this separation: company name, registered-agent details, mailing and principal-office addresses, organizer execution and agent consent belong to that state’s formation packet. That is an example, not a nationwide document list.
| Packet | Prepare | Acceptance evidence |
|---|---|---|
| State registration | Name alternatives, state-specific fields, agent consent and organizer authority | Accepted Articles and registry identification |
| Private company records | Member names, percentages, capital commitments, management and signature rights | Executed operating agreement and member record |
| Identity and address | Passport and current residential evidence requested by the named provider | Provider confirmation that evidence is sufficient |
| IRS application | Agreed legal name, member count, responsible party and actual address | IRS assignment confirmation, not just submitted SS-4 |
| Italian review | Agreement, funding plan, projected activity and asset records | Adviser’s written classification and reporting instructions |
An Italian codice fiscale is useful to identify the owner in the cross-border records; it is not a substitute for a US taxpayer number where one is required. Preserve legal names as shown on identity documents, including both surnames where applicable. Explain any transliteration or address variation before the provider must ask why two records appear to describe different people.
For a corporate member, add its current registry extract, constitutional documents, ownership chain and the authorization for the investment and signatory. Ask the recipient whether it needs certified copies, translation or an apostille. Do not order legalization for every document by default: a private operating agreement, bank request and government filing may have different standards.
A broader recipient-specific overseas formation checklist can help distinguish public filing fields from private evidence. Keep the Italy-specific tax note beside the ownership records so a later preparer does not mistake a completed formation packet for completed Italian compliance.
File the state record against the agreed operating footprint
Select the state only after identifying US premises, workers and inventory. If all work is in Italy and there is no established US operating state, compare states against annual obligations and the commercial purpose of the entity. If there is US activity elsewhere, request a separate qualification and tax assessment for that location. Wyoming is used below to make the filing mechanics concrete, not as a recommendation for every Italian founder.
The underlying US company formation requirements start with a state entity and consistent legal records. For a Wyoming LLC, use the official WyoBiz portal or the state’s paper Articles, appoint the in-state registered agent, review the mailing and principal-office fields, authorize the organizer, and submit payment. Save the final submitted data and any reference number, then verify that the registry accepted the entity.
The current Wyoming fee schedule lists USD 100 for LLC Articles and an annual licence tax of at least USD 60, with the asset-based calculation capable of increasing that amount. These are government charges, checked October 30, 2026. Payment-channel charges, agent service, professional preparation, mailing, tax work and any other state are additional unless a written quote includes them.
Paper filing instructions allow up to 15 business days after receipt; they do not promise an operational company within that period. An online filing follows its own available workflow. If the state returns a name or address correction, correct the state record first and update the common data sheet before another recipient receives conflicting information. Keep the organizer’s role distinct from ownership: filing on your behalf does not make that person a member.
Prepare the international EIN application without invented US facts
Use the actual responsible party and the settled member count. Under the IRS SS-4 instructions , the online route has location and taxpayer-identification conditions. An Italy-based applicant who does not meet them should use an available international telephone, fax or mail route. A US mail service does not establish that the business is operated in America.
Reconcile the accepted company name, mailing address, principal location, business activity, formation date and closing month before signing. Ask the preparer to explain the entity-classification entries, particularly when requesting an EIN for a foreign-owned disregarded entity’s information reporting. A missing or unsuitable US identification number should be handled under the applicable instructions, never by entering a borrowed number.
IRS issuance itself is free. A paid service covers preparation and coordination. As a planning reference, IRS fax processing is generally about four business days and mail about four weeks after a complete application, subject to backlogs. Do not add those figures to an assumed instant state approval and promise a fixed launch date. Banking and licences have separate clocks.
Keep one application log with the method, date, signed form, transmission evidence and response destination. Avoid simultaneous requests through several providers. If a number has already been assigned but its letter is missing, investigate the existing assignment rather than automatically applying for another EIN. Completion means an IRS-issued number matched to the entity, with evidence acceptable to its next recipient.
Have owner payments already started?
Reconcile contributions, expenses and EIN facts before the reporting file becomes harder to rebuild.
Capture owner transactions before the first sale
The bookkeeping file starts when money is committed or paid for the LLC, not when the storefront opens. Create an owner transaction register containing date, payer, payee, currency, original amount, conversion basis, business purpose and supporting evidence. Distinguish contribution, loan, expense paid on behalf of the LLC, reimbursement and distribution; do not let bank descriptions make those decisions automatically.
| Event | Record now | Question for the preparer |
|---|---|---|
| Founder pays organizer from Italy | Invoice, payment proof and who legally incurred the expense | How is the owner-to-LLC transaction recorded? |
| Owner funds the US account | Transfer confirmation, currency conversion and contribution or loan approval | Which related-party reporting applies? |
| LLC reimburses an owner | Original invoice and reimbursement authorization | Is the payment correctly characterized? |
| Member or classification changes | Effective agreement, transfer evidence and election records | Does the return path change? |
For a foreign-owned US disregarded entity with reportable transactions, IRS Form 5472 instructions require Form 5472 attached to a pro forma Form 1120. Contributions and distributions can matter. The filing method and deadline must follow the entity’s instructions; a zero-revenue year does not establish that nothing must be filed. Have the preparer determine the first reporting period and extension procedure.
Do not conflate that tax information return with FinCEN’s BOI system. FinCEN’s current BOI notice confirms the exemption for US-created companies under the rule effective August 14, 2026. It does not eliminate IRS information returns, Italian disclosures or account-provider identity checks. Retain ownership evidence despite the domestic BOI exemption.
Assign the calendar, budget and account handover
Build the workplan from dependencies. Structure and Italian review precede final ownership instructions; accepted state records feed EIN preparation; tax and licence screening can run alongside account preparation. Account approval remains conditional. Never schedule customer receipts solely against the date on which the filing service expects to send the Articles.
For Wyoming, the annual-report portal ties the deadline to the first day of the anniversary month. Record the first due date from the actual formation record. Add agent renewal, federal return preparation and the applicable Italian filing calendar. Allocate monthly bookkeeping and a named backup for official correspondence while you travel.
Separate one-time government filing, agent and address subscriptions, professional work, tax setup, licences, translation or certification, bank charges, monthly accounting and annual returns. No approved current all-in service quote is provided here. Require each supplier to identify its term, renewal, exclusions and invoicing taxes. Capital and a bank opening balance remain company funds, not formation fees.
For account preparation, confirm the provider’s current country and business eligibility, accepted address evidence, ownership documents and EIN proof. Mercury’s address requirements illustrate why a real operating address differs from agent or mail handling. That policy is provider-specific; another institution may require different evidence or attendance. Immigration is separate too: owning the LLC does not authorize work in the US.
Release the Italy-to-US LLC file only when the handoffs agree
Proceed when the Italian treatment has been reviewed, the legal owner and state have been selected, and each recipient’s evidence is available. Give the organizer the approved state data; give the EIN preparer the accepted legal facts; give the accountant the ownership and transaction register. Each handoff should identify who accepts the result and what proves completion.
Pause if the plan depends on an unconfirmed Italian classification, a fabricated US operating address or an account that has not accepted the founder’s profile. Resolve that dependency before transferring substantial funds. The clean launch file contains accepted state records, executed ownership documents, IRS assignment evidence and a calendar with accountable people; an account or licence can remain a separately tracked approval.

Frequently asked questions
Is an Italian passport enough to complete the whole setup?
No. It proves identity; ownership authority, addresses, IRS application facts and provider-specific evidence serve different purposes.
Should I automatically translate every Italian document?
Ask each recipient first. Translate or certify the records it requires and preserve a link between the original and translated versions.
What if I move from Italy after formation?
Tell the tax advisers and relevant providers. Reassess residence, business location, correspondence and reporting instead of assuming the original analysis remains valid.
Can I use a personal account until the company account is approved?
Ask the account institution and accountant before doing so. Keep every payment attributable to its real payer and recipient; an account’s terms and company records still matter.
