OVERSEAS FOUNDER DOCUMENTS
US Company Formation from Overseas: A Document Preparation Checklist
Organize the right evidence for each recipient before releasing your formation file.
A state formation certificate is only one part of an overseas founder’s document file. The state registry, the company’s own records, the IRS and a prospective account provider use different information. For US company formation from overseas, begin with the chosen state and entity type, then separate filing documents from private evidence. An existing non-US company seeking authority to operate in a state follows a different document route from a founder creating a new US LLC or corporation.
Key takeaways
- The selected state’s current LLC or corporation instructions determine the filing attachments; an overseas address alone does not create a nationwide document list.
- Ownership and signing authority need their own records, even when a basic formation certificate does not name the owners.
- Build the later EIN input sheet from approved company facts so that entity names, member counts and responsible-party details are reconciled before application.
- An unexplained request for an apostille, notarization or passport should be traced to the named recipient and purpose before you order or upload evidence.
- Release a checked version of each packet, with unresolved differences assigned to a person who can approve the correction.
Build a checklist around the document recipient
For a new US LLC or corporation formed by an overseas individual or corporate founder, prepare a state filing packet, private ownership and authority records, and a later EIN information sheet. Add foreign certificates or identity evidence when the applicable authority or provider requires them. Use the ledger below as a preparation tool; its release checks are editorial controls, not an additional government form.
| Packet | What to prepare | Recipient | Release check |
|---|---|---|---|
| New US entity filing | Current state formation document, required fields, execution and submission details | Selected state registry | Correct entity form; required attachments identified |
| Ownership and governance | Member or shareholder details, agreed interests, governance document and signing roles | Company records; authorized advisers | Owners approve the same structure used elsewhere |
| Corporate founder evidence | Relevant parent registry record, governance extracts and approval or delegation evidence | Parent officers or a requesting recipient | Authority and requested evidence confirmed for that parent |
| EIN preparation | Entity facts, responsible-party details and applicable SS-4 information | IRS at the application stage | Legal name and entity information checked against final records |
| Existing foreign entity registration | Authority application and the destination state’s required existence evidence | State admitting that existing entity | Foreign-entity route and document format verified |
| Provider evidence | Only the identity, ownership, address or business evidence actually requested | Named bank or other provider | Current instructions and submission channel confirmed |
The SBA’s registration guidance distinguishes formation documents, internal governance records and foreign qualification. The state-specific examples below show why those categories should stay separate. Mark an item “conditional” until its trigger is established, rather than treating every possible record as an attachment required everywhere.
Confirm which document file you need
Identify the intended entity, formation state and founder type before arranging copies or gathering sensitive evidence.
Extract the state filing fields before attaching evidence
The filing document is specific to the chosen state and entity. Delaware illustrates the difference between a basic LLC certificate and a stock corporation certificate; it is not a default state recommendation. These official templates were checked on October 24, 2026.
New LLC: confirm the name, agent and execution
Delaware’s basic LLC formation template calls for the LLC name, Delaware registered office and registered agent, plus an authorized person’s signature and legible name. Its instructions also request a cover letter with submitter contact details. Prepare those entries from an approved facts sheet and confirm the agent’s exact name and address before the signer executes the document.
New corporation: resolve the share fields first
The Delaware stock corporation template includes a purpose clause, authorized shares and par value, and the incorporator’s name, mailing address and signature. Have the proposed share structure checked before signing. A completed incorporation form does not replace the private records showing who actually receives shares.
Neither of these basic Delaware templates asks for a passport or SSN attachment. A separate adviser or provider may still request identity evidence for its own process. Those state-facing fields belong to the underlying task of US company formation ; keep the filing draft distinguishable from the owners’ private evidence folder.
Prepare the private ownership and authority file
Record who will own the new entity and who can act for each founder. The SBA describes LLC operating agreements and corporation bylaws as internal governance documents, distinct from formation certificates. Use that distinction to prepare the company’s decision records without assuming that every private document belongs in the state submission.
For an individual founder, record the legal name, contact information, agreed ownership interest and relevant signing role. Keep an approved record of contributions or share subscriptions appropriate to the chosen structure. If identity evidence is requested, check whose identity must be evidenced and whether the requested copy must show a residential address, signature or other specific detail.
For a corporate founder, ask the parent’s authorized officers or counsel which approvals and delegations its own governance requires. As a preparation recommendation, index the relevant registry record, constitutional extracts, ownership chart and investment approval or signing delegation where applicable. Parent-company authority is a separate question from whether the US filing form has been filled in correctly; no single corporate approval format applies to every overseas jurisdiction.
List formation signer, owner representative, IRS responsible party and proposed account signatory as separate roles. One person may hold several, but that should be deliberate. Give each document an owner, version date and intended recipient so that the same approved facts feed the separate packets shown here.
Check foreign certificates and translation requests
Order a certified or translated record only after identifying the exact document and its destination. Ask the recipient to confirm the issuing authority, acceptable age, original or copy format, language, and any notarization or apostille requirement. Record the answer beside the request. A generic instruction to “legalize all documents” leaves too many decisions unresolved.
Existing foreign-entity registration can create a specific certificate requirement. For example, New York’s foreign LLC authority instructions require an existence certificate from the relevant formation-jurisdiction official, dated within one year. That is a condition for an existing entity applying as a foreign LLC in New York, not a requirement triggered merely by an overseas person owning a newly formed US LLC.
New York LLC Law section 802 also requires an English translation under the translator’s oath when the specified certificate or certified organizational copy is in a foreign language. Do not generalize that exact translation standard to other states or recipients. Confirm the route and source document before commissioning the translation.
A parent company’s registry certificate concerns the parent; it is not the formation certificate of its new US subsidiary. Preserve the connection between each source record and any translation. If names, registration numbers or dates disagree, resolve the discrepancy with the issuer or responsible adviser before circulating a supposedly final packet.
Resolve an unclear evidence request
A certificate, translation or authority gap needs a defined recipient and requirement before you commission additional paperwork.
Prepare EIN inputs without confusing them with formation
Build the EIN information sheet from the final entity records. The IRS Form SS-4 instructions cover the legal name, correspondence and physical addresses, responsible party, LLC details and other applicable business information. Check member count and intended tax treatment; “LLC” alone does not settle every IRS classification field.
The IRS responsible party must be a natural person unless the applicant is a government entity. Line 7b permits “foreign” or “N/A” when that person lacks and is ineligible to obtain an SSN or ITIN; the field cannot simply be omitted. A corporate founder should therefore identify the appropriate individual rather than automatically entering the parent company in that role.
Online EIN eligibility has US location and taxpayer-identification conditions. Check the applicable telephone, fax or mail route when those conditions are not met, and prepare the required signature or designee authorization. Keep a copy of the application and the resulting EIN notice as separate records.
Reconcile the packet before the overseas handover
Run a comparison across the actual drafts, not just the checklist. The goal is consistent meaning, not making every address or role identical. A registered office, a correspondence address and the physical business location have different purposes; label each one and use the address called for by the relevant field.
- Compare legal names, entity suffixes and registration identifiers against the source records. Keep trade names distinguishable from legal names.
- Check ownership interests, share information and member counts against the approved governance records. Escalate a changed ownership instruction before sending dependent applications.
- Match each signature block to the person’s stated capacity and supporting authority. Confirm that the signed version is the version approved for release.
- Review certificate dates, translations and attachments against the named recipient’s instructions. For an existing foreign LLC seeking New York authority, the official application notes specifically require matching entity names and formation dates across the application and existence evidence.
- Save the final submission copy, delivery record and any correction request together. Assign one contact to manage replacement versions so that a response does not accidentally restore obsolete facts.
Prepare provider evidence separately from the state handover. The SBA lists formation documents and ownership agreements among common bank requests, while noting that banks may ask for more. The documentation checks before a remote banking application concern that later verification stage; a filing receipt does not by itself settle a provider’s evidence requirements.
Document preparation is complete when the checked packet can be handed to the intended recipient. State acceptance is a later event: Delaware’s templates say a stamped filed copy is returned after filing. Retain the accepted document when received and keep any later EIN, licensing or account outcome separately identifiable.
Release the formation file only when its evidence agrees
Release the state packet when the correct form, approved entries, required attachments and authorized signature are settled. Hold it if a document identifies the wrong entity, an ownership change has not been approved, or a certificate or translation condition remains unresolved. Assign the open item to the issuer, founder representative or adviser who can actually resolve it.
For an overseas handover, name one person to maintain the master record and confirm which version each recipient received. The useful endpoint is a controlled, usable formation file with a clear record of conditional items. A larger collection of unverified scans is not a substitute for that readiness test.
Turn the checked records into a submission plan
Bring the approved facts, document index and any unresolved recipient requirements to the formation discussion.
Frequently asked questions
Can I finalize a document checklist before selecting a state?
You can inventory existing owner records and identify missing authority evidence. Finalize the state-facing checklist after the entity and state are chosen, because the official form determines the fields and attachments.
Should I automatically order certified copies of the new US filing?
First identify who needs them and in what form. Delaware’s templates distinguish the stamped filed copy from an additionally requested certified copy. A recipient’s request should determine the copies you order.
What if the foreign registry does not issue an existence certificate?
For the New York foreign LLC route discussed above, section 802 provides alternatives involving certified organizational records and amendments. Confirm which statutory alternative fits the formation jurisdiction; do not substitute an informal database screenshot without checking acceptance.
Does an EIN third-party designation authorize all later dealings?
No. Under the SS-4 instructions, that designation concerns answering application questions and receiving the newly assigned EIN; its authority ends when the EIN is assigned and released. Other transactions need their own applicable authority.
