Forming a US LLC from New Zealand: Documents, EIN and Compliance
Build the records needed to reconcile the US entity with its New Zealand tax treatment.
For a New Zealand-based founder forming a US LLC, the main compliance risk is assuming the US tax label works the same way at home. Prepare the owner, management and classification facts before filing, then retain the accepted state document, operating agreement, EIN assignment and transaction evidence needed by both preparers. A certificate cannot resolve a classification mismatch.
The route below uses Delaware as a bounded filing example and distinguishes single-member from partnership treatment. It does not assume a particular FIF or CFC result, foreign-tax credit, bank approval or permission to operate.
Key takeaways
- A New Zealand classification and residence review should precede reliance on a US pass-through description.
- The current IRD public rulings cover specified partnership arrangements and should not be applied automatically to a disregarded single-member LLC.
- Formation, ownership and tax evidence need clear custodians and consistent data.
- Delaware’s current formation fee and LLC annual tax come from different government schedules.
- A profit–tax–distribution bridge gives both preparers the evidence needed to evaluate reporting and relief.
Prepare the New Zealand classification brief before the LLC documents
The document most likely to change the structure is the tax-classification brief, not another certified copy. A New Zealand-based founder should establish the intended members, US federal classification, place of management and New Zealand treatment before assuming the LLC is a simple pass-through in both countries. The result affects which records the owner must obtain and how income, tax and distributions will be reconciled.
The IRS LLC classification rules ordinarily disregard a domestic single-member LLC for federal income tax and classify a domestic multi-member LLC as a partnership, unless an eligible election changes that treatment. That federal starting point does not determine New Zealand classification. One legal entity can create different tax records in the two countries. The agreement, actual ownership and any election must accompany the label “LLC” in the adviser’s instruction.
Inland Revenue’s BR Pub 23/09–23/13 public rulings address specified US LLC arrangements taxed transparently as partnerships in the US and as foreign companies in New Zealand. They examine different FIF and CFC situations and double-tax relief, and are stated to apply from June 26, 2023 to June 25, 2028. Do not automatically apply those partnership rulings to a disregarded single-member LLC; have the adviser identify the relevant law and conditions for the actual arrangement.
Company residence comes before assuming a foreign-company regime. Inland Revenue’s CFC guidance notes that a company may be New Zealand tax resident through a head office, centre of management or controlling directors there. A US certificate does not settle that question. Ask where decisions will be made and whether treaty rules affect the conclusion before choosing a CFC or FIF workstream.
Resolve the classification starting point
Bring member count, management location and proposed distributions into the two-country review.
Collect three document bundles with clear ownership
Keep formation instructions, private ownership evidence and tax records in separate but connected bundles. The following checklist identifies what each bundle proves. It is designed for a new ordinary LLC with an individual or corporate New Zealand owner; recipient-specific identity, translation and certification requirements must still be confirmed.
| Bundle | Documents or data | What it proves | Responsible custodian |
|---|---|---|---|
| Formation instruction | State, name, agent, address purposes, authorized signer | The approved facts the organizer may submit | Founder or appointed company officer |
| Ownership and authority | Identity evidence; operating agreement; any parent existence and authorization records | The legal members, control and authority for the investment | Members or the parent’s authorized decision-maker |
| Tax and transactions | Classification brief, signed SS-4, EIN evidence, funding and expense ledger | Federal identity and the facts for the two-country filing review | Company record owner with US and NZ preparers |
For a corporate owner, gather current company details, governing documents, the investment approval and signer authority. For an individual, reconcile the identity spelling and current address with the English data sheet. A person can be a member, manager, organizer or designee in different capacities; record the authority for each rather than assuming one identity document proves all roles.
Ask the receiving bank, registry or adviser which documents need certification, translation or authentication and how current they must be. Ordering an apostille for every document can add cost without resolving the actual requirement. Recipient-specific acceptance should guide paid document preparation. Keep the original, approved transcription and any translation together so a later reviewer can explain differences.
The overseas company document preparation sequence helps organize those evidence functions. It does not replace the New Zealand classification brief. A binder is useful only if its documents agree on the entity, owners, dates and authority, and remain accessible when the formation provider’s engagement ends.
Use a Delaware filing example without making it the default state
Delaware is a worked route, not an automatic recommendation for a New Zealand founder. Review the actual US operating state first, including staff, premises, stock and local contracting authority. SBA registration guidance explains why an entity formed elsewhere may need foreign qualification and recurring obligations in the state where it operates. The state choice should follow the business and tax review rather than the availability of a convenient template.
- Approve the LLC name and state instruction. Check name availability using Delaware’s official resources and confirm the permitted LLC designation.
- Appoint a Delaware registered agent. Obtain the agent’s exact name, registered office and consent or service confirmation for the filing.
- Prepare the Certificate of Formation. Verify the legal name, registered office and agent, and authorized execution against the approved instruction; keep member and management terms in the appropriate internal records.
- Confirm the current fee and submit. Use Delaware’s Document Filing and Certificate Request Service or the permitted mail route, retaining the cover sheet, payment and submission evidence.
- Obtain and reconcile the accepted certificate. Save the filed record and entity identifier, check the name and effective details, and use the registry correction route if a discrepancy appears.
- Execute the operating and funding records. Complete the agreement, management authority and initial contribution record before treating the company file as organized.
Delaware’s official formation instructions describe the filing route. Its fee schedule revised August 1, 2026 lists USD 110 for domestic LLC formation, separate from certified copies and expedited service. Some older template PDFs show obsolete charges, so use the current schedule at submission. State acceptance and internal organization are different milestones. Neither is a federal tax clearance or financial-provider approval.
The underlying United States company registration requirements concern forming the legal entity. US tax accounts, local licences, bank onboarding and any right to work in the US require separate review. A registered-agent office receives legal documents; it should not be described as the company’s actual workplace unless that is factually correct.
Create the EIN evidence trail from a single eligible application
Prepare SS-4 from the accepted company record and the real control facts. Identify the responsible party, member count, tax classification, business purpose and mailing information using the IRS SS-4 instructions . A New Zealand IRD number is not a replacement for an SSN or ITIN field. Where the responsible party lacks and is ineligible for those identifiers, follow the specified “foreign” or “N/A” direction rather than inventing a number.
Applicants without the required US residence, principal place of business or principal office or agency cannot use the online EIN application. International applicants can use the available phone, fax or mail route subject to IRS eligibility. Keep the authorized signer and any third-party designee documented. A paid coordinator is not automatically the responsible party, and an agent address does not change the location of the actual business.
The IRS assigns EINs without a government fee. It describes fax assignment generally within four business days and mail assignment in approximately four weeks, with a four-to-five-week lead recommended when mailing. These are method-specific IRS estimates after an appropriate request, not an end-to-end formation and banking guarantee. Use one application method and keep the signed SS-4, authorization, transmission evidence and assignment notice. Investigate a delay before submitting again.
Treat the EIN as one acceptance item in the file. If a financial provider requests IRS-issued evidence, supply its accepted assignment record rather than a draft application. If the legal name or responsible-party details change, identify the relevant IRS update procedure and any separate state or provider update; changing a field in the internal spreadsheet does not update the authorities.
Verify the federal identity record
Confirm the accepted state details, responsible party and EIN assignment evidence remain consistent.
Reconcile profit, foreign tax and distributions across the two returns
The year-end file should bridge company accounting to the owner’s actual US and New Zealand positions. The original worksheet below identifies the evidence needed for that bridge. It does not select a FIF method, determine CFC status or guarantee a foreign-tax credit. Those outcomes require the classification, ownership, residence and applicable-rule review established before formation.
| Event or balance | US question | New Zealand question | Evidence to preserve |
|---|---|---|---|
| Initial funding and owner expenses | Contribution, loan or other related-party transaction? | Investment basis, funding character and any disclosure? | Authorization, invoices, currency and bank trail |
| LLC accounting profit | Which taxpayer and return recognize the income? | Which residence, company, FIF or CFC rules apply? | Accounts, member interests, elections and management facts |
| US tax paid or withheld | Who legally paid which tax, for what income and period? | What relief is available under the applicable rules? | Returns, assessments and payment or withholding evidence |
| Cash distributed to member | Reporting and owner-level consequences? | Dividend, prior-attribution or other treatment? | Distribution approval and prior-year reconciliations |
| Different reporting periods | Which US tax year and transaction dates apply? | How are amounts allocated to the relevant NZ year? | Period bridge and documented currency conversion |
For a foreign-owned US disregarded entity, reportable related-party transactions can require Form 5472 with a pro forma Form 1120. The IRS instructions include certain formation, contribution and distribution transactions and prescribe special filing procedures. A multi-member LLC requires its partnership return and foreign-member analysis instead. Do not attach the single-member return list to a partnership merely because both are LLCs.
Inland Revenue’s tax-resident guidance generally brings worldwide income into the New Zealand review even when funds remain abroad, with possible temporary exemptions for eligible new or returning residents. Its overseas-income reporting instructions require the relevant income and claimed foreign-tax credits to be identified by type and jurisdiction, including the IR1261 summary where applicable. An overseas bank statement alone will not provide the necessary classification or relief evidence.
Where the LLC is a CFC, IRD guidance distinguishes control, income interests and active or non-active treatment, with disclosure considered separately. A management or residence conclusion can change whether that foreign-company route applies at all. Do not treat every US tax payment as an automatic New Zealand credit. Preserve the taxpayer, income type, period and payment proof so the adviser can apply the correct relief provisions.
For Delaware maintenance, current LLC tax instructions require an annual USD 400 tax generally due June 1 for the prior year, with no LLC annual report to the Division of Corporations. The amount reflects the 2026 rule checked October 28, 2026. Agent, address, bookkeeping, returns, other-state duties and actual operating taxes are separate costs. FinCEN’s current BOI regime exempts US-created entities but does not remove IRS, bank or New Zealand reporting.
Close the New Zealand LLC handoff with a reconciled compliance file
The handoff is complete when the state and ownership records agree, the EIN belongs to that entity, and the US and New Zealand preparers have the classification, residence, transaction and foreign-tax evidence they need. Record who controls the documents, who submits each return and which event requires the analysis to be revisited.
Pause if the plan treats a partnership ruling as automatic authority for a single-member LLC, assumes management from New Zealand has no residence consequences or counts an unsupported foreign-tax credit as cash available to withdraw. Resolve those questions before funding or distributions depend on them. Banking and operating permissions remain separately documented outcomes.
Complete the two-country evidence bridge
Assign the accounting, foreign-tax proof and return records still needed before the file can be accepted.
Frequently asked questions
Can the 2023 IRD partnership rulings be applied automatically to my one-member LLC?
No. Their stated arrangements concern US partnership treatment and New Zealand foreign-company treatment. The adviser must establish the law and conditions for a disregarded single-member arrangement.
Does a Delaware certificate prove the company is not New Zealand tax resident?
No. The location of incorporation is only part of the residence analysis. IRD identifies management, head-office and controlling-director factors that can also matter.
Should I use an old certificate template’s fee figures?
Use the current state fee schedule and tax instructions at submission and payment. A template can remain useful for fields while its printed fee amounts are outdated.
What if US and New Zealand reporting periods differ?
Keep a period and currency bridge explaining the amounts used in each return. Do not simply copy one country’s annual totals without testing the appropriate recognition and reporting rules.
