Partners, property and personal exposure
General Partnership Registration in the Philippines: Partners and Filings
Resolve the partners’ agreement before the SEC application turns it into a public registration record.
General partners in the Philippines can expose their personal assets to partnership obligations. To register, settle who the partners are, what each contributes and who can bind the firm, then prepare the Articles of Partnership and apply through SEC eSPARC. The current selector places General Partnership under Regular Only. A land contribution needs special formalities; filing cannot cure an invalid partnership contract.
Plan from an agreed, legally valid contract to SEC recording, followed by separate tax and local approvals. The SEC Regular Processing page states a review-status notice within seven working days; that is not a certificate or operating-start guarantee. Signing, corrections and conflicting public hardcopy instructions prevent a reliable nationwide end-to-end day range. These source checks are current as of November 5, 2026.
Key takeaways
- Accept personal exposure before selecting general partnership; separate legal personality does not create corporate limited liability.
- PHP 3,000 is the Civil Code threshold for a public instrument and SEC recording of money or property capital, not a universal minimum investment.
- Record an industrial partner’s services and profit entitlement instead of treating the person as a shareholder with unpaid stock.
- An immovable-property contribution needs a signed inventory attached to the public instrument; an omitted inventory can invalidate the contract.
- Keep the SEC reference, payment evidence and Certificate of Recording, then verify the BIR and local operating approvals separately.
Choose partners who can commit the promised contributions
A partnership requires at least two persons agreeing to put money, property or industry into a common fund and share profits. Its object must be lawful and serve their common benefit. Under Civil Code Articles 1317–1318 and 1767–1770 , check legal capacity to consent and the authority of anyone signing for another person. A passport or identity card proves identity; it does not resolve a capacity or representation problem.
Make a partner schedule before encoding the application: legal name, nationality, residential address, identification and tax details, contribution description, agreed value, delivery date and intended role. If an entity is proposed as a partner, establish its power to participate and its representative’s authorization before accepting its signature. Keep the underlying authority documents with the formation record.
For a foreign partner, screen the precise activity against special laws and the 13th Regular Foreign Investment Negative List . Nationality and capital restrictions depend on the business, and professional practice needs its own eligibility analysis. Do not infer an unrestricted foreign partnership merely because eSPARC accepts a nationality field. A general commercial partnership and a professional partnership are separate choices in the SEC selector.
Describe service contributions in measurable terms: the work promised, when it begins and the agreed profit share. Identify cash and property independently. Industry is a valid type of contribution , but a services-only arrangement raises different recording inputs from a fund containing cash or assets. Resolve those inputs with the processing office before submission.
Settle the partner commitments
A review of the proposed partners, activity and contribution schedule can identify capacity or eligibility issues before documents are signed.
Match the Articles of Partnership to the assets contributed
Prepare articles that state the firm name, purpose, principal office, term, partners, contributions and management arrangement. Record profit and loss allocation, accounting access, admission or withdrawal arrangements and how the business will be wound up. These drafting decisions give the public filing a coherent contract to record. Articles 1771–1773 impose the formalities below; they are distinct from the fields requested by the SEC portal.
| Your arrangement | Legal consequence | Preparation or repair |
|---|---|---|
| Money or property capital totals PHP 3,000 or more | The contract must appear in a public instrument and be recorded with the SEC. | Arrange the public instrument and reconcile its capital schedule with the application. |
| Immovable property or real rights are contributed | A public instrument is necessary regardless of the cash amount. | Identify the asset or right precisely; obtain legal review of ownership and transfer formalities. |
| Immovable property itself is contributed | Without a signed inventory attached to the public instrument, the partnership contract is void. | Have the parties sign the inventory and attach it before treating the contract as valid. |
| Only industry, or money/property capital below PHP 3,000 | The monetary recording trigger in Article 1772 is not met on that fact alone. | Do not treat the threshold as a blanket registration exemption; establish the SEC, tax and activity requirements for the actual business. |
The PHP 3,000 threshold is a form-and-recording rule. It does not establish the amount every partnership must invest. Nor does keeping stated cash below that figure remove the special rule for immovable property or real rights. Examine the entire contribution arrangement rather than the cash line alone.
Article 1768 gives a partnership its own juridical personality even if Article 1772’s first paragraph is not complied with. That rule does not waive the recording duty or cure Article 1773’s invalidity. Article 1772 also preserves third-party liability despite noncompliance. Within the wider Philippine company registration process , this is a reason to separate contract validity, public registration and permission to operate.
Use the contribution check before finalizing either the articles or portal data. A discrepancy between the asset schedule and the filing is a drafting issue to resolve, not something to leave for the payment stage.
Fix signing authority with personal liability in view
A general partnership has no automatic liability shield for its partners. Articles 1816–1818 and 1822–1824 distinguish authorized contractual obligations from specified wrongful acts and misapplication of third-party money or property. For covered contracts, all partners, including industrial partners, are liable pro rata with their property after partnership assets are exhausted. For the liabilities covered by Articles 1822–1823, partners are solidarily liable with the partnership.
An internal agreement allocating losses is therefore not the same as protection against creditors. Article 1797’s treatment of an industrial partner’s internal losses must be read alongside Article 1816’s express inclusion of industrial partners in contractual liability. Avoid a promise that a services contributor has no personal exposure simply because the articles allocate no internal losses to that partner.
Every partner is an agent for the business. An act apparently carrying on the usual business can bind the partnership unless the acting partner lacks authority and the counterparty knows it. Internal signing limits alone may not protect the firm when the counterparty lacks that knowledge. Transactions outside the usual business require authorization under the Code’s rules.
Build an authority schedule alongside the articles: who signs routine supply contracts, who approves borrowing, when two signatures are needed, who controls collections and who submits filings. Give banks and relevant counterparties the applicable authority evidence; retain acknowledgements where appropriate. A filing representative’s permission to submit forms should not be confused with power to borrow or dispose of assets.
Agree how decisions are made when partners disagree or a partner leaves. The Code supplies management and dissolution rules, so silence has consequences. Obtain legal advice on bespoke restrictions and continuity provisions before the first material contract is signed.
Test the proposed signing powers
Review the management clauses and authority schedule against the transactions the partnership expects to enter, including borrowing and customer collections.
File through eSPARC’s General Partnership route
Use Regular Processing, then Regular Only , and select Partnership → General Partnership. The specific selector lists partnerships there, even though general SEC promotional text discusses ZERO more broadly. Do not assume an entirely digital signing route applies. The linked Regular Processing user guide describes an email-and-OTP application and retrieval process; its corporation screenshots are not a partnership capital template.
- Choose the processing office and enter a working email and the applicant or authorized representative’s contact details. Verify the email using the one-time passcode. Keep access with the person responsible for following SEC notices.
- Enter the proposed firm name and the correct partnership type. Complete name verification, address any name objection through the available correction or appeal function, and note the reservation expiry shown in the application. An available name is not registration approval.
- Enter the business purpose, Philippine principal office, business contacts, partner information and contribution details in the fields displayed for that entity type. Reconcile every name, amount and address with the agreed articles and authority records. Complete the requested beneficial-ownership declarations.
- Review the generated forms and any required attachments, complete the declarations and submit. Save the Application Reference Number, submission date and notification email. Retrieve the application with the reference, registered email and OTP to inspect its status or make requested corrections.
- Download the applicable registration documents and obtain the required partner signatures and authentication or notarization. Follow the application-specific document instructions: the guide expressly treats partnerships differently from corporations in its upload discussion. Resolve the paper-delivery requirements described below before payment and dispatch.
- Pay only when the application is qualified for payment, using the Payment Assessment Form and offered channel, such as eSPAYSEC or Landbank over the counter. Preserve the payment reference and confirmation. Complete the required original-document delivery and certificate-release instructions for the selected office.
The Regular Processing terms identify the partnership’s issued record as a Certificate of Recording. Preserve that certificate with the SEC registration number, filed articles, payment confirmation and submission evidence. If a digital record or download link is issued, save it and verify the remaining original-document obligations. A draft status, name reservation, PAF or payment receipt alone does not demonstrate completed recording.
Resolve document instructions before the payment clock starts
The public SEC materials do not give a consistent hardcopy rule. The current Regular selector says two originally signed, authenticated or notarized copies within 60 calendar days from approval. Its linked 2022 guide, page 1 , specifically discussing partnerships, says four sets within 30 calendar days from payment; later guide text uses 60 days. These are different quantities, triggers and periods.
Ask the selected SEC office for written instructions tied to the application reference: required sets, signing method, whether uploads are needed, delivery address, deadline trigger and original-certificate release. Resolve conflicting notices before payment; do not silently choose the longer period. Once the office clarifies, give the delivery task and deadline to a named person and retain courier or receiving evidence.
Budget the official SEC charge from the PAF generated for this application. Keep notarization or authentication, courier costs, any property-transfer costs and professional fees separate from the assessment. Partner capital remains partnership funding, not a registration service fee. No fixed provider quote or nationwide all-in amount follows from the SEC assessment.
For a name or data objection, correct the existing application in line with the compliance notice and resubmit through the available workflow. Reconcile revised forms before signing again. If payment is not reflected, match the transaction evidence to the application before making another payment. Escalate an unexplained status to the selected office with the reference and relevant notice attached.
Hand the recorded partnership to BIR and the local permit team
The BIR non-individual registration checklist, CDR F1103 , page 4, provides for an ORUS account and electronic Certificate of Registration, or BIR Form 1903 for manual filing. Its partnership documents include the SEC Certificate of Recording and Articles of Partnership. It specifies PHP 30 loose documentary stamp tax for the registration certificate, with invoice printing costs separate. Confirm the selected channel and jurisdictional Revenue District Office before submitting.
Assign a tax representative to establish the correct tax types, books and compliant invoicing arrangements. An SEC record or a TIN alone is not proof that those arrangements are complete. If Philippine Business Hub is offered after SEC registration, retain its resulting agency confirmations and check which tax or employer steps remain outstanding rather than submitting duplicate registrations.
For the premises, confirm barangay clearance and the mayor’s or business permit with the relevant city or municipality, together with activity-specific clearances. Local Government Code Section 152(c) establishes the barangay-clearance link to local permits. The practical national and local approval requirements depend on the activity and location; inspect those requirements before committing to premises that may be unsuitable.
Keep a handoff file containing the SEC record, BIR registration and tax obligations, books and invoice evidence, local permits and any sector authorization. Record who monitors recurring filing and renewal obligations. Employer registrations, bank KYC and any foreign person’s work authorization need their own completion checks; the partnership certificate does not decide them.
Pause a partnership filing when the contract cannot support it
Proceed when the partners can validly commit their contributions, accept the liability rules, approve the authority arrangement and produce articles that match the application. Make the contribution schedule the first control document, then resolve the selected SEC office’s paper instructions before payment.
Pause if property ownership or capacity is disputed, an immovable-property inventory is missing, foreign participation has not been cleared, or a partner expects limited personal exposure from a general partnership. Those are reasons to settle the legal arrangement or reconsider the entity before filing. After recording, use the tax and permit handoff to determine when the intended business can begin.
Bring the agreed partnership to filing
Use the settled articles, contribution schedule and SEC instructions to define the remaining registration and operating-approval work.
Frequently asked questions
Does co-owning an asset automatically create a partnership?
No. Article 1769 distinguishes co-ownership and sharing gross returns from the existence of a partnership. Examine the agreement and conduct rather than assuming that joint title or shared receipts settles the issue; see the Civil Code partnership tests .
Can an employee use the title “partner” without becoming legally exposed?
Titles and representations can matter. Article 1825 addresses liability where someone holds themselves out, or consents to being held out, as a partner and another person extends credit in reliance. Review proposed public descriptions against the holding-out rule .
What should an incoming partner check about existing debts?
Article 1826 addresses pre-admission obligations and generally limits that liability to partnership property unless otherwise stipulated. Inspect the existing obligations and admission agreement before joining; the Code’s incoming-partner rule is separate from the rules for new business contracted after admission.
What if an error is found after the Certificate of Recording is issued?
Contact SEC about the appropriate correction or amendment route. The Regular Processing terms provide for post-evaluation and distinguish certain curable minor errors from false or fraudulent information that can lead to revocation. Retain the notice and obtain the office’s procedure instead of informally altering filed articles.
