APPLICATION ROUTE AND DOCUMENT CONTROL

Hong Kong Business Registration Application: Forms and Documents

Choose the filing route before collecting evidence, and keep submission proof separate from the certificate.

A Hong Kong business registration application uses different forms according to the applicant: a new local company applies through the Companies Registry’s one-stop service, while a sole proprietor or partnership generally applies directly to the Inland Revenue Department. Select the legal applicant first; a folder of director passports does not, by itself, identify the correct application.

For a local company, the incorporation form, articles of association and IRBR1 travel together. Other businesses need the prescribed business registration form and identity evidence for their particular structure. The document matrix below separates these statutory inputs from extra material a bank or service provider may request.

Key takeaways

  • The legal applicant determines the form; a trading name alone does not identify who must register.
  • An unincorporated business generally registers within one month of commencing business, whereas local incorporation uses the one-stop route.
  • Non-resident ownership can create additional agency and commencement-evidence questions for sole proprietors and partnerships.
  • Keep payment and submission acknowledgements, then check the issued certificate against the application record.
  • Business registration does not create a limited company or authorize a regulated activity.

Match the applicant to the correct filing route

Start by writing the applicant’s legal name and structure on a cover sheet. A local company limited by shares, an individual trading under a business name and an overseas company are different applicants, even if they sell the same product. The form follows the legal applicant, not the appearance of the business name.

Applicant or event Core form route Record that anchors the application
New local company limited by shares NNC1 + articles + IRBR1 through CR Proposed company, founder member and officers
Individual carrying on business Form 1(a) to IRD Owner’s identity and actual business particulars
Ordinary partnership Form 1(c) to IRD Partners’ identities and partnership particulars
Body corporate outside a one-stop application Form 1(b), where applicable Foreign incorporation certificate or equivalent
Branch of an existing business Form 1(d) Existing business and separate branch particulars

The IRD applicant-and-form table is the controlling starting point for direct applications. A non-Hong Kong company registering through the Companies Registry instead uses NN1 with the relevant supporting records and IRBR2; do not substitute the local-company IRBR1.

For a new local company, Hong Kong company registration requirements establish the underlying entity before the certificate is used in contracts or onboarding. Business registration is one part of that formation record, rather than an alternative means of obtaining limited liability.

Check the applicant before choosing a form

Identify whether the filing belongs to a company, proprietor, partnership or branch.

Build a document pack that fits the legal applicant

Use a three-column working schedule: each requested item, the person responsible for providing it, and the record against which it will be checked. This is an editorial control method, not an additional government form. It prevents a common administrative failure: every file is present, but the files describe different applicants, dates or addresses.

For an individual, prepare the relevant identity-card or passport copy. For a partnership, collect the appropriate identity evidence for all partners. A corporate applicant needs its incorporation certificate or equivalent; a document outside English or Chinese requires the certified translation specified by the IRD. The Business Registration Office’s brief guide explains the prescribed application framework.

For a local-company one-stop submission, reconcile NNC1 or the appropriate incorporation form with the articles and IRBR1 . The Companies Registry incorporation instructions identify the package. Do not replace an article document with a service-provider checklist, or assume that an identity pack substitutes for a signed incorporation filing.

Where the sole owner or all partners live outside Hong Kong, check the resident-agent requirement and the IRBR177 or appointment-letter route in the IRD instructions. Non-resident sole proprietors and partners must also be able to substantiate actual commencement in Hong Kong. A proposed project or a future invoice is not a reason to invent a commencement date.

Separate three folders: documents filed with the authority, documents retained to substantiate entries, and extra due-diligence documents requested by another recipient. A provider may ask for ownership or address evidence to complete its own checks. Label the requesting party and purpose so that an internal onboarding request is not presented as a universal IRD attachment requirement.

The same discipline applies to certificate duration: the IRBR1 certificate-period election needs a deliberate decision in a local-company package. Record that election on the cover sheet before anyone authorizes payment.

Choose the business registration document route Identify the applicant, select the company or direct-registration route, reconcile evidence, then retain the official outcome. Identify legal applicant Local company: CR package Other route: IRD form Reconcile evidence → retain official outcome
Select the applicant first; reconcile the filing pack before treating an acknowledgement as a completed registration.

Select the submission channel and authorized signatory

Use the authority’s current channel for the selected route. A person submitting local-company incorporation electronically must meet the e-Services Portal user and signing arrangements; a corporate founder acts through a natural-person authorized officer. CR’s electronic incorporation FAQ explains account subscription and association requirements. Possessing the proposed company’s email address is not equivalent to having authority to sign.

  1. Confirm the applicant, form set and identity evidence before opening a submission.
  2. Identify the authorized signer and complete the relevant portal authentication or paper signature arrangement.
  3. Review the actual data-entry summary against the approved document schedule.
  4. Authorize the correctly calculated payment and submit the application.
  5. Save the acknowledgement, reference number and payment evidence together.
  6. Track correspondence and retain the issued registration documents when available.

For direct online business registration, the IRD online-application FAQ covers eligible business types, authentication and supporting uploads. It excludes partnerships with more than six partners and limited partnership funds from that ordinary online partnership route. Company branch applications can use the Business Tax Portal through the properly authorized account arrangements.

Assign one person to own the submission record. If an accountant, founder and company secretary each hold a different draft, freeze one reviewed data sheet before signing. Keep any later amendment beside that sheet rather than silently overwriting the evidence of what was actually filed.

Reconcile certificate fees, dates and payment evidence

For the charging period April 1, 2026 to March 31, 2027, the official one-year business registration certificate total is HKD 2,350 : HKD 2,200 registration fee plus HKD 150 levy. The three-year total is HKD 6,170. These are business registration amounts, not complete company-formation budgets. The official fee and levy table was checked on October 27, 2026.

Apply the correct date rule. A local company’s first certificate obtained through CR follows the relevant incorporation-submission date for its charge; its certificate begins on incorporation. For other newly commenced businesses, the first certificate generally begins on business commencement rather than application. A late application therefore does not simply purchase a fresh period starting whenever payment is made.

Keep separate budget lines for incorporation fees where applicable, the business registration fee and levy, professional assistance, address or secretarial services, translations and other case-specific work. Do not place shareholder capital or a bank’s required balance in the same expenditure total. No professional-service price is implied by the government amounts shown here.

A useful payment release check has four matching entries: chosen certificate period, applicable charging date, official amount and payer authorization. A mismatch should stop payment long enough to reconcile the application. This control is more useful than asking whether the invoice merely contains the words ‘business registration’.

Resolve the document and payment mismatch

Compare the chosen certificate period with the evidence and proposed payment before submission.

Resolve errors and verify the registration outcome

Preserve the distinction between submitted and completed . The direct online service produces an acknowledgement with a Transaction Reference Number after submission and payment. That acknowledgement supports follow-up; it should not be relabelled as an issued Business Registration Certificate.

If an online application contains an error, the IRD FAQ directs the applicant to send a duly signed written notice identifying the applicant’s capacity, business, transaction reference, BRN if available and exact amendment. Do not submit a second paper application as a correction. Retain both the original submission record and the correction request so the outcome can be reconciled.

The one-stop registration FAQ distinguishes the certificates issued through company filing from the later business-particulars notification. A newly incorporated local company must notify the Business Registration Office of its business particulars within one month after commencing business. An incorporation business-nature entry should not be assumed to complete that later notification.

On receipt, compare the legal name, registration number, address and certificate period with the application and any accepted amendments. Allocate renewal ownership and retain the certificate in a location accessible to the person handling compliance. If a recipient asks for incorporation proof, provide the appropriate company document as well; a BRC alone does not answer every question about corporate existence or authority.

Release the business registration application only when the records agree

Release a Hong Kong business registration application when the legal applicant, form, supporting identity record, signer and payment basis describe one coherent case. If the structure is unclear, resolve it before submission. If a non-resident unincorporated business cannot substantiate commencement, resolve the factual gap rather than changing the date to fit the form.

Close the application file only after saving the official outcome and documenting any remaining notification or renewal action. Keep separate owners for sector licensing and bank onboarding: their approval cannot be inferred from a registration certificate.

Prepare a consistent submission record

Bring the applicant details, document schedule and unresolved questions for a focused review.

Frequently asked questions

Can I download an ordinary paper application form and use a photocopy?

Follow the IRD’s instructions for obtaining prescribed forms. Specimen forms are for reference; do not assume that a printed specimen or photocopy is an acceptable application.

Does a passport copy need an apostille for every business registration application?

Do not impose a universal apostille requirement. Use the identity and translation requirements for the selected route, and distinguish any additional certification requested by a particular recipient.

Can I register a future sole-proprietor project before it starts?

The IRD does not accept registration applications for sole-proprietor or partnership businesses that have not commenced. Do not import the local-company incorporation timetable into that route.

Can a business registration certificate replace an industry licence?

No. Check the activity-specific permission separately before undertaking work that requires authorization.

What if a submitted online application has no certificate yet?

Use the saved transaction reference to track the existing application. First establish its status and any outstanding request before considering another submission.
