Business registration obligations
Hong Kong Business Registration: Who Must Apply and How
Identify the operator, the event that triggers registration and the evidence needed to finish the filing.
Hong Kong business registration records a business with the Inland Revenue Department (IRD); it does not incorporate a company or grant permission for regulated activities. The application route depends on the operator’s legal form and the event triggering registration. Start with those two facts before selecting an online service, paying a fee or asking someone to file on your behalf.
Key takeaways
- Identify the legal operator first: a founder’s personal details do not make a company application a sole-proprietor application.
- An exemption from paying the fee can leave the obligation to register intact; test the two issues separately.
- The current one-year main-business charge is HKD 2,350 for the applicable 2026–27 charging period; branches have their own fee.
- Save the submission reference, issued certificate and payment or exemption evidence together so an incomplete filing is visible.
Match the operator to the registration trigger
Business registration generally follows business activity in Hong Kong, but companies have an additional statutory route. IRD’s general registration rules set a one-month deadline from business commencement. A new local company instead applies through the Companies Registry (CR) alongside incorporation. Identify the legal operator before choosing a form: a person trading alone, a partnership and an incorporated company are different applicants.
| Your position | Trigger to check | Application route |
|---|---|---|
| Sole proprietor or ordinary partnership | Business has commenced in Hong Kong | Apply directly to IRD within one month. |
| New Hong Kong company | Incorporation application, even before trading | Simultaneous CR company and business registration. |
| Overseas company registering with CR | Hong Kong place of business and existing registration status | NN1 with IRBR2; disclose any existing business registration. |
| Additional branch of an existing business | Branch business has commenced | Separate branch registration directly with IRD. |
The matrix combines IRD’s one-stop service rules with the direct-application rules; it is a route-selection tool, not a ruling on whether your activities constitute a business. For an overseas company, record the facts behind the Hong Kong presence instead of treating its foreign incorporation certificate as an answer to the Hong Kong registration question.
IRD’s scope of businesses requiring registration includes activities for gain conducted online, qualifying members’ clubs, overseas companies with Hong Kong representative or liaison offices, and overseas companies letting Hong Kong property. Re-domiciled companies, open-ended fund companies and limited partnership funds also have registration obligations and dedicated procedures. Merely holding employment or an office does not itself require registration.
Use the separate purposes of incorporation and business registration to decide which evidence you need. A Business Registration Certificate does not create a limited company. For a new local vehicle, the Hong Kong company formation process establishes the company and includes the simultaneous IRD application; the two certificates prove different things.
Confirm the operator before filing
Bring the legal form, commencement date and any existing certificate to a discussion about which registration work remains.
Separate an exemption from a payment concession
A low turnover does not, by itself, remove the duty to register. Exemption from registration and exemption from paying a registration fee are separate questions under IRD’s exemption rules . If you confuse them, you may prepare a payment-concession request while leaving the underlying registration overdue.
Registration exemptions include qualifying charitable activities, agriculture, market gardening or fishing subject to the company exclusion, bootblacks, specified licensed hawkers and qualifying Feed-in Tariff businesses. A charity’s taxable trade can still require registration. Check the actual activity against the conditions; a charitable description or an agricultural customer base is insufficient evidence.
Eligible small businesses can apply using Form 3 for a fee-and-levy exemption. The average monthly limit is HKD 10,000 for businesses mainly earning from services and HKD 30,000 for other businesses. The measure uses estimated receipts for a new business’s first six months. Companies incorporated or required to register under the Companies Ordinance, re-domiciled companies, open-ended fund companies and limited partnership funds cannot use it. Multiple businesses under the same proprietor or partners can also prevent eligibility.
For a new business, the Form 3 deadline is one month after applying for registration on paper, or seven weeks through GovHK. Pay amounts due while awaiting the result. The practical sequence is to establish whether registration is required, select the correct application route, then deal with any separate payment concession.
Prepare the application for the correct channel
Prepare one consistent record of the operator, business name, business address, nature of activity and actual commencement date. Keep the underlying evidence together so the person filing can resolve a discrepancy without asking different participants to recreate the history. Distinguish the company’s incorporation date, the business’s trading start and a branch’s opening date; they answer different questions.
For direct applications, IRD’s application and identity requirements specify owner identification for Form 1(a), all partners’ identification for Form 1(c), and Form 1(d) for a branch. Non-residents use a passport or relevant government identity document. If the owner or all partners live outside Hong Kong, appoint a resident individual agent using IRBR177 or the prescribed appointment details, with the agent’s identity copy.
For a standard local company limited by shares, prepare NNC1, the articles of association and IRBR1 for the CR submission; NNC1G applies to a company not limited by shares. IRBR1 records the certificate-duration election. The corporate application requirements also distinguish NN1 and IRBR2 for a non-Hong Kong company. Avoid substituting the sole-trader form because an individual founder is preparing the documents.
For online direct filing, check the applicant’s capacity and portal access before payment. A sole proprietor or an ordinary partnership’s applying partner uses an Individual Tax Portal (ITP) account. Company-branch applications use the appropriate Business Tax Portal (BTP) access or eligible corporate-secretary Tax Representative Portal (TRP) access. IRD’s current electronic-service table identifies the permitted roles; a personal login alone does not establish authority for every business type.
This preparation is an editorial cross-check rather than an additional statutory document list. Compare the proposed entries side by side before signing: whose business is being registered, which address belongs to it, and which event supports the date? Resolve any mismatch at that point instead of relying on a certificate to validate the underlying facts.
Submit, pay and keep the result
Submit through the channel assigned to the operator. For a new local company, deliver the incorporation documents and IRBR1 to CR, electronically through its e-Services Portal or together on paper, and pay the separate company and business-registration charges. On approval, the one-stop service issues both certificates. The business-registration application is not a later optional filing.
Direct online application
The online application eligibility and submission instructions cover sole proprietorships, partnerships with no more than six partners excluding limited partnership funds, and branches. Use the designated eTAX account, complete the relevant application, authenticate it using an accepted method and pay. For a partnership, upload the other partners’ identity documents as required. Available payment methods include cards and FPS; PPS is unavailable on mobile devices.
Save the acknowledgement and its Transaction Reference Number. IRD’s electronic-service processing standard is two working days after receipt of a properly completed application. This clock excludes your preparation and any unresolved questions. When notified, retrieve the result through “View and Download Result of Application” using that reference; download it within two months of the notification email.
Paper route and follow-through
If the direct online service does not cover the application, obtain the proper IRD-printed form and submit it in person or by post. IRD’s paper submission instructions warn that downloaded specimen application forms are not acceptable for filing. Keep a copy of what was submitted and evidence of delivery or receipt so a later enquiry can identify the pending application.
For a newly incorporated local company that starts trading later, notify IRD of commencement particulars within one month, in writing or on IRBR200. The commencement notification rules address the business name, nature, start date and business address. Allocate that follow-up when incorporation completes; otherwise the first certificate can be mistaken for completion of all later notifications.
Resolve a submission obstacle
If portal access, identity evidence or branch dates do not align, identify the gap before arranging application support.
Use the certificate date to choose the fee
For the charging period 1 April 2026 to 31 March 2027, a one-year main Business Registration Certificate costs HKD 2,350. The official business-registration fee and levy table gives the following statutory amounts, checked on 17 October 2026. A branch certificate is a different charge; it should not be budgeted as another main-business certificate.
| Certificate and validity | Registration fee | Levy | Total payable |
|---|---|---|---|
| Main business: one year | HKD 2,200 | HKD 150 | HKD 2,350 |
| Main business: three years | HKD 5,720 | HKD 450 | HKD 6,170 |
| Branch: one year | HKD 80 | HKD 150 | HKD 230 |
| Branch: three years | HKD 208 | HKD 450 | HKD 658 |
The applicable fee is generally determined by the certificate’s commencement date , not the day you happen to pay. For a new direct-registration business, that first date is generally business commencement. For a local company’s first certificate applied for through CR, the incorporation-submission date sets the charge, while incorporation sets the certificate’s start date. Renewal charges follow the renewal certificate’s start date.
Before selecting the table row, write down both the relevant charging date and the certificate duration. A late application or a filing around a fee-change date can make a current-year headline misleading. These totals contain the government registration fee and levy only. Company-incorporation charges, professional assistance, translations and delivery expenses are separate where applicable; no service quote or tax surcharge is included in this table.
Repair a late, wrong or missing registration
Repair the existing record or pending application before starting another submission. Use the saved reference to identify what IRD has received, then match the problem to an action. A payment record, an acknowledgement and an issued certificate are separate pieces of evidence; treating them as interchangeable can lead to an unnecessary second application.
- Wrong details after online submission: send a signed written correction identifying the applicant and capacity, business, Transaction Reference Number, any business registration number and the amendment. Do not use a new paper registration application as the correction.
- Late sole-trader registration: eTAX can still accept an application. State the true commencement date; earlier periods can generate additional demands. Changing the date to avoid an overdue period creates another problem.
- Branch opening predates the current main certificate: the online branch service cannot handle that date relationship; use the paper application route.
- No accessible result: check the acknowledgement, account, notification email and retrieval window together before asking IRD to trace the application.
The first three remedies follow IRD’s online correction and exception guidance ; the final action is an evidence-reconciliation step. If IRD asks for further information, answer against the same operator and chronology, keep a copy of the reply, and track the unresolved request separately from any payment already made.
Once registered, notify changes to registered particulars within one month under IRD’s change-notification rule . A new address in your internal records is not evidence that the Business Register has been updated. Certificate display requirements also require the valid certificate at the business location; a company receiving an electronic certificate through the one-stop service must display a printed copy.
Close the business-registration task with evidence
Close the task when the evidence agrees: the correct operator and business are registered, the issued certificate covers the relevant period, payment or approved exemption is documented, and the valid certificate is displayed as required. Keep the application acknowledgement and any correspondence alongside it. A reference number alone is insufficient evidence of an issued certificate.
Record one named person to handle the next certificate period and any changes. For a company yet to trade, also assign the later commencement notification. If the operator, actual start date or existing registration cannot be reconciled, resolve that specific uncertainty before filing again. Business registration records the business; IRD expressly states that it is not a licence to trade , so activity-specific permission remains a separate completion question.
Prepare the remaining registration work
Share the evidence already held and the outstanding action so the proposed assistance can be defined in writing.
Frequently asked questions
Can a local company send NNC1 online and IRBR1 on paper?
No. The incorporation form and IRBR1 must be delivered to CR in the same manner. Arrange a single consistent submission rather than splitting the company and business-registration documents between channels.
Can an incorporated charity skip the simultaneous payment because it expects tax exemption?
A claim to exemption under section 88 does not remove the simultaneous filing or initial payment requirement. IRD can refund the amount if it is satisfied that the Business Registration Ordinance does not apply.
Does having someone prepare the application transfer responsibility for its accuracy?
The person authenticating the electronic form is treated as signing it and remains accountable for the information submitted. Review the entries before authentication, including those prepared by someone else.
How can I replace a paid certificate that has been lost?
IRD allows an application for a duplicate valid certificate for a prescribed fee. Eligible eTAX users can also view, download and print the certificate through the relevant service within two months of settlement.
