INCORPORATION READINESS
Hong Kong Company Registration Checklist Before You Apply
Prepare the decisions, evidence and filing pack for a private company limited by shares.
Before you apply to incorporate a Hong Kong private company limited by shares, settle the legal structure, name, shareholders and shares, first director, qualified company secretary and Hong Kong registered office. Assemble the NNC1 incorporation form, articles of association and IRBR1, along with the applicable fees; confirm your provider’s separate identity and ownership checks before anyone submits the application. A bank account, operating licence or immigration permission is a separate decision.
Key takeaways
- Choose the intended legal entity before producing the incorporation forms.
- A name search is a screening step and does not reserve or approve a name.
- Confirm the company secretary and office before agreeing the filing timetable.
- Separate Registry filing documents from provider verification evidence.
- Budget official fees separately from service fees and operating cash.
Readiness decisions that come before the forms
A local private company formed through Hong Kong company registration is a new Hong Kong legal entity. It is not the same as registering an existing overseas company that establishes a place of business in Hong Kong. If a parent company wants the overseas entity itself to operate locally, pause before using the checklist for a new subsidiary and confirm the correct route. A company limited by guarantee uses a different form and structure. The checklist below focuses on a new private company with shares and does not turn it into an industry licence.
Identify who will own the shares and who will make company decisions. A non-Hong Kong resident may incorporate a local limited company, and the Companies Registry says there is no general Hong Kong residence requirement for a director. The company still needs at least one natural-person director, an eligible company secretary and a Hong Kong registered office. Being eligible to own shares or hold an office does not itself confer permission to work or live in Hong Kong. Source: Companies Registry incorporation FAQ
Before-submission readiness matrix
| Gate | Evidence to obtain | Stop if |
|---|---|---|
| Entity and ownership | Written decision on the local company, founder members and intended shares | A foreign-company registration, regulated structure or guarantee company may be the actual route |
| Name | Exact proposed name, search date, similar-name and trademark checks | A conflicting or restricted name has not been resolved |
| People and office | Director and secretary details, eligibility and address consent | A required role is unfilled, the sole director is also proposed as secretary, or the address has not been agreed |
| Filing and verification | Reconciled NNC1, articles, IRBR1, signatures, fees and separate provider due diligence | Details do not agree or a required signatory, ownership record or provider review remains outstanding |
| Operating handover | Named owners for certificates, records, annual dates and any bank or licence application | The founding team expects incorporation alone to complete every other approval |
The matrix is a project-control tool, not an extra government form. Mark each gate ready only when the person responsible can identify the supporting evidence and resolve any mismatch. Keep confidential identity documents in a controlled location rather than circulating the entire verification pack with every version of the form.
Check the initial setup
Clarify unresolved ownership or company-office decisions before documents are prepared.
Screen the name and settle the company design
Use a structured company name search to screen the complete proposed name using the Registry’s Exact Name Search, including the appropriate ending, spacing and punctuation. The Registry also describes a Left Partial Search that can reveal other names; use English or traditional Chinese as instructed. Record when and how you searched, review similar names and consider trademarks and market confusion separately. An empty search result does not reserve the name or guarantee that it will be accepted. The Registrar confirms registrability only after processing the application. Sources: Companies Registry name search guidance and Companies Registry application instructions
Agree on the initial shareholders, share allocation and amount paid or agreed to be paid. Hong Kong shares have no par value; avoid treating a familiar sample capital arrangement as a universal legal minimum or confusing the money invested in the business with the government filing fee. If a shareholder is a company, confirm its legal name and ownership chain and obtain evidence of authority for the proposed subscription. Ask the receiving service provider what corporate documents, translations or certification it needs for the actual ownership structure; these requirements cannot be assumed to be identical for every application. Use one master schedule for the company name, each person’s name and address, secretary and office, number of shares and relevant amounts. Compare that schedule with the form, articles and the provider’s verification records. Assign one person to approve any change after signatures have been requested, because an uncoordinated correction may leave the form and articles describing different arrangements.
Confirm the people, address and due-diligence evidence
For a private company, at least one director must be a natural person. The sole director must not also be its company secretary. An individual secretary must ordinarily reside in Hong Kong; a corporate secretary must have its registered or principal office in Hong Kong. The Registry also describes an additional restriction involving a corporate secretary whose sole director is the sole director of the private company. Check the intended arrangement, not simply the job title. Source: Companies Registry incorporation FAQ
The registered office must be situated in Hong Kong. Obtain the address and authorisation to use it, and agree who will receive and forward official communications. A registered office, an operating location and an address accepted by a particular bank are not interchangeable. If a provider supplies the office or secretary, check the actual contracting and performing entity and any applicable trust or company service provider licence or exemption; do not infer licensing from a brand name alone.
Separate the statutory application pack from customer due diligence. The Registry identifies NNC1, the articles and IRBR1 as incorporation documents. Your chosen provider may ask for identity and residential-address evidence, information about beneficial ownership, business activity and source of funds, or extra corporate documents to satisfy its own risk-based checks. The format, certification and translation requirements depend on the recipient and circumstances. Ask for its written requirements before spending money on notarisation or certification, and send sensitive records through an agreed secure channel. The list of documents required by a bank can differ again.
Reconcile the filing pack and budget before submission
For a company limited by shares, prepare the NNC1 incorporation form, a copy of the articles of association and the Notice to Business Registration Office, IRBR1. The Registry accepts applications electronically through its e-Services Portal or in hard copy at the specified Registry office. Confirm the correct form version, signatories and submission method with the actual filer. When a founder member signing the incorporation form is also a director, that director signs the consent on the incorporation form. The Registry states that other first directors can sign on the form or deliver Form NNC3 within 15 days after incorporation; plan the applicable consent and deadline before filing. The company’s first director, secretary and registered office particulars must be provided in the incorporation form; missing required particulars can cause rejection. For an application submitted in the period 1 April 2026 to 31 March 2027, the one-year business registration charge is HKD 2,200 plus an HKD 150 levy. The Registry states that the application fee for incorporating a local company with share capital is HKD 1,545 electronically or HKD 1,720 in hard copy. For this specific one-year certificate example, the combined official amount is therefore HKD 3,895 electronically or HKD 4,070 in hard copy. This is not a complete setup budget : professional support, secretary and address services, certification, banking, accounting and other costs must be checked separately. For a local company’s first certificate obtained through the Registry, the relevant incorporation submission date determines the business registration charge. Recheck the applicable schedule if the filing date or certificate term changes. Sources: Inland Revenue Department fee table and Companies Registry incorporation FAQ
Before paying, check the written scope of any quote: which official fees are included, who provides the secretary and address, how long those services last, what additional ownership or document work costs, and what happens on renewal. Do not add government fees twice to a quotation that explicitly includes them, and do not assume a low service price includes them. A share contribution or bank balance is also not the same type of expense as a filing charge.
Review the filing packet
Resolve missing ownership evidence or inconsistent details before signing.
Set up the handover before anyone clicks submit
Name the person who will submit and monitor the application, and decide how acknowledgements, requests for corrections and the final certificates will reach the founders. Ensure the draft documents, ownership schedule and signatures match the version approved for filing. If a late change is needed, stop the submission and reconcile every affected document rather than correcting one field in isolation.
The Registry says certificates for a private company limited by shares are normally issued within one hour after electronic delivery of the relevant documents; for a company with share capital filed in hard copy, its FAQ normally gives four working days after delivery. These are official processing indications , not a promise that a founder will complete identity checks, obtain signatures, open an account or begin regulated activity within that period. A rejected or incomplete application may need correction and resubmission. After incorporation, arrange the applicable company records, including significant controller obligations, and assign responsibility for mail and the annual calendar. For a local private company, the Registry states the annual return is generally delivered within 42 days after each anniversary of incorporation; it is a different obligation from business-registration renewal and tax filing. Decide in advance whether a licence, bank account or immigration permission is needed for the actual activity. Those third-party decisions are not granted by a Certificate of Incorporation. Decide whether your Hong Kong application is ready
Proceed when the entity choice, name review, ownership and capital, director, secretary and office are settled; the application documents agree with the approved schedule; required signatures and applicable fees are ready; and any provider’s verification questions have been resolved. Retain the evidence behind each decision, not just the final form.
Pause if the ownership chain is unclear, the secretary or office arrangement is not confirmed, a regulated activity needs a different route, or the signers are approving conflicting versions. Resolve that specific dependency with the responsible person before filing. Once the company exists, check the actual certificates and separately complete the records, permissions and account applications needed for your business.
Plan the submission
Confirm responsibilities for filing, certificates and subsequent records.
