How to Form an LLC in California

Build the entity, its public record and its tax calendar before releasing the launch.

To form an LLC in California, choose the name and management structure, appoint a California agent for service of process, and file Articles of Organization with the Secretary of State (SOS). Then complete the operating agreement, file the initial Statement of Information within 90 days, and arrange federal tax identification and operating permissions. The standard SOS charges are USD $70 for formation and $20 for that initial statement.

A 2026 formation also generally brings an $800 California annual tax for an LLC taxed as a partnership or disregarded entity. Plan that payment separately from the filing charges. The filing date starts obligations even if the business has not opened, so settle ownership, addresses and the first-year budget before submitting.

Key takeaways

  • The standard formation and initial disclosure filings total $90; the $800 annual tax is a separate FTB obligation.
  • The broad first-year annual-tax exemption applied to 2021–2023 tax years, not a routine 2026 formation.
  • The additional LLC fee starts at $250,000 of qualifying California total income and uses a separate payment schedule.
  • Public filings disclose addresses and manager or member details; a corporate agent does not remove every disclosure.
  • A new California LLC, registration of an existing outside LLC, and permission to operate are different decisions.

Decide whether California formation is the right filing

Start with the business you intend to create and where it will operate. A new California LLC follows the domestic Articles of Organization route. An LLC that already exists under another jurisdiction follows a registration analysis instead. The nationality or home address of an owner does not turn a California-created LLC into an out-of-state entity.

Choose the entity action before paying a filing charge
Your starting position California action to assess Evidence to prepare
No LLC exists yet Form a California LLC Proposed name, addresses, agent, management choice and organizer
An LLC already exists elsewhere Register that existing LLC if its California activities require qualification Existing entity record and a valid certificate of good standing from its formation jurisdiction
You plan to form elsewhere but operate in California Assess California registration and tax duties alongside the other state's maintenance Actual people, premises, contracts and business activities

The SOS guidance on outside entities describes registration before transacting intrastate business and the certificate required for an outside LLC. Tax obligations use their own tests. FTB guidance also reaches LLCs doing business in California, so choosing another formation state does not by itself eliminate California obligations.

If the business involves a licensed profession, confirm with its licensing board whether the proposed LLC structure is permitted before paying to form it. Where an overseas founder needs coordinated formation support, HSJGlobal's US company registration and LLC formation services cover the entity route, EIN coordination and initial compliance planning.

How to form an LLC in California: assemble the filing

Prepare the public filing and the internal ownership record together. The official Articles of Organization, Form LLC-1 identify the information needed for a standard California LLC. An organizer signs the filing; the organizer's role should be distinguished from ownership and management.

Set the name and the internal agreement

Use an LLC identifier such as LLC or L.L.C. The California name rules require a name distinguishable from LLC names of record or reserved with SOS and not likely to mislead the public. A preliminary database check does not establish trademark rights. Avoid committing to signs or other branded purchases before the filing is accepted.

  • Record each member's contribution, ownership interest and agreed economic rights.
  • Decide whether all members, one manager or more than one manager will manage the business; use the matching selection in the articles.
  • Put voting, signing authority, distributions, admission of new members and exit arrangements into a written operating agreement.

California requires an operating agreement, but it is kept with the LLC records rather than filed with SOS . A written agreement is the practical way to document the choices above. Do not assume the person submitting the form has authority to borrow, transfer assets or admit investors.

Resolve every address before making it public

Provide the principal office's street address and a different mailing address if applicable. The articles do not accept a P.O. Box as the principal street address. The agent is either an individual residing in California with a physical California address or a registered corporate agent qualified with SOS. Obtain the corporate agent's approval before naming it.

California filings are public records, so settle disclosure choices before submission. The Statement of Information instructions warn that filed LLC addresses are public. Hiring a corporate agent changes the agent entry; it does not replace the principal-office or manager/member information requested elsewhere. Use accurate addresses that meet the relevant field's rules.

Submit, then retain the accepted result

  1. Use the SOS route: log in to bizfile Online, choose Register a Business, then Articles of Organization – CA LLC. Review the completed data and organizer's declaration.
  2. Pay the standard $70 formation filing fee. Keep any optional certified copy, expedited service or third-party charge separate from that amount.
  3. Monitor the submission for acceptance or a correction request. After acceptance, retain the filed articles and assigned entity number; reconcile them with the operating agreement and tax application.

The SOS domestic LLC forms and fee schedule also provides paper forms and currently labels online filing as the faster route. Agency processing indications can change. Document preparation, agency review, correction of an error and the eventual operating launch are separate periods; a payment receipt alone is not proof that the articles were filed.

Commit to the first-year California cash requirement

For a standard 2026 California LLC taxed as a partnership or disregarded entity, the baseline is $90 in SOS filings plus $800 in annual tax , before activity-specific permits or private support. Amounts below are in USD and were verified on October 22, 2026. The tax is owed even without trading unless a specific exception applies.

Calculate the California amount in separate layers
Layer Amount and cycle Scope
SOS formation $70 once Standard Articles of Organization filing
SOS Statement of Information $20 initially, then at each required biennial filing Separate from the articles and from tax payments
FTB annual LLC tax $800 each taxable year, subject to exceptions LLCs taxed as partnerships or disregarded entities under the LLC regime
FTB additional LLC fee $900 / $2,500 / $6,000 / $11,790 annually when the relevant income tier applies California total income of $250,000–$499,999 / $500,000–$999,999 / $1 million–$4,999,999 / $5 million or more

The FTB LLC tax and fee schedule gives the current amounts. For the fee, use California total income , not net profit or bank balance. FTB Publication 3556 describes that measure as gross income plus associated cost of goods sold, derived from or attributable to California. Businesses with receipts inside and outside California need the applicable assignment rules.

For example, assume a new standard LLC has $180,000 of qualifying California total income, no exemption, no optional SOS services and no corporate tax election. Its stated government filing and LLC-tax subtotal is $70 + $20 + $800 = $890. At $300,000 of qualifying total income, add the $900 LLC fee: $1,790. These are scoped calculations, not an all-in opening price or a statement of the owners' income-tax liabilities.

Apply exceptions narrowly

The broad first-year $800 exemption covered tax years beginning on or after January 1, 2021 and before January 1, 2024. It does not provide a general exemption for this 2026 example. The FTB detailed LLC guidance identifies a separate exception where the taxable year is 15 days or less and no business is conducted in California during that year. Both conditions matter.

Other limited relief includes qualifying small businesses solely owned by a deployed US Armed Forces member and an eligible short-form cancellation route. Check the exact criteria before relying on either. An LLC electing corporate taxation requires a separate corporate-tax analysis. Agent subscriptions, professional services, local permits, deposits and operating capital are additional categories; none is included in the subtotals or represented here as an HSJGlobal price.

Put the SOS and FTB clocks on one calendar

Appoint an owner for each filing and payment as soon as the articles are accepted. The initial disclosure runs from registration; tax deadlines follow the first filing date and then the taxable year. Paying one agency does not discharge the other agency's obligation.

  1. Within 90 days: file the initial Statement of Information with SOS and pay $20. Prepare the principal and mailing addresses, the California office address when the principal office is outside California, manager or member details, agent, business activity, any chief executive officer and the required labor-judgment response.
  2. By the first annual-tax deadline: pay FTB the $800 unless a verified exception applies. FTB states the deadline as the 15th day of the fourth month from filing. Its example is a June 18 formation with a September 15 payment deadline; June counts as the first month.
  3. For subsequent taxable years, calendar the annual tax for the 15th day of the fourth month of that year. Estimate and pay an applicable additional LLC fee by the 15th day of the sixth month, using FTB 3536. A short taxable year ending before that fee date has a separate rule tied to the Form 568 due date.
  4. Keep the biennial Statement of Information on its own recurrence. The filing window includes the original registration month and the preceding five months, in the relevant alternating year. An October 2026 formation has its next regular window from May through October 2028, after the initial 90-day filing.

The LLC-12 instructions explain the disclosure cycle and require manager details, or each member's details if no managers have been appointed. Use the additional attachment when needed. They also provide for a no-fee interim update after the initial or required statement has been filed. Keep information current when people, addresses or the agent change.

Maintain payment confirmations and return records as well as SOS receipts. FTB lists Form 568 for LLCs within the partnership/disregarded-entity regime; the return deadline depends on classification and tax year. Have the preparer specify the return, payment and extension dates separately. An extension to file should never be treated as automatic permission to defer a payment.

If launch plans stop, decide promptly whether to retain or cancel the entity. FTB says the annual tax continues until cancellation, and closing the business requires the appropriate SOS paperwork and final tax steps. Simply leaving the LLC idle does not close its calendar.

California disclosure and tax clocks A standard California LLC starts with two SOS filings totaling 90 dollars. Its initial statement is due within 90 days. The generally applicable 800-dollar annual tax follows a fourth-month deadline. A separate additional fee can apply from 250,000 dollars of California total income, with a sixth-month estimated payment. California filing clocks SOS filing commitment $70 articles + $20 statement $90 baseline filing charges Disclosure clock Initial statement: 90 days Then every two years Annual-tax clock Generally $800 each tax year First payment: fourth-month deadline runs from filing Income-based fee clock From $250,000 of qualifying California total income Estimated fee: sixth-month deadline of the tax year Taxes and filing charges belong in separate budgets.
California uses separate disclosure and tax clocks. The 90-day statement and fourth-month annual tax are baseline items; the sixth-month fee depends on qualifying California total income.

Set up federal records for an overseas owner

After state formation, obtain the Employer Identification Number (EIN) through the appropriate IRS route. The EIN is a federal tax identifier; it does not replace the California entity number or settle the LLC's tax classification.

Match the EIN application to the real principal location

The IRS online EIN application guidance states that an EIN is free. Its online tool requires a US or US-territory principal place of business and the responsible party's SSN or ITIN, among other conditions. A California agent's address should not be substituted for the actual principal location merely to fit the tool.

Where the principal place of business is outside the United States, the IRS international applicant instructions provide telephone, fax or mail routes using Form SS-4. Identify the true responsible party and any authorized representative. Keep the IRS confirmation with the filed articles. A bank may request further identity, ownership, address and business evidence under its own onboarding requirements.

Check information returns independently of income tax

A wholly foreign-owned US single-member LLC treated as a disregarded entity can have a Form 5472 obligation when it has reportable related-party transactions. The IRS Form 5472 instructions require an applicable foreign-owned US disregarded entity to attach the form to a pro forma Form 1120. Contributions and distributions can be reportable, so record owner funding and withdrawals from the start rather than assuming no sales means no filing.

FinCEN's current beneficial ownership reporting notice states that US-created companies are exempt under its final rule effective August 14, 2026. That exemption covers a California-created LLC even with overseas ownership. It does not remove IRS information-return duties or bank disclosure requests. A company formed under a foreign country's law and registered in California needs its own FinCEN analysis. Keep immigration and permission to work in the United States separate from entity ownership.

Clear the operating permissions attached to your address

The filed articles establish the entity record, while permissions depend on what the LLC actually does and where it does it. SOS does not issue business licenses. Its guidance directs businesses to CalGold for the agencies responsible for applicable permits; use that route to identify contacts, then confirm requirements with each issuing authority.

  • Ask the city or county responsible for the operating address about business licensing or a business tax certificate, home occupation and permitted use of the premises.
  • Confirm sector, professional and product approvals before committing to a regulated activity. A general purpose clause in the articles is not the regulator's approval.
  • Assess CDTFA registration for taxable sales and the Employment Development Department requirements if hiring; keep these accounts distinct from the EIN and SOS filings.

The CDTFA seller’s permit guidance requires a permit for businesses engaged in California that intend to sell or lease tangible personal property ordinarily subject to sales tax at retail. It states that the permit has no fee, although a security deposit may be required, and that a seller's permit is separate from a city or county business license. Remote sales and unusual activities may require a more specific review.

For the address-and-activity work after formation, use the California business license and permit guide . Keep each approval's application, issue date, renewal requirements and operating conditions in the LLC's launch records.

Release the launch only when the formation file is complete

A usable formation file connects official acceptance, internal authority, cash commitments and the intended business activity. Before treating the setup as complete, work through this release check with the person who will maintain the records.

  1. Confirm the filed articles and entity number, and resolve any mismatch in name, management choice or address before using the record in tax or banking applications.
  2. Approve the operating agreement and document who can sign contracts and instruct advisers. Retain the member and contribution records with it.
  3. Assign the initial Statement of Information and verify its filing confirmation. Reserve the $800 annual tax and test whether projected California total income triggers an additional fee.
  4. Confirm the EIN application route, federal and California return responsibilities, and any foreign-owner information return. Record deadlines against the correct taxable year.
  5. Obtain the applicable operating permissions and retain their conditions before starting the activities they regulate.

Forming an LLC in California is complete as a business setup only when these records can support the intended launch. If a step is unresolved, identify the responsible agency or adviser and the evidence still needed. That turns an accepted state filing into an administratively usable company with a funded compliance calendar.

Frequently asked questions

Is a name reservation part of every formation?

No. California permits a name to be reserved for 60 days before adoption, and the current SOS fee schedule lists a $10 charge. It is a separate optional step. Reservation does not guarantee compliance with all naming requirements when the formation document is reviewed.

Does the ordinary Articles of Organization form require a notarized passport?

Form LLC-1 calls for the organizer’s signed declaration; its ordinary filing fields do not request a notarized passport. A bank, adviser or another application may require separate identity evidence. Confirm that party’s actual requirements before ordering notarization or certification.

Can the LLC itself act as its own agent for service of process?

No. SOS distinguishes the business entity from its agent. An eligible individual, including an appropriate member or manager residing in California, can be designated, or the LLC can use a qualified registered corporate agent. The agent must satisfy California’s requirements.

Must I buy a certified copy of the articles immediately?

A certified copy is optional for the standard formation filing. Check whether a bank, counterparty or another authority actually requires one. The SOS domestic LLC schedule currently lists $5 per document for certified copies, separate from the formation charge.

What if the LLC trades under a different business name?

Assess the county’s fictitious business name requirements for that trading name. SOS directs fictitious-name filings to the county where the principal place of business is located. An LLC name filing and a county fictitious-name filing serve different purposes.
