Georgia LLC filing and correction deadlines

How to Form an LLC in Georgia

Prepare the correct application, act on deficiency notices and carry the approved company into its first registration year.

To form an LLC in Georgia, choose a compliant name and Georgia registered agent, submit Articles of Organization to the Secretary of State, resolve any deficiency, and retain the Certificate of Organization after approval. The current government formation charge is US$110. Then establish internal governance, federal tax identity and the annual-registration calendar; operating permissions depend on the actual business.

A returned application deserves immediate attention: Georgia has separate 30-day and 60-day limits measured from its Deficient Document Notice. Keep the notice date distinct from the initial receipt date and any delayed effective date. A payment receipt alone does not show that formation has been approved.

Key takeaways

  • A new Georgia entity and an existing entity formed elsewhere follow different filing routes.
  • Generated online Articles and uploaded prepared Articles use different eCorp options.
  • The 30-day date-preservation and 60-day abandonment limits both run from the deficiency notice date.
  • A new LLC’s first annual registration falls in January–April of the year after formation.
  • A company certificate does not replace federal identity, tax accounts or activity and location permissions.

Choose your Georgia application route

Bring the proposed entity, owners and Articles version to a formation discussion.

How to form an LLC in Georgia under the correct applicant route

Start by identifying the applicant. A new Georgia LLC follows the domestic route even when its owners live abroad. An entity already created in another US state or country needs a separate foreign-registration assessment if it will transact business in Georgia. The Secretary of State’s domestic-entity guide distinguishes those routes; foreign ownership and foreign formation are different facts.

For a new entity, the practical sequence is to settle the name and agent, prepare the filing information, submit Articles of Organization, respond to any deficiency, and retain the approved outcome. Then complete the company’s internal arrangements and separate tax and operating tasks. This guide concerns the US state of Georgia.

As verified on October 20, 2026, Form CD 030’s instructions state a US$100 formation filing fee plus a US$10 service charge: US$110 in total. These are government filing charges. Registered-agent services, professional advice, local permissions, taxes and operating funds require separate budgeting; this amount is not an all-inclusive business-opening price.

Keep the applicant’s intended legal identity consistent across the proposed contracts and filing. If an overseas parent wants a subsidiary, write down that choice explicitly so the parent’s existing entity is not accidentally entered as the applicant for a different registration route.

Match the Articles to the filing channel

Choose the filing channel according to the Articles you intend to submit. Georgia’s ordinary online route generates Articles from entered information and does not accept an uploaded prepared version. For prepared Articles, use the separate paper-online option or submit the paper packet. The official formation instructions explain these alternatives.

In eCorp, create an account and choose the new domestic LLC option for generated Articles. For an existing document, select “Submit Paper Filing Online” and the domestic LLC formation category. Review the final submission as one coherent application rather than treating the document and entered details as unrelated forms.

For a paper packet, Articles and transmittal information serve different parts of the application. CD 030 addresses the name, effectiveness and signature. The signer states a permitted capacity: organizer, member, manager or attorney-in-fact. A delayed effective date cannot be later than 90 days after filing; confirm the intended date before payment.

The CD 231 transmittal form collects the exact matching LLC name, any reservation number, primary email, filer details, principal-office mailing address, registered agent and Georgia office, agent email, and each organizer’s name and address. It says the certificate will be emailed to the filer. Use an email someone will continue monitoring after formation. A principal-office mailing address may be a PO box; the registered office cannot be a PO box or mail drop.

Select a qualifying Georgia agent before entering that office. Under the Corporations Division FAQ , a domestic LLC’s agent may be a Georgia resident individual, a domestic corporation or another domestic LLC, or a foreign corporation or LLC authorized in Georgia. The LLC cannot appoint itself. The agent must actually be located at the Georgia street address. Confirm delivery arrangements and responsibility for forwarding notices; an address purchase alone does not settle those practical questions.

Act on a deficiency notice without losing track of dates

A deficiency notice starts two separate clocks. Save its date immediately and assign someone to correct every stated defect. Georgia’s LLC filing rules, Rule 590-7-21-.04 require the Deficient Document Notice to accompany corrected returned documents. Both the 30-day and 60-day periods below run from the date of that notice, not from initial receipt and not one after the other.

Georgia filing response card: keep the original receipt date and notice date separately
Filing position Date consequence Action and evidence Boundary
Approved filing Use the recorded effective outcome. Retain the Certificate of Organization and filed Articles. Read any delayed effective provision.
Correction returned within 30 days of notice date The rule preserves the initial receipt date as filing date. Correct the defects, attach the notice, return promptly and retain delivery evidence. Preservation does not promise acceptance.
Days 31–60 from notice date The 30-day preservation condition is no longer met. Contact the Division now; return corrected papers with the notice and confirm receipt and recorded date. Do not assume the original filing date survives.
Not returned and received within 60 days of notice date The filing is deemed abandoned. A new filing and applicable fees are required. Do not treat an unresolved packet as a formed LLC.
Georgia deficiency notice: two separate limits A deficient filing has two periods measured from the same notice date. Correcting and returning within 30 days preserves the initial filing date. Failure to return the filing so it is received within 60 days causes abandonment. These are not consecutive periods. Initial receipt recorded Deficient Document Notice Both clocks start on this date Correct and return within 30 days Preserve filing date Not received within 60 days Filing abandoned Two limits from one notice date
Attach the Deficient Document Notice to the corrected return. The rule preserves a filing date when its conditions are met; it does not guarantee acceptance. Days 31–60 require prompt action and confirmation of the date the Division will record.

The Georgia LLC filing procedure confirms the 30-day preservation rule and the 60-day abandonment limit, and says a Certificate of Organization follows approval. Keep the submission receipt, notice, corrected version and final outcome together. If the date affects a contract or the first reporting year, resolve the official result before relying on it.

Processing estimates measure a different issue. The current fees and expedited-processing page generally allows 7–10 business days for online filings and 15 business days for paper methods. The formation guide gives approximately 7 business days online and 10–14 for paper uploaded online. Workload changes these estimates; preparation, corrections and operating approvals add separate time. The deficiency rule says “days,” without describing them as business days.

An optional two-business-day expedited review adds US$120 to the regular charge, producing US$230 for this formation filing. It buys a filing-or-rejection response within the stated service conditions, not guaranteed approval. Keep the correction contact available. Government fees are non-refundable and non-transferable under the fee page; do not submit an uncertain version merely to enter a faster queue.

Resolve the date on a returned filing

Bring the notice, original receipt and intended correction so the next action can be identified.

Complete the owner agreement and federal identity

Agree the owner relationship independently of the registry outcome. Georgia Rule 590-7-21-.06 says the Secretary of State will not accept an LLC operating agreement for filing. Keep that agreement in company records. Decide contributions, ownership, decision powers, distributions, access to accounts and what happens when an owner leaves; obtain legal advice where the arrangement is disputed or complex.

Next establish the correct federal tax identity. The IRS Form SS-4 instructions explain EIN applications and responsible-party information. Use the person who actually controls the entity’s funds and assets. The online route has US-location and taxpayer-identification conditions; international applicants can use the applicable phone, fax or mail route. A responsible party who has no SSN or ITIN and is ineligible for one may enter “foreign” or “N/A” on line 7b as instructed. Do not invent an identifier to pass a screen.

Federal classification and information returns need their own review. For a wholly foreign-owned US disregarded entity with reportable transactions, the Form 5472 instructions require Form 5472 attached to a pro forma Form 1120, subject to the applicable exceptions. Owner funding or withdrawals can matter. Keep transaction records from the outset and obtain a tax assessment rather than treating limited revenue as proof that no filing is due.

For the broader project, the four stages surrounding a company formation filing help place registry approval alongside preparation and later setup work. Use the Georgia authorities here for the actual state procedure.

Set the first annual registration and keep contacts current

Schedule the first annual registration from the actual formation year. The LLC filing procedure places a new LLC’s first registration between January 1 and April 1 of the following calendar year. An LLC formed in 2026 therefore has its first window January 1–April 1, 2027. Do not apply the separate initial-registration rule for corporations to an LLC.

Georgia’s annual-registration guide permits filings for one, two or three consecutive years. For an unchanged entity current on its fees, One Click Annual Registration does not require login. Log into eCorp when details need changes; filings and receipts remain available in the dashboard and are emailed. Verify the control number, filer email, principal mailing address and the agent’s current Georgia street address.

The current LLC annual charge is US$60. For a straightforward formation followed by one timely annual registration, the government subtotal is US$110 + US$60 = US$170. These are administrative charges as posted on October 20, 2026, not tax rates or a professional-service quote. Optional filings, expedited review, third-party costs and business taxes are excluded.

Prepaying years does not freeze the contact record. A changed agent or principal-office address still needs the appropriate annual or amended annual registration. The guide lists US$30 for an amended registration and US$25 for late annual filing. Verify information before submitting: correction requires another paid filing, and fees are not refundable. Assign a person to monitor changes as well as the calendar; missed registration can lead to administrative dissolution.

Clear the permissions attached to the actual business

Approve the real business activity separately. The Georgia Department of Revenue’s LLC registration instructions direct entities registering with it to the Georgia Tax Center. Select the accounts that apply and prepare the legal name, locations, ownership or responsible-party details, contact email and NAICS activity code. Retain the confirmation and issued tax account numbers. An overseas owner who cannot supply the listed identification should resolve that issue with the Department rather than substitute the agent’s identity.

Local requirements depend on the actual site. For example, Savannah’s Business Location Approval guidance requires location approval before a Business Tax Certificate application and checks permitted use plus fire and life safety. That is a Savannah example, not a uniform Georgia procedure. Confirm the city or county responsible for your address and identify any activity, product or professional regulator before committing to premises or commencing the regulated work.

Use separate completion evidence for each required permission: the LLC certificate, tax account confirmation, local certificate and any sector approval should identify the same intended business. HSJGlobal’s US company registration and LLC formation support describes entity-setup assistance. Specify the separate operating questions when discussing a Georgia project so the intended support scope is clear.

Decide whether to submit, correct or complete another approval

To form an LLC in Georgia, submit only when the applicant route, Articles version, agent, contact details and effective-date choice are settled. If a deficiency already exists, the next action is to cure that notice against its own date; starting a duplicate application may obscure the record you need to resolve.

After approval, verify the recorded effective outcome, retain the company agreement and federal identity evidence, and assign the first annual registration. Release a planned business activity only after its applicable permissions are in place. A practical handover should name the person holding the eCorp record, the person receiving legal notices and the person who will act if either record changes.

Assign the next Georgia setup action

Identify the remaining filing, registration or operating question and who will handle it.

Frequently asked questions

Must I reserve a Georgia LLC name first?

No. The Division accepts formation filings without a prior reservation. If you reserve first, its FAQ states US$35 and a duration of 30 days or until the formation filing is submitted, whichever is sooner. Review the name-reservation guidance .

Does Georgia require notarization of the Articles signature?

The LLC filing procedure says the Articles signature does not need notarization. The signer must still use an authorized capacity and provide accurate information; a later transaction or different document may have separate requirements.

Will the annual registration show all LLC members and managers?

The Division FAQ says Georgia does not list LLC members or managers and has no procedure to change them through that listing. Keep ownership and management records current internally; separate tax or regulated-activity filings may ask for those people.

Can I keep an unused LLC by ignoring its annual registration?

Inactivity does not replace an applicable filing duty. Assign the annual-registration task while the entity remains in place. If the project ends, assess formal termination and remaining tax or contract obligations rather than using administrative dissolution as a closure plan.
