Illinois domestic LLC formation

How to Form an LLC in Illinois

Complete the ordinary filing, then handle only the form and channel exceptions that apply.

To form an LLC in Illinois, choose a compliant name, appoint an Illinois registered agent, prepare the company and management details, and file Articles of Organization with the Secretary of State. Standard domestic Articles cost US$150 before payment-processing or optional expedited charges. Confirm the accepted filing and effective date, then complete the company’s tax, governance and operating requirements.

The ordinary route changes if the LLC already exists elsewhere, will establish series, or needs a specific purpose or provisions. Use the distinctions below to select the correct form and channel; a founder’s overseas residence and an existing foreign-law entity are different facts.

Key takeaways

  • LLC-5.5 is the standard domestic Articles; an existing foreign LLC has a separate admission route.
  • Series-capable Articles precede a separate Certificate of Designation for each series.
  • A required specific purpose or provision can exclude the ordinary online channel.
  • Retain the accepted Articles and effective-date evidence, not just the payment receipt.
  • EIN, tax accounts, actual operating approvals and annual reporting remain separate tasks.

How to form an LLC in Illinois on the ordinary route

For a new, ordinary Illinois limited liability company, prepare the company details and submit Articles of Organization to the Secretary of State, Department of Business Services. The standard filing charge is US$150, verified on October 20, 2026. Apply only the exceptions that match your facts below.

  1. Choose a distinguishable legal name containing Limited Liability Company, LLC or L.L.C.; confirm availability through the Secretary of State before finalizing the filing.
  2. Arrange an eligible Illinois registered agent and registered office. Use an Illinois street address matching the agent’s business office; a P.O. Box alone does not satisfy the office requirement.
  3. Prepare the principal business address, purpose, effective-date choice, duration if not perpetual, manager details, member confirmation and organizer information.
  4. Complete the eligible online application or submit the signed standard Articles, Form LLC-5.5, with the required payment. Obtain the official filing outcome and retain the accepted Articles.

For agent eligibility and the name rules, use the Secretary of State’s online formation instructions . A founder living abroad should arrange a qualifying local recipient rather than entering an overseas address as the Illinois registered office. Confirm that the named agent has agreed to receive notices and that the company can obtain those notices promptly.

The standard Illinois Articles form requests names and business addresses of managers and any member with manager authority. It also confirms at least one member on the effective date and requires the organizer’s signed affirmation. Its principal-address field rejects a P.O. Box alone or a care-of address. Prepare the actual values before opening the application; a general passport-and-address bundle does not answer these company-specific fields.

As of the verification date, the online instructions list ten business days for standard review at US$150, or 24-hour service at US$250, before the separately assessed payment processor fee. The second figure is US$150 plus US$100 for expedited handling. These are government filing and review options, not an all-in setup quote or a promised opening date. Preparation, corrections and operating approvals take additional time.

The Articles offer effectiveness on the filing date or a later date no more than 60 calendar days afterward. Payment alone does not establish the effective company record. The online confirmation is sent after examination and approval. Retain it with the filed document, file number and recorded effective date; reconcile any discrepancy before relying on the company’s existence.

If the LLC already exists outside Illinois

An LLC that already exists under another state’s or country’s law needs a different starting question: admission of that existing entity, or creation of a separate Illinois subsidiary? Being an overseas owner of a newly formed Illinois LLC is different from bringing an already formed foreign-law LLC into Illinois.

The Illinois LLC forms directory distinguishes domestic Articles from Form LLC-45.5, Application for Admission to Transact Business, and its series variant. The online domestic instructions exclude entities already formed elsewhere. Do not submit new domestic Articles merely to obtain an Illinois registration for the same existing LLC.

Identify which entity will sign Illinois contracts and hold assets. Review admission if the existing LLC will operate there; document the separate ownership decision if a new subsidiary is intended. The ordinary steps here address a new domestic company.

If you plan to establish series

Illinois offers a separate Articles variant for a company able to establish series. Series-capable Articles and a designation for an individual series are separate filing tasks. Select this structure for a reviewed business reason, rather than because the ordinary online form presents it as an option.

Illinois filing selection: choose the entity task before selecting the form
Your situation Relevant filing What it accomplishes What to check next
New ordinary Illinois LLC LLC-5.5 Forms the standard domestic company Eligibility for the chosen filing channel
New company intended to establish series LLC-5.5(S) Forms the series-capable domestic company Reviewed series provisions and operating agreement
Individual series under the formed company LLC-37.40 Separate Certificate of Designation Parent Articles already on file; each intended series
Existing LLC formed elsewhere LLC-45.5 or series variant Application for Illinois admission Existing entity’s own qualification requirements

The current series-capable Articles form states that the operating agreement provides for one or more series and that the Articles must be on file before submitting Form LLC-37.40. The online instructions likewise require a separate Certificate of Designation for each series. Both standard and series-capable parent formations are offered online, subject to the online eligibility conditions.

Illinois Articles and series designation are separate filings For a new domestic Illinois LLC, choose standard or series-capable Articles. Retain the accepted company record. The series-capable Articles must be on file before a separate Certificate of Designation for each series. This diagram does not describe liability protection or online eligibility. New Illinois LLC? Select Articles variant Standard LLC-5.5 Series-capable LLC-5.5(S) Keep accepted company record Articles on file before LLC-37.40 Separate designation for each series
The Articles variant selects the company structure. The series branch has an additional filing after the Articles are on file; it does not replace the ordinary company formation.

The current directory lists US$400 for series-capable Articles and US$50 for a Certificate of Designation. Thus one parent filing plus one designation is US$450 in these government charges before expedited handling, payment charges, professional work or ongoing costs. Filing the parent alone does not complete that two-document example. Obtain Illinois legal and tax advice about the proposed series arrangement; the form choice does not promise a liability or tax result.

Check the Articles variant before submitting

Review whether the proposed company needs standard Articles, series provisions or a different application.

If the Articles need a specific purpose or provisions

Use the online channel only if its eligibility conditions fit the company. The current instructions require a new domestic LLC that is not required to use a specific purpose or provisions. A customized filing requirement can change the channel without changing the wish to form an LLC. Review this before paying for the online application.

For a concrete professional-services exception, the standard Articles notes require the specified professional service or related services to be stated for a professional LLC. They also prescribe Professional Limited Liability Company, PLLC or P.L.L.C. in the name for the professional-services category described there. A general lawful-business statement should not silently replace a required professional purpose.

As a hypothetical, a founder’s Illinois counsel determines that a regulated professional practice needs a specifically stated professional purpose. That founder should have counsel prepare the applicable Articles and verify the document submission route with the Limited Liability Division. Copying the ordinary online purpose into the application would leave the identified requirement unresolved. Separate professional licensing and ownership eligibility must also be checked for the actual profession.

For any other proposed custom provision, first ask whether it must appear in the filed Articles or belongs in the internal operating agreement. Do not assume every negotiated private term requires a special public filing. Give the filing reviewer the precise required wording and the reason for it; the Secretary of State’s administrative filing role does not supply the legal advice needed to make that decision.

Complete the duties shared by the selected route

After resolving the applicable exception, keep one shared completion list for the company. The Articles choice does not eliminate governance, federal identification, tax registration, operating permissions or annual administration. Assign these tasks even if different advisers handle them.

Private decisions and the federal identifier

Prepare an operating agreement covering ownership, contributions, management decisions, distributions and transfers. Treat this as a practical governance task: settle who can commit the company, how additional funding is approved and what happens when an owner leaves. Keep the signed agreement and contribution evidence with the company records, and make the management arrangements consistent with the filed information. The series form’s express agreement statement needs particular attention when that branch applies.

The IRS EIN application guidance says to form the LLC with the state first. An employer identification number is free directly from the IRS. Online eligibility requires, among other conditions, a US or US-territory principal place of business and the responsible party’s SSN or ITIN. Applicants whose principal place of business is outside the United States use the applicable phone, fax or mail route. An Illinois registered agent does not itself establish the online EIN eligibility facts.

Have the tax adviser determine the company’s classification and the returns or information filings required by its actual ownership and transactions. For overseas founders, include obligations in the owner’s home jurisdiction in that discussion. The EIN identifies the taxpayer; it does not settle the tax treatment, bank acceptance or permission to work in the United States.

Tax accounts and the activity you intend to start

The Illinois Department of Revenue registration page directs businesses conducting business in Illinois or with Illinois customers to register, subject to exceptions. MyTax Illinois provides Register a New Business using Form REG-1; activity-specific schedules may be needed. Confirm the applicable accounts and complete the required registration before the relevant purchases, sales or hiring. Preserve the issued registration evidence, including electronic certificates where applicable.

The state’s 2026 business-starting guide separates entity registration from licensing and explains that requirements depend on the activity and location. Check the city or county, zoning and premises conditions, relevant state professional or sector regulator, and any applicable federal or product rules. Home-based operations also need a local review. Do not treat the company’s Articles as a general permission covering those activities.

For that distinction in more detail, read the separate license test for an LLC’s activity . If the responsible authority is unclear, the Illinois Business Information Center connects businesses with state and local regulatory resources. Describe the actual service or product and operating address when requesting assistance.

The next report and later changes

Under Illinois LLC Act sections 50-1 and 50-10 , deliver the annual report and fees within the 60 calendar days immediately before the first day of the anniversary month. Record the company’s official due date and set an earlier reminder. The standard report fee is US$75; add US$50 for each designated series in effect on the last day of the third month before the anniversary month. Reconcile the applicable series count before paying.

The current annual report form records the due date, principal office and management information. The US$150 standard formation charge plus one US$75 standard report is US$225 in those two government charges, not the total cost of operating the LLC. Delinquent reports can affect good standing and incur additional charges; an annual calendar should not depend on whether the company has made its first sale.

Registered-agent services, professional assistance, accounting and operating permits are separate cost categories . Capital contributions, taxes and working funds also sit outside that government-charge subtotal. Obtain a written scope for any professional services; no HSJGlobal service amount is assumed in this calculation.

Use the annual-report filing guidelines when preparing the next report. They identify online restrictions and a separate procedure for changing the registered agent or office, including Form LLC-1.36/1.37. Do not expect the annual report to make every company change. Give someone continuing responsibility for official mail, filing access and the evidence that each required update was accepted.

Choose the next form or missing proof

To form an LLC in Illinois, select the actual filing task before releasing the application. Use standard domestic Articles for the ordinary new company, admission for an existing foreign LLC, or series-capable Articles followed by the applicable designations for the reviewed series arrangement. Resolve a required specific purpose or provision before choosing the online channel.

If the filing is already submitted, the next action is to obtain and reconcile the accepted record and effective date. If formation is effective, move to the missing EIN, tax account, activity approval or reporting arrangement. State the missing document and who will obtain it instead of treating every incomplete item as another formation application.

HSJGlobal’s US company registration and LLC formation support describes its entity-setup services. Bring the chosen Illinois form, ownership facts, intended activity and unresolved evidence to that discussion so the requested work has a clear scope.

Frequently asked questions

Does reserving the name create the company?

No. The Illinois forms directory expressly distinguishes the name-reservation application from Articles of Organization. A reservation is a naming step; obtain the filed formation record before treating the company as formed.

Must every manager be an individual?

The current annual-report form includes an affirmation for managers other than a natural person. That does not establish eligibility for every proposed entity manager; verify the specific manager and filing requirements before naming it.

Can I mail a request for expedited document handling?

The forms directory says requests for expedited service must be made in person at the Department’s Springfield or Chicago office rather than by mail. The separate online formation instructions offer a 24-hour option. Match the request to the selected submission channel.

Will the state deliver every tax certificate by post?

No. IDOR issues certain registration certificates electronically through MyTax Illinois. Preserve the applicable account letter or certificate and confirm how to obtain evidence for the specific registered tax account.
