How to Form an LLC in Massachusetts

Assign certificate authority, file with the Commonwealth and budget for the first annual report.

To form an LLC in Massachusetts, choose the domestic filing route, confirm the name, appoint a resident agent, arrange the Massachusetts records office and file a Certificate of Organization with the Corporations Division. Then complete the EIN, tax and operating steps that apply. The state filing costs USD 500 on paper or USD 520 electronically, including its expedite charge, as checked October 22, 2026.

Before filing, decide who will be named as manager and who may sign Division documents or real-property instruments. These Massachusetts certificate fields deserve separate decisions, especially when an owner lives abroad and uses local representatives.

Key takeaways

  • A Massachusetts-created LLC remains domestic even when its owners live overseas.
  • The records office and resident agent have different functions; confirm both arrangements.
  • Manager, Division-signing and optional property-signing roles should reflect actual appointments.
  • Reserve USD 500 per annual report on paper, or USD 520 electronically, after formation.
  • Use the IRS route that fits the real principal business location and responsible party.

How to form an LLC in Massachusetts: settle identity and authority

Create a domestic LLC when you want a new entity organized under Massachusetts law. Register an existing out-of-state LLC when that same entity will do business in the Commonwealth. Formation and foreign qualification solve different problems: an owner living abroad does not make a Massachusetts-created LLC a foreign LLC.

Confirm the filing category, name and professional status

The foreign LLC instructions require an application within ten days after the foreign LLC commences doing business in Massachusetts, with a home-jurisdiction certificate of legal existence or good standing. A foreign-language certificate requires a translation under oath. An overseas company with a different legal form should confirm the appropriate registration category rather than assume it qualifies as an LLC.

For a new domestic company, settle the legal name and activity first. The name needs an allowed ending such as LLC and must meet the state's distinguishability rules. Review existing entity records and reserved names through the Corporations Division before spending on branding; entity-name acceptance does not settle trademark rights.

Identify professional services at this point. The Division publishes a professional LLC form and requires applicable regulating-board certification for members or managers rendering the professional service in Massachusetts. Treat that as a separate eligibility question before submitting an ordinary business filing.

Assign the certificate roles to the right people

Massachusetts asks more than who owns the business. Its certificate distinguishes managers, people authorized to file documents with the Corporations Division, and people authorized to execute instruments affecting real property. Decide who has each authority before putting names on the public certificate.

Use the official Certificate of Organization form as a role worksheet. The table below translates its fields into decisions for an overseas owner. It does not replace an operating agreement or authorize a person simply because their name has been typed into a draft.

Assign the certificate roles before submission
Public role What the field covers Decision to document
Resident agent Receives service of process; consent is required. Confirm eligibility, Massachusetts street address and acceptance.
Manager, if any Names and business addresses of the managers. Match the actual management structure and appointments.
Additional Division signer Person authorized to execute documents filed with the Division; name at least one if there are no managers. Give filing authority deliberately and identify who will handle changes.
Real-property signer Optional designation for recordable instruments affecting real-property interests. Discuss transaction-specific signing arrangements if property is involved.

Keep service of process separate from management. Hiring a resident agent does not by itself appoint the provider as manager, filing representative or bank signatory. If the same person will perform multiple functions, obtain the necessary appointments and make their scope clear.

Authorize the records office and public addresses

The Massachusetts office and agent statute also requires an office in the Commonwealth where required LLC records are kept. It need not be the place where the business operates. The resident agent must be a Massachusetts resident individual, a domestic corporation or a foreign corporation authorized to do business there. Confirm that any proposed provider fits the statutory category and that its service actually covers the records arrangement you need.

Review public addresses with each named person. The certificate form states that the filing will be publicly available. Use accurate, authorized business-address information; do not assume that a private home address supplied to a filing service stays private once entered into a public field.

Reconcile public authority with the private agreement

Document ownership and internal decision rules alongside the public authority assignments. A written operating agreement is useful for contributions, distributions, voting, manager appointments, reserved decisions, transfers and exit terms. It should make clear who may instruct a filing service, sign bank documents or approve a property transaction; these practical permissions need not be identical.

Massachusetts certificate authority map Four separate roles on the Massachusetts LLC certificate should agree with actual appointments. An agent receives process, managers manage, a Division signer files documents, and an optional property signer handles designated recordable instruments. Who has which role? Massachusetts LLC certificate Resident agent Receives legal process Consents to appointment Managers, if any List the actual appointees Use business addresses Division filing signer No managers? Name at least one person Real-property signer Optional designation For recordable instruments Match the agreement Update public roles as needed
The certificate assigns distinct public roles. One person may hold more than one role only where the actual appointments and authority support it.

Approve the certificate payment and filing handoff

Budget for an expensive recurring state filing as well as incorporation. As checked on October 22, 2026, the official Massachusetts fee is USD 500 for an ordinary domestic LLC certificate and USD 500 for its annual report. The state fee schedule adds a USD 20 expedite fee to a USD 500 electronic filing, making each electronic total USD 520.

Reserve formation and annual-report charges

Ordinary domestic LLC state filing budget, in USD
Item and cycle Paper base fee Electronic total
Certificate, once at formation 500 520, including 20 expedite fee
Annual report, each year 500 520, including 20 expedite fee
Certificate plus one annual report 1,000 1,040

This is a two-filing cash reserve , not a total business-launch price. In the paper example, USD 500 + USD 500 = USD 1,000. Filing electronically for both gives USD 520 + USD 520 = USD 1,040. The first annual report is a later obligation; reserving its fee does not mean it is due with the certificate.

These government filing charges are separate from agent and records-office services, professional advice, translations, municipal permits and bank costs. Taxes depend on classification and operations; capital contributions and working cash remain business funding. No HSJGlobal professional fee is included in either example. Obtain a scoped service quote and identify its recurring items before comparing providers.

Keep channel charges visible when approving a payment. An electronic expedite charge is not a purchased guarantee that the Division, IRS, bank or a local licensing authority will finish the complete setup by a particular date.

Transfer the agreed facts into the signed certificate

Prepare the certificate from the agreed roles, then submit it to the Secretary of the Commonwealth's Corporations Division. A payment receipt is an intermediate record; keep the approved filing and its effective information as the entity's formation evidence.

  1. Enter the exact LLC name, Massachusetts records-office street address and general character of the business. Include a dissolution date only if one is intended.
  2. Add the resident agent and its consent, either on the certificate or attached. Complete the manager and authorized-person fields using the decisions above.
  3. Include the federal employer identification number if available. The state's instructions allow this qualification; do not invent a number to fill the field.
  4. Have the person forming the LLC sign, review the completed document and contact details, and choose the online or paper filing route from the Division's official instructions.
  5. Retain the submission record and monitor the outcome. Correct any rejection against the Division's stated reason.

Retain the approved filing and its effective information

The domestic LLC formation instructions explain that formation occurs when the certificate is filed, or at a later time specified in it, subject to substantial compliance. Keep the filing date and any later effective date distinct. Contracts and funding arrangements should use the company's actual legal status on the relevant day.

The online filing guidance says that a paid submission is then ready for Division approval. Do not promise customers that a card authorization means the LLC already exists. No fixed state approval duration is assumed here: preparation, review, corrections and subsequent bank or permit checks each affect the launch date.

For practical coordination across owners and jurisdictions, HSJGlobal's US company registration and LLC formation services describe support with formation, EIN coordination, agent arrangements and an initial compliance calendar. Agree the actual Massachusetts scope before authorizing a filing.

Carry the agreed facts into tax and operating records

After state formation, obtain the federal employer identification number (EIN) through the appropriate IRS route. The IRS EIN application page confirms that EINs are free and directs LLC applicants to form with the state first. Its online route requires a US principal place of business and the responsible party's Social Security number or individual taxpayer identification number.

Use the actual business location and responsible party

An overseas owner should check eligibility rather than use an agent address to misstate where business is principally conducted. The Form SS-4 instructions provide international phone, fax and mail routes under their conditions. They permit “foreign” or “N/A” on line 7b when the responsible party has no SSN or ITIN and is ineligible to obtain one. Appoint the actual controlling individual as responsible party; a paid nominee is not a substitute for that factual answer.

Separate federal returns from domestic BOI relief

Agree a tax reporting plan before moving owner funds. Under the Form 5472 instructions , a wholly foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Ownership, classification and transactions determine the analysis; having no sales is not a reliable shortcut to having no filings.

Keep that IRS question separate from beneficial ownership information reporting. FinCEN's August 2026 final rule announcement removes BOI reporting requirements for US companies. A Massachusetts-created LLC is in that domestic category even with overseas owners. An entity formed abroad and registered in Massachusetts requires the separate foreign-reporting-company analysis. The domestic exemption does not remove state records, IRS filings or a bank's customer checks.

Identify the Massachusetts tax accounts that apply

State formation does not select every tax account or grant permission for every activity. Use the business's tax classification, staffing, products and premises to identify the next registrations. The Secretary's DOR tax information directs entities to MassTaxConnect and identifies LLCs electing corporate treatment among entities required to register with the Department of Revenue.

Have the tax adviser distinguish entity returns, owner returns and operational accounts. Ask specifically about payroll when hiring, taxable sales when selling goods or services, and any industry excise. This article does not assign a tax rate or assume the same treatment for every foreign owner. The owner's home-country treatment also needs consideration.

Apply the operating address and activity to local permissions

For local permissions, begin with the city or town where the business will operate. Boston's Business Certificate requirements provide a concrete example: an LLC using a name different from its legal name needs the city trade-name certificate after state registration. Boston lists USD 65 per filing and an additional USD 35 nonresident surcharge when applicable, with renewal every four years. A nonresident filing in that stated situation would therefore allow USD 100 before any payment-method charge; this is not a statewide DBA price.

Boston asks for a notarized form, actual business address and occupancy evidence such as a lease or the specified landlord letter. It does not accept a virtual address or PO box for that local certificate. Do not extend those local document rules to the Massachusetts LLC certificate itself.

Then check zoning and premises use, sector approvals, products and any professional license held by the people delivering the service. Food, construction or other regulated activities need their own authority route. The broader distinction is explained in whether an LLC needs separate business licenses ; the LLC filing and the permission to conduct a particular activity have different completion tests.

Keep the Commonwealth record aligned with changing authority

Maintain the public role assignments when the team changes, rather than waiting for a yearly filing to notice a mismatch. The Division’s domestic LLC instructions require amendments for manager and authorized-signatory changes and other required certificate information, and prompt correction when a certificate becomes materially false. The base certificate-of-amendment fee is USD 100; an electronic filing can carry an additional channel charge.

Handle a resident-agent change through its own route

A separate agent-change filing is available. Check that route when replacing the resident agent or changing its address, instead of treating every change as the same amendment. Tell the replacement provider when responsibility begins and keep its consent and service arrangements in the company file.

Review authority again at the filing anniversary

The annual report follows the certificate filing anniversary . It is due on or before that date each year and repeats the certificate information with changes. For a certificate filed October 22, 2026, plan the next report by October 22, 2027; record the actual filing date if the approved record differs from the planned date.

Assign one person to compare the report with the current operating agreement and appointments. Check the records office, agent, managers and document signers, then keep the submitted report and acceptance. Maintain separate tax and permit deadlines: paying the annual report fee does not file the company's tax return or renew a Boston trade-name certificate.

Decide whether the Massachusetts filing is ready to submit

Proceed when the route, authority assignments, compliant records office, consenting agent and signed certificate are settled. Hold submission if a professional regulator must first confirm eligibility or if the existing overseas entity's legal form makes the domestic-versus-registration choice uncertain.

Before authorizing payment, ask the filing coordinator to return the final certificate for review. Confirm the spelling of every name, the function of each listed person, the public addresses and the fee channel. Identify who will receive a rejection and who can approve a correction.

To form an LLC in Massachusetts successfully, carry the same agreed facts into the private agreement, EIN application and operating registrations. Keep the approved state document, plan the annual fee and give a named owner responsibility for follow-up. Formation is a useful legal milestone; the business becomes ready to operate when its remaining tax, location and activity requirements are addressed.

Frequently asked questions

Can the same person be both a manager and a document signer?

The certificate distinguishes the roles but allows managers and additional authorized people to be identified. A person may perform multiple functions where the appointments support that authority. Confirm the actual powers in the operating agreement and transaction documents.

Does the Massachusetts certificate require every owner to submit a passport?

The published ordinary LLC certificate does not list a passport upload for every owner. Banks, agents or regulated activities may request identity evidence separately. Do not treat one provider’s onboarding checklist as a state certificate requirement.

What happens after an online filing is rejected?

The Division’s online guidance allows a paid rejected filing to be retrieved, corrected and resubmitted without another payment prompt. Follow the stated rejection reason and keep the corrected version. A rejected submission is not the approved formation record.

Does closing the bank account end the LLC?

No. The Division provides a certificate-of-cancellation procedure after dissolution and winding up. Bank closure alone does not complete that state procedure or close tax and local registrations. Plan the required closure actions with the relevant authorities.
