Company document verification
Indonesia Company Registration Certificates: Identify and Verify Your Documents
Match each Indonesian document to the record and business purpose it can actually prove.
An Indonesian company document is useful only when its official purpose matches the proof you need. A file called a “company registration certificate” may concern incorporation, business identity, tax registration or a particular licensed activity. Those are separate checks; a polished PDF does not establish that all four are complete.
For a conventional limited liability company, including a foreign investment company (PT PMA), identify the document first, then reconcile it with the relevant official record. This approach does not substitute for the separate registration evidence used by an individual company or a foreign representative office.
Key takeaways
- A document title is a starting clue: record the issuer, reference number, date and company name before assigning a purpose.
- Original incorporation evidence needs the later amendment chain when ownership, management, name or address has changed.
- Public searches help corroborate identity; company-controlled records may be needed to verify details that are not publicly displayed.
- A mismatch needs an identified record owner and closing evidence, rather than a replacement scan with unexplained changes.
Start with the proof the recipient actually needs
Ask the recipient to specify the proposition to be proved: that the company was incorporated, that a named person represents it, that its taxpayer details are registered, or that a stated activity can operate. “Send your certificate” leaves that question unresolved. A bank, customer or overseas parent may require several documents because its review covers several propositions.
The underlying company registration in Indonesia produces a corporate and administrative record set. A later request for verification should refer back to those records, while separately testing any operating permission relevant to the transaction.
Identify the required proof before choosing the document to send. Write the recipient’s purpose at the top of the request and note the exact company, intended use and date of the check. That prevents an authentic tax document from being accepted as evidence of incorporation, or an old corporate document from being treated as current signing authority.
Clarify the evidence request
HSJGlobal can help turn a broad certificate request into a defined corporate, tax or licensing document scope.
Identify each document by its issuer and reference
For a conventional Indonesian PT, the following documents answer different questions. AHU’s PT service description separates the incorporation deed submitted through a notary from the ministry decision produced by the incorporation service. OSS describes the NIB as the business identity; DJP registration services separately administer taxpayer registration and status.
| Document or record | Issuer or responsible channel | What to identify | What the evidence supports |
|---|---|---|---|
| Akta Pendirian (incorporation deed) | Indonesian notary | Deed number and date; notary; company name; articles | The recorded establishment terms. Keep later deeds with it. |
| AHU incorporation decision, often called SK Pengesahan | Ministry legal administration through AHU | Decision reference, date and company; relationship to the deed | The ministry’s legal-entity incorporation outcome, rather than activity licensing. |
| Nomor Induk Berusaha (NIB) | OSS system | NIB number, legal name and associated activity/location details | Business identity and the licensing record to investigate further. |
| Nomor Pokok Wajib Pajak (NPWP) and taxpayer registration data | Direktorat Jenderal Pajak (DJP) | Taxpayer number, name and registered details | Tax identity; it does not establish permission for a regulated activity. |
| Sertifikat Standar, Izin or relevant PB UMKU | OSS and the competent issuing or verifying authority | Certificate type, activity, location, status and conditions | The particular business or supporting permission within its recorded scope. |
An English cover sheet may translate a document name loosely. Keep the original Indonesian title and reference beside the translation so a reviewer can locate the right record. Never infer a separate universal certificate simply because a checklist uses the English phrase “certificate of registration”.
A useful file index gives every document its own entry. Preserve annexes, signatures, electronic verification details and all pages; an isolated first page can omit the activity or conditions that limit the document’s meaning. The relationship below is parallel verification, not a single sequence of approvals.
Verify the current record behind the document
Open the official service independently and search using the identity recorded on the document. Do not treat a QR code, email attachment or intermediary’s dashboard as the only route to the record. A QR result is useful only after checking its destination and matching the returned details to the document being assessed.
AHU: connect the original company to later changes
Use AHU’s company profile search to corroborate the exact legal name. AHU notes that its online PT data follows Law 40/2007 and provides a manual route for companies outside the described online coverage. A missing result therefore calls for investigation; it is not, by itself, a finding that the company is fictitious.
Request the current profile and the incorporation decision together with subsequent deeds and corresponding ministry outputs. AHU’s amendment guidance distinguishes approval of articles changes, notification of articles changes and notification of company-data changes. Match each relevant change to its output instead of assuming every change produces a new incorporation decision.
OSS and DJP: check the company in the correct record
The OSS NIB search accepts a NIB number. Compare the returned identity with the supplied NIB, then have an authorized company user supply the current activity record, annexes and licensing status needed for your review. A public identity match does not establish every permission associated with that company.
For tax evidence, ask an authorized company representative to compare the supplied NPWP with its DJP/Coretax registration details. DJP’s registration explanation identifies the 16-digit NPWP format and explains the leading zero for an existing 15-digit corporate NPWP. Preserve both representations in the reconciliation instead of treating that format difference alone as a different taxpayer.
Keep a check date, the official channel used and the returned reference or saved output. When a transaction warrants broader corroboration, independent checks behind a company certificate scan help distinguish an identity match from a complete assessment. Record exactly which proposition remains untested; avoid writing “verified company” when only the name was checked.
Locate the missing record connection
Resolve whether the obstacle is an absent amendment, an access gap or a difference between recorded identities before resubmitting files.
Read operating certificates against activity and location
Operating evidence must match the actual activity and location. An NIB and an AHU decision can belong to a real company while the file still lacks the permission needed for a particular operation. Read each Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) business classification entry and its associated risk and status in the current OSS record.
The government explanation of PP 28/2025 sets out the core distinctions: low-risk licensing uses NIB; medium-low risk uses NIB and a Standard Certificate; medium-high risk requires a verified Standard Certificate for operational or commercial activity; high risk requires NIB and an Izin (licence). An unverified medium-high-risk certificate supports preparation rather than the operational or commercial stage.
An issued document and a completed operating permission are different findings. Check whether the named authority has completed the required verification and whether the document’s scope covers the proposed activity. PB UMKU means supporting business licensing; require the applicable output where the activity needs it, rather than demanding the same supporting certificate from every company.
The same official explanation separates basic requirements, business licensing and supporting permissions. Check applicable site, environmental or other conditions as part of the relevant operation. Older records also need their transition context: the OSS portal currently directs unfinished pre-transition projects to a separate route, so document age alone does not determine validity.
Resolve mismatches with a document reconciliation register
Use this working register to separate a historical difference, a format difference and an unresolved filing error. It is a review method, not a substitute for the competent authority’s record. Enter both competing values verbatim and assign the correction to the person controlling the source record.
| Difference found | First record to reconcile | Repair owner and action | Evidence that closes the issue |
|---|---|---|---|
| Old name on incorporation deed; new name on NIB | Name-change deed and AHU approval chain | Company/notary supplies the intervening change; correct downstream records if still inconsistent | Documented link from the original entity to its current name. |
| Director differs between a deed and the current profile | Appointment/change evidence and AHU company-data notification | Company/notary confirms the latest recorded management; reviewer separately checks signing authority | Current management evidence and the authority needed for the intended signature. |
| Address differs across company, OSS and tax files | Identify whether each field is legal domicile, full address, project site or tax address | Company resolves like-for-like errors in AHU, OSS or DJP as applicable | Corrected current outputs, or a recorded explanation of genuinely different address functions. |
| NPWP has 15 digits in one file and 16 in another | DJP taxpayer record and documented number-format conversion | Authorized tax user confirms the same taxpayer before requesting a correction | Matching taxpayer identity and retained number-format explanation. |
| Certificate exists but verification is incomplete | Specific OSS activity, location and certificate status | Company licensing owner supplies required evidence through the applicable verification route | Matching verified certificate/licence and annexes for the relevant operation. |
Do not edit the PDF to make fields agree. Correct the source record or obtain the missing historical link, then download the resulting official output. Corporate changes may require a notary; tax changes belong to DJP’s data and status change services ; licensing discrepancies belong to the relevant OSS record and competent authority.
If access fails, retain the document as “record check incomplete” with the attempted channel and date. If identity conflicts remain unexplained, suspend reliance on that item for the affected purpose. Neither a failed search nor a helpful verbal explanation closes a substantive mismatch.
Release a document pack with a clear verification result
Release the pack when the requested proof is supported by the appropriate document, the current official identity is reconciled and any relevant activity status is evidenced. Retain the original files, amendment chain and dated check record together so the next reviewer can reproduce the reasoning.
Label the result precisely: incorporation evidence matched, taxpayer identity matched, or the named activity’s permission confirmed. If a field, authority or status remains unresolved, identify the affected use and assign the next action before the pack is relied on. This produces a defensible verification result without turning one authentic certificate into an unsupported claim about the whole business.
Prepare the reconciled company document pack
Bring the requested purpose, current records and unresolved items together for a scoped verification handover.
Frequently asked questions
Can a foreign parent’s incorporation certificate prove its Indonesian subsidiary exists?
The parent’s certificate identifies the parent. Obtain and assess the Indonesian subsidiary’s own corporate and administrative records; retain the parent evidence separately when the recipient needs to verify the ownership chain.
Should a reviewer receive the company’s portal password?
Arrange a controlled demonstration or obtain the necessary official output from an authorized user. A verification request does not require circulating a company password, one-time code or personal tax credentials.
What if an electronic verification link is unavailable?
Record the failed check and use an independently opened official channel to seek corroboration. Preserve the original file. Keep the affected proposition unresolved until the official record or issuing channel supplies sufficient evidence.
Can the same document pack be reused for a later application?
Retain the original documents, but refresh the checks that can change and confirm the recipient’s current requirements. A dated verification result does not automatically establish the position at a later transaction date.
