Route the product portfolio to KBLI

Start with the bill of products, not the brand label. “Accessories” is a commercial category, while OSS licensing is driven by the activity actually performed at the Indonesian location. List every launch SKU, its principal material, conversion process, intermediate outputs, and whether the factory makes the complete item or only performs assembly. This portfolio map should be signed off before the deed, lease, equipment order, and OSS project data are finalized.

For textile accessories, KBLI 14131 covers cut-and-sewn accessories such as hats, headbands, ties, gloves, scarves, belts, and hair nets, including stated woven-headwear scopes. KBLI 14132 covers comparable finished accessories made from leather or imitation leather, with OSS distinguishing ordinary accessories from leather work gloves. These descriptions support products made through cutting and sewing; they do not automatically cover every upstream textile, leather, plastic, or metal process.

KBLI 32120 covers imitation jewelry such as rings, bracelets, brooches, earrings, and necklaces that use base metal, permitted precious-metal plating, and imitation stones. It also expressly includes non-precious metal watch straps. Genuine precious-metal jewelry or pieces containing real precious or semiprecious stones belong in the 3211 family, which requires a fresh activity and regulatory analysis rather than a wording change on the product catalog.

Form the PT PMA and structure ownership

A foreign shareholder generally establishes a limited-liability foreign investment company, or PT PMA. The process aligns the company name, shareholders, directors and commissioners, business purposes, five-digit KBLI codes, registered address, tax registration, and OSS data. The relevant manufacturing activities are generally open to foreign investment unless a specific restriction applies, but the final check must use the current investment list and the exact activities—not a generic statement that “manufacturing is open.”

Under the current BKPM framework, a PT PMA is normally treated as a large enterprise. Its total investment plan is generally more than IDR 10 billion, excluding land and buildings, for each relevant five-digit KBLI and project location, subject to the applicable aggregation and sector rules. The minimum issued and paid-up capital is generally IDR 2.5 billion per PT. These are regulatory thresholds, not quotations for incorporation and not a promise that the operating plant can be delivered for those amounts.

For a multi-line accessories company, decide whether one PT PMA should hold all manufacturing codes or whether a materially different process deserves a separate entity or site. One entity can simplify governance, employment, procurement, and customer contracting. Separation can isolate chemical, precious-material, environmental, or security risks and make line-level financing clearer. It also creates additional corporate, tax, reporting, transfer-pricing, and management overhead. The right answer follows the process map and commercial model.

Prepare source-of-funds evidence, shareholder resolutions, beneficial-owner information, constitutional documents, and a realistic business plan. Foreign individuals who work or reside in Indonesia need the appropriate immigration and work authorization; appointment as a director does not by itself create a right to work. After formation, maintain bookkeeping, tax filings, investment activity reports, industrial data reporting, employment compliance, and any product- or sector-specific records. Select and design the industrial site

Screen sites against the full process, not only the quietest launch line. Indonesian industrial companies generally locate in an industrial estate, subject to the current statutory exceptions. Before signing, verify the plot or unit’s spatial conformity, estate rules, permitted activities, utility capacity, building status, access for employees and trucks, and whether the landlord allows the required exhaust, wastewater, fire-safety, storage, and electrical works. A postal address or warehouse listing is not evidence that manufacturing is authorized.

Dry textile and leather-accessory lines commonly need receiving and quarantine, controlled material storage, cutting, skiving or splitting where applicable, sewing, edge preparation, hardware fitting, finishing, inspection, packing, and rejected-product areas. Provide ergonomic circulation, machine guarding, dust collection, lighting suitable for color and surface inspection, fire separation, and humidity controls where materials demand them. If leather arrives already finished, keep supplier documentation and do not let workshop practice drift into tanning or other unlicensed wet processing.

Obtain factory licences and approvals

Indonesia’s current risk-based licensing framework starts with project data in OSS and assigns licences to the KBLI, scope, scale, and location. For a large enterprise, the ordinary non-woven-headwear scope under KBLI 14131 and both displayed KBLI 14132 scopes are currently medium-high risk. The operating package is an NIB plus the applicable Standard Certificate after verification. An unverified certificate can support the preparation stage but is not the same as authority to begin commercial production.

KBLI 32120 currently displays medium-low risk across enterprise scales. That route generally uses the NIB and a Standard Certificate based on the business actor’s statement of compliance. “Self-declared” does not mean standard-free: the company must actually satisfy the applicable industrial standards and ongoing obligations. Risk can also differ within a KBLI. For example, OSS displays separate 14131 scopes for ordinary accessories and woven headwear, with different large-enterprise outcomes. Preserve the generated OSS output for the exact project rather than quoting only the five-digit heading.

The licensing file commonly depends on spatial conformity, the appropriate environmental approval or management document, building and proper-use evidence, fire and occupational-safety arrangements, and technical industrial data. Indonesia’s industrial-location rules generally point manufacturers toward industrial estates, while the environmental route depends on capacity, land area, process, emissions, wastewater, hazardous materials, and other threshold facts. The company should not split one integrated project into artificial fragments merely to seek a lighter environmental category.

Current OSS pages for 14131 and 14132 also display supporting-business permissions, including a veterinary control number certification entry. Its application to a particular leather or animal-origin input and finished-product scope should be confirmed with the competent authority and the live OSS workflow; a menu entry does not prove that every textile or synthetic accessory needs the certificate. Other approvals may be triggered by imported inputs, bonded-zone or customs facilities, product standards, workplace machinery, boilers, pressure equipment, chemical storage, wastewater discharge, or hazardous-waste arrangements.

Treat the licensing schedule as a dependency map: entity and deed data feed tax and OSS registration; product and process data feed KBLI and risk results; the location feeds spatial and estate checks; engineering inputs feed environmental and building evidence; and verified technical compliance unlocks the operational stage. The controlling legal framework includes Government Regulation 28 of 2025 for risk-based licensing and Industry Regulation 37 of 2025 for industrial licensing standards.

Build a line-by-line cost model

A credible cost model has four layers: company and pre-operation compliance; premises and common infrastructure; product-line capital expenditure; and operating liquidity. Keep the statutory investment plan and paid-up capital visible in a separate reconciliation. Capital injected into the PT PMA may later fund eligible business expenditure, but a legal capital figure is not an extra machine budget and should not be counted twice.

At the corporate layer, budget incorporation support, notarial and government processing, translations and legalization where needed, tax and accounting setup, OSS work, registered premises, employment and immigration work, and recurring compliance. At the site layer, include deposits and advance rent, estate charges, fit-out, electrical upgrade, ventilation, compressed air, fire systems, material storage, quality laboratory, security, IT, employee facilities, professional design, and approval-related studies. Obtain local written quotations; government fees, rent, and professional scope vary too much for a universal package price.

Dry cut-and-sew lines are driven by cutting tables or automated cutters, sewing and edge-finishing machines, skiving equipment, presses, hardware-setting tools, inspection, packing, spares, and jigs. Imitation-jewelry assembly may add precision tools, soldering, polishing, ultrasonic cleaning, stone setting, microscopes, dust extraction, and metal-control equipment. Casting, plating, coating, or wastewater treatment can multiply the engineering, utility, safety, and approval budget. Build three scenarios: a minimum compliant pilot, a commercial base case, and an expansion case. Apply contingencies separately to imported equipment, construction, environmental works, and schedule delay. Model foreign exchange, import duty and tax treatment, installation, commissioning, spare parts, reject rates, minimum-order quantities, and customer credit terms. The cash trough often occurs after equipment payment but before stable yield and collection from buyers, so monthly working-capital forecasting matters more than a single total.

Control products and operations

Turn the assortment matrix into the factory’s control plan. Each SKU should have an approved bill of materials, drawings or patterns, tolerance and appearance criteria, restricted-substance requirements, labeling and packaging instructions, test methods, and traceability fields. Link suppliers and incoming lots to production batches and finished-goods shipments. For leather and imitation leather, control thickness, finish, color, odor, adhesion, flexing, and material claims. For textile accessories, manage fiber and color consistency, seam strength, dimensional stability, needle control, and care information.

Imitation jewelry needs a documented material declaration and testing regime appropriate to the destination market and customer specification. Control plating thickness where claimed, corrosion resistance, sharp points, small parts, solder and base-metal composition, stone retention, and skin-contact restrictions. Separate genuine precious inputs from imitation products if both are ever handled. Marketing terms such as “gold,” “silver,” “nickel-free,” “hypoallergenic,” or “genuine leather” must be supported by specifications and evidence, not factory custom.

Operational compliance is continuous. Maintain machine inspection and maintenance, chemical inventories and safety data, worker training, personal protective equipment, incident records, waste manifests where applicable, environmental monitoring, production and industrial-data reports, payroll and social-security records, and immigration files. Reconcile OSS project data with actual capacity and location. A new product that uses a new material or process should enter change control before sales samples are accepted.

For outsourced steps, qualify the subcontractor and define ownership of material, scrap, tooling, quality records, confidentiality, and regulatory responsibility. Outsourcing plating can reduce initial capital but does not remove supply-chain, product-safety, or waste-chain risk. Confirm that the contractor is authorized for the actual process, audit its controls, and retain shipment and batch links. The same discipline applies to external tanning, molding, embroidery, coating, testing, and packing.

Choose the launch portfolio and phase

Choose a launch architecture only after the product, site, licence, and cash models agree. A focused textile or leather cut-and-sew launch is often the simplest route when customer demand can support it. A mixed dry-process factory can be sensible where the lines share labor, quality systems, storage, and utilities. A chemically intensive metal-finishing line deserves its own gate—and sometimes its own segregated unit or approved specialist supplier—because it changes environmental, safety, engineering, and capital assumptions.

  1. Freeze the first commercial assortment. Identify SKUs, materials, processes, volumes, customer tests, and every outsourced operation.
  2. Confirm codes and ownership. Obtain a written KBLI rationale, current foreign-investment check, PT PMA plan, and live OSS risk preview.
  3. Approve the site conditionally. Close spatial, estate, environmental, building, utility, fire, and alteration diligence before an irreversible lease commitment.
  4. Fund by verified gate. Release shared fit-out and line equipment only when the required evidence and approval path are credible.
  5. Add product families through change control. Recheck KBLI, licence, environment, safety, capacity, cost, and working capital before installation or commercial sale.

The go/no-go file should contain the shareholder structure, KBLI matrix, investment-plan reconciliation, site evidence, process flow, environmental route, licence dependency schedule, equipment quotations, launch budget, twelve-month cash forecast, quality plan, and responsible owners. If any high-impact process is described only as “future,” either remove it from the launch economics or price and design the future gate honestly. That decision discipline is what turns a broad accessories concept into a licensable Indonesian factory.

Practical questions

Can one PT PMA manufacture textile, leather, and imitation-jewelry accessories?

Potentially, if the deed, OSS projects, KBLI codes, site, environmental route, technical licences, and operating controls cover every activity. Commercial convenience does not override process-specific approvals.

Does KBLI 32120 cover genuine gold or gemstone jewelry?

No. Its current description is for imitation jewelry and specified non-precious materials. Genuine precious-metal, pearl, or precious-stone products require analysis under the relevant 3211 activity and its controls.

Should plating be installed during phase one?
