Mainland Company Formation: Requirements and Options

Choose the activity, ownership, entity and premises route before preparing the application.

Mainland company formation in the UAE requires an activity-compatible legal form, an accepted ownership structure and a licence through the relevant emirate authority. The main options include a new LLC or an accepted branch route; professional forms and specialised licences depend on eligibility. Confirm the activity, emirate and premises position before preparing the conditional documents.

This guide uses Dubai and Abu Dhabi examples and current official guidance verified on November 3, 2026. Dubai DET requirements are not a single UAE-wide procedure. Company formation, authority permission to operate, sector and premises approvals, tax registration and immigration arrangements need separate checks.

Key takeaways

  • Confirm the exact activity and foreign ownership conditions before committing to a legal form.
  • Compare a new UAE venture with an extension of an existing parent company.
  • Use the chosen emirate’s premises rules; specialised licence exceptions need specific confirmation.
  • Foreign-company branches add parent-company evidence and a federal registration workstream.
  • Accept the handover against named records, approvals and continuing obligations.

Mainland company formation starts with the operating model

In this guide, mainland means a UAE business licensed through the relevant emirate’s economic authority, outside the free-zone formation route. Dubai’s official guidance presents mainland formation as an option for businesses trading within the UAE. The correct route still depends on the activity and operating footprint; the word mainland does not remove local or sector controls. See the Dubai mainland formation overview .

Decide who will contract with customers, where the work will happen and whether an existing company should remain the contracting business. A founder creating a separate UAE venture faces a different decision from an overseas group extending its existing operations. Record those facts before choosing a company name or collecting a standard document bundle.

An existing Dubai free-zone business also has alternatives to forming a new LLC. Dubai Executive Council Resolution No. 11 of 2025 provides conditional DET branch and activity-permit routes for operations outside the zone within Dubai. It requires relevant approvals and separate financial records for those activities; financial establishments licensed in DIFC are excluded. Operations beyond Dubai require the permissions of the relevant jurisdiction.

For an existing zone company, compare the permitted activity and contracts under the available extension route with the practical benefit of a separate mainland entity. Selling through another licensed business and conducting the activity yourself are different operating arrangements. Describe the intended arrangement to both authorities rather than assuming that either arrangement follows automatically from the original zone licence.

Confirm the activity and foreign ownership position first

Full foreign ownership is available for many mainland activities, but it must be checked against the exact activity and competent authority. Dubai’s foreign ownership restrictions page identifies excluded categories, including security and defence, telecommunications and financial activities. Its general guidance must be read alongside the rules of the relevant sector regulator.

The Ministry of Economy and Tourism’s current companies legislation directory lists the Commercial Companies Law, its 2025 amendments and Cabinet Resolution No. 55 of 2021 on activities with strategic impact. The strategic framework includes regulator-controlled sectors and fisheries services reserved to UAE nationals. For a restricted activity, obtain the applicable ownership and control conditions before fixing the capital structure.

An ownership answer is valid only for the activity and legal form that the authority has accepted.

  • Write the proposed service or product in plain English, then reconcile it to the authority’s activity description.
  • Separate the main revenue activity from support functions; ask whether each additional activity belongs on the licence.
  • Record the approved foreign shareholding position, any regulator conditions and the source of the confirmation.
  • Resolve changes in the business model before signing constitutional documents or committing to premises.

Do not insert an Emirati shareholder or local director into a structure merely because a generic checklist says so. Equally, a statement that foreign investors can own a company fully is insufficient evidence that a regulated activity accepts the proposed ownership. Ask whether any service-agent requirement attaches to the particular form; distinguish that role from equity ownership.

A new LLC suits a separately owned UAE venture; a branch suits the extension of an existing business where that route is accepted. Dubai’s legal-form descriptions distinguish multi-owner and one-person LLCs, sole establishments, civil companies and several branch categories. Match the form to the activity before comparing administrative convenience.

Entity choice: the question each option resolves
Option Relevant distinction Decision to document
One-person or multi-owner LLC LLC owners’ liability is limited to their capital contribution; a one-person form is available. Which individual or company owns it, and who manages and signs?
Foreign-company branch Dubai describes this route as carrying on the parent’s activity under applicable DET rules. Does the parent’s activity and proposed UAE work fit the accepted branch scope?
Branch of a UAE or free-zone company The parent’s location determines the branch category and approval route. Which parent licence, issuing authority and outside-zone permission apply?
Sole establishment or civil company These are distinct forms; a sole establishment carries personal liability, while civil-company eligibility follows its professional activity. Has the authority accepted this form, ownership and any professional conditions?

Use the comparison to define governance, not just the filing route. For a proposed LLC, agree ownership, management authority and approval limits before instructing document preparation. For a branch, identify which parent decisions and delegated powers are needed. Avoid changing the intended contracting party halfway through a customer tender or lease negotiation.

A joint-stock structure may be relevant to a different capital or governance plan, but it should be considered on its own requirements. A short list of legal forms is not a recommendation that every foreign founder qualifies for each one. Ask the licensing authority to confirm compatibility in the proposed application.

UAE mainland route choice: new entity or existing parent Activity, emirate, owners and premises feed the route decision. A new venture may use an accepted LLC route; an existing parent may use a branch or an eligible Dubai free-zone permit. Both require their applicable operating approvals, with tax and people workstreams checked separately. Choose the emirate and premises as one decision

Select premises that the chosen authority accepts for the actual activity; apply the local evidence rules rather than treating Dubai documents as a UAE-wide standard. The Ministry’s conventional formation guidance links location requirements to the emirate’s economic authority and municipal zoning. For a conventional Dubai office or warehouse route, it identifies lease registration through Ejari.

Abu Dhabi illustrates why exceptions matter. ADDED’s licence guidance distinguishes a Standard Licence from specialised routes: the Freelancer Licence permits specified fields without physical office premises, while the Virtual Licence is directed at individuals residing outside the country. Those categories do not establish that every LLC can use a remote or address-only arrangement.

The Abu Dhabi Registration Authority’s Standard Economic Licence page says office leasing is required, with a first-year exception for some economic activities, and lists Tawtheeq and a lease among the documents. Confirm whether an exception covers the selected activity and applicant before relying on it. Ejari is the Dubai reference; Tawtheeq is the Abu Dhabi evidence named on that route.

Before committing to a site, ask for confirmation of the permitted use, the evidence needed for licensing and any fit-out or inspection dependencies. Record whether the planned space is an office, shop, clinic, workshop or warehouse. A small office suitable for administrative work may not support a business model involving customer treatment, stock handling or manufacturing.

Treat premises eligibility as an input to formation. Where the authority permits a staged arrangement, record its conditions and the point at which permanent premises become necessary. Avoid a lease commitment based solely on a formation provider’s general statement that an address is included.

Build the document file around the applicant

The document file should change when the applicant changes from an individual to a corporate parent or when the premises and activity change. Keep identity, corporate authority, constitutional and operating evidence in separate folders, with the relevant application checklist beside each one.

Conditional document file: examples to confirm for the selected route
File group Trigger Evidence to prepare or confirm
Individual identity Dubai new-business application The portal identifies a non-resident licence holder’s passport or a resident’s Emirates ID, and residence visa or entry permit evidence for non-GCC applicants.
Constitution and signatory Chosen legal form and application stage Use the constitutional instrument and signing route required for that form; confirm authority to sign where a representative acts.
Foreign corporate parent Foreign-company branch application Official parent-company certificate, corporate decision approving the branch and delegating its representative, and legal-representative details.
Location and regulated work Premises or activity requires separate acceptance The accepted tenancy evidence and the approvals specifically called for by the licensing or sector authority.

The identity examples above come from the Invest in Dubai mainland application guidance . Its supporting-document requirements differ by form and application stage. Confirm entry-status and attendance requirements in the live route before arranging travel or assuming that an overseas owner can finish every step remotely.

For a foreign-company branch, Ministerial Decision No. 138 of 2024 specifies parent-company and representative evidence. It requires certification and authentication of relevant documents issued abroad, and Arabic translation by a certified translator in the UAE where required documents are in a foreign language. Confirm the applicable certification chain before ordering translations or sending originals.

Make a reconciliation sheet showing the parent’s legal name, registration particulars, proposed branch activity and representative’s powers. Flag differences in spelling, a superseded corporate decision or a signatory whose authority is unclear. This is a practical quality-control step, not an additional statutory form. It reduces the chance that different parts of the submission describe different businesses.

Do not collect every possible document speculatively. Request the checklist for the exact legal form and identify which item satisfies which requirement. Where a professional qualification, product approval or premises plan is requested, record the regulator and trigger alongside it; do not present it as a requirement for every mainland applicant.

Track formation, operating permission and later registrations separately

Track the deliverable from each authority so that an early approval is not mistaken for permission to open. The Ministry’s conventional-process guidance states that initial approval allows formation to proceed but does not authorise the business activity. Name reservation, constitutional documents, location acceptance and any external approvals still need the treatment required by the chosen route.

Permission map: keep each question with its responsible body
Question Authority or route Evidence to retain
Is the entity and activity licensed? Emirate economic authority; DET for Dubai mainland Issued licence and approved activity particulars
Are regulated work and premises accepted? Relevant sector regulator and local premises authorities Applicable approvals, conditions and inspection outcomes
Is the foreign branch federally registered? Ministry of Economy and Tourism, where applicable Branch registration certificate and renewal obligations
Are tax obligations addressed? Federal Tax Authority Applicable registration and filing records, separate from the trade licence

For foreign-company branches within its scope, the Ministry’s current branch registration service requires the application within one month of the competent authority’s licence issuance. It lists the economic licence, certified parent-company registration evidence and an auditor appointment letter, with the stated representative-office exception. Allocate responsibility for this filing before collecting the local licence.

The FTA corporate tax registration service requires persons subject to corporate tax to register under the applicable rules. The FTA also explains that UAE branches of domestic juridical persons do not separately register or file because they extend the parent. Assess the actual entity and tax position; formation does not resolve it automatically.

Build a separate people-and-mobility workstream if owners or staff will relocate or work in the UAE. Request the applicable immigration, establishment and work-authorisation requirements and any quota conditions. Do the same for imports, controlled products or regulated professionals where the business model introduces them. Keep each approval’s scope visible in the handover instead of labelling the whole file “company completed”.

Pressure-test the route with three operating scenarios

Test the route against a concrete operating scenario before authorising the application. The examples below are decision exercises, not individual eligibility rulings; their purpose is to expose facts that a generic incorporation checklist misses.

A new overseas founder planning a Dubai consultancy should settle the activity classification before selecting a legal form.

Ask whether the proposed work is ordinary business advice or a regulated professional service, who will sign client contracts and where delivery will happen. Compare the permitted LLC and professional-form options only after those answers are recorded. If the founder needs residency or staff, add that workstream to the plan rather than treating the licence as its completion.

An overseas operating company entering a UAE customer contract should compare a subsidiary with a branch. Ask which entity the customer expects, whether the branch activity matches the parent’s accepted scope and who can execute the parent decision and delegation. Place foreign-document preparation on the critical path early; the quickest local filing does not eliminate that preparation.

An existing Dubai free-zone service company taking mainland work should first test the available DET extension route. Record the intended mainland activity, premises, customer obligations and free-zone authority’s position. Compare the ongoing recordkeeping and permission conditions with those of a new mainland entity. A permit that fits one activity or territory should not be treated as a general nationwide expansion approval.

For each scenario, write one sentence stating the reason for the preferred option and one fact that could change it. Examples include a customer requiring a separate UAE contracting entity, an activity needing regulator approval, or a premises requirement that the preferred site cannot satisfy. This turns the recommendation into something the founder can review and correct.

Prepare a decision pack before submitting or paying

Proceed with mainland company formation when the activity, ownership, legal form, emirate and premises position are sufficiently clear to instruct a specific application. An unresolved item should have an owner and a written question, rather than being hidden inside a generic promise to “handle setup”.

  1. Create an operating statement: activities, customers, delivery locations, proposed premises and staffing.
  2. Attach the route decision: new LLC, accepted professional form, foreign branch or available free-zone extension, with the reason for the choice.
  3. Add an authority confirmation log: activity compatibility, ownership conditions, external approvals and premises evidence.
  4. Prepare the conditional document index, identifying originals, certification, translation, signatories and outstanding items.
  5. Define the handover: issued records, outstanding operating permissions, tax assessment, people requirements and an obligation calendar.

Use two milestones in the project plan: the entity/licence milestone and the operational-readiness milestone. Ask separately about document preparation, authority assessment, external approvals and inspections. Without a verified commitment for the exact route, do not turn a portal’s submission estimate into a promised opening date.

Before appointing support, request a written scope covering the actual entity and authorities, applicant responsibilities and recurring obligations. Keep government charges, professional work, premises and immigration expenses separately described in any proposal. This guide does not quote a universal formation total or publish HSJGlobal package prices.

For jurisdiction-specific support, review HSJGlobal’s Dubai and UAE business setup page . For the broader distinction between licensing authorities, use the UAE trade licence framework guide . Bring the decision pack to the discussion so that the recommendation can address the proposed business rather than an assumed standard company.

Frequently asked questions

Must an LLC partner or manager already be a UAE resident?

The Ministry states that the Commercial Companies Law does not require an LLC partner or manager to be a UAE resident. That eligibility rule does not grant entry, residency or work permission, or settle attendance requirements for a particular application. See the Ministry’s LLC residency clarification .

Does reserving a trade name protect a trademark?

Trade-name approval and trademark registration are different matters. The Ministry’s formation guidance assigns trade names to the emirate economic authority and trademarks to the Ministry. Consider brand protection separately from the formation name.

Can I add another activity after formation?

Use the authority’s amendment route and confirm that the added activity is compatible with the existing form and premises. ADDED explicitly lists activity and licence amendments among its services. Do not treat an amendment request as permission to begin the added work.

What should a formation proposal say about completion?

It should identify the records to be delivered, the authorities involved and the approvals or registrations that remain your responsibility. Ask for a handover list and the evidence that will demonstrate completion of each agreed task.
