Place of Incorporation: Jurisdiction and Company Registration
Turn the formation record into a precise, traceable jurisdiction answer.
The place of incorporation is the jurisdiction under whose law the company was formed. Identify it from the official incorporation record and reconcile that record with the current register. A registered office, principal business address or registration to operate elsewhere answers a different question. Use the actual company’s legal name and number, then supply the level of jurisdiction the receiving form requests.
Read the place of incorporation from legal records
Match the exact legal entity before deciding what a record proves.
Obtain the official certificate or filed formation document and identify its issuing registry. Match its legal name and registration number to the entity involved in the application, contract or onboarding request. Where the name has changed, retain the connecting official record rather than treating the old and new names as different companies.
For a UK company, the GOV.UK company-information service provides company details and document images, including incorporation information and previous names. Use the filing history to obtain the relevant record; a current address on the overview is not a substitute for the formation document.
| Checkpoint | Retain in your file | Reject as a substitute |
|---|---|---|
| Identity match | Legal name, entity type and official number | A trading name or parent-company record |
| Jurisdiction literal | The formation-law field exactly as recorded | An address, founder nationality or bank location |
| Filing event | What the displayed date actually describes | Assuming a host-registration date is incorporation |
| Evidence trail | Registry, document reference and date checked | A copied answer with no reproducible record |
This worksheet is a recordkeeping aid, not a statutory application form. Keep the literal source value separate from the answer formatted for a recipient. That preserves the evidence when a dropdown, abbreviation or translation obscures a legally meaningful distinction.
A certificate establishes the matters it certifies. It does not, by itself, establish the current operating address, every required licence, the company’s creditworthiness or authority for a particular person to sign. Those conclusions need their own evidence.
Decode the UK certificate’s jurisdiction line
Copy the detailed UK jurisdiction category before reducing it to a country label. Companies House’s incorporation guidance says the certificate identifies the company name and number, incorporation date, company type and whether the registered office is in England and Wales, Wales, Scotland or Northern Ireland. “United Kingdom” alone discards this more specific information.
For example, an illustrative certificate recording Scotland supports “Scotland” in a detailed jurisdiction field and “United Kingdom” in a country field. A certificate recording England and Wales should retain that combined wording. Do not replace it with England simply because the current office is in London. The separate Wales category should also be preserved when that is what the certificate records.
The same guidance states that an address can change but the company cannot move its registered office between the listed parts of the UK through that address-change route. An office move is not evidence of a new incorporation jurisdiction.
If the certificate is missing, obtain the official document image before making a categorical declaration. Do not infer the full jurisdiction wording from the city, postal code or a provider’s description. Resolve any mismatch between the document and current record before submitting the answer.
Reconcile a US formation record with host registration
A US company can appear in more than one state register. The label on each record matters. The California Secretary of State’s field definitions define jurisdiction by the law under which the entity was organized. Its registration date can describe California formation, registration of a foreign entity or a conversion; read the event rather than assuming every date is an incorporation date.
Consider an illustrative corporation formed in Delaware and later registered in California as a foreign corporation. The formation-jurisdiction answer remains Delaware, United States, on those facts. California is the host registration. In this context, “foreign” includes an entity formed in another US state; it does not necessarily mean another country.
California’s foreign-corporation registration guidance requires a valid certificate of good standing from an authorized official of the incorporation jurisdiction. This is a concrete reason to keep both records. California also warns that its foreign-entity status concerns only the California registration; obtain the entity’s home-jurisdiction status separately. Host-register status has a limited scope.
Separate office, operations and tax fields
Give each remaining location question its own answer. The registered office is an official address arrangement; the principal business address concerns the relevant business location under the recipient’s definition. A team can operate somewhere other than the registered office, so confirm actual premises and activity rather than copying the certificate into every field.
The UK registered-office requirements require a physical, appropriate address, with Scotland as an explicit same-country example. Official post must reach someone acting for the company and delivery must be capable of acknowledgement. A compliant third-party office does not establish where the company’s management makes decisions.
Tax residence is a separate legal analysis. HMRC’s company-residence overview includes UK incorporation, subject to exceptions, and central management and control in the UK; relevant treaty rules can affect dual residence. Do not turn an incorporation field into a universal tax-residence declaration. No tax rate follows from this worksheet.
Likewise, registration does not complete operating permissions. California’s guidance separates entity registration from necessary licences and permits. Record activity, premises, product and professional approvals in their own compliance workstream; a company number cannot stand in for them.
Release a documented jurisdiction answer
Release the place-of-incorporation answer only when the entity, jurisdiction wording and evidence agree. Use this compact handover sequence:
- Record the recipient’s exact question and whether it requests country, state or company-law jurisdiction.
- Attach the official formation record reference and the current registry check date.
- Keep foreign-registration numbers and dates in separately labelled fields.
- Escalate unexplained discrepancies, conversion or migration history before certifying the answer.
Where a document describes the company in legal wording, the guide to company incorporation clauses explains how entity descriptions differ from other contractual provisions. For a new UK entity, HSJGlobal’s UK company registration and business setup services provide the relevant formation-support context.
Keep a traceable answer, not just a completed box.
If the records conflict, mark the jurisdiction unresolved internally and obtain clarification from the relevant registry or a qualified local adviser. Correct the evidence first, then update every affected recipient consistently.
Official guidance checked October 30, 2026. Examples illustrate record interpretation; they do not determine a particular company’s tax status or operating permissions.
Frequently asked questions
Does a group’s headquarters determine every subsidiary’s jurisdiction?
No. Identify each legal entity separately. The parent’s headquarters or incorporation record cannot substitute for the subsidiary’s own formation evidence.
Can a provider invoice establish incorporation?
An invoice can evidence a commercial transaction. Obtain the official formation outcome before relying on the claimed jurisdiction; payment alone does not establish what the registry recorded.
What if a dropdown cannot express the certificate’s wording?
Keep the literal wording in your evidence file and ask the recipient how to record the additional detail. Avoid silently changing a legal-jurisdiction statement to fit the interface.
Does an incorporation description select a contract’s governing law?
Treat those as separate clauses with different functions. A statement identifying a company’s formation jurisdiction should not be assumed to choose the law governing every contract it signs.
