CROSS-BORDER CORPORATE OWNERSHIP

Overseas Companies as Indonesian Shareholders: Prepare the Corporate Ownership Chain

Build a documented chain that connects the overseas investor, its controlling people, and the person authorised to sign.

An overseas company can be a shareholder in an Indonesian foreign investment company (PT PMA), subject to the proposed activity’s investment conditions. Preparing its ownership chain means proving three different things: which companies hold the shares, which natural persons ultimately own or control the structure, and who can authorise and sign the investment. A group chart alone cannot answer all three. Articles 1 and 5 of the Investment Law establish the foreign corporate investor and Indonesian limited-liability-company framework.

Start with the proposed direct shareholder and work backwards through every corporate layer. Reconcile the chain against dated evidence before ordering authentication or translation; changes to the structure can otherwise make those paid documents obsolete.

Key takeaways

  • Choose the actual investing entity first; a parent, treasury company, and operating subsidiary are separate legal persons even when they share a brand.
  • Every ownership connection needs a source and a date, so a reviewer can reproduce the chart without relying on an internal explanation.
  • A percentage calculation helps trace economic ownership but does not settle control or identify every reportable beneficial owner.
  • Confirm the approving corporate organ and the signatory separately before the Indonesian deed is prepared.
  • Authentication supports document origin; inconsistent ownership or authority still needs correction before the pack is released.

Separate ownership, beneficial ownership, and signing authority

Use the overseas entity’s full registered name, registration number, jurisdiction, and legal form to identify the proposed shareholder. Its incorporation certificate establishes a starting identity, while later registry records, constitutional changes, and ownership records may be needed to show the current position. A historic certificate does not by itself describe today’s group.

The shareholder is the legal person subscribing for or acquiring the Indonesian shares. The beneficial owner is a natural person assessed under the applicable ownership and control criteria. The signatory is the individual acting with authority for the shareholder. These roles can belong to different people and entities. A director’s name on a registry extract does not explain the entire ownership chain or the scope of a particular signing mandate.

Keep the evidence exercise attached to the underlying company formation requirements in Indonesia : agree the proposed shareholder details before those details enter the incorporation documents. This pack supports the corporate evidence review; it does not establish that a particular business activity permits the planned foreign ownership.

Confirm the investing entity

HSJGlobal can help organise a shareholder evidence review before the proposed entity details enter Indonesian incorporation drafts. Bring the current group chart and the direct shareholder’s registration details.

Trace the people and rights behind each corporate layer

Draw the proposed Indonesian company at the bottom, then add its direct corporate shareholder and each company above it. For every connecting line, record the share class, number or percentage held, voting position, evidence reference, and effective date. Where several routes reach the same person, preserve each route so the reviewer can examine their combined effect.

As an arithmetic illustration, a person owning 60% of a holding company that owns 70% of the proposed corporate shareholder has a 42% indirect economic interest in that shareholder: 60% × 70%. The person’s economic exposure to the Indonesian company also depends on that shareholder’s proposed Indonesian stake. This calculation is a tracing aid, not a legal beneficial-owner determination.

Article 4 of Presidential Regulation 13/2018 includes tests involving more than 25% of shares, votes, or annual profits, alongside appointment powers, control, benefit, and the true source of shareholding funds. Do not stop at the percentage column. Review the rights and facts behind the structure, including a person whose influence is not explained by their equity percentage.

Collect the relevant shareholder agreements, special voting arrangements, appointment rights, and funding explanations where they affect that assessment. Record why each identified person meets a criterion. If the chain reaches a trust, foundation, dispersed listed group, or another arrangement that the available records do not resolve, flag the specific ownership or control question for specialist review rather than inventing a natural person.

Keep ownership evidence and signing authority on separate tracks until both connect to the same proposed shareholder. This makes it easier to spot a valid approval issued by the wrong group company.

Two evidence tracks for the Indonesian shareholding The ownership track connects natural persons through intermediate companies to the direct overseas shareholder. A separate authority track connects corporate approval to the authorised signatory. Both must match the proposed Indonesian shareholding. OWNERSHIP EVIDENCE SIGNING AUTHORITY Natural persons Intermediate companies Direct overseas shareholder Constitution + approval Authorised signatory Proposed Indonesian shareholding Both tracks identify the same investor
Ownership evidence explains who stands behind the investor; authority evidence explains who may act for it. Reconcile both with the proposed Indonesian shareholding.

Use a link-by-link evidence reconciliation matrix

Build an evidence register beside the chart. The matrix below is an editorial preparation tool: its purpose is to expose missing connections and conflicting dates before a notary receives the pack. It is not a government form or a universal list of documents accepted in every issuing jurisdiction.

Connection to prove Evidence to compare Release test If it fails
Named overseas shareholder → registered entity Formation record, current registry information, name changes Name, number, legal form, and jurisdiction identify one entity Obtain the missing change record; resolve similar names
One corporate layer → the next Share register or equivalent ownership evidence; relevant transfers Holder, holding, class, and effective date explain the chart’s line Replace an unsupported chart entry with traceable evidence
Natural person → ownership or control conclusion Ownership routes, voting or appointment rights, identity evidence Written rationale connects the person to the applicable criterion Investigate rights or funding that percentages do not explain
Corporate decision → authorised signer Constitution, approving resolution, delegation or power of attorney Approval covers the investment and identifies the signing power Obtain a correctly scoped approval or delegation
Source record → Indonesian working version Original, certified or authenticated version, translation Names, dates, references, and attachments remain consistent Correct the underlying record before reproducing it

The need for evidence reconciliation has a regulatory basis: Article 6 of Minister of Law Regulation 2/2025 requires the corporation to check beneficial-owner information against supporting documents for establishment, change, and updating reports. Assign each unresolved row an owner and a required correction; a collection of files without an explanation of discrepancies is not a reconciled pack.

Resolve the evidence gaps

Use the reconciliation matrix to identify missing ownership records and approvals before authentication and translation. HSJGlobal can coordinate preparation; acceptance remains with the relevant notary, authority, or bank.

Approve the investment before authenticating the documents

Confirm with the overseas company’s responsible officers and advisers which corporate organ must approve the investment under its own constitution and applicable law. Prepare the approval using the agreed Indonesian entity, proposed holding, investment terms, and authorised actions. If someone will act under a power of attorney, check its scope, execution method, and continuing validity with the receiving Indonesian notary before signature.

Next, agree a document-by-document acceptance schedule: original or copy, certification route, authentication, Indonesian translation, and who receives each version. Coordinate the supporting documents for a corporate investor with that schedule, so identity records, ownership evidence, and approvals describe the same structure.

The HCCH status table records the Apostille Convention’s entry into force for Indonesia on 4 June 2022. Check whether the Convention operates between the issuing jurisdiction and Indonesia, and whether the particular document falls within its scope. A privately signed resolution and a public registry certificate need not follow an identical route.

Under Articles 1–5 of the Apostille Convention , the covered document and certification route matter; an apostille authenticates the signature, capacity, and relevant seal or stamp. An apostille does not repair the substance of an ownership statement. Confirm translation and recipient requirements separately. Do not assume every foreign file needs an apostille or that an apostilled file automatically satisfies the notary’s evidence request.

Resolve gaps before the ownership pack travels

Prioritise discrepancies that change the legal person, the ownership conclusion, or the authority to act. A stale shareholder register following a transfer is more than a formatting issue. Freeze the affected chart line, obtain the operative transfer and current record, and then update the chart, approval drafts, and beneficial-owner analysis together.

For a name mismatch, distinguish a spelling variation from a legal name change or a different company. Preserve the evidence connecting an old name to the current registration number. For conflicting transliterations of a person’s name, agree the identifying reference and consistent presentation before translation is finalised.

Escalate unexplained funding or arrangements suggesting that a registered holder acts for another person. Article 33 of the Investment Law prohibits agreements or declarations stating that PT share ownership is for and on behalf of another person and makes such arrangements void. Beneficial-owner disclosure is not a way to validate a prohibited nominee arrangement.

Use a change log rather than silently replacing documents: identify the superseded version, the correction, the person responsible, and every downstream file affected. Do not promise a fixed completion time while a registry update, foreign approval, or recipient acceptance remains unresolved.

Release the pack only when another reviewer can reconstruct it

Release the ownership pack for incorporation review when a reviewer unfamiliar with the group can reconstruct every link, identify the natural persons assessed, and follow the approval to the person signing. Ask that reviewer to trace one route from the proposed Indonesian shareholder entry to its ultimate ownership or control evidence without help from the preparer.

  • Save a dated chart and evidence index with one stable reference per document.
  • Record the beneficial-owner criteria considered and the supporting rationale, including unresolved exceptions.
  • Confirm that the approval, delegation, identity details, and Indonesian drafting instructions identify the same shareholder.
  • Retain the agreed authentication and translation schedule, together with the final versions supplied.

Keep the pack usable after incorporation. Article 3 of Regulation 2/2025 requires annual beneficial-owner information updating, document administration, and questionnaire completion. Assign responsibility for detecting later group changes and routing them for the appropriate reporting review. An upstream change can matter even when the direct Indonesian shareholder stays the same.

Check the unresolved connections

Share the evidence index and remaining discrepancies for a focused readiness review. Agree the missing records and responsible parties before committing the pack to signature.

Frequently asked questions

Can the shareholder use a trading name instead of its registered name?

Identify the legal person by its registered particulars. A trading name may help explain the business, but it should not replace the entity identity used for the proposed shareholding.

Must all upstream owners become shareholders in the Indonesian company?

No. The ownership chain explains the structure above the proposed shareholder. Preparing that evidence does not itself make each upstream company or individual a direct holder of Indonesian shares.

Does a company registry extract replace the shareholder register?

Only if its actual contents prove the required holding at the relevant date. Registry disclosure differs by jurisdiction; a record showing directors or incorporation details may leave ownership unanswered.

Should passports be included in a publicly circulated group chart?

Keep sensitive identity records in the controlled evidence pack and use references in working charts. Supply identity information through the process agreed with the reviewer or receiving institution.

Will the same pack guarantee bank account opening?

No. The pack can support a bank’s review, but the chosen bank decides its own evidence requests and onboarding outcome. Preserve source records so additional questions can be answered consistently.
