Filing readiness

Philippines Company Registration Checklist: Before You Apply

Test the evidence, assign unresolved gaps and release a consistent SEC application file.

A Philippines company registration application is ready for submission when the chosen structure, supporting evidence and proposed filing agree. Before applying, resolve gaps that could change the company’s legal basis or prevent a required person from completing the selected SEC route. A large document folder does not establish readiness; a dated decision supported by consistent records does.

This preflight check focuses on an application for a Philippine corporation, with conditional checks for overseas owners and foreign-company licensing. It ends at the decision to file. Tax registration, local permissions and banking still need their own completion evidence.

Key takeaways

  • Use an evidence owner and a clear closure test for every unresolved issue, so a missing answer becomes an assigned task.
  • Record why a requirement applies or does not apply; an unexplained “not applicable” leaves the filing decision incomplete.
  • Resolve activity and capital questions before polishing forms, because those decisions can change several records at once.
  • Test signer access separately from authority to act: an online identity and permission to commit a shareholder prove different things.
  • Release one reviewed version and reopen affected checks whenever its people, address, activity or capital changes.

Run the filing-readiness test

Before applying to register a Philippine company, complete the eight checks below against the actual entity and SEC route. Each applicable row needs retrievable evidence, a named owner and no unresolved hold trigger. This is a filing-team control assembled from the official requirements discussed below, checked on October 28, 2026; it is not an SEC form or an approval score.

Readiness gate Evidence to release the row Accountable owner Hold the file when
Activity and ownership Written activity description, proposed ownership and the rule supporting that combination Founder with legal reviewer A restriction, endorsement or ownership conclusion is unresolved
Capital Reconciled share schedule and documented basis for the capital treatment Finance lead Amounts conflict or a claimed exception lacks support
People and authority Agreed role list and evidence supporting each representative’s authority Corporate coordinator A person has not accepted the role or signing capacity is unclear
Identity and access Matched identity fields and tested credentialed accounts for required authenticators Each required authenticator A mismatch or access problem prevents authentication
Principal office One confirmed address and a documented plan for premises permissions Operations lead The address is uncertain or conflicts with another record
Conditional records Current route checklist with each triggered supporting record matched to it Filing lead An applicable overseas or special-case record is missing
Application route Recorded route choice and review of its current conditions Filing lead The proposed facts fall outside the chosen route
Payment and response cover Named payer, assessment-review plan and monitored notification channels Application representative Nobody can authorize payment or respond to a correction

Mark each row Ready, Hold or Not applicable. Ready means the evidence can be inspected now. Hold means an answer or record still needs work. Not applicable needs a short reason tied to the company’s facts. Do not average the results: one unresolved filing blocker keeps the application on hold. A planned post-registration task can remain open only where it is not a prerequisite to this application.

The underlying entity, rather than the size of the folder, determines the filing package for Philippines company registration . Keep that entity decision at the top of the file so that the purpose, ownership schedule and proposed corporate documents describe the same company.

Identify the filing blocker

Use the readiness results to define which legal or factual question needs a focused assessment before the application is released.

Freeze the activity, ownership and capital assumptions

Freeze a short factual brief: what the company will sell or do, who pays it, where the work occurs, whether it serves the domestic market or exports, and who will own it. Use those facts to check the 13th Regular Foreign Investment Negative List and the relevant special law. The list was promulgated by Executive Order No. 113 of April 13, 2026. Do not infer permission for a particular activity from a broad industry label.

The Foreign Investments Act amendments reserve micro and small domestic-market enterprises below US$200,000 paid-in equity to Philippine nationals. Conditional US$100,000 alternatives concern advanced technology determined by DOST; startups or startup enablers endorsed by the host agency; or a majority of direct employees being Filipino, with at least 15 Filipino employees. Identify the applicable test and evidence before relying on an alternative. These amounts are not universal registration fees or the minimum capital for every foreign-owned company.

For an ordinary stock corporation, reconcile authorized shares, subscriptions, amounts paid and ownership percentages in a single schedule. The Revised Corporation Code, section 12 generally imposes no minimum capital stock unless a special law provides otherwise. That general rule does not resolve a separate foreign-investment or sector requirement. The capital basis comes before the form entries : changing the amount or investor can require the ownership and route checks to be reopened.

The closure evidence should be a short conclusion identifying the activity, proposed foreign participation, capital treatment, controlling source and unresolved qualification, if any. Have the reviewer identify what would change the conclusion. A cash forecast or an agent’s quotation cannot substitute for this legal basis; they answer funding and service-scope questions.

Reconcile people, signing authority and account access

Build one person-and-role register using the spelling on each identity record. Check nationality, address, role, proposed holding and signing capacity across the application and supporting documents. For an entity shareholder, have its legal team identify who can authorize the investment and who can sign for it; retain the applicable authority evidence. A representative’s personal identity document does not by itself establish the entity’s decision.

Under section 24 of the Corporation Code , the president must be a director, the treasurer a resident, and the corporate secretary a Philippine citizen and resident. Ordinary rules restrict combining the presidency with the secretary or treasurer role, subject to Code exceptions. For an OPC, separately check its special provisions, including nominee and alternate-nominee information; do not copy an ordinary corporation’s role arrangement without checking those provisions.

Then test the digital identity layer. The current eSECURE account and credentialing instructions require personal email and mobile details, OTP verification and identity credentialing using personal information and a live photograph. Its accepted ID list includes passports. Account creation alone is not proof that credentialing is complete. Confirm each required authenticator’s status and practical access before scheduling the filing.

Keep identity, authority and availability as three separate checks. Ask each required person to confirm their role and the reviewed details, then verify that they can receive notifications and complete authentication themselves. Record a contact and availability plan, rather than collecting their passwords. The evidence, owner and closure test now need to converge before the file can be released.

Release evidence before releasing the application Evidence, an accountable owner and a closure test converge on a check for unresolved filing blockers. A blocker returns to gap closure; a file without an unresolved blocker can be released for submission. Retrievable evidence Accountable owner Clear closure test Any unresolved filing blocker? Yes No Hold the file Close the gap Release the reviewed file Submit through its route
Evidence, ownership and a closure test form one readiness decision. Any unresolved filing blocker returns to gap closure. This internal release rule does not predict SEC approval.

Check the address and conditional overseas records

Use one confirmed principal-office address throughout the file. Section 13 of the Corporation Code places a domestic corporation’s principal office in the Philippines. Check the exact address against the intended premises arrangements and the live application fields; do not substitute a mailing contact for a decided office location.

Check the local premises path before committing to a lease or launch date. The Quezon City business-opening guide , for example, requires registry and premises records and routes the application for departmental evaluation. That is a Quezon City example, not a nationwide checklist. Obtain the actual city or municipality’s requirements for the proposed address and activity. A premises issue may need resolution before filing where it changes the address, even though the local permit itself belongs to a separate workstream.

For overseas records, classify the case first. A foreign individual holding shares in a Philippine corporation is different from an overseas company seeking a Philippine license to do business. For the latter, section 142 of the Corporation Code calls for certified constitutional documents, translations where necessary, home-jurisdiction certification of existence and good standing, and a financial-condition statement, alongside application particulars including the resident agent. Obtain the current category-specific SEC instructions before ordering records.

For every triggered supporting record, note the issuer, signing capacity, language, required certification and current SEC instruction. Resolve whether apostille, consular authentication or translation is required for that record and execution location. Do not treat digital authentication as a blanket exemption for overseas supporting documents. The Regular ZERO guide distinguishes system-generated forms from supporting uploads; confirm the treatment of each item instead of purchasing a generic authentication bundle.

Match the reviewed file to the live SEC route

As checked on October 28, 2026, the SEC processing selector directs domestic stock corporations, except lending and financing companies, through SEC ZERO. It separately lists categories under Regular Only, including foreign-company branches and representative offices. Choose from the live selector using the actual entity; an old instruction sheet may describe a different category.

OneSEC ZERO’s terms impose narrower conditions, including natural-person incorporators and subscribers, an unmodified predetermined purpose, common par-value shares and cash subscriptions. They also address name format, location, endorsements and other declarations. Read all current conditions. If the application falls outside that scope, follow the indicated Regular with ZERO route rather than altering the business description merely to fit OneSEC.

Use the Regular ZERO user guide to prepare a field-by-field review of name, company details, capital structure, officers and supporting uploads. It requires verification of official and alternate email addresses and provides a summary for reviewing generated forms before submission. Check those outputs against the frozen brief, not just against what the encoder remembers entering.

The current Regular ZERO terms also address beneficial-ownership declarations and warn that false information can lead to revocation and other consequences. Confirm the real ownership chain and required disclosures with the responsible people. A clean-looking generated form cannot cure an unsupported declaration; unresolved beneficial-ownership information belongs on the hold list.

Check the selected SEC route

Review the proposed entity, required authenticators and conditional supporting records against the application path you intend to use.

Close the gaps and rehearse the submission

Turn each Hold into a gap record with five entries: the conflicting or missing fact; the decision it affects; the named owner; the evidence needed to close it; and the target review date. Write the closure test as an observable result. “Address resolved” is vague; “confirmed address agrees with the draft, premises record and selected local-authority path” can be checked. These are recommended working controls, not additional statutory forms.

Close gaps in dependency order. Resolve activity, structure and ownership questions before chasing derivative document corrections. Reconcile capital before approving generated financial entries. Settle signing authority before requesting authentication. When evidence arrives, record who checked it, when, and which version it supports. Reopen affected rows if the underlying facts change.

A filing rehearsal should confirm who submits, who receives status messages, who reviews the assessment and who responds to SEC comments. For Regular ZERO, the official guide places SEC review and pre-approval before officer authentication and payment. Plan availability around that sequence; do not treat a tentative assessment as the final payment instruction. Preserve the submission acknowledgment and application reference once actually issued.

The transferable pre-submission checks for forms and payment controls help organize this rehearsal and the fee evidence. That global guide and the related reading below supply transferable working methods; the applicable SEC route and Philippine authority instructions determine the legal requirements. Keep official charges, professional fees, third-party expenses and capital funding as distinct payment decisions.

Make a dated Philippines application release decision

Release the application only when every applicable filing gate is Ready and each Not applicable decision has a documented basis. Record the reviewed file version, entity, selected route, evidence location, reviewer and release date. If a legal basis, required record or authenticator remains unresolved, retain Hold and assign the next closure action; a target filing date does not settle the issue.

Separate that release from permission to operate. The eSPARC integration notice allows continuation through the Philippine Business Hub for company TIN and social-agency employer numbers after successful registration. Tax, local, sector and bank workstreams still require their own checks. The release decision authorizes submission of the reviewed application; SEC acceptance and the company’s later operating permissions remain separate outcomes.

Turn the closed gaps into a filing brief

Bring the dated readiness record and reviewed evidence together for coordinated registration support and a clear handover of later workstreams.

Frequently asked questions

Should every document be ordered before the route is chosen?

Choose the entity and applicable route first, then confirm the triggered records. Ordering a standard bundle too early can leave you with certifications for the wrong application category.

Does a company name appearing available clear the other gates?

No. A name result does not resolve the proposed activity, ownership, capital basis, people or supporting records. Retain the name result within the reviewed file without treating it as clearance of those separate questions.

Can one coordinator replace an unavailable authenticator?

Coordination does not transfer a required person’s signing capacity. Check the actual route and resolve availability or an authorized alternative through the applicable official instructions before release.

Must the bank account be approved before submitting the incorporation application?

Do not make bank approval a universal precondition. Check any banking or remittance evidence specifically required for your category; otherwise track bank KYC as its own project with the bank’s current requirements.

What happens if an owner changes after the readiness review?

Reopen the affected checks and review a new version before submission. Ownership changes can alter declarations, capital analysis, authority evidence and the chosen application route.
