Philippines Incorporation Requirements: Owners, Officers and Documents

Check who can own, govern and sign for a Philippine corporation before the incorporation documents are finalized.

Philippines incorporation requirements begin with proof of who will own the shares, who qualifies for each corporate role and who can authenticate the application. A passport identifies a person; it does not settle a nationality restriction, an officer’s residency requirement or authority to sign for a corporate shareholder. Confirm those points before generating the SEC documents.

For a domestic stock corporation, prepare a participant list, a reconciled share schedule and the records needed for the selected SEC route. An ordinary corporation and a One Person Corporation have different ownership and officer arrangements; a foreign company seeking a Philippine branch licence follows a separate application.

Key takeaways

  • Assign a separate capacity to each participant; one person’s involvement does not automatically qualify that person for every position.
  • An overseas corporate owner changes the authority evidence and can rule out the natural-person-only OneSEC route.
  • Nationality, residence and signing authority answer different questions; record the evidence for each applicable test.
  • Resolve the business activity and foreign-equity position before treating the proposed share schedule as final.
  • Use the incorporation pack as a controlled record: corrections should reach every affected form and signer.

Assign each participant to the right legal capacity

Start with a participant register rather than a folder of passports. Give each person or entity a separate row, list every proposed capacity and identify the document that supports each factual claim. Keep the registered shareholder and any person exercising ultimate ownership or control distinguishable; a chart that stops at an intermediate company may leave the ownership explanation incomplete.

The SEC’s Regular application description accommodates ordinary corporations with two to fifteen incorporators, including natural persons and eligible partnerships, associations or corporations. List who will sign as an incorporator and who will subscribe for shares. A shareholder’s identity does not establish a representative’s authority to act for that shareholder.

Section 10 of the Code requires natural-person incorporators to be of legal age and each stock incorporator to own or subscribe to at least one share. Build that minimum participation into the ownership instructions before requesting signatures.

For a corporate participant, assemble its registry identity, ownership chain and decision authorizing the proposed investment and representative. Treat these as preparation records: confirm the exact certification and submission requirements for that entity with SEC before commissioning foreign-document work. Record the representative’s name separately from the corporate owner’s name.

These capacity choices belong to the underlying Philippines company registration structure: changing an owner into a director or replacing an individual with a holding company can change both the qualification checks and the document pack.

Test the ownership position against the business activity

Foreign ownership must be tested against the proposed activity, not inferred from the nationality of the founder or the availability of a portal option. Write a short description of what the company will sell, to whom and how it will earn revenue. Compare that description with the primary purpose intended for the articles.

As checked on October 28, 2026, Executive Order No. 113 promulgates the 13th Regular Foreign Investment Negative List. Read the applicable activity entry, its exceptions and the underlying sector law before settling the permitted foreign-equity percentage. The order’s main text alone does not establish that a particular business is unrestricted.

RA 11647’s domestic-market capital provisions reserve micro and small domestic-market enterprises below US$200,000 paid-in equity to Philippine nationals. The conditional US$100,000 alternatives concern DOST-determined advanced technology, endorsed startups or startup enablers, or a majority of direct employees being Filipino with at least fifteen Filipino employees. These conditions do not remove separate activity restrictions.

Keep a written ownership assumption beside the share schedule: activity reviewed, applicable limit, proposed foreign participation, capital basis and any evidence needed for an exception. A lower-capital exception is an evidence task, not a box to tick because a business expects to hire later. If the assumption is unresolved, pause final ownership instructions while gathering identity records in parallel.

Check the proposed ownership basis

A written structure review can identify which nationality, activity and capital questions must be resolved before the share schedule is finalized.

Qualify the proposed directors and officers

The basic qualifications for an ordinary corporation appear in Code sections 22, 24 and 26 . This capacity-to-proof ledger separates the legal test from suggested preparation evidence; the last two columns are file controls, not a universal SEC checklist.

Proposed role Basic qualification Proof to assemble If the evidence does not fit
Director At least one share registered in the director’s name Individual share allocation; identity matched to the proposed director Reconcile ownership and board instructions before signing
President Must be a director Cross-check the president against the director list Resolve the board position first
Treasurer Resident of the Philippines Confirm actual residence and retain the supporting basis Select a qualified candidate; an address alone is insufficient
Corporate secretary Filipino citizen and Philippine resident Verify citizenship and residence separately Do not treat a foreign passport or office address as equivalent
All proposed directors and officers Applicable disqualification rules also apply Obtain a candid eligibility declaration and review flagged matters Escalate the facts before appointment

The president generally cannot also be secretary or treasurer. Check any sector-specific rules before combining roles. A complete identity file cannot cure an ineligible appointment. Do not copy one person into every field simply because that person is available to sign.

Ask candidates to confirm their roles before encoding the application. Use a single agreed spelling of each name and record whether the person is acting personally or representing an entity. Where residence is uncertain, investigate that factual issue rather than substituting a mailing address. Foreign ownership permission and personal permission to work in the Philippines require separate analysis.

Assemble the facts behind the incorporation documents

Build one agreed data sheet before producing signature copies. The articles, share schedule and participant register should describe the same company. Mark each field as confirmed, awaiting evidence or needing a legal decision; “complete” should mean that the fact has been checked, not merely that text has been entered.

Under Code sections 13 and 18 , articles cover the name, purposes, Philippine office, term, incorporators, initial directors and capital particulars; ordinary corporations also have bylaws. Organize the file around those facts, then follow the forms and supporting-document instructions generated for the live application.

Record group Facts to reconcile Preparation check
Identity and contact records Names, nationality, residence, identifiers and reachable contacts Match supporting IDs to the participant register; investigate inconsistent names
Corporate facts Proposed name, primary purpose, principal office and term Obtain one agreed version before document generation
Share and payment schedule Authorized shares, individual subscriptions and amounts paid Recalculate totals and distinguish committed funds from funds actually paid
Governance documents Articles, bylaws where applicable, and role allocations Check that the same people and capacities appear throughout
Conditional evidence Entity-owner authority, ownership-chain records, endorsements or foreign records Assign an owner to each unresolved requirement and confirm the submission format

Keep authorized, subscribed and paid capital separate. They describe different amounts and should not be copied into one another to make totals look consistent. For a corporate owner, retain the approval for the actual subscription proposed, including the representative who will act. If an investment decision changes, update the evidence before asking the representative to authenticate.

The useful relationship is participant → qualification or authority → supporting record → correct application fact. Collecting more scans cannot replace that connection.

Connect each participant to the claim and its proof The participant register feeds three distinct checks: ownership, appointment and authority. Each check needs matching evidence before the facts enter the filing documents. Participant register Ownership Shares and nationality Appointment Role qualifications Authority Permission to act Matching proof Consistent filing documents
Ownership, appointment and authority are separate checks. Match each claim to its supporting record before carrying the agreed facts into the incorporation forms.

Prepare the additions for a One Person Corporation

An OPC is available only to a natural person, trust or estate; a corporate holding company cannot be its sole stockholder. The SEC’s explanation of OPC eligibility and documents also confirms that an OPC does not file bylaws and that a trust or estate needs evidence of the fiduciary’s authority. Restricted entities and professional-practice limitations require separate checking.

The OPC stockholder is sole director and president, but cannot be secretary. Under the OPC officer rules , appoint officers within fifteen days of incorporation; notify SEC within five days of appointment. A stockholder-treasurer needs a bond and written undertaking.

Prepare the nominee and alternate nominee information, their consents and authority limits for continuity on the owner’s death or incapacity. Confirm that the people named understand the arrangement and can be reached, rather than treating the names as placeholders. Keep this continuity file alongside the initial appointment records so later changes are easier to trace.

For a trust or estate, identify the person exercising fiduciary authority and explain the connection to the proposed shareholder. Keep the authority record beside the identity file so the reviewer can distinguish personal participation from action in a representative capacity. Do not force a corporate shareholder into an OPC form to preserve a preferred ownership diagram.

Match identity and signing proof to the SEC route

The current eSPARC entry page integrates ZERO with eSECURE identity credentialing and eSAP document authentication. Identify the actual authenticators early and check that they can complete their own account requirements. Sending a passport to the person preparing the application does not itself establish the signer’s credentialed access.

OneSEC ZERO’s current terms require natural-person incorporators, subscribers and directors, predetermined purposes, common par-value shares, cash subscriptions and no required agency endorsement, among other conditions. Only system-generated registration forms are accepted. A corporate owner, altered purpose or other unmet condition calls for the appropriate Regular route rather than an inaccurate declaration.

The Regular route notice directs domestic stock corporations other than lending and financing companies through ZERO from April 7, 2025. Its separate Regular-only instructions include paper-document requirements. Apply the instructions for the chosen category; do not combine a paper checklist from one route with electronic authentication from another.

Digital authentication of covered application forms does not establish a blanket exemption for supporting foreign records . The SEC’s discussion of documents executed abroad describes apostille or Philippine diplomatic or consular authentication for articles executed overseas. Confirm what applies to each supporting record, its issuing country and the current route before ordering certification or translation.

The transferable discipline is separating eligibility evidence from entity documents : identify what each record proves and who must accept it. That linked resource is a global business-licensing discussion; Philippine incorporation qualifications and document formats remain governed by the Philippine sources cited here.

Identify the missing document or signer

Map the unresolved authority, identity or authentication requirement to the person who can supply the evidence.

Repair the mismatches that make a file unreliable

Correct a mismatch at its source. Changing a form until it matches another incorrect form can create a consistent but false submission. Record who approved the correction and replace superseded versions so a signer cannot authenticate an earlier draft by mistake.

  • If names differ across identity and corporate records, establish the correct legal identity and the reason for the difference before regenerating documents.
  • If the share schedule and articles disagree, reconcile the approved subscription instructions and arithmetic; do not simply change the paid amount to equal the subscription.
  • If an entity’s representative is named without authority evidence, obtain the appropriate decision and confirm the representative’s capacity with the selected SEC route.
  • If a proposed officer fails a qualification, resolve the appointment and update every affected document rather than changing the residence or citizenship declaration.

The SEC’s OPC privacy notice identifies personal and subscription information collected for registration. Use a controlled exchange for sensitive records and avoid placing full passports in broadly shared project trackers. A tracker can identify the missing record and responsible person without reproducing the sensitive record itself.

Prioritize the unresolved requirement before filing

Prioritize defects that change the company before defects that change only the document presentation. An unresolved ownership restriction or ineligible officer needs a substantive decision. A missing authorization needs evidence from the person or entity able to give it. A spelling error needs a documented correction carried through the pack.

Resolve the legal defect before regenerating the forms. Then assign one person to reconcile the final participant list, share schedule, corporate facts and authentication status. Ask each signer to review the final version in the capacity actually held, and retain the filed versions and resulting SEC records together.

Release the pack for submission when the ownership basis is documented, appointments fit the applicable rules, authority records support the proposed acts and the selected route’s requirements are satisfied. SEC incorporation does not replace tax registration, local permits, sector permissions or bank KYC. The related reading below offers general evidence, banking and handover controls; it does not add Philippine statutory requirements.

Turn the agreed structure into a coherent filing pack

HSJGlobal can coordinate incorporation information and documents within an agreed scope; SEC retains the registration decision.

Frequently asked questions

Does an ID showing a Philippine address settle residency?

Do not treat the address field as a legal conclusion. Confirm the actual residence facts and the evidence accepted for the relevant appointment or application requirement.

Is a corporate shareholder’s representative automatically a director?

No. Keep the proposed board appointment separate from the authorization to represent a shareholder. Ask the filing reviewer to assess each capacity against its own requirements before accepting the participant list.

Can the file preparer authenticate documents for every participant?

Preparation and authentication are different tasks. Determine which people must authenticate for the selected SEC route and ensure their credentialed access and authority match the acts required.

Can the same foreign-document pack be reused for the bank?

It may provide a starting point, but obtain the bank’s own document and verification requirements. SEC acceptance does not bind a bank or establish that its KYC review is complete.

Must every draft fact be settled before collecting any records?

No. Identity collection and practical document planning can proceed while a substantive issue is reviewed. Keep provisional assumptions clearly marked and avoid signing forms that present them as settled facts.
