Domestic investment classification
PT PMDN in Indonesia: What Domestic Investment Status Means for Setup
Match the investment status to the real owners before preparing the company and licensing records.
PT PMDN in Indonesia means a limited liability company undertaking domestic investment: investment by domestic investors using domestic capital. PMDN describes investment status; PT describes the company form. Foreign shareholding, including capital held through a foreign-owned Indonesian legal entity, requires assessment under the foreign investment framework. The distinction determines the setup route, but does not itself authorize operations. These boundaries follow Article 1 of the Investment Law , checked on October 28, 2026.
Key takeaways
- Check the ownership chain before choosing the domestic route; an Indonesian company name alone does not settle the classification.
- Business scale and investment status answer different questions, so PMDN does not automatically mean a micro or small business.
- Set capital from the applicable company and sector rules, then preserve evidence of the subscription and payment.
- Reconcile the deed, AHU record and OSS profile before relying on an issued document.
- Treat a proposed foreign share acquisition as a new classification and licensing review before committing to the transaction.
Trace the ownership behind the domestic label
Start with the proposed shareholders and trace each corporate shareholder to its owners. Article 1 of the Investment Law includes Indonesian legal entities partly or wholly owned by foreign parties within its definition of foreign capital. Accordingly, inserting an Indonesian holding company does not, by itself, establish eligibility for PMDN. Record the conclusion against the ownership documents rather than the address of the immediate shareholder.
For individuals, check citizenship evidence; for entities, obtain the constitutional documents and current shareholder record. Then ask who supplies the equity and who is entitled to the shares. A passport, an ownership chart and a signed subscription agreement serve different purposes. An Indonesian address is not proof of domestic capital.
Keep a dated ownership chart with the names, percentages and supporting document for each layer. Where an entity's ownership is unresolved, pause the domestic classification instead of completing the chart with an assumption. That is a preparation control, not an additional government certificate.
Check the domestic ownership premise
Bring the proposed shareholder list and corporate ownership chart to a PMDN eligibility discussion.
Separate investment status from company form and capital
The setup decisions sit on separate axes: investment status concerns the investors and capital; company form concerns the legal vehicle; business scale concerns the applicable size criteria. AHU's company guidance distinguishes an ordinary capital company from a Perseroan Perorangan, the eligible single-person micro or small company. Domestic investment status alone does not select that simplified form.
For the general PT capital rule, AHU explains that founders determine authorized capital and at least 25% must be subscribed and fully paid, with valid payment evidence submitted electronically within 60 days of the deed. Government Regulation 8/2021 remains listed as in force. Activities subject to specific minimum-capital rules need a separate sector check; founder discretion is not a waiver of those rules.
Write down authorized, subscribed and paid-up capital as separate amounts. Keep incorporation expenses and the operating cash forecast in different lines of the funding plan. A low chosen capital figure does not establish that the business can fund its premises, staff or licence conditions.
The next check combines ownership with the records and permissions that must support it. A correct status choice still needs a consistent company file and the appropriate activity permissions.
Use four records to test setup consistency
Build one comparison sheet before the founders approve filing data. The four-record check below is a planning tool: it turns the legal classification into questions that the founders, notary and licence preparer can resolve together. It does not replace the prescribed applications.
| Record | What to reconcile | Hold point | Preparation owner |
|---|---|---|---|
| Ownership evidence | Names, percentages and the full corporate chain | An unexplained shareholder or equity funder | Founders |
| Deed and AHU record | Shares, capital, management and intended activities | The agreed structure differs from the recorded structure | Notary with founders |
| OSS company profile | Investment status and imported company data | PMDN is selected but the ownership evidence conflicts | Authorized company user |
| Activity permission | KBLI, project location and the required licence status | A registration number exists but operating conditions remain open | Company licence lead |
The link between the middle two records is substantive. Article 32 of Investment Minister/BKPM Regulation 5/2025 identifies PMA/PMDN status, capital planning, shareholders and KBLI among company data drawn from the legal administration system. Correct the source record before accepting a conflicting profile. Preserve the corrected output and check the downstream record again.
For an ordinary PT, the underlying company formation in Indonesia work includes the notarial and legal entity stages; domestic classification does not remove them. Agree the company name, address, activities, ownership, capital and management before the deed is prepared. Retain the signed deed and the corresponding AHU legal entity output as company records.
OSS access is a separate task. The official Non-UMK registration instructions show company email verification, password creation and a PT profile using the company name, NPWP tax number, latest approval number and management details. Use the route matching the actual business scale, rather than assuming every domestic company belongs in Non-UMK. A completed account gives access to filing; it is not the completion evidence for the business licence.
Resolve a record mismatch before filing
Compare the planned shares, capital and activities with the deed, AHU output and OSS profile.
Reassess status before foreign equity enters
A future foreign investment should be examined before a subscription or share transfer is committed. AHU's guidance states that foreign individuals or foreign legal entities can hold PT shares, with the company becoming subject to PMA status. Prepare a transaction-specific review of eligible activities, ownership restrictions, capital and the corporate and OSS changes required; an existing PMDN record is not approval for that future structure.
Do not solve the mismatch through a local shareholder holding shares for someone else. Article 33 of the Investment Law prohibits agreements or declarations asserting that PT shares are held for and on behalf of another person, and makes such arrangements void by law.
When a prospective overseas participant wants equity rather than an ordinary commercial relationship, assess the foreign ownership and nominee exposure before promising domestic status. Put the proposed transaction, funding documents and ownership chart in the same review file. A foreign customer, supplier or payment should not be substituted for that ownership analysis.
Check operating permission independently of PMDN
PMDN is not a risk category. Government Regulation 28/2025 provides the current risk-based business licensing framework. Select the KBLI classification for the activity actually planned and assess the project location and conditions, rather than treating domestic ownership as permission to conduct any business.
Article 186 of Regulation 5/2025 distinguishes low risk, requiring an NIB; medium-low risk, requiring an NIB and a Standard Certificate without verification; medium-high risk, requiring an NIB and a verified Standard Certificate; and high risk, requiring an NIB and a licence. Applicable basic requirements and supporting permissions, known as PB UMKU, must also be addressed. Apply those requirements to the specific activity and location.
Keep three completion statements separate in the handover: the legal entity record is available; the NIB has been issued; and the permissions needed for the proposed operation have reached the required status. An issued NIB does not settle every operating condition. Ask for the downloadable licence documents and the current status of outstanding conditions, rather than accepting a screenshot of the number alone.
Assign a named person to maintain the records after setup. List tax administration, company decisions, licence conditions and any applicable investment reporting as follow-up workstreams. Their detailed obligations depend on the company's facts; the domestic classification should not be used as a blanket exemption.
Approve the PMDN route against evidence
Proceed with domestic setup when the ownership analysis supports PMDN, the selected company form and capital satisfy the applicable rules, and the deed-to-OSS data can be reconciled. The first practical deliverable is the dated four-record comparison, with an owner and a resolution for each discrepancy. Complete the activity permission review before committing to an operating launch.
Escalate an unexplained corporate shareholder, a proposed foreign equity interest or a shareholding agreement that contradicts the official record before filing. Resolve the structure first, then update the affected documents and systems in order. That sequence makes the domestic status a conclusion supported by the file, rather than a label chosen to simplify registration.
Turn the classification into a setup brief
Use the confirmed owners and intended activities to define the company documents and permission work still required.
Frequently asked questions
Is PT PMDN necessarily written in the company's legal name?
Use the company name recorded in the deed and AHU output. A descriptive PMDN label in a proposal does not replace the investment status and ownership evidence in the company file.
Should a bank remittance alone determine domestic status?
No. Reconcile the remittance with the underlying subscription, payment or financing documents. Identify whose equity is being funded and resolve any unexplained beneficial ownership before selecting a status.
Does an overseas customer require a foreign shareholder?
Customer location and share ownership are different facts. A proposed overseas sale still needs its own activity, contractual and tax review, but the customer does not become a shareholder merely by purchasing.
What should founders retain after a profile correction?
Keep the corrected source document, the corresponding AHU output where applicable, the refreshed OSS record and the date of the comparison. Retaining only the earlier screenshot makes a later reconciliation harder.
Can the draft filing data be treated as a completed setup?
No. Request the issued legal entity and licensing outputs, reconcile them with the agreed data, and document any remaining conditions before relying on completion.
