Joint venture formation
Registering a Joint Venture in the Philippines: Structure and Approvals
Match the legal vehicle to the parties, activity and approvals before committing resources.
If two businesses pool resources in the Philippines, their joint venture can operate through a contract or a company. There is no single SEC incorporation category called a joint venture: the PCC’s JV guidelines distinguish contractual arrangements from a JV company. Register the chosen legal vehicle where applicable, and separately establish which tax, ownership, competition and activity approvals the arrangement requires.
A contract-only route still needs tax registration. BIR RMC No. 21-2025 requires JVs to register whether incorporated or unincorporated, taxable as corporations or otherwise. Start with the proposed activity, participants and control rights; those facts determine the approval work rather than the words “joint venture” on the agreement.
Key takeaways
- Assign the customer contract, invoices, assets and liabilities to a clearly identified party before deciding whether a new company is useful.
- A contractual arrangement can enter the competition notification analysis; avoiding incorporation does not remove that question.
- An ownership split agreed commercially may still fail the rules for the actual business activity.
- A government participant requires a project-law check; public-private partnership rules do not cover every commercial government JV.
- Keep separate evidence of company formation, tax registration and permission to carry out the project.
Allocate the venture’s obligations before choosing the vehicle
Choose the structure by asking who will perform the work and hold the resulting rights. A short cooperation project may leave functions with the participants. An ongoing operation may need a company to employ staff, receive investment and contract in its own name. These are commercial design questions; a company certificate alone does not resolve them.
| Design question | Contractual route | New company route |
|---|---|---|
| Who performs the venture’s obligations? | Participants perform the functions allocated in the JV agreement. | The incorporated vehicle performs its own agreed business obligations. |
| What defines the arrangement? | The JV agreement and the participants’ authority to enter it. | Corporate records plus a JV/shareholders’ agreement that works with those records. |
| What formation record should be expected? | No Certificate of Incorporation merely from signing a JV contract. Consider whether the actual arrangement instead requires partnership recording. | SEC Certificate of Incorporation for the corporation actually formed. |
| What must still be tested? | Tax identity, activity permissions, ownership/control and competition issues. | The same issues, alongside corporate formation and governance requirements. |
The PCC guidelines, sections 2 and 3 , recognize formation by contract, incorporation or share acquisition. Their definitions serve merger review and do not settle every civil-law liability question. If the proposal is to buy into an existing company, add share-transfer, existing-liability and licence-change diligence; do not file a new incorporation as a substitute.
Write the operating allocation before the agreement’s boilerplate: contributions and delivery dates; ownership or use of contributed assets; who signs customer contracts; authority to borrow; responsibility for losses; reserved decisions; deadlock; exit; and winding down. For a company route, reconcile the intended rights with its articles, bylaws and share terms. Treat these as drafting instructions for the transaction, rather than a universal government checklist.
The underlying company formation work remains ordinary company registration in the Philippines , even when its shareholders describe their investment as a JV. The JV agreement and the company registration perform different jobs.
Set the operating boundary first
Identify who will contract, contribute assets and carry the project obligations so the formation route can be checked against the actual arrangement.
Clear the parties and activity before fixing ownership
Check each corporate participant’s authority separately from the new vehicle’s eligibility. The Revised Corporation Code, sections 35 and 41 , permits corporations to enter JVs. An investment outside a Philippine corporation’s primary purpose generally needs majority board approval and two-thirds stockholder ratification; the statutory exception concerns investment reasonably necessary for its primary purpose. Obtain the resolutions applicable to the actual investment and an authorized signatory, rather than assuming every participant needs the same vote.
For foreign participation, translate the proposed business purpose into the activity governed by law. Executive Order No. 113 of 2026 promulgates the 13th Regular Foreign Investment Negative List. Use its complete attached schedule and the relevant sector statute; the short order text alone is insufficient to clear an activity. No universal 60/40 split can substitute for that exercise. Check ownership, governance and any landholding proposal together before allocating shares or vetoes.
Capital is a separate test. Under RA No. 11647 , micro and small domestic-market enterprises below US$200,000 paid-in equity are reserved to Philippine nationals, subject to statutory exceptions and other relevant laws. A US$100,000 threshold can apply for qualifying advanced technology, endorsed startups/startup enablers, or the combined condition that a majority of direct employees are Filipino and at least 15 are Filipino. Do not apply this rule indiscriminately to every export enterprise or treat capital as a registration service charge.
Prepare a participant sheet showing legal names, place of incorporation, ownership chain, proposed contributions and control rights. Mark which participant supplies each regulated function. If a foreign company will itself perform business in the Philippines, obtain a separate assessment of its own licensing position; subscribing to a local vehicle and performing the project directly are different facts.
Resolve restrictions before spending money on an incompatible share structure. A revision to the activity, investor mix or rights may be possible, but the revised proposal needs the same review. A promise to “fix ownership after registration” leaves the transaction dependent on changes the parties may be unable to make.
Turn approval triggers into conditions that can be proved
Use the following map when negotiating the agreement. Each row links a transaction fact to a decision and an evidence item. Give every applicable condition a responsible party, a target date, an acceptable form of evidence and a consequence if it cannot be met. A condition saying only “all approvals obtained” gives the parties little help when a regulator requests a change.
| Transaction fact | Decision to resolve | Evidence before commitment |
|---|---|---|
| A corporate participant contributes funds outside its primary purpose | Apply its corporate approval rules before authorizing the investment. | Applicable board/stockholder resolutions and signatory authority. |
| A foreign investor participates in a restricted activity | Confirm the applicable ownership and control conditions and capital route. | Activity-specific legal assessment, ownership chart and agreed compliant rights. |
| Two or more parties acquire joint control | Test the PCC JV rules and current notification thresholds. | Documented threshold/control analysis; clearance or other legally sufficient completion evidence if notification applies. |
| A construction JV seeks treatment as not taxable as a corporation | Check the particular contractor and JV licensing conditions. | PCAB and other qualifying records, plus the tax classification analysis. |
| A government agency contributes to an infrastructure/development project | Identify whether the PPP Code applies and which project approvals govern. | Applicable project approval, selection and contractual records. |
| Participants or project purpose change | Reassess the BIR registration position rather than reuse an old TIN automatically. | RDO-confirmed tax registration appropriate to the changed arrangement. |
For competition, contractual JVs are within the screening exercise . The PCC’s joint venture framework examines joint control and the contributions involved, rather than merely the new company’s subscribed capital. Under the PCC’s March 2026 adjustment , compulsory notification applies when both size-of-party and size-of-transaction thresholds are exceeded: PHP 9.1 billion and PHP 3.8 billion respectively. Calculate these using the applicable JV rules and group information; a modest incorporation capital figure cannot establish that notification is unnecessary.
Where notification may apply, make implementation conditional on completing the legally required review. Obtain competition advice before transferring control or assets. Below-threshold status also does not immunize an arrangement from competition law: the PCC expressly retains power to review transactions below its notification thresholds.
A public counterparty changes the analysis. The PPP Code, RA No. 11966 , includes qualifying government/private-sector JVs for infrastructure or development projects. It expressly excludes purely commercial JV arrangements that neither provide nor include public infrastructure or development services. Identify the governing project regime before choosing an approval path; neither automatic PPP treatment nor ordinary SEC registration answers that question.
Resolve the conditions that can stop signing
Bring the activity description, ownership chart and proposed control rights together to identify which approvals need to be conditions of the transaction.
Register the chosen company and the JV tax identity
For a new domestic stock corporation, use the current SEC eSPARC route selector . It directs domestic stock corporations, except lending and financing companies, through ZERO processing. Corporate shareholders do not turn the vehicle into a special JV entity. Check the current route against the particular company type rather than selecting an accelerated route solely because the project is urgent.
The SEC ZERO Regular user guide provides the working sequence below. The transaction team should reconcile the commercial terms with the application before the incorporators authenticate it.
- Prepare credentialed eSECURE accounts for the required signatories. Confirm that their names and contact details match the incorporation records.
- Enter the proposed name, company details, capital structure and officers. Supply the supporting records requested for the applicant’s circumstances and verify the official and alternate email addresses.
- Review the generated forms and tentative assessment, reserve the name and submit within the displayed deadline. Retain the application reference and monitor SEC review notices.
- After pre-approval, complete the eSAP signing requests using the required accounts and OTP verification. Check that every required document shows the completed authentication status.
- Pay the assessed charges through the offered payment channel. Retain the electronic receipt, then return to eSPARC to download the authenticated forms and digitally signed Certificate of Incorporation.
ZERO removes physical signing and notarization of the system-generated registration documents. It does not mean every supporting document from every participant needs no authentication. Follow the request for the actual application, especially where corporate authority or foreign documents require additional evidence.
For the tax workstream, RMC No. 21-2025, section III , requires a separate JV TIN per JV agreement and specifies head-office/project treatment. A construction JV has project branch registration rules; for other JVs, a change in participants can require a new head-office TIN, while a different undertaking with unchanged participants can require branch registration. Confirm the JV’s own tax identity before invoicing under one participant’s existing registration.
Take the executed agreement, participant details, head-office location and intended tax treatment to the responsible RDO for its applicable registration checklist. The circular establishes the JV obligation but does not supply a complete current online intake procedure or document checklist. Where the SEC route offers Philippine Business Hub continuation, use it for the available downstream registration work and verify the records actually issued.
Once the company exists, its business-location and activity permission requirements remain a separate launch check. Confirm the applicable LGU and sector requirements for the actual premises and operator; a participant’s permission should not be assumed to cover a new vehicle.
Plan payments, timing and recovery around the actual route
For incorporation, budget from the SEC’s Payment Assessment Form for the chosen company, not a supposed fixed “JV registration fee.” The SEC route instructions identify the assessment and payment gateways. ZERO describes the electronic process, not a fee waiver. Keep assessed government charges separate from contributed capital, document/authentication expenses, professional fees and any project or competition filing charges. Confirm any VAT treatment in the relevant professional quotation rather than adding it indiscriminately to government assessments.
A reliable launch plan starts when the participants approve the intended arrangement and ends when the actual operator holds its necessary formation, tax and operating records. The cited official materials do not establish a nationwide end-to-end JV duration. Obtain separate estimates for participant approvals, document preparation, SEC review, tax registration and project permissions; allow additional time for changes to control or licensing conditions.
The SEC selector mentions a review-status email within seven working days. That is a registration review-stage statement , not a seven-day promise for a venture to become operational. Prepare activity and competition analyses alongside document collection, but do not implement a transaction ahead of a required clearance.
If SEC sends a compliance notice, correct the identified application data and reconcile the generated documents before resubmitting. If an ownership or licensing assumption fails, pause the relevant commitment and amend the transaction terms with the participants’ approval. If a signatory cannot authenticate, resolve the account or record mismatch; another person’s login is not a substitute for that signatory’s authority.
Construction needs particular care. RMC No. 21-2025, sections I–II , conditions the construction-JV corporation-tax exclusion on specified contractor/JV licensing and other qualifications. A developer/landowner arrangement is not automatically within that exclusion. Determine the tax treatment before pricing the project, rather than treating “unincorporated” as a tax exemption.
Release the JV only against its agreed evidence
Before releasing committed funds or starting the project, compare the transaction file with the conditions in the signed agreement. The company route should have the issued SEC certificate and reconciled corporate records; the contract route should have the executed agreement and properly authorized participants. Both need the appropriate JV tax registration and any applicable competition, local, sector or public-project records.
Make one person responsible for confirming each item, and record what remains outstanding. If the activity classification, control analysis or government-project regime is unresolved, escalate that question before treating the venture as ready. The practical completion test is whether the named operator can lawfully undertake the agreed work with the approvals and registrations that its own facts require.
Build the JV’s release file
Turn the chosen structure and approval conditions into a formation plan with named owners, required records and a clear point for starting the agreed work.
Frequently asked questions
Can a JV use a company that already exists?
Yes. Share acquisition is one route recognized by the PCC guidelines. Review the existing company’s liabilities, corporate purpose and permissions, together with the effect of the proposed ownership and control changes.
Does a small new company fall outside PCC notification automatically?
No. The relevant analysis includes the parties’ groups and the JV transaction calculation. New-company capital alone is an inadequate screening measure.
Does an incorporated JV have to last for the project’s entire life?
The parties should align the intended duration, exit and winding-down arrangements with the corporate documents and project obligations. Ending the commercial agreement should not be treated as proof that every registration has ended.
Can all approvals be obtained after the agreement is signed?
The agreement can distinguish signing from implementation and require specified conditions before performance. Identify approvals that must precede implementation, and provide a workable consequence if those conditions fail.
Does construction-JV income-tax treatment remove BIR registration?
No. RMC No. 21-2025 expressly separates registration from whether the JV is taxable as a corporation. Obtain tax advice on the particular construction conditions and continuing obligations.
