Italy-to-US founder planning

Registering a US Company from Italy: A Founder's Checklist

Make the irreversible choices explicit before authorizing a state registration.

Registering a US company from Italy is feasible for many founders, but the correct checklist begins with the commercial reason for a separate US entity. A venture seeking outside equity, a founder selling services from Italy and an Italian company opening a US operation may need different structures and approvals. Select the route before buying a registration package.

Use the checkpoints below to authorize one commitment at a time. Stop before filing if the proposed legal owner, actual operating locations or Italian tax treatment remains undecided. Registration establishes the entity; it does not approve a bank account, transfer intellectual property or give its owner US work permission.

Key takeaways

  • Decide whether the investor is you personally or an existing Italian business; that choice changes authorization, funding and reporting records.
  • An LLC’s tax classification and a corporation’s equity arrangements need separate analysis before filing.
  • A US operating location can matter more than a low formation-state fee, especially once employees or premises are planned.
  • Treat formation, company governance, EIN and permission to trade as separate checklist sign-offs.
  • Release capital, contracts and account applications only against the evidence required for each particular action.

Checkpoint 1: write the investment instruction

Before selecting a state, put the business purpose into a one-page instruction: proposed products, first customers, places of work, hiring, stock location, ownership and financing. Identify what the US entity will actually do that the Italian founder or business does not already do. A request for dollar billing is not the same requirement as a future institutional funding round.

  • Name the intended legal investor and the person authorized to approve the investment.
  • Describe where services, product development, fulfilment and management will occur.
  • List the first commitments: share subscription, capital contribution, customer contract, hiring or lease.
  • Assign a reviewer for US law and tax questions and a reviewer for Italian consequences.

If an Italian company will subscribe for the new entity, retain the corporate approval and its ownership chain. If the founder will own personally, avoid paying or documenting the subscription as though the Italian company were the investor. A later reimbursement or transfer is a separate transaction with its own tax and accounting consequences, not a correction to be improvised by the formation agent.

Record who owns the new company before anyone signs on its behalf. The European ownership and operating-state analysis is relevant when an Italian parent, personal founder and US team are all involved. An adviser can then test the intended arrangement instead of being asked to endorse a state already chosen for marketing reasons.

Is the owner or entity still undecided?

Turn the business purpose and investment plan into clear formation instructions before making a filing commitment.

Checkpoint 2: choose the entity and its tax treatment

An LLC is often evaluated for contractual flexibility and a small ownership group. A corporation may fit a project that requires shares, a board and a defined equity financing plan. Those are planning considerations, not universal recommendations. Ask prospective investors what they require and ask both tax advisers how they treat the selected arrangement.

Route Decision to resolve Evidence before filing
Single-member LLC Who is the member and will default US classification be used? Agreed ownership and draft operating terms
Multi-member LLC How will members share control, economics and exit rights? Negotiated agreement and partnership-tax review
Corporation taxed as a C corporation Who will receive shares and control board decisions? Share and governance instructions; funding plan
Existing Italian entity registering in a state Is the intention a branch-like presence rather than a new subsidiary? Qualification and US tax assessment for that foreign entity

The IRS LLC classification guidance distinguishes the default single-owner and multi-owner treatments and corporate elections. It does not determine Italian recognition. A label such as “pass-through” describes a US tax concept; it cannot by itself answer when an Italian resident is taxed or whether credits will align.

Do not add an S corporation election to a nonresident founder’s checklist as a standard saving. The IRS S corporation eligibility rules exclude nonresident alien shareholders. Residence in Italy also does not by itself decide US tax residence: dual citizens and people with US residence histories need their own assessment. Settle tax status before selecting an election. This checkpoint is complete when the formation instructions and tax advice describe the same owners and intended treatment.

Checkpoint 3: map the states before comparing fees

Write one row per US location, even if the business will initially operate only from Italy. Include premises, employees, inventory, management and proposed regulated activity. Distinguish the state creating the company from states where it may need authority, tax accounts or licences. A registered agent is a service-of-process contact; it does not erase the other locations.

Wyoming’s official business fee schedule lists an LLC filing at USD 100 and annual licence tax starting at USD 60. These government figures, checked October 30, 2026, are a limited state reference. They exclude agent renewals, professional work, accounts, licences, payment-channel costs and other jurisdictions. They should not be presented as the total cost of operating from California or any other state.

California’s Franchise Tax Board LLC guidance generally imposes a USD 800 annual tax on LLCs organized or doing business there, subject to applicable exceptions. Forming elsewhere does not dispose of that question. When there is planned California activity, obtain the state assessment before using a Wyoming-only annual budget.

For a Delaware corporation, Delaware’s annual report instructions require a separate annual report and franchise-tax calculation; the prior-year filing is generally due March 1. Authorized shares, capitalization and the applicable calculation method matter. Do not substitute an LLC flat-tax description for a stock corporation’s obligations.

The state checkpoint is passed only when the chosen state and every identified operating-state question have an owner. A cost comparison is then meaningful: formation, qualification, agent, annual government payments, tax preparation and closure costs can be considered on the same basis.

Italian founder authorization gates Resolve purpose, ownership, tax and state decisions before filing. An unresolved decision returns for review. Agreed instructions proceed to registration and separate launch permissions. Business purpose and legal investor Owner, tax and state agreed? Yes No: resolve first Approved filing instructions Registration → separate launch permissions
Authorize the next commitment only when the preceding decision has evidence.

Checkpoint 4: authorize the filing and secure the company records

The ordinary United States company registration process requires the correct state submission for the selected entity. Check name availability, appoint an eligible agent, complete the entity-specific fields, obtain execution authority and review the final document. A corporation’s share provisions should reflect the approved equity instructions; an LLC’s filing should agree with its operating agreement.

  1. Confirm the official filing portal or the state’s current paper form and instructions.
  2. Approve the exact entity name, agent, addresses and authorized signer.
  3. Review the final fields and attachments before payment and submission.
  4. Retain the payment receipt and submission reference separately from state acceptance.
  5. Download the accepted document, inspect it for errors and verify the registry record.

A corporation also needs its organizational actions: initial board arrangements, officer appointments where applicable, bylaws, share approvals and an ownership ledger. An LLC needs documented member and management arrangements. The precise legal work depends on the state and structure, but a blank document binder is not evidence that ownership has been properly issued or authority granted.

For an Italian corporate investor, do not attach the full private ownership file to a public registry merely because the agent requests it for compliance. Clarify what goes to the state and what the provider retains privately. Ask about translation or certification only after identifying the recipient and purpose. Correct material state errors through the state’s accepted procedure before circulating conflicting copies.

Complete this gate when state acceptance and the internal authorization records agree. If they disagree about name, owners, manager or share provisions, pause subsequent applications and obtain a controlled correction. It is easier to repair the authoritative record now than to explain several versions to an account reviewer.

Does one launch dependency hold up the project?

Identify the evidence needed for funding, account access or the first operating-state requirement.

Checkpoint 5: fund the company and test launch dependencies

Once the entity exists, identify who may sign the EIN request and the account application. The IRS EIN guidance should be used with the relevant international application instructions. A free IRS number and a paid coordination service are different items. Keep the principal business location and responsible-party facts accurate rather than adapting them to the quickest online route.

Prepare a dependency plan with separate evidence for each milestone. State acceptance comes first for the entity; EIN assignment follows its eligible route; banking and licence reviews may need those records. Account preparation and tax screening can often progress while an EIN is pending, but acceptance policies vary. No single timeline can honestly cover all states, applicants and providers.

Commitment Release condition If the condition fails
Initial funding Approved contribution or subscription plus a documented payment route Resolve payer, owner and currency trail first
Customer billing Correct contracting party, tax review and usable receipt method Amend onboarding dates or contract terms
US hiring or premises State employment, qualification and licence review Defer the operational commitment
Italian founder travel for work Appropriate immigration assessment Separate ownership activity from authorized work

Use a traceable funding route with the owner, company and payment purpose clearly documented. Retain original euro amounts, US dollar amounts and conversion evidence. This record supports reconciliation and advisers’ later reporting decisions. Do not disguise a parent-company loan as personal capital simply because a particular transfer route is more convenient.

The budget should separately allow for government filing, professional services, agent and address, tax setup, licences, certification, account fees, ongoing accounting and annual compliance. Ask for current written service pricing, including renewal and taxes. No present package amount is assumed from an old quote. Bank balances, capital and any recoverable deposits should not be counted as service charges.

Sign the Italian founder’s release only against completed evidence

Authorize the launch when the approved investment instruction matches the accepted state record, internal ownership file, tax assessment and funding evidence. Establish the recurring calendar before the first reporting period closes. A foreign-owned disregarded LLC with reportable related-party transactions needs specific Form 5472 review ; a corporation and a multi-member LLC follow different return paths.

Check the current FinCEN BOI position separately: US-created companies are exempt, while qualifying foreign-law entities registered in the US follow a different scope. Neither that exemption nor a state certificate replaces Italian reporting. The IRS Italy treaty documents are an entry point for a treaty question, not a basis for assuming every Italian owner or LLC receives treaty benefits.

Approve each activity only when its own conditions are met. File unresolved banking, licence, tax and immigration items as specific dependencies with a responsible person. If the structure still relies on an unknown owner, unreviewed Italian treatment or undocumented share issuance, stop the affected commitment and resolve that issue before proceeding.

Have the checkpoints been signed off?

Use the completed records to scope formation coordination and the remaining operating work.

Frequently asked questions

Can I register the Italian company itself instead of a subsidiary?

Potentially, through an applicable state qualification route. It leaves the Italian entity as the business participant and needs its own tax and liability review.

Does a US incorporation transfer my Italian business contracts?

No automatic transfer should be assumed. Review assignment, consent, tax and intellectual-property terms for the particular contracts.

Can the organizer decide my share split?

The organizer should follow approved instructions. Ownership economics and control require decisions by the actual founders and appropriate legal documentation.

What should I do if the planned investor changes before funding?

Pause the contribution or subscription, update the approvals and obtain tax review of the change before sending money under outdated ownership instructions.
