Founder approval checklist
Registering a US Company from South Africa: A Founder's Checklist
Decide what can proceed, what must wait and who owns each unresolved condition.
Do not authorize US registration from South Africa until the intended owner, US operating footprint and funding route fit the same plan. Registration is generally feasible for an ordinary foreign-owned business, but the certificate answers only the entity question. A founder needs separate approval conditions for tax, capital, banking and the activity itself; use the checklist to control commitments rather than merely collect forms.
Key takeaways
- Record the commercial reason for the US entity before choosing a familiar state or package.
- An LLC, a C corporation and direct registration of an existing company have different approval requirements.
- Actual management in South Africa deserves a local tax assessment even with a US certificate.
- A funding transfer should follow the approved investor and applicable Authorised Dealer route.
- Release contracts, payroll and regulated work only against the evidence needed for those activities.
Gate one: approve the commercial purpose and footprint
Write a short approval note identifying the customer, product, operating locations and reason for a separate US legal entity. The reason might be contracting, a genuine US team or a financing requirement. State the evidence: a proposed customer agreement, hiring plan, warehouse arrangement or investor condition. An account application alone is a weak reason if the chosen provider does not accept the owner or activity.
Map what happens in South Africa and what will happen in each US state. Include founders, employees, contractors, storage, fulfilment and decision-making. Do not collapse every location into the registered-agent state. The SBA registration framework explains that conducting business in multiple states can require foreign qualification. Tax registration and business-licence tests need their own review.
Use three statuses in your checklist: approved, conditional and hold. An approved item has named evidence. A conditional item identifies the exact dependency and responsible person. A hold prevents a defined action, such as filing, funding or signing a lease. A paid invoice is not an approval condition. This makes the checklist usable when the project passes between advisers.
Gate two: approve the entity, owner and governance
Choose the entity that can support the next material business commitment. The IRS LLC classification explanation distinguishes domestic LLC defaults from corporate taxation. An LLC’s flexibility can fit a closely held business; a C corporation needs consideration when the ownership and financing plan requires shares and corporate governance. South African treatment must be assessed separately.
| Decision | Approval evidence | Hold signal |
|---|---|---|
| Who owns the US interest? | Founder or parent identified in signed instructions | The payer, shareholder and intended economic owner differ |
| How will it be governed? | LLC management terms or corporate board and officer plan | No person has clear signing authority |
| What does financing require? | Investor conditions and proposed capitalization | Filing terms contradict the planned shares |
| Which US tax treatment applies? | Classification and election assessment | S election assumed for an ineligible foreign shareholder |
Under IRS S corporation rules , a nonresident alien cannot be an S corporation shareholder. Do not confuse that restriction with the broader ability to own an ordinary LLC or C corporation. Establish the person’s actual US tax status instead of inferring it solely from their South African address.
For corporate ownership, obtain the South African parent’s investment approval and representative authority. The evidence connecting a corporate member to individual control helps distinguish legal ownership from management and responsible-party roles. The company’s governance records should identify reserved decisions, day-to-day authority and access to bank mandates.
Which condition currently prevents filing?
Identify the missing owner, governance or financing decision before authorizing registration.
Gate three: clear South African tax and capital questions
Obtain a local assessment before assuming the US entity is outside South African tax. The SARS company-return guidance identifies effective management as relevant to corporate residence and addresses controlled-foreign-company reporting. Which rules apply depends on classification, ownership and facts; the presence of a registered agent overseas does not resolve them.
Give the adviser a management map showing who sets and implements significant decisions, where those people work, what authority has been delegated and how profits will move. Ask for a written conclusion on the chosen structure and the reporting it creates. Do not attempt to change the substance by scheduling occasional board calls in another time zone.
For outward funding, confirm the route with an Authorised Dealer using the SARB financial-surveillance guidance . Individual allowances and tax-compliance processes do not automatically authorize a company’s investment. Ask which approvals and records apply to your investor, amount and transaction. Keep the response with the payment instruction.
Distinguish equity, shareholder debt, service payments and expense reimbursement. The approved funding purpose should be visible in the contract, transfer and ledger. Where the US entity will lend or invest back into South Africa, raise that planned flow expressly rather than treating it as an ordinary outward contribution. The direction of the first transfer does not explain the whole arrangement.
Gate four: authorize the complete budget and service scope
Approve a first-year budget and an annual maintenance budget, each with separately identified government and professional amounts. For an ordinary Wyoming LLC, the state organization charge is USD 100 and the annual licence tax is at least USD 60, with the higher asset-based amount where applicable. Checked November 3, 2026, those figures exclude agent services and other operating costs. They are not the price of a Delaware corporation.
Ask for a written scope naming the state, entity, legal owner, filing method and service period. A formation engagement might omit foreign qualification, EIN coordination, tax preparation or share documents. Price every required excluded item before comparing proposals. Check optional subscriptions and automatic renewal separately from one-off filing work.
| Budget line | Approval question | Release evidence |
|---|---|---|
| Government and agent | Which state fees, processing charges and renewals? | Official fee basis and agent term |
| Professional and tax | Which forms, tax years and owner filings? | Deliverables and responsibility matrix |
| Address, documents and banking | What is required by the actual recipient? | Service terms and provider requirements |
| Operations and ongoing work | Which licences, books, payroll or other states? | Activity-specific review and recurring budget |
Also label notary, translation or legalization, monthly accounting, annual compliance, visa work and bank-provider charges as included, excluded or not required. Determine applicable billing taxes and cancellation terms. A capital contribution or refundable account deposit should not be described as an earned setup fee. Keep a contingency for document corrections and additional-state work; do not call an unscoped quote a total cost.
Does the approved budget cover the actual launch?
Separate state charges, recurring work and activity-specific exclusions.
Gate five: submit the right state registration
The US company registration process begins with the correct state transaction: formation of a new entity or registration of an existing one. The Delaware official formation sequence is relevant when a Delaware subsidiary has been selected. Use the state’s actual certificate and submission instructions, including registered-agent and entity-specific requirements.
- Confirm the final legal name, route, owner and state against the approved instruction.
- Approve the certificate or articles, agent information, addresses and authorized execution.
- For a corporation, verify certificate share terms and plan the subsequent organizational actions.
- Authorize the official filing fee and any permitted optional processing service.
- Track submission, answer a returned filing and obtain the accepted record.
- Complete the ownership, officer or manager records before relying on signing authority.
For an LLC, review the operating agreement and member admission record. For a corporation, obtain organizational approvals, bylaws and appropriate share issuance records. Incorporation is not proof that founder shares were validly issued or intellectual property transferred. Do not promise an investor a clean capitalization file until the underlying actions have been completed.
If the state rejects the document, the person tracking the filing must receive the return notice and correction deadline. Preserve the rejected version and the reason so the team can distinguish a clerical correction from a changed ownership or share instruction. A second new-entity filing is not a safe default response.
Gate six: separate EIN issuance from account release
Prepare SS-4 using the accepted entity details and the actual responsible party. The IRS EIN application instructions distinguish online eligibility from international routes. An overseas principal place of business may require telephone, fax or mail; an agent’s address does not change where the business is principally located. IRS issuance is free, though preparation services may be charged.
Assign a person to retain the signed application, submission evidence and final EIN assignment. Do not put the organizer into the responsible-party field merely to simplify administration. An authorized third-party designee has a different role. If the request is delayed, investigate the pending application before applying again.
For accounts, obtain the selected provider’s current residence, activity and address requirements. Prepare identification, ownership and control records, a credible transaction profile and business evidence. Bank approval remains a separate decision even when state and IRS records are correct. If the business depends on a particular platform, test its eligibility before signing customer commitments that require it.
Use several weeks as a planning buffer across formation and EIN preparation. The IRS’s approximate four-business-day fax and four-week mail guidance applies to those channels, not to company launch. Bank diligence, unresolved management questions or regulated activity can make the overall timeline materially longer. Keep the final operational date conditional until those dependencies close.
Gate seven: assign first-year control and change triggers
The Form 5472 instructions require a specific analysis for foreign-owned disregarded entities and reportable related-party dealings. If applicable, assign Form 5472 with a pro forma Form 1120, the correct tax year, filing route and deadline. The initial failure penalty is USD 25,000. A different classification may create a different return package.
Set a monthly process for bank reconciliation, owner funding, intercompany transactions and notice handling. Separate state maintenance, tax returns, registered-agent renewal and South African obligations. Under the current FinCEN BOI rules , US-created entities are exempt, checked November 3, 2026. That exemption does not turn annual tax or bank checks into optional work.
Define events requiring a new approval: additional members, new shares, corporate tax election, US staff, a warehouse, changed management location or a major shareholder loan. Someone must communicate those events to both countries’ advisers. A checklist signed at formation loses value if no one updates the operating facts afterward.
Include a stop-work instruction for a material change discovered after approval. For example, if the customer agreement requires US employees when the original plan assumed overseas delivery, send that change to the state and tax advisers before signing. Record who can reopen the approval and whether any paid preparatory work remains useful. This prevents a timetable from becoming authority to continue with facts that the founder never approved.
Release the South African founder’s next commitment in order
First close the entity, owner and two-country tax questions. Then clear the capital route and approve the filing budget. State acceptance and governance follow, with EIN, accounts and activity-specific permissions released against their own evidence. This sequence keeps early administrative success from hiding a later commercial blocker.
If the checklist still contains a hold affecting the proposed commitment, authorize only the preparatory work that can safely proceed. A founder should be able to name the missing evidence and its owner before paying for more speed.
Turn the checklist into an approval instruction
Bring the unresolved conditions and the next contract, transfer or hiring commitment.
Frequently asked questions
Can the checklist replace a South African tax opinion?
No. It records the assessment and its owner; it does not supply a classification, residence or controlled-company conclusion.
Does buying an urgent filing service accelerate banking?
Only the stated service is accelerated. IRS, provider and licensing reviews remain independent.
Should the corporate founder and individual founder use the same funding route?
Confirm the applicable route with the Authorised Dealer; do not apply individual permissions to a corporate transfer by assumption.
What should be retained after a gate closes?
Keep the dated approval, underlying evidence, authorized decision-maker and any conditions that remain open.
