Remote US LLC Setup from Asia: Documents, EIN and Banking Checks

Match the state filing, IRS application and account evidence before committing to a remote launch.

Your actual country of residence, working address and business activity matter more to a remote US LLC setup than the label “Asia.” State formation and an international EIN application can be handled from abroad, but an account provider makes its own eligibility and verification decision. Check that route before paying for a filing intended primarily to obtain US banking.

Prepare evidence for three different outcomes: an accepted state filing, an IRS-assigned EIN and a provider-approved account. A registered-agent address does not establish where you work, and a completed EIN application does not prove that the IRS issued a number. The practical task is to make each document acceptable to its next recipient.

Key takeaways

  • Record the residence and business-country connections the provider actually screens; a passport alone cannot establish geographic eligibility.
  • A filed certificate can leave ownership and management unanswered, so keep a separate, consistent record of members and authority.
  • Use the real principal business location when choosing the IRS application route; purchasing US mail handling does not resolve that question.
  • Agree which IRS-issued confirmation the account reviewer accepts before treating EIN assignment as a completed document handoff.
  • Assign bookkeeping and filing responsibility when money first enters the LLC, including money supplied by its foreign owner.

Screen the country and account route before filing

A founder working from Asia should first establish whether the intended account channel supports the actual arrangement. Separate citizenship, present residence, the location of day-to-day work and the countries where the business operates. Those facts can produce different answers. A US entity document cannot correct an unsupported residence or business activity.

Mercury provides a useful current policy example, rather than a universal banking rule. Its eligibility requirements , checked October 24, 2026, allow applications from non-US founders but require a US-registered business, existing or planned US operations and a supported activity. Mercury is a financial technology company; banking services are provided through its partner banks. An eligible application still undergoes review.

Its country restrictions cover founders living in listed places and businesses operating or doing business there. Indonesia, the Philippines and Vietnam are among the listed countries on the check date. The policy distinguishes residence from citizenship. Absence from that list is only one screening result, not an approval or a promise that every service will be available.

Write a short intake record before choosing a package: each owner's residence, the controller's location, the working address, the proposed US activity and expected customer and supplier countries. Ask the intended provider about any uncertain connection. Resolve an unsupported account route before treating formation as a banking solution. Do not replace a real overseas address with a mail service to make the facts appear eligible.

The home-country review also needs a named jurisdiction. Ask local advisers about funding the LLC, holding it personally or through a local company, and the treatment of its income and distributions. There is no continent-wide tax answer to attach to an “Asian founder” application.

Check the remote route against your actual location

Identify the residence, operating-country and business-model questions that need answers before a state filing is commissioned.

Build a document register around acceptance

For a remote US LLC setup, prepare the state filing, an internal ownership record, the correct EIN application and the provider's identity, address and business evidence. Release each item only when it proves what its recipient needs. The register below is an editorial working tool: its acceptance tests combine official filing instructions with provider requirements; they are not one government's mandatory document list.

Evidence item Question it answers Recipient Release test
State-filed formation document Does this LLC exist under this exact legal name? IRS application preparer; account reviewer Use the accepted copy, not a draft or an upload receipt.
Operating agreement and dated ownership record Who owns the interests, and who may act? Members; advisers; provider if requested Percentages, management powers and application answers reconcile.
Passports or other provider-accepted identification Who are the relevant individuals? Account provider Supply the required people, readable details and current documents.
Agent details plus separate working-address proof Where is process received, and where is work performed? State; IRS; provider, for different purposes Label each address by function; do not substitute one role for another.
Completed, authorized Form SS-4 What entity is requesting an EIN, and through whom? IRS Match the filed LLC, actual member count and appropriate responsible individual.
Accepted IRS-issued EIN confirmation Was the number assigned to this business? Account provider Confirm the document format the reviewer accepts; an unsigned application proves no assignment.
Business explanation and funding records What does the company do, and where will its money come from? Account reviewer; tax adviser Descriptions, counterparties and money movements tell a consistent story.

Assign one person to maintain the register, with a version date and an unresolved-question column in your own working copy. That prevents an older ownership schedule reaching the provider after the members have signed a revised agreement. Preserve original files as well as the version submitted to each recipient, so a later clarification can be answered precisely.

The SBA explains the financial and management purpose of an LLC operating agreement . For a company-owned LLC, also assemble the parent's current registry evidence and a chain showing the individuals behind it when the reviewer requests them. Ask the recipient about translation or certification before ordering those services; a requirement for one document or country should not be assumed for every file.

Submit the state document and preserve the owner record

Choose the formation state from the planned business footprint and continuing obligations. A US office, employees or other activity can require analysis of registration in an operating state as well. The SBA's state registration explanation distinguishes formation from possible foreign qualification elsewhere. Delaware is an example of a remote submission route, not a default recommendation for every founder abroad.

The underlying US company formation requirements concern creating the legal entity through its state authority. Keep that filing task separate from the IRS and account applications, even if one engagement coordinates all three. Specify the deliverable for each task in writing.

  1. Select an available LLC name and appoint a registered agent before submitting. Delaware's formation instructions require the agent to have a physical street address in the state. Confirm who receives official mail and who monitors it from your time zone.
  2. Prepare and sign the formation document. The Delaware certificate template asks for the LLC name, Delaware registered office and agent, and an authorized person's signature and printed name. It does not supply a member ownership schedule.
  3. Use eCorp Business Services and select “Document Filing and Certificate Request,” or follow the state's mail route. A My eCorp account can prepopulate submitter information. Check the current fee and provide the requested contact, return and payment information; retain the submitted file and order reference.
  4. Track processing and obtain the state-accepted document. Resolve a rejection against the state's stated reason, then preserve the corrected accepted version. Check its legal name before using it for the EIN application.

Delaware's submission service notice makes two useful distinctions: the service submits documents rather than providing direct online document retrieval, and payment is charged when the order is processed. An upload confirmation or an uncharged card therefore does not establish acceptance. Arrange the return route rather than assuming a certificate will be immediately downloadable.

Keep the signed ownership and management documents in the same controlled file. The person who signs the state certificate is not automatically the LLC's owner. A filing agent's signature should not be copied into the owner or tax-control fields simply because it appears on the first official document.

Evidence that converges at the account review A state-filed LLC record supports the EIN application. IRS-issued EIN evidence then joins independent working-address and owner-control evidence at the provider review. Confirmation of usable account access is a further completion check. State-filed LLC record IRS-issued EIN evidence Working address Owners and control Account access confirmed Provider review and decision
The EIN depends on the LLC record; location and ownership checks are separate inputs to the account review and can be prepared while the IRS application is pending.

Prepare the international EIN application and its handoff

Apply for the EIN after the LLC is formed. The IRS EIN page confirms that the number is free directly from the IRS and gives international applicants a telephone, fax or mail route. If the principal business location is abroad, plan for that route instead of assuming a US registered-agent address creates online eligibility.

Prepare the application against the accepted LLC record, reconciling its name, addresses, membership and activity. Decide who can receive IRS correspondence before submitting; losing the confirmation can delay the account file even after a number exists.

The Form SS-4 instructions require an individual responsible party for a normal business applicant. Line 7b permits “foreign” or “N/A” only when that individual lacks, and is ineligible to obtain, an SSN or ITIN. This is different from leaving the field blank. A third-party designee can have limited application authority; that appointment does not make the designee the controlling person.

Check lines 8 and 9 against the intended tax treatment before signing. Under the IRS default LLC classification rules , one member normally means disregarded treatment and two or more normally means partnership treatment unless an applicable election changes the classification. The LLC's state-law label alone is insufficient to choose every tax entry.

For international applications, the IRS lists 267-941-1099, weekdays from 6 a.m. to 11 p.m. Eastern time. Take current fax or mail details from its linked instructions and use one method for the entity. Arrange an authorized caller and convert US hours to the founder's local time.

Save the signed application, transmission or mailing evidence, and the IRS response as separate records. IRS-issued EIN evidence is the handoff deliverable. The current IRS page says its fax response is a cover sheet containing the EIN, rather than an annotated SS-4. Mercury's document list still mentions an IRS-returned SS-4. Ask the provider whether your actual response is acceptable; otherwise arrange an accepted confirmation, such as Letter 147C, through the IRS.

Do not turn this sequence into a fixed launch promise. Contact with the IRS, receipt of usable confirmation and the provider's subsequent review are separate dependencies. Set a target date only after identifying the outstanding document at each handoff and who will resolve it.

Close the EIN evidence gap

Check the application roles and the confirmation format your intended account reviewer expects before relying on an assigned number.

Reconcile addresses, people and business facts for the provider

An account application should explain the same company across every uploaded file. Resolve discrepancies before submission rather than asking the reviewer to infer which address or ownership version is current. The distinction between a formation record and account evidence for overseas founders is especially useful when a later request concerns identity or operations rather than the state filing.

Start with address roles. Mercury's address policy distinguishes its US physical legal-address requirement from the place where the team works. It accepts a verifiable international working address, including a residential one, but rejects registered-agent, virtual-address and mail-receiving services as the working address. Do not describe the agent's office as your team's premises.

If address evidence is requested, Mercury says it must show the company or beneficial owner's name and the full location. Its examples include a signed lease and recent utility or financial statements. Match the unit number and spelling across the application and proof. If the document belongs to someone else or describes another location, ask what evidence is acceptable; do not edit an issuer's document.

Next separate the people involved. Mercury's document requirements call for identification for owners at or above 25% and at least one person with operating control; international applicants may provide passports. Its ownership policy also looks through entity owners. Ownership percentage and operating control are distinct questions. One IRS responsible party entry cannot answer an account provider's entire people review.

Prepare a factual explanation of the business and funding: what is sold, who contracts with customers, why a US entity is involved and who supplies the first funds. Supporting commercial records, if available or requested, should match that explanation. For a pre-revenue venture, describe planned activity honestly; do not invent invoices, US staff or an established trading history.

Before submitting, check the provider's current country list again and confirm all requested people can complete identity verification. After a request for more information, answer the specified gap using consistent records. If the reason is eligibility rather than missing evidence, clarify whether a different supported channel is needed. More versions of the same formation certificate will not resolve a geographic restriction.

Protect the reporting file while account review is pending

Start a transaction record when the LLC receives or spends money, even if the account is still under review. Record who paid formation expenses, whether money was a contribution or loan, and any later reimbursement or distribution. Keep the underlying receipts and authorization with the bank trail. Those distinctions become harder to reconstruct after payments are mixed across personal and business channels.

For a US disregarded entity wholly owned by a foreign person, the Form 5472 instructions treat the entity separately for specified information-reporting purposes. Formation-related contributions and distributions can be reportable transactions. Where reporting is required, the foreign-owned entity's package includes Form 5472 with a pro forma Form 1120 under the special instructions. Lack of customer revenue is therefore an inadequate filing test.

Arrange a qualified adviser to identify the first tax year, transaction coverage, return deadlines and filing responsibilities for the actual ownership and activity. A multi-member LLC or an LLC electing corporate treatment needs its own analysis. Separately ask a home-country adviser how the entity and owner are treated there; a US classification does not settle that question.

Keep bank verification separate from government ownership reporting. As checked October 24, 2026, FinCEN's current BOI rules exempt entities created under US law. That exemption does not remove account-provider identity checks or IRS foreign-owner reporting. Maintain the owner information even where no domestic-company BOI submission is due.

Assign responsibility for agent mail and the formation state's continuing requirements before the organizer's task ends. Review any operating-state registration, tax accounts and business permissions needed for the actual activity. An accepted certificate, EIN and approved account are evidence of three completed tasks; they are not a complete determination of operational or tax compliance.

Release the LLC file only when the handoffs reconcile

Proceed when the exact residence and business-country facts have a supportable account route, the state-accepted LLC record agrees with the internal owner file, and an authorized person can complete the appropriate EIN process. Prepare address and identity proof in parallel, but do not mark the account task complete merely because the entity and number exist.

At handover, retain the accepted formation copy, signed governing records, IRS confirmation, submitted account evidence and an owner for continuing filings. Confirm access to the services the business actually needs before directing customer receipts there. Pause a handoff when the discrepancy concerns control, location or a provider restriction; resolve that fact with the relevant reviewer instead of changing the business story to fit the application.

Turn the completed file into a clear handover

Review unresolved document mismatches and assign the remaining state, IRS, provider and continuing-compliance responsibilities.

Frequently asked questions

Should every supporting document be uploaded to the state?

No. Submit what the chosen state filing requires. Keep the broader identity, ownership and commercial file for the recipients that request it; avoid sending unrelated personal records with a public entity filing.

Should I buy translations or apostilles before choosing the account provider?

First obtain the intended recipient’s requirements for the actual document and issuing country. Budget and commission that work against a specific acceptance requirement, rather than assuming one certification package serves every recipient.

What if my passport name uses a different spelling from my address evidence?

Flag the variation before submission and ask the reviewer what linking evidence it accepts. Preserve the original documents and consistent application spelling; do not alter source documents to remove the difference.

Does a provider accepting the application settle every banking feature?

Treat application acceptance, approval, account access and availability of the services you need as separate checks. Confirm relevant receiving and payment capabilities with that provider before designing the business’s collection process around them.

What should a handover from a formation service include?

Request a written inventory of delivered records, where originals and correspondence will go, outstanding IRS or provider requests, and who handles future official mail. Match it against the agreed engagement scope rather than assuming all follow-up work is included.
