Delaware LLC formation
How to Form an LLC in Delaware
Connect the state filing to a clear member agreement, current annual tax and the permissions your actual business needs.
To form an LLC in Delaware, choose an available LLC name, arrange a Delaware registered agent, and file a signed Certificate of Formation with the Division of Corporations. The standard government filing charge is USD $110. Complete the first members’ admission and operating agreement, then obtain the appropriate federal tax identity and operating permissions; the certificate alone does not complete those tasks.
For overseas founders, the important distinction is between the LLC’s legal existence, the owners’ agreed membership, and the places where the business operates. Delaware’s annual LLC tax is USD $400 for the 2026 tax year, even though an LLC does not file an annual report with the Division.
Key takeaways
- Use a domestic Delaware filing for a new Delaware LLC; foreign ownership is different from registering an existing out-of-state entity.
- Record the initial members’ admission under the agreement or applicable company records.
- A short certificate leaves important contributions, control and exit terms for the founders to resolve.
- Budget the current USD $400 annual LLC tax separately from agent services and other business taxes.
- Match EIN access and operating-state registrations to the real business facts.

How to form an LLC in Delaware: the minimum filing
Create a new Delaware entity by filing a Certificate of Formation with the Division of Corporations. An overseas owner uses this domestic formation route for a new Delaware LLC; registering an existing entity formed elsewhere is a different task. Keep that distinction clear before paying for a second company.
The standard domestic formation charge is USD $110 in the fee schedule revised August 1, 2026 . This is a government filing amount, including the applicable municipality component, rather than a professional service price. Optional copies and expedited handling cost extra. The old formation template remains useful for its fields, but its printed fee is outdated.
- Choose an available name ending in Limited Liability Company, L.L.C. or LLC. Check it with the Division before preparing the final certificate.
- Arrange a Delaware registered agent and registered office. Enter the agent’s exact name and the Delaware street address, city and ZIP code.
- Have an authorized person sign the certificate and print or type that person’s name. The signer’s authority to file does not itself settle who owns the LLC.
- For a mailed filing, include the completed certificate, payment and a cover letter identifying the sender, return contact details and telephone number. Use the Division’s address on the official form.
These entries and execution instructions appear in the official Certificate of Formation template . Match the legal name character for character across the certificate and internal records. Incomplete agent addresses, an omitted signature or inconsistent names create avoidable correction work.
Under section 18-104 of the Delaware LLC Act , the agent must maintain the required Delaware presence and accept and forward legal communications. A foreign mailing address cannot replace the Delaware registered office. Give the agent a current natural-person communications contact, business address and telephone number, and keep those details updated.
Make the first members’ admission unambiguous
Establish exactly when each initial owner becomes a member. Section 18-301(a) uses the later of the LLC’s formation and the applicable admission time and conditions in its LLC agreement; if the agreement does not provide for that, the membership record matters. A paid filing invoice alone does not resolve this question.
Use the following worksheet before treating an intended ownership split as settled. It is a practical control for the initial members, rather than a substitute for tailored agreement terms.
| Initial-member question | What to resolve | Evidence to retain |
|---|---|---|
| Who is joining? | Identify the individual or entity and the agreed interest. | Member schedule with accurate legal identities. |
| When is admission effective? | Reconcile formation with the agreement’s admission conditions. | Dated agreement and evidence that its conditions were met. |
| What funding is promised? | Distinguish an agreed contribution from an amount already paid. | Contribution schedule, payment record or documented noncash contribution. |
| Who may approve business commitments? | Make the intended management and consent rules usable. | Adopted agreement and any initial written approvals. |
The LLC itself is formed when its initial certificate is filed, or at a later specified effective time, with substantial compliance. Sections 18-201 and 18-206 distinguish that event from delivery and provide for the endorsed filed copy. Retain that copy and check any delayed effectiveness before dating company actions. Formation and membership admission are separate questions.
Turn the member bargain into usable operating terms
Put the founders’ agreement into a written operating agreement that they can actually administer. Delaware allows an LLC agreement to exist before, at or after certificate filing and permits its effectiveness to be aligned with the filing, under section 18-201(d). Writing it down helps a founder abroad demonstrate the agreed rules without relying on recollections of a call.
Address contributions and control together. Specify what each member contributes, when it is due, how interests and distributions are determined, who manages routine business, and which decisions require additional consent. Add a practical way to resolve deadlock, admit another investor, transfer an interest and wind up the venture. Obtain appropriate legal and tax input where these choices affect competing owners.
For one owner, document the initial admission and how that owner authorizes company actions. For several owners, test a realistic disagreement: can one person commit the LLC to a loan, sell an asset or bring in a new member? The document should give an answer before the disagreement occurs. Keep signed terms and later changes accessible to the people who must apply them.
If the entity choice is still unsettled, compare the separate issues in our discussion of Delaware corporation advantages and trade-offs . Corporation-specific reasons for choosing Delaware should not be assumed to describe an LLC’s membership or tax treatment.

Fund the Delaware commitment beyond the certificate
Budget for the current annual LLC tax even if the company has not begun trading. As verified October 20, 2026, 85 Delaware Laws, chapter 273, sections 23 and 45 raises the annual LLC tax from USD $300 to USD $400 with effect from January 1, 2026. Some older official templates and consolidated text still display the former figure; use the enacted change and current payment instructions for the 2026 tax year.
The Division’s current LLC annual-tax instructions require USD $400 for the prior calendar year by June 1, with no annual report for an LLC. The tax is not prorated when the entity is active on the Division’s records at any point in the year. For an ordinary new LLC effective during 2026 and continuing in existence, plan its first USD $400 payment for June 1, 2027. Cancellation can accelerate tax settlement; a short trading period does not create a reduced annual bill.
A limited government-charge example is therefore USD $110 for standard formation plus USD $400 for the first annual tax: USD $510 across those two events. Add the contracted registered-agent charge, any professional assistance, optional government services, other-state registrations and operating permissions separately. Capital contributed to the LLC and income or other business taxes are separate from these charges. No HSJGlobal service price is included in this example.
Assign someone to retain the file number, monitor notices and arrange payment. The instructions specify a USD $200 late penalty plus 1.5% monthly interest on tax and penalty. No annual report does not mean no annual obligation. If the venture ends, arrange the winding up and cancellation process rather than simply abandoning the agent or payment account.
Align the EIN application with actual ownership and control
Obtain the federal Employer Identification Number through the route the LLC actually qualifies to use. The IRS EIN application page confirms that the IRS issues the number free. Its online tool requires a domestic organization, a principal place of business in the United States or its territories, and the responsible party’s Social Security number or individual taxpayer identification number. A Delaware agent address does not establish that the business meets those conditions.
When online access does not fit, use the Form SS-4 instructions for a signed fax or mail application and the destination matching the business’s actual location. Identify the natural person with ultimate ownership or control as responsible party. If that person lacks and is ineligible for an SSN or ITIN, the instructions allow foreign or N/A on line 7b. Keep the submitted application and EIN assignment notice; avoid duplicate applications through different routes.
Confirm federal tax classification before assuming what returns follow. Ordinarily, a domestic single-member LLC is disregarded for federal income tax, while a domestic LLC with two or more members defaults to partnership treatment; an eligible election can change that. These are classification rules, not a finding that the owners owe no tax. Coordinate the company’s treatment with the owners’ home-country obligations.
A wholly foreign-owned US disregarded entity with reportable related-party transactions can need Form 5472 attached to a pro forma Form 1120. The IRS Form 5472 instructions include certain formation, contribution and distribution transactions. Review those obligations from the first funding event, even before customer revenue. Delaware’s annual tax payment does not satisfy federal information reporting.
Attach operating permissions to the real business location
Check the operating footprint separately from Delaware formation. The SBA guidance on foreign qualification explains that an LLC active in other states may need registration there, together with additional taxes and reports. In this setting, foreign can mean another US state; it does not describe the citizenship of the founder. Each operating state supplies its own registration conditions and exceptions.
List where people work, where premises and inventory sit, and what services or products the LLC supplies. Ask each relevant registry and tax authority about that actual fact pattern. An LLC managed from abroad with a Delaware agent needs a different review from one that opens a warehouse or hires staff in another state; neither should rely solely on its formation address.
For Delaware operations, Delaware One Stop’s registration and licensing criteria point to property or a business location, employees, or sales in Delaware. The portal directs qualifying businesses to a Division of Revenue business license and identifies withholding, unemployment and workers’ compensation requirements when employees work there. If the connection is uncertain, use its nexus questionnaire or obtain a Division of Revenue determination.
Also check the activity and premises: zoning, building use, health, professional, product and federal regulated-activity approvals depend on the business. Treat a required license or inspection as its own completion item. A Certificate of Formation and an EIN establish different facts from permission to conduct the proposed activity.

Decide which Delaware commitment is still unresolved
To form an LLC in Delaware successfully, reconcile the filed certificate with the first members’ admission, then make the agreed operating rules workable. Keep the endorsed certificate, current member schedule, agreement, funding evidence and federal identity documents together. That collection lets the founders explain both the company’s existence and the basis on which they act.
If the certificate is ready but ownership conditions remain disputed, resolve those conditions before relying on a proposed ownership split. If the internal arrangement is settled, address the next external dependency: EIN access, a required registration where the business operates, or an outstanding activity approval. Finally, fund the USD $400 annual Delaware tax and maintain the agent contact while the LLC continues. Choose the next action from the unfinished commitment, with a named person responsible for completing it.

Frequently asked questions
Does paying the formation fee reserve an ownership percentage?
The state filing charge is paid for the certificate filing. Record the ownership arrangement and admission conditions separately; a payment receipt does not establish the agreed percentage.
Must every founder sign the Certificate of Formation?
The statutory filing is executed by one or more authorized persons. That is a different question from who should execute or be bound by the founders’ agreement.
Can an LLC agreement exist before the certificate is filed?
Yes. Section 18-201(d) permits an agreement before, at or after filing and allows its effectiveness to be coordinated with formation. Make the intended timing clear.
Should I order every optional certified document at formation?
First ask the intended recipient which document it requires. A filed copy, certified copy and status certificate serve different requests; do not assume every optional purchase is needed.
Does the Delaware certificate settle taxes in my home country?
No. Obtain advice on how the owners’ home jurisdictions treat the LLC, its income and distributions, alongside the applicable US obligations.
