Representative Office Registration in the Philippines: Scope and Funding

Match the proposed local work to a non-income-generating licence and fund the office beyond its entry threshold.

US$30,000 is the minimum initial inward remittance specified for a foreign representative office in the Philippines. The office must remain within its licensed, non-income-generating scope and receive support from its head office. The FIA implementing rules use an initial-remittance requirement; that wording does not establish a fresh US$30,000 transfer every year. Check the proposed activities, funding evidence and actual operating budget before filing.

The SEC issues the foreign corporation a licence for the approved Philippine purposes. This is an extension of an existing overseas company, rather than incorporation of a new Philippine subsidiary. A plan to earn local fees or sales revenue needs a different entry analysis.

Key takeaways

  • The US$30,000 entry remittance and the office’s operating cash requirement answer different questions; the larger practical need can exceed the threshold.
  • Head-office funding must support the permitted work without turning the office into a local revenue business.
  • A bank transfer alone leaves gaps: match the remitter, beneficiary, amount and purpose to the parent’s licensing file.
  • Foreign parent records, the resident-agent appointment and the SEC application must describe the same office and activities.
  • Retain the issued licence, payment and submission records, then maintain a funding reconciliation and the applicable compliance calendar.

Turn US$30,000 into an operating funding plan

Treat the entry remittance as money available to support the office, not as a registration charge paid to the SEC. The BOI’s enterprise description connects the minimum inward remittance with operating expenses and head-office subsidy. It does not make the amount a complete first-year budget. Nor is this a subscription for newly issued shares in a Philippine subsidiary.

Create three separate lines in the parent’s approval memo: entry funding and its bank evidence; the period of operating expenditure being financed; and filing, professional and third-party charges. Funding the office does not pay the government’s filing assessment. A service provider’s invoice also does not prove that the required inward remittance reached the appropriate beneficiary.

Use a cash horizon, then test the threshold

For planning, choose a period that matches the parent’s treasury approval cycle. Add recurring payroll, rent, utilities and other expected outgoings, then add one-off setup cash and a contingency approved by the parent. Subtract only cash that is actually available for the office. This is an internal budget calculation, not a statutory formula or a market quotation.

Illustrative treasury worksheet, 5 November 2026. These are invented planning inputs, not typical prices. Government, professional and other separately assessed charges are excluded.
Planning test Hypothetical calculation Action
Initial six-month runway US$4,000 monthly outgoings × 6 + US$3,000 setup = US$27,000 The entry requirement still calls for at least US$30,000 initially.
Twelve-month runway US$4,000 × 12 + US$3,000 = US$51,000 Approve US$51,000 of operating support, or document an initial transfer plus later funding dates.
After spending begins Opening cash + parent transfers − paid outgoings = closing cash Reconcile the ledger to bank records and forecast the next transfer before cash runs short.

The second calculation identifies US$21,000 more operating support than the initial threshold. That difference comes from the chosen spending assumptions; it is not an additional fixed regulatory remittance. Agree who authorizes later transfers, what lead time treasury needs and what cash balance triggers a request. A smaller office still needs the entry evidence; a larger office needs a credible means of paying its actual bills.

Test the parent’s funding commitment

Bring the proposed activities and treasury horizon together before approving an entry transfer or a local office budget.

Apply a scope-to-cash test to each proposed activity

A representative office may handle liaison activities within its approved purposes, rather than operate as an income-earning branch. The BOI description of representative offices identifies information dissemination, communications, product promotion and export-product quality control, together with the no-local-income boundary. An activity’s commercial label is less useful than identifying who performs it, who contracts and who receives payment.

Use the following working sheet before drafting the purpose clause or hiring staff. The action column is a planning application of the official boundary, not an advance SEC ruling on a particular contract.

Proposed task Cash or contract signal Planning result Evidence to prepare
Provide product information and send inquiries to the parent No local charge for the representative office’s work Candidate for the licensed liaison scope Activity description, referral process and parent-funded budget
Perform quality checks for products for export Office costs met by the head office Match the actual checks to the approved purpose Work instructions, product flow and expense records
Invoice customers for local consulting, installation or other services Philippine office expects service revenue Stop and assess an income-earning entry structure Draft contracts, invoicing plan and responsibility for delivery
Call customer receipts a reimbursement Money relates to work performed for a customer Review the substance before accepting payment Payer identity, underlying service and contractual obligation

A foreign parent’s offshore invoice is not, by itself, enough to settle what Philippine staff may do. If staff will negotiate commitments, deliver paid services or collect customer payments, obtain a review of the actual arrangement before representing it as liaison work. The licensed purpose should be a usable operating limit for the local team, rather than wording copied into an application and forgotten.

Where the intended work crosses that boundary, compare foreign entry structures and licence choices before committing to this route. The parent’s funding model and the local team’s commercial authority must support the same choice.

Representative office funding and evidence Head-office support reaches the office through an initial remittance and additional budget transfers. The office connects its operating expenditure with a bank and ledger reconciliation. Head-office support Initial inward remittance At least US$30,000 Additional transfers Based on actual budget Office operating fund No local income Permitted office expenses Payroll, rent and support Funding reconciliation Bank records and ledger
The initial transfer and later budget support feed one operating fund. Keep expenditure evidence connected to the money received from the parent.

Build one consistent parent and resident-agent file

The applicant is the foreign corporation. Under sections 142, 144 and 145 of the Revised Corporation Code , its file includes certified constitutional records, application information, home-jurisdiction standing and reciprocity evidence, financial-condition information and a resident-agent designation. The agent may be a qualified Philippine-resident individual or a qualifying domestic corporation. Appointment gives someone authority to receive legal process; it does not create a separate local subsidiary.

  • Collect the parent’s articles and bylaws, required certifications and translations. Check the legal name against every supporting document.
  • Prepare the parent board’s authority to establish the Philippine office, identify its approved activities and appoint the resident agent. Include the required service-of-process stipulation and appointment acceptance where applicable.
  • Assemble the required financial statements and sworn solvency information. The Code’s financial-condition statement uses an assets-and-liabilities date no more than one year before filing; verify the current SEC checklist for the supporting statements.
  • Connect the bank’s inward-remittance evidence to the applicant and attach the application’s required funding information.
  • Confirm the Philippine office address, parent directors and officers, capital information, authorized signatory and any activity-specific government endorsement before encoding.

The SEC forms index identifies FIA Form 104 for a foreign corporation’s representative-office application and F-108 for a non-stock foreign corporation’s branch or representative office. Select the route matching the parent’s actual legal form. Do not substitute domestic incorporation documents merely because the ultimate owner is foreign.

Ask the receiving bank, before sending money, what it needs to issue usable inward-remittance evidence. Request a certificate or credit advice showing the relevant parties, date, currency and amount, and keep any conversion record. The remittance trail should connect the parent’s authorization to receipt and expenditure; bank onboarding and document acceptance remain separate decisions.

Before ordering overseas certifications, obtain the selected SEC office’s current execution and authentication checklist. Confirm whether the document’s origin and type permit an apostille or require another authentication route, and arrange any required translation. The older FIA rules still use consular-authentication wording; that historical wording should not be treated as a universal current instruction for every country.

Use a consistency review rather than checking only whether files are present. A board resolution describing sales, an application describing liaison work and a budget relying on customer fees reveal a structural problem. Resolve that mismatch at parent level before signature. The broader company registration process in the Philippines also requires the chosen legal vehicle, documents and registration path to agree.

Resolve gaps in the foreign document file

A mismatched parent name, unclear activity clause or incomplete agent appointment can hold up an otherwise funded application.

File the foreign licence through Regular Only

As checked on 5 November 2026, the SEC’s specific Regular Processing page places foreign representative offices under Regular Only. Its ZERO route’s stated coverage is different. Follow the actual foreign-corporation application and its document instructions rather than assuming domestic stock-corporation automation applies.

  1. Enter through the official eSPARC route and complete the account or identity requirements presented. Select the parent’s foreign stock or non-stock category and Representative Office.
  2. Record the proposed name, parent details, Philippine address, purposes, agent, signatory and funding information required by the application. Retain the application reference and the email used for SEC notices.
  3. Generate and execute the required forms, then submit the supporting package in the format directed for that application. Keep a copy of the exact signed version and submission evidence.
  4. Respond to review notices by correcting the identified data or documents. Reconcile related records together if the correction changes the name, purpose, agent or remittance information.
  5. Pay only when qualified for payment, using the Payment Assessment Form and supported channel. Save the PAF, payment reference and proof of successful payment.
  6. Complete the required original-document submission and obtain the issued licence. Check its purposes and identifying details against the approved file, and retain the release or electronic delivery record.

The public portal instructions conflict: the selection page refers to a three-working-day review notice and a 30-calendar-day original-document period, while the specific Regular page refers to seven working days and 60 calendar days, with two hard-copy sets. Both also use generic incorporation-certificate language. Obtain the current written requirements for the selected office and foreign application before relying on a deadline or delivery format. Neither review-notice period is an end-to-end launch promise.

For a published fee basis, the SEC’s foreign-corporation service page lists a representative-office filing charge of 0.1% of actual inward remittance converted into PHP, with a PHP 2,000 minimum, plus a legal research charge of 1% of the filing charge, minimum PHP 10. That page describes an older counter workflow. Treat its figures as the published reference checked on 5 November 2026 and confirm the current amount on the PAF; do not assume the old workflow or a complete all-in price. Professional fees, bank charges, authentication, courier costs and local assessments are separate, with their own tax treatment.

Keep funding traceable after the licence is issued

Licence issuance closes the SEC entry application, not every operating requirement. Confirm BIR registration and the obligations applicable to the office, local premises and business permits, and employer registrations where relevant. Having no local income does not answer every withholding, payroll, reporting or local-permit question. Assign these checks before the office takes on expenditure and staff.

The SEC’s reportorial page for primary licensees lists information and financial reporting for foreign branches and representative offices. Check current forms, submission channels and schedules for the relevant reporting year. Keep operating records after the initial bank certificate has been filed. The office’s accountant should be able to explain how spending was financed throughout the period.

Maintain a monthly working reconciliation containing opening funds, each head-office remittance, currency conversions, expenses, closing funds and the next forecast transfer. Attach bank statements, remittance certificates or credit advices, payment support and the parent’s authorization. This is a recommended control file, rather than a claim that every item is a separate monthly SEC filing.

Investigate a mismatch instead of masking it. If a certificate names the wrong beneficiary, ask the bank to clarify or correct the evidence before submission. If spending exceeds the forecast, obtain further parent support. If customer receipts appear in the account, establish their nature and review the activity and tax consequences before continuing the arrangement. A funding shortfall and an activity outside the licence need different remedies.

Approve the representative office only when scope and cash align

Proceed when the parent can authorize the actual non-income-generating work, supply a consistent licensing file and document both the initial remittance and continuing support. Give the local manager the approved activity description and a spending limit, with a named parent contact for funding requests. The treasury horizon should reflect real commitments rather than the minimum entry amount alone.

Pause where the model depends on customer revenue, where the bank evidence cannot be matched to the applicant, or where the parent cannot finance the planned office. Resolve the commercial structure, evidence or budget before filing. The practical completion file should contain the issued SEC licence, approved purposes, accepted document and payment records, funding trail and assigned follow-up compliance tasks.

Prepare the scope and funding approval pack

Bring the parent’s activity plan, draft authorization, remittance evidence and operating forecast into one review before the Philippine office is launched.

Frequently asked questions

Can a new overseas company use the same route?

The applicant must be an existing foreign corporation with the required standing and financial evidence. A recently formed parent should check the SEC’s current documentary treatment before assuming it can supply the same financial history as an established company.

Does keeping the bank balance above US$30,000 replace later funding?

The cited entry rule concerns an initial remittance, not a universal permanent bank-balance floor. Check any conditions in the licence and current SEC instructions. Treasury should separately ensure that the office can meet its actual expenses.

Can another group company send the operating funds?

Do not assume that a transfer from any affiliate establishes head-office support. Ask the receiving bank and the SEC processor what evidence is acceptable, and document the relationship, authority and reason for the payment before using it in the licence file.

Can the resident agent also manage office spending?

Service-of-process authority and budget authority are different functions. If the same person will perform both, document each appointment and its limits separately; the agent’s statutory role does not itself authorize every commercial or banking action.

Can the parent add revenue activities after approval?

Do not begin them on the assumption that the original liaison licence covers expansion. Review the intended activities and the appropriate SEC amendment, conversion or alternative entity route before changing the operating model.
