Research and Development Center Setup in Thailand: BOI and Operating Approvals

Match the research plan to BOI activity 10.2, then identify the approvals triggered by the lab’s actual work.

A Thailand R&D center is not one universal license category. A Thai project may apply for BOI promotion under activity 10.2 for basic or applied research, pilot development, or demonstration development. The BOI’s 2026 Guide asks for the research scope and researcher profiles, and sets a project threshold of either at least THB 1.5 million a year in salaries for newly hired R&D personnel or at least THB 1 million in qualifying capital investment, excluding land, working capital, and vehicles.

BOI promotion is a project incentive decision; it does not authorize every way a laboratory may operate. Factory-type testing, controlled chemicals, clinical research, and site works can trigger separate checks. Map the work, outputs, substances, equipment, and subjects before choosing a site or promising an opening date.

Key takeaways

  • Activity 10.2 covers basic research, applied research, pilot development, and demonstration development; a testing service, engineering design practice, or sector-specific project may fit a different BOI activity.
  • For 10.2, submit the research scope and researcher numbers, academic backgrounds, and work experience; meet either the new-hire salary test or qualifying capital test for the project.
  • BOI’s A1 classification concerns the promoted activity and its approved certificate. It does not replace DBD incorporation, a factory classification, hazardous-substance control, or health-product permissions.
  • Build a workbench-level permit screen from what the team will handle: machinery and process, chemicals and samples, human or animal subjects, and any clinical product.
  • Use BOI’s application, resolution-acceptance, and certificate-issuance stages as separate milestones; the certificate is not the same as authority to start regulated work.

Define the research project before selecting the BOI route

Start with the work product and the point at which research becomes a customer-facing service or commercial production. “R&D center” describes a business plan, not a single legal form or blanket incentive. In the BOI’s current Guide, general research and development appears as activity 10.2 in the professional-services group and is classified A1. A1 is the incentive category, while the activity code and project-specific conditions define the work that is promoted.

For activity 10.2, the Guide separates four kinds of work. Basic research investigates new knowledge without an initial application; applied research uses knowledge toward a new product or process; pilot development scales research into a prototype or semi-industrial process test; and demonstration development tests a process at industrial level to verify technology and commercial-scale viability. A practical classification question is whether the Thai team is creating and testing new knowledge or merely testing an existing product for a customer.

Choose an initial BOI activity screen by the principal deliverable
Project output Initial activity to check Boundary to document
New knowledge, product or process research, prototypes, or pilot and demonstration work 10.2 Research and Development Research questions, work stages, team, equipment, and who owns or uses the results
Technical plans or engineering design delivered as a service 10.3 Engineering Design The Guide excludes civil engineering and architectural design from this promotion activity
Measurement, analysis, or routine testing sold to clients 10.4 Scientific Laboratories, or another service/activity rule Distinguish original R&D from a laboratory service whose deliverable is a test result
Clinical, biotech, agricultural, medical, or other listed sector work Compare 10.2 with the relevant sector activity Sector rules can add facilities, personnel, collaboration, standards, or ethics conditions

The BOI Guide separately lists Contract Research Organizations and Clinical Research Centers in the medical-industry section. For example, the Clinical Research Center activity has its own requirements for human-subject stages, researcher and facility details, Good Clinical Practice, and ethics review. A clinical study should therefore be classified against both the R&D project and the medical-sector activity before the application narrative is fixed. The 2026 Investment Promotion Guide is the controlling starting point for matching the proposed business to the eligible-activity conditions.

To keep the proposed activity testable, prepare a one-page project boundary covering the research question, inputs, method, expected prototype or result, customer services, planned scale, Thai and overseas collaborators, and the point at which manufacturing begins. That description helps keep the BOI project, the company’s stated activities, and each operational permission aligned.

Check the activity before fixing the company scope

Compare the proposed research outputs with activity 10.2 and flag any testing, design, or commercial activity that needs a separate classification.

Test activity 10.2 and its financial threshold

Activity 10.2 requires a substantive research plan and a project-specific resource basis . The applicant must describe the R&D scope and details such as the number of researchers, their academic profiles, and their work experience. It must also meet one of two thresholds. The salary route is for at least THB 1.5 million in annual salaries for R&D personnel as new employment; the alternative is at least THB 1 million in capital investment, excluding land, working capital, and vehicles.

Activity 10.2 threshold: make the route and evidence explicit
Route Minimum Project evidence to prepare
New R&D employment THB 1.5 million annual salary expense Role-by-role headcount, job descriptions, salary budget, start dates, and evidence that the roles are new to the project
Capital investment THB 1 million qualifying capital Itemized equipment and facility investment schedule; exclude land, working capital, and vehicles
Research capability Research scope plus researcher details Project list, research questions, stage gates, researcher count, academic qualifications, relevant experience, and collaboration plan

These figures are BOI project conditions, not a general company registered-capital minimum. Do not add payroll and equipment casually to make an application appear to pass: ask which qualifying route the project will rely on and keep the supporting schedule traceable to the proposed activity. The Guide also classifies activity 10.2 as A1, which carries an eight-year corporate-income-tax exemption without a cap under the basic incentive table; actual use depends on the approved project, the certificate, and compliance with its conditions.

The salary route requires new R&D employment; an existing team alone does not satisfy that condition. If the project uses the capital route instead, keep the exclusions visible in the investment model. The BOI may request clarification of how equipment supports the research scope, so descriptions such as “laboratory setup” are not enough by themselves.

Do not confuse the activity’s basic incentive with merit-based incentives for R&D spending. The Guide describes a separate competitiveness-enhancement measure for investments or expenditure such as in-house R&D, domestic outsourced work, or collaboration with overseas institutions. Its R&D test includes spending equal to at least 1% of total sales in the first three years or THB 200 million, whichever is lower, and the same expenditure cannot be counted for duplicate incentives. Treat that as a separate model, not as a substitute for the 10.2 threshold.

Turn the research plan into a BOI evidence file

Translate the lab plan into evidence that a reviewer can test. A project narrative should explain not only what the facility will own, but what each team, machine, and budget item contributes to the claimed R&D activity. This crosswalk is useful before the e-Investment form is drafted because it reveals mismatches between research objectives and planned commercial services.

Evidence-to-question crosswalk for an R&D promotion application
BOI question Evidence file Cross-check before submission
What research will take place? Research plan with objectives, methods, stages, output, and project timeline Each output maps to basic/applied research, pilot, or demonstration development
Who will perform it? Researcher roster, CV or profile, qualifications, experience, role, and hiring date Count and salary schedule match the new-employment route if used
What will the project invest in? Equipment schedule, specifications, quotations, installation and commissioning plan Qualifying investment is separated from land, working capital, and vehicles
Where does work stop or change category? Process map for testing, customer services, prototypes, manufacturing, clinical work, and transfer of results BOI activity, company scope, and operating permits cover the same activity boundary
How will the project be funded and controlled? Three-year funding plan, shareholder and source-of-funds details, governance, and IP arrangements Entity, ownership, related-party work, and expected revenue do not conflict with the application

BOI’s general application checklist also lists business history and details, audited financial statements if available, photographs or catalogues, process documentation, main machinery details, and supporting materials for special conditions. A pure research project may not have a product catalogue; use a clear technical process diagram and equipment schedule instead of manufacturing evidence that does not exist. The BOI application document checklist should be checked against the current form and the activity-specific requirements.

Prepare the proof in a reviewable order: one-page project brief; activity classification; research work packages; personnel and threshold schedule; equipment and capital schedule; site and utility plan; expected outputs and IP chain; and a list of permissions that remain conditional. Add translations or certifications only where the responsible authority or filing route actually asks for them.

When the project belongs to an existing group, record who owns background IP, who owns new results, whether Thai researchers work for a Thai entity, and whether a parent or affiliate receives research services. Those facts can affect whether the Thai operation is conducting R&D, providing a service, or performing an internal group function. They also help prevent the application from mixing separate promoted activities into one undifferentiated “innovation center.”

The same research plan can lead to different permissions once work leaves desk-based analysis and enters a lab, pilot line, clinical protocol, or controlled-material workflow. Use the gates below to separate BOI activity selection from the permits that arise from the actual operation.

Thailand R&D project and operating-approval gates Classify the research first, then follow the BOI activity route and check separate factory, hazardous-substance, and human or clinical research permissions only when the planned work triggers them. Define the research output question · method · result · scale BOI activity fit 10.2, sector activity, 10.3, or 10.4 Equipment + process factory, utilities, site-use screen Materials + subjects chemical, clinical, human/animal ethics Which separate approval is triggered? BOI certificate + permissions before launch
A workbench-first screen keeps the BOI activity, facility, materials, and human-subject approvals on separate tracks.

Screen operating approvals from the workbench

There is no single “R&D operating license” that covers every laboratory. Start from the specific acts: install, possess, import, test, handle human or animal subjects, or sell a service. A low-impact desk research center may need a different approval path from a wet lab or a pilot process. The checks below are triggers for a regulator review, not a substitute for a technical classification.

Operational approval screen by research activity
Work trigger Authority / control to screen Evidence and launch gate
Machinery and industrial or pilot testing Factory Act classification with the Department of Industrial Works or relevant local authority Equipment power, staff count, process, factory type, location, and any required notification or license before the regulated activity starts
Import, manufacture, export, or possession of controlled chemicals Hazardous Substance Act category and the authority assigned to that substance; DIW’s single-window system covers DIW-controlled items CAS number, concentration, volume, intended use, supply route, storage and waste plan; confirm whether a notice, permit, or specific research-use exception applies
Investigational drug, herbal product, or clinical-trial material Thai FDA product-specific research/import/manufacture permission and an accepted ethics review, as applicable Protocol, product dossier, informed-consent documents, product source, safety controls, and EC status before import, manufacture, or recruitment
Human or animal research participants Institutional or independent ethics review; applicable clinical-sector and professional standards Subject-protection plan, consent, adverse-event handling, study site roles, and any required committee clearance before study conduct
Building alterations, utilities, waste, or emissions Site-specific building, local public-health, environmental, and industrial requirements Premises drawings, landlord consent, chemical and waste flows, ventilation, wastewater, and approval or notification status before fit-out or use

The Factory Act definition is not triggered by the word “laboratory” alone. The 2019 amendment defines a factory using machinery of at least 50 horsepower or at least 50 workers, with the activity also falling within a prescribed factory type. The law also permits rules that exempt certain research-purpose factories from parts of the Act, but that is not a blanket exemption for every R&D room. Check the DIW Factory Act and amendment index and the current factory type and local rules before installing equipment.

For chemicals, screen each substance and action separately. Thailand’s hazardous-substance controls distinguish categories with different requirements, and the responsible agency depends on the listed substance. DIW publishes a Hazardous Substance single-window and service portal , including chemical-consultation and permit systems. A research-use exception may exist for specified controlled substances and conditions; do not assume that it covers all imports, quantities, or users.

Clinical research introduces another set of gates. The Thai FDA’s drug-research resources distinguish the approval requirements for research drugs and ethics review; its innovation office publishes supporting-document checklists for clinical research products. The Thai FDA drug research page and the relevant product-specific FDA manual should be checked before a sponsor imports or produces trial materials. The Thai Clinical Trials Registry encourages prospective registration before recruitment, but a registry entry is not a substitute for FDA permission or ethics approval.

Make the permit map activity-specific. One sheet can show each work package, substance or sample, site, responsible officer, application owner, required evidence, and the written proof that unlocks the next stage. If a permit is “not applicable,” record the reason and the person who confirmed the classification; do not leave the field blank.

Turn the plan into an evidence file

Check that the research stages, people, equipment budget, and planned outputs support the same BOI activity claim.

Separate promotion, company registration, and operation

BOI, DBD, and operating regulators decide different questions. BOI decides whether the proposed project fits a promoted activity and its incentive conditions. DBD registers the Thai legal person and its corporate particulars. Sector and site regulators decide whether the facility, materials, product, study, or service may lawfully operate. A positive outcome from one track does not silently complete the others.

For an investor using a Thai limited company, check the foreign-ownership route and registered business scope in parallel with the BOI project description. A BOI certificate may support specific non-tax privileges and can provide a route to a Foreign Business Certificate for promoted activity, but the company must still be registered and the permitted operation must stay within the promotion certificate. The DBD Biz Regist is the current digital registration channel for companies; use the DBD company record and shareholder list required at BOI certificate issuance. Check Thailand company registration requirements as the entity baseline; activity-specific approvals remain separate.

This separation also matters for research equipment. BOI may approve machinery or raw-material import privileges for a promoted project, but a user must follow the certificate, approved list, customs procedures, and any other product or hazardous-material permission. An incentive approval is not permission to import or operate every item used in a laboratory. Do not ship chemicals, clinical products, or controlled equipment on the strength of a project approval alone.

If the operating plan is a contract lab, routine measurement service, or engineering design provider rather than a research project, revisit the activity classification and foreign-business position. The distinction matters even when the same scientists and equipment perform the work. A useful broader explanation is how incorporation and operating licences are separate checks ; keep the research-specific activity and permit questions in the project evidence rather than treating company registration as the finish line.

Sequence the BOI application and launch

Use the BOI process as a chain of dated decisions rather than one application date. Its 2026 Guide describes an e-Investment submission, project clarification, evaluation, result notification, acceptance of the resolution, and a later certificate-issuance application. The published review windows are measured after complete documents are submitted and vary by investment size; the Guide shows 40, 60, or 90 working days for the respective review route. It separately states that a certificate-issuance application is due within six months after resolution acceptance and that BOI issues the certificate within ten working days after receiving complete documents.

  1. Freeze the project boundary. Confirm whether the Thai work is 10.2, a sector-specific activity, or a combination requiring separate applications. Identify revenue sources and excluded services.
  2. Build the proof set. Reconcile researcher profiles, new-hire salary or eligible capital, process, equipment, collaborations, premises, and the three-year funding model.
  3. Submit through e-Investment. Complete the activity-specific form and supporting documents. Arrange the clarification meeting and retain the submission record and questions.
  4. Accept the resolution on time. BOI’s Guide gives one month after notification to confirm acceptance through the Promotion Certificate System. Track this separately from the certificate application.
  5. Complete the certificate file. Submit the certificate form and current company certificate, shareholder list, utility and labor requirements, foreign-fund evidence when applicable, and activity-specific material within the stated six-month window.
  6. Clear conditional operating approvals. Complete site, factory, substance, product, ethics, and other triggered permits before the corresponding regulated work starts.
  7. Commission against the approved project. Match the installed equipment, hires, services, expenses, imports, and outputs to the certificate and project conditions; keep proof for BOI monitoring and tax use.

These are BOI service targets, not a guaranteed end-to-end opening date. The clock for R&D design, company formation, translations, landlord approvals, ethics review, FDA review, and controlled substances is separate. Do not build a launch date by adding only the BOI review window to the fit-out period.

There is a separate 2026–2027 integrated-relocation measure worth checking only if the project also includes an eligible manufacturing investment and an IBC. The current BOI measure is open for applications from the first working day of 2026 through the last working day of 2027; the manufacturing + IBC + R&D combination can add five years of CIT exemption, subject to the measure’s conditions and an overall maximum of eight years. It is not an extra five-year benefit for a standalone R&D center. The updated conditions appear on the BOI’s integrated relocation measure page ; review the Thai announcement and current BOI confirmation before relying on the window.

Choose the Thailand R&D center route

Use activity 10.2 when the Thai project will genuinely conduct basic or applied research, pilot development, or demonstration development and can document the researcher capability and one of its two project thresholds. If the primary deliverable is a paid test report, engineering plan, clinical research service, or commercial manufacturing output, screen the specific activity and operating permissions before presenting the operation as a generic R&D center.

Before committing to a long lease or importing equipment, put four items on one page: the BOI activity and project scope; the salary or capital route and its proof; the operational approval triggers for the planned workbench; and the entity, site, and launch sequence. Stop for a specialist authority review if the project will use controlled chemicals, trial products, human subjects, pilot-scale production, or a process that may fall under factory or local environmental rules. The right completion state is a matching BOI certificate, a registered operator, written evidence for each applicable permission, and a launch plan that starts only the cleared work.

Confirm the permissions before fit-out

Resolve the site, workbench, materials, and study triggers against the approved research scope before equipment arrives or regulated work begins.

Frequently asked questions

What is BOI activity 10.2 in Thailand?

It is the BOI’s Research and Development activity. The 2026 Guide covers basic research, applied research, pilot development, and demonstration development. It asks the project to document its research scope and researchers and to satisfy the new R&D salary or qualifying capital threshold.

What is the minimum investment for a BOI-promoted R&D center?

For activity 10.2, the project needs either annual salary expense of at least THB 1.5 million for newly hired R&D personnel or capital investment of at least THB 1 million, excluding land, working capital, and vehicles. These are project conditions, not a general registered-capital rule.

Does BOI promotion give an R&D center every operating permit?

No. BOI promotion covers the approved project and incentive conditions. Factory classification, hazardous substances, clinical products, ethics review, site works, and other operating requirements must be screened separately based on the planned activity.

Does every laboratory need a factory license?

No. Factory classification depends on the statutory machinery or workforce threshold and a prescribed factory type, with possible rules for research-purpose factories. Confirm the exact process, equipment, site, and applicable ministerial rules with DIW or the responsible local office.

How long does BOI approval take for an R&D project?

The 2026 BOI Guide shows evaluation windows of 40, 60, or 90 working days after complete documents, depending on project value and review route. The certificate is a later step, and company, site, ethics, FDA, and chemical approvals add separate time.
