Sdn Bhd Incorporation Requirements: Shareholders and Directors

Choose the right owners and board members, then document each role before the incorporation application.

A Malaysian Sdn Bhd needs at least one member holding at least one share and at least one qualifying director who ordinarily lives in Malaysia with a principal place of residence there. Shareholders may be individuals or corporate bodies, including foreign investors; directors must be natural persons aged at least 18. Ownership eligibility, the incorporation declarations and a director’s residence are separate checks.

Use the proposed roster to identify which person or entity owns each shareholding, which human accepts each directorship, and who can substantiate the details. SSM’s company requirements and its incorporation FAQs support these distinctions; sector-specific equity conditions still need a separate check.

Key takeaways

  • Choose ownership and board membership separately: adding a Malaysian shareholder does not by itself satisfy the resident-director requirement.
  • A corporate shareholder needs an authorised human representative; the corporate body cannot occupy a director’s seat.
  • Check the capacity to make incorporation declarations before treating an under-18 proposed owner as an ordinary adult subscriber.
  • Prepare one consistent role file, then reconcile names, identification, share numbers, authority and residential details before submission.

Who can be a shareholder?

An individual or a corporate body can be a member of a Sdn Bhd. SSM’s Part C FAQs expressly allow a foreign sole shareholder and incorporation with a single corporate member. A foreign investor’s nationality or overseas address therefore does not, by itself, require a Malaysian co-owner. The person named as a director remains subject to a different test.

For a private company, the usual ceiling is 50 shareholders . Section 42 has specific counting rules: joint holders count as one, and a shareholder who was an employee of the company or its subsidiary when becoming a shareholder is excluded. The company must also restrict share transfers. Use the statutory counting rules when a proposed investor list approaches the limit, rather than simply counting names in a spreadsheet.

Foreign ownership permission also depends on the intended activity. MIDA’s equity policy distinguishes the Companies Act framework from equity conditions attached to particular approvals, operating licences, permits or registrations. Check those conditions before fixing the ownership percentages; a resident director is not a substitute for an applicable local-equity condition.

Age: ownership and signing are different questions

The 18-year director rule should not be copied into a blanket statement about every possible shareholder. However, SSM’s published section 14 registration template includes an age-18 declaration for a promoter/director. A proposed minor’s capacity to subscribe, make declarations or act through a suitable arrangement therefore needs specific legal assessment before filing. Do not assume that eligibility to hold an interest settles who can sign the incorporation application.

Confirm the subscriber’s exact legal identity, share number and class, amount agreed to be taken up, and the authority of anyone signing for a corporate investor. A trading name or the name of a parent group is not enough to identify the particular legal entity that will appear as the member.

Check the proposed ownership first

Clarify which individuals or corporate entities will subscribe, and flag any capacity or sector-equity question before signing.

Which directors meet the legal tests?

Test each director for age, capacity and disqualification , and identify which director satisfies the Malaysian residence minimum. SSM’s director responsibilities booklet explains the natural-person and age-18 requirements, written consent to appointment, and the declaration under section 201. A corporate shareholder must nominate a qualifying human if it also wants representation on the board.

A Malaysian passport alone does not prove that a director ordinarily resides in Malaysia. Conversely, the residence test is not a requirement for Malaysian citizenship. SSM’s residence clarification says it applies to the statutory minimum number of directors: one for a private company. Additional directors may live overseas, provided the company retains the qualifying resident director and each appointee meets the other requirements.

Record the actual principal place of residence and the factual basis for ordinary residence. A registered-office address, mailing service or occasional visit cannot simply be substituted for that assessment. Ask what evidence supports the declared residential position, particularly where a Malaysian founder lives overseas or a foreign founder divides time between countries.

Disqualification review should address undischarged bankruptcy, the specified conviction categories and court disqualification under sections 198 and 199. Avoid the overbroad claim that any past conviction is a permanent ban: the relevant ground, statutory period and any permitted leave must be examined. Disclose a possible issue before signing a declaration, so the proposed appointment can be assessed accurately.

A director accepts a legal office with responsibilities, not merely permission to lend an address. Share ownership, board appointment and authority to sign for a corporate shareholder should each have their own recorded basis. The two evidence lanes below keep those decisions separate until the roster is reconciled.

Two evidence lanes for a proposed company roster Separate shareholder identity and authority from director qualification, then reconcile both evidence files before filing. Proposed company roster Reconciled role evidence Shareholder: person or company Director: natural person Identity and signing authority Age, residence and consent
Ownership evidence and director evidence answer different questions, even when one individual holds both roles.

Build a role-specific evidence file

Organise documents by the fact they prove, rather than collecting a single undifferentiated passport pack. The following is a preparation map, not a claim that every item is a compulsory SSM upload. The published registration particulars distinguish members from directors; supporting verification depends on the role, the applicant and the facts.

Role to establish Evidence to prepare Question it should resolve
Individual shareholder Identity document, matching personal details and agreed share subscription particulars. Who is the member, and exactly what shares will that member take?
Corporate shareholder Registry or incorporation evidence; relevant constitutional powers; authority letter or resolution; representative’s identity. Does the entity exist, and can this human commit it to the investment?
Proposed director Identity and birth details; residential information and supporting facts; written consent and required declaration. Is this person eligible, willing to act, and, if counted toward the minimum, ordinarily resident in Malaysia?
Ultimate human owner or controller Ownership chart and supporting records through corporate layers; information about control rights. Which natural persons ultimately own or control the company?

For corporate investors, SSM’s secretary due-diligence guidance covers proof of existence, business and registered addresses, ownership details and the representative’s authority. A board resolution and the signatory’s passport answer different questions; neither replaces the other. Ask the handling professional which reliable documents, certification or translation are necessary for the particular jurisdiction before commissioning them.

A clear role file also makes the identity checks behind the incorporation documents easier to resolve, especially when an overseas company is the subscriber. Mark requests as incorporation particulars, statutory declarations or due-diligence evidence, so a service provider’s verification requirement is not confused with a universal company-law attachment.

Trace ultimate human ownership and control beyond any corporate member. Under SSM’s beneficial ownership framework , a beneficial owner is a natural person, and effective control can matter alongside share ownership. A parent company’s name alone does not finish that analysis; record the chain and the basis for any control rights.

Where an individual is both shareholder and director, keep one consistent identity record but retain the distinct subscription decision and director consent. Where someone signs for a corporate shareholder and also joins the board, record both the corporate authorisation and that person’s own appointment. This prevents a valid signature in one capacity being mistaken for approval in another.

Resolve the missing proof

Bring the corporate authorisation, residence facts or ownership chain that still needs to be reconciled with the proposed roster.

Use the roster to catch filing gaps

Run these checks against the proposed roster before anyone confirms the final particulars. Each unresolved item should have a named owner and a document or decision that will close it; a blank field should never be “solved” with an unverified assumption.

Mismatch found Action before filing Evidence that closes the gap
Only proposed director actually lives overseas Identify a qualifying resident director or substantiate the actual residence facts. Do not change shareholders merely to repair this gap. A supported residence position and consent from the person counted toward the minimum.
Corporate member is named, but a representative signs without authority Verify the legal entity and obtain valid authority for this investment and signatory. Authority that matches the entity name, investment and human representative.
Share schedule, ownership chart and identity records disagree Resolve the underlying identity or ownership discrepancy, then update all affected records together. A single consistent roster, subscription schedule and ownership explanation.
Promoter cannot truthfully make the published age declaration Pause the ordinary incorporation route and assess legal capacity and an appropriate arrangement. A lawful, documented structure and an eligible declarant; no false declaration.

Compare spelling, passport or registration numbers and the capacity in which every person signs. For a corporate shareholder, distinguish its registered address from the director’s home address. Check the share numbers and classes as well as percentages: the names may match while the economic arrangement still differs.

The approved ownership and board roster becomes part of the underlying company formation in Malaysia ; record both roles before moving to the incorporation submission. SSM’s current incorporation guideline directs applications through CRS accessed from SSM4U. The roster check is a readiness task, not evidence that the company has already been incorporated.

Approve the shareholder and director roster

Approve the roster when each shareholder is precisely identified, each corporate signature is authorised, every director’s eligibility and consent are supported, and the statutory resident-director minimum is met. The ownership and control explanation should agree with the share subscription details. Keep the evidence alongside the final particulars accepted by the people involved.

Hold the submission where age or signing capacity, disqualification, residence or corporate authority remains unresolved. Resolve the specific defect first, then let the applicant confirm the current filing requirements. A complete personnel file supports incorporation; it does not itself establish that an activity-specific equity condition or operating approval has been satisfied.

Prepare the confirmed roster for filing

Use the agreed shareholder and director details to identify the remaining incorporation documents and responsible signatories.

Frequently asked questions

Can the company secretary also be treated as the resident director?

Only a separate, valid director appointment can establish that role. Appointing a secretary does not automatically put that person on the board. Check director eligibility and consent independently, even where a professional holds more than one office.

Does appointing a resident director require giving that person shares?

Do not assume a service arrangement requires an ownership transfer. Separate the proposed directorship from any proposed shareholding and review the company’s constitution and agreed terms before accepting either arrangement.

Must every foreign shareholder document be notarised?

There is no single document-certification prescription established by this role map. Ask which verification standard applies to the particular document and jurisdiction before ordering notarisation or translation; retain the original identity and authority trail.

Can I use a brand name as the corporate shareholder’s name?

Use the exact registered legal entity, with its registration details. If the brand and entity names differ, explain the connection in the file. A group chart should identify the particular entity subscribing, rather than only the group label.

When should the people named in the application review the roster?

Before the applicant submits it. Ask each person to confirm their own details and capacity, and ask the authorised corporate representative to confirm the entity’s subscription particulars. Correct the shared source record before copying details into the filing.
