Series LLC in Alabama: Formation and Requirements

Connect the parent filing to the agreement and records that support each series’ asset boundary.

To form a series LLC in Alabama, design the series arrangement, file the parent LLC with the required public notice, establish the series through the company agreement, and maintain separate asset records. Alabama permits designated series within one LLC, but internal liability segregation depends on all statutory conditions being satisfied. It is not automatic protection for every obligation or every jurisdiction.

Begin with the assets, members and operating locations each series will involve. Have Alabama counsel align the certificate and agreement before funding the structure; confirm tax accounts, banking and operating permissions separately.

Key takeaways

  • Alabama’s Article 11 uses designated series of assets within an LLC; each series is not automatically another separately formed LLC.
  • The liability conditions require separate asset records, an agreement statement and a public certificate statement.
  • The parent notice can be filed before any particular series is established.
  • Keep the parent filing and each private series creation record as distinct evidence.
  • Check operating authorities and other states before assuming the Alabama structure will meet their requirements.

Assess whether series administration fits

Discuss the intended assets, members and operating locations before choosing the Alabama structure.

What an Alabama series LLC can separate

An Alabama series LLC uses one limited liability company with designated series of assets. It can distinguish property, obligations, profits or investment objectives within that company. It should not be described as a collection of separately incorporated subsidiaries. Under section 10A-5A-11.01 , the company agreement establishes, or provides for establishing, the series, subject to the statutory conditions.

The distinction has practical value when a founder wants separately identified projects or assets under one governance framework. Alabama also gives a properly established series power in its own name to contract, hold and convey property, grant security interests, and bring or defend proceedings. Those powers appear in the statute on LLC and series powers ; they do not mean every bank, lender or permit issuer will handle the structure in the same way.

The key decision is whether the business can sustain separate asset evidence for each series. If the owners intend to use one undifferentiated pool of funds and cannot explain which series owns each asset, a series label will not solve that administration problem. Compare separate LLCs with Alabama counsel before selecting the structure solely to reduce filing costs.

Prove the three conditions behind liability separation

Liability segregation is conditional. Section 10A-5A-11.02 confines a series obligation to that series’ assets, and protects those assets from obligations of the LLC generally or another series, only when all three listed conditions are satisfied. The certificate checkbox alone does not establish every condition for liability separation.

The series boundary dossier

Use this matrix to connect each legal condition to evidence the owners can retain and maintain. The suggested evidence is an operating aid; the statute determines whether the condition is met.

Statutory condition Evidence to organize Ongoing control
Records account for each series’ assets separately from the LLC’s other assets and other series. An identifiable asset register, accounting allocations and supporting transaction records. Reconcile acquisitions, transfers, disposals and shared costs to the correct series.
The company agreement states the effect of the statutory liability limitations. The operative agreement and properly approved amendments or series schedules. Review the wording when adding a series, member, financing arrangement or investment objective.
The certificate states that the LLC may have series of assets subject to the liability limitations. The accepted formation certificate, including any filed attachment containing the notice. Check the accepted public record; address a missing or inconsistent notice before relying on it.

Separate records do not necessarily mean that every asset must be titled directly in a series’ name. Section 10A-5A-11.03 permits direct or indirect holding, including in the series’ or LLC’s name. It accepts records that objectively identify the assets through a listing, category, quantity or an appropriate allocation method. Have counsel and the accountant connect legal title, the agreement and the records before transferring property.

A structure illustration, not an unconditional shield: certificate notice, agreement wording and separate asset records must work together.

Treat separate banking, invoices and contract identifiers as practical controls to discuss with advisers, rather than substituting them for the statutory test. Review any guarantee, cross-collateral provision or shared-service contract individually. The intended internal boundary should be considered alongside the obligations the parties actually sign.

Form the parent, then establish each series

Form the Alabama LLC through the Secretary of State, then establish and document the intended series under its agreement. Distinguish the public filing from the private series arrangements. The SOS LLC instructions require a reserved name before domestic formation and list the US$200 formation charge.

  1. Define the proposed series. Identify each purpose, initial assets, members associated with it and authorized decision-makers. Agree how new series will be approved and recorded. A property portfolio, for example, needs a deliberate allocation of each property and its related financing rather than a list of informal project names.
  2. Reserve the parent LLC name. Use an accepted LLC ending and retain the reservation certificate for the exact proposed name. The official domestic reservation form specifies a one-time US$25 paper processing fee; its online non-subscriber reference is US$28. Use the fee for the channel actually selected.
  3. Prepare the current Certificate of Formation. The SOS formation form calls for one registered agent, an Alabama registered-office street address, the county, and a statement that at least one member exists. Complete the applicable Series LLC designation. Have Alabama counsel ensure that the filed certificate contains the required liability notice, using an attachment if needed.
  4. Submit and retain the public filing. For the paper route, follow the form’s two-copy instruction and include the required payment and return envelope. It must be typed and is not accepted by email. Retain the accepted certificate and any attachment together; a payment receipt alone does not show the content of the filed notice.
  5. Put the company agreement into effect and establish the series. Record the liability statement, the permitted establishment mechanism and the actual approval or schedule creating each series. Set out its asset allocation, associated members, authority, contributions and distributions. Do not assume the parent filing automatically creates every project contemplated by the founders.
  6. Implement the asset records before using the structure. Reconcile the creation record with title documents, opening balances, banking arrangements and proposed contracts. Assign a person to preserve each series’ evidence and to flag transactions that cross the intended boundary.

For a new domestic LLC using paper forms and check or money-order payments, the stated government processing subtotal is US$25 + US$200 = US$225, verified October 19, 2026. It excludes postage, card or online surcharges, professional drafting, commercial-agent services, taxes, asset-transfer expenses and operating permissions. It is not a complete series-structure budget or an HSJGlobal quotation.

The public notice may precede the first actual series. Section 10A-5A-11.04 makes it sufficient even if no series yet exists and even if it does not identify a specific series. That flexibility reinforces the need to keep a separate private record showing what was actually established and when. Review the parent and series documents together

Bring the proposed certificate notice, agreement mechanism and initial asset allocations into one scope discussion.

Keep each series’ evidence usable in daily transactions

A usable series structure needs repeatable transaction controls after formation. Objectively identifiable assets are the statutory focus. Create an asset trail that a new accountant or adviser can follow without relying on the founder’s memory. The following controls are recommendations for making that trail workable, rather than additional SOS filing requirements.

Test one transaction from agreement to ledger

Before a series buys equipment, trace the proposed purchase through its establishment record, approval, contract, payment and asset register. Check which legal person or series is named, who signs, where the purchase money originates, and where the resulting obligation is recorded. If money moves between series, document the basis and accounting treatment instead of treating the transfer as an unexplained balancing entry.

For shared administration, agree the allocation method before recurring expenses arrive. An invoice covering several properties needs an understandable division supported by the records. Keep the relevant calculation and underlying invoice. Ask the accountant to reconcile the allocations periodically and to raise discrepancies with the person responsible for the agreement.

Keep governance changes equally explicit. Section 11.01 links association with a series to the agreement, an applicable statutory transaction, or consent of all associated members. A new investor’s payment should therefore lead to the correct admission and association records, with management and economic rights checked separately. Do not let a bookkeeping entry become the only evidence of the ownership arrangement.

Test tax, permits and other-state requirements

An Alabama series structure does not settle the tax, operating-permission or out-of-state questions. Review these against each series’ actual activity and location before assets or contracts become difficult to move. An overseas owner should also distinguish creating a domestic Alabama LLC from registering an entity already formed under another jurisdiction’s law.

The IRS overview of LLC classification distinguishes corporate, partnership and disregarded-entity treatment according to the applicable facts and elections. That general explanation is not a series-specific tax ruling. Obtain a written plan for the parent and intended series covering federal and Alabama filings, taxpayer identifiers, employment obligations where relevant, and foreign-owner reporting. Do not promise one return or one identification number merely because there is one parent certificate.

For operating permissions, Alabama Revenue’s privilege-license guidance directs businesses carrying on covered activities to the county Probate Judge or License Commissioner and tells them to confirm requirements with each relevant city. Ask which holder must appear on each license, tax account or premises record. Add sector, product or professional approvals where the activity triggers them; a series’ statutory power to contract is not regulatory approval.

For another state, confirm foreign qualification, tax treatment and acceptance of the series arrangement separately. California’s official series LLC guidance illustrates the issue: California does not permit domestic formation of a series LLC and requires an out-of-state series LLC to register before doing business there. Its administrative treatment does not establish universal recognition of Alabama’s liability boundaries. Obtain advice in the receiving jurisdiction before relying on those boundaries.

Make the series decision before committing assets

Proceed when the series design has a commercial purpose and the owners can operate the required records consistently. Choose the structure before moving assets. A lower parent filing count is only one consideration; agreement drafting, financing acceptance, tax work and ongoing allocation controls may determine whether the arrangement is practical.

Give Alabama counsel a proposed asset-and-obligation schedule, member map, draft contracts and list of operating jurisdictions. Ask for confirmation of the certificate notice, agreement statement, establishment mechanism and asset-record method. Give the accountant the same map so the legal and accounting descriptions stay aligned. Where a bank, insurer, lender or licensing authority is essential, obtain its requirements before committing to the structure.

If the records or receiving-jurisdiction position remain unresolved, compare a simpler LLC or separate entities before funding the series. HSJGlobal’s US company registration and formation support describes the broader setup scope; define any specialist legal and tax advice separately. Series LLC formation in Alabama is complete as a business decision only when the public notice, private governance and ongoing evidence fit the intended use.

Frequently asked questions

Should an existing ordinary LLC just begin calling projects series?

No. Have Alabama counsel review the accepted certificate, agreement and records before changing how the business holds itself out. An informal project label does not demonstrate compliance with the statutory conditions.

Is a series designation a substitute for a contract review?

No. Ask who is obligated under each contract and whether a guarantee, lien or other provision reaches additional assets. The entity structure does not remove the need to understand the terms signed.

Can I promise a lender that every series has the same credit profile?

Treat underwriting as a separate commercial review. Supply the requested ownership, asset and obligation records and obtain the lender’s actual terms. A common parent does not establish that the lender will treat every proposed borrower alike.

What should an overseas founder send an adviser first?

Start with the owner and controller map, each proposed series’ purpose, asset locations, expected payment flows and operating jurisdictions. The adviser can then identify relevant identity evidence and specialist filings without treating a generic passport checklist as the series-law test.
