Corporate investor preparation

Setting Up a Vietnam Company with an Overseas Corporate Shareholder

Turn overseas company records into a consistent Vietnam formation dossier.

An overseas company can invest in a new Vietnam company, subject to the market-access rules for its planned activities. The corporate route adds a document task: prove which overseas entity is investing, who can act for it and which individuals ultimately own or control the structure. Resolve those questions before authenticating and translating documents; otherwise a change of investor can force the paperwork to be rebuilt.

Key takeaways

  • Choose the actual subscribing legal entity within the group; a group brand does not identify the investor.
  • Check activities and ownership conditions before approving the capital commitment, so the corporate resolution matches an available route.
  • Treat public-document authentication and Vietnamese translation as different checks; the September 2026 Apostille change is conditional.
  • Separate the overseas company’s representative, the Vietnam company’s legal representative and the person submitting the application.
  • Retain a controlled evidence pack for subsequent investment and bank work; an Enterprise Registration Certificate does not complete those workstreams.

Fix the investing entity before collecting documents

Start with the precise overseas legal entity that will commit the investment. Record its registered name, home jurisdiction, registration number and registered office from the same source record. Where a group has a holding company, trading company and regional subsidiary, select one deliberately. Using whichever incorporation certificate is easiest to obtain can put the wrong group entity into the Vietnam ownership structure.

A company established under foreign law is a foreign investor under the 2025 Law on Investment . Article 8 makes market access dependent on the activity and relevant conditions, which can include ownership, investment form, scope, capacity and partners. Match the proposed services or products to those conditions before deciding whether the overseas company can hold the intended percentage. A foreign corporate investor does not automatically require a Vietnamese co-owner, and corporate status does not override a sector restriction.

Use the correct ownership language. A corporate investor in a one-member limited liability company is its owner; in a multiple-member limited liability company it is a member; in a joint stock company it is a shareholder. These structures have different application and governance arrangements. Article 24 of Decree 168/2025 distinguishes the enterprise dossiers, including the absence of a members list for a one-member company. “Corporate shareholder” should not lead you to select a joint stock company by default.

The company and investment-project routes also need to be fixed early. Article 19 of the investment law allows foreign investors to establish an economic entity before the investment-certificate procedure while satisfying market-access conditions. Article 29 still requires a covered project’s Investment Registration Certificate (IRC), and any applicable investment-policy approval, before project execution. Company-first registration is a sequencing option, not permission to start an unapproved project.

For the corporate investor, place the ownership decision beside the underlying company formation requirements in Vietnam so that the same entity, address, capital and activities carry through the enterprise and project documents. An Enterprise Registration Certificate (ERC) records the company registration; an IRC concerns the investment project. Keep both outputs distinct in the approval plan.

Check the proposed corporate investor

Confirm the subscribing entity, intended ownership and activities before its home-country paperwork is commissioned.

Build a corporate evidence-release worksheet

Create one worksheet before asking the overseas company secretary, legal team or directors for documents. The useful question is not simply whether a certificate exists. It is whether the certificate, authority evidence and Vietnam forms describe the same investor and decision. The worksheet below is a preparation tool, not an additional government form or a claim that every supporting item must be filed.

Evidence item Question to close Release test
Home-register evidence Which legal entity is subscribing? Name, number, jurisdiction and office agree across the source record and Vietnam draft.
Corporate approval Who approved this investment? The competent body under the investor’s own rules approves the chosen entity, commitment and authorised signers.
Representative appointment Who exercises the corporate investor’s rights? The written appointment identifies the person and the scope of the role; identity details match.
Ownership and control record Which people sit behind the investor? Each ownership layer and relevant control right has an identifiable supporting record.
Authentication and translation log How will foreign documents be accepted? The route is checked by issuing jurisdiction and document type; the Vietnamese version is paired with its source.
Vietnam application cross-check Do the records tell one story? Investor identity, contribution, representatives and project assumptions reconcile before signature.

The National Business Registration Portal’s multiple-member LLC checklist identifies the organisational legal document, written appointment of an authorised representative and that representative’s identity document within the corporate-member evidence. It also lists the application, charter, members and beneficial-owner lists where applicable. Use the checklist for the selected entity type; a checklist for one structure does not become a universal list for every company.

Give each worksheet row an owner, source-file reference, issue date, translation status and unresolved question. Keep original-language names visible in your working record alongside the agreed Vietnamese rendering. If a company has changed name, keep the link between old and current names instead of silently replacing one in the draft. This makes the source of an inconsistency traceable.

Internal approvals deserve their own review. A registry extract may establish the investor’s existence without answering whether one director can approve the Vietnam investment alone. Check that question against the overseas company’s constitutional documents, internal delegations and applicable home-country rules. Do not present a board resolution as a universally identical Vietnamese filing requirement: its purpose and required form depend on the decision and evidence involved.

Freeze the investor identity before ordering authentication. The legal entity named in the approval must match the legal entity named in the application. If the group changes its subscribing company after documents have been prepared, mark the old pack superseded and reassess every dependent item rather than changing only the first page.

Choose the authentication route for each overseas document

As checked on October 29, 2026, authentication must account for Vietnam’s Apostille transition. The Ministry of Foreign Affairs consular notice says the Convention applies from September 11, 2026 to covered public documents in relationships where it is in force with Vietnam. An eligible foreign public document can therefore use an Apostille instead of the previous consular legalisation route. Do not assume every overseas document or every Convention member is covered.

The same notice retains consular legalisation for excluded document categories and non-applicable country relationships. It specifically identifies Germany, Austria and the Czech Republic among the non-applicable relationships at the notice date. Previously consular-legalised documents remain usable without being reprocessed solely into Apostille form. An Apostille authenticates origin-related formalities; it does not validate the document’s substantive content.

Review each item individually. A registry-issued certificate and a privately signed corporate resolution may require different preliminary treatment. Record the issuing country or territory, whether the item is a public document, which signature is being authenticated and any exemption relied upon. Obtain the required form for the actual document instead of ordering the same stamp for the entire bundle.

Authentication does not remove the language step. Article 10 of Decree 168/2025 requires a notarised Vietnamese translation accompanying foreign-language documents in the enterprise dossier. Authentication and translation should have separate status fields. Before release, compare numbers, names, dates and signatory capacities in both versions, including the authentication attachment.

The dependency is practical: stabilise the source document first, settle its authentication treatment, then check the complete translated package against the Vietnam forms. Parallel work helps only while it does not create competing versions. The following document path shows where to pause when an item cannot yet be released.

Corporate document release path Confirm the subscribing entity, assemble identity and authority evidence, check the document authentication route, then reconcile the Vietnamese dossier. Missing evidence returns for correction before release. Confirm subscribing entity Identity and authority Ownership and control Check authentication route Resolve evidence gaps Reconcile Vietnamese dossier Release only consistent documents Unresolved item: correct before release
Identity, authority and ownership evidence converge in one reconciled dossier. An unresolved item returns for correction before the corporate file is released.

Reconcile signing authority and beneficial ownership

Make a separate role sheet even if one person will occupy several roles. The corporate investor’s authorised representative exercises the investor’s rights within the appointment. The Vietnam company’s legal representative acts in the company’s own legal capacity. A filing representative submits the registration dossier under a procedural authorisation. A proposed bank signatory is another role to settle with the bank. A familiar director’s passport does not by itself establish all these authorities.

For each signature, write down the document, the person, the capacity and the authority evidence. Check this before circulating the charter. Where several people must sign, nominate one coordinator to collect the complete version and prevent different signature pages being attached to different drafts. Use a version number and keep the signed file with its approved source text.

Beneficial ownership is a separate natural-person enquiry. Article 3 of Decree 296/2026 replaced the criteria: they include direct, indirect or combined ownership of at least 25% of charter capital or voting shares, specified family or joint groups, actual-control tests and a senior-management fallback where the preceding tests identify nobody. Apply the complete criteria and exclusions rather than ending the review at the overseas company’s name or a simple percentage calculation.

Build the ownership record from the immediate investor upward. For every intervening entity, record what establishes the next ownership link and any rights that affect control. Where a record is unavailable, describe the gap precisely: missing shareholder register, unclear voting agreement or unsupported appointment power. An ownership chart is an index to evidence , not a substitute for the records behind it. Avoid naming a convenient manager as the beneficial owner merely because collecting the group documents is difficult.

Reconcile the role sheet, ownership record and worksheet together. If the same person is listed as investor representative and company legal representative, both appointments must still make sense in their own capacity. If the corporate investor changes, reassess the authority and ownership trail as well as the incorporation certificate. This is the final low-cost point to catch a structural mismatch before signatures and submission.

Resolve the overseas evidence gap

Identify the missing authority, ownership record or authentication step before the pack is signed and submitted.

Submit a consistent Vietnam registration dossier

Submit the entity-specific dossier to the provincial Business Registration Agency for the proposed Vietnam head office. The official multiple-member LLC procedure lists a three-working-day review period and written reasons for an invalid dossier or refusal. That period is not an end-to-end setup promise: it excludes overseas evidence preparation and separate investment, banking and operating dependencies. Build the launch schedule around those milestones rather than treating the ERC review clock as the whole project.

Use the latest form from the official procedure for the selected company type. The portal currently identifies Form 3 for a multiple-member LLC under Circular 121/2026/TT-BTC and the corresponding member and beneficial-owner forms. Do not reuse that application for a one-member company or a joint stock company. Recheck the live form before signature rather than relying on an old template stored by the overseas group.

For company-first registration, Article 7 of Decree 296/2026 removes the relevant IRC copy from the enterprise dossier and requires a market-access commitment in the application. Record why the chosen route fits the proposed investment. Do not omit an IRC merely because a generic checklist has been shortened, or assume that enterprise registration resolves the project procedure.

  1. Confirm the filer and access route. The amended online rules use an electronic identification account through the National Public Service Portal or national identification application to access the National Enterprise Registration Information System. Settle access before the intended submission date.
  2. Enter the approved company details. Cross-check the investor’s legal identity, Vietnam name and head office, activities, capital, representatives and ownership information against the released pack. Treat data-entry differences as document discrepancies, not harmless abbreviations.
  3. Complete the applicable signature and upload route. A filer who is the authorised application signatory can use the amended on-system declaration treatment for qualifying single-signature applications. Other required documents still need the prescribed signatures; an authorised filing agent uploads the signed dossier. Pay applicable charges and complete electronic authentication.
  4. Save the electronic receipt and scheduled-result notice. Retain the submitted version and payment evidence together, then use the system account to retrieve the response. A draft saved on a computer is not evidence of submission.
  5. Answer any correction notice as one coordinated change. Map each requested amendment to the affected form, source document and translation. Review the whole corrected pack for consistency before resubmitting, and retain the new receipt.

The access, signing, payment and receipt rules above are in the amended Article 39 . Before filing, agree who will monitor the account and who can obtain fresh overseas signatures if a correction is needed. A time-zone gap becomes avoidable delay when nobody owns the response.

Keep company registration and operating readiness separate

After the ERC is issued, compare the certificate with the approved application and preserve the official output. Article 8 of Decree 168/2025 provides that the enterprise code is also the enterprise’s tax code. Keep it distinct from the overseas investor’s registration number and any investment-project reference. A successful enterprise filing is a specific completion event, not evidence that every operational condition has been satisfied.

Prepare a handover record with separate headings for company establishment, investment-project approvals, capital and banking, activity-specific permissions, and tax/accounting implementation. Under each, name the responsible person, required evidence and next dependency. Mark an item complete only when its own output exists. For a covered project, the investment-law requirements discussed earlier remain relevant even when the ERC came first.

Do not send capital simply because the certificate has arrived. Before remittance, have the applicable capital contribution timetable and account route checked against the selected entity and project; align the sending investor’s identity with the approved ownership. Treat the capital commitment separately from professional charges and document expenses. The capital is funding for the company, not a government registration charge or a service fee.

The corporate pack will also support the overseas parent company setup workstream when group approvals, project records and the new subsidiary’s documents need to align. Keep an accessible copy of the final investor evidence and ownership trail for subsequent due diligence. A bank can make its own acceptance decision; company registration does not guarantee an account or settle the bank’s transaction-access conditions.

Before trading, assign the remaining accounting, tax, electronic-invoicing, licensing and reporting work as applicable to the actual activities. Where a foreign director or representative will work in Vietnam, review work and immigration permission separately from ownership. Keep these checks attached to the operational handover rather than treating an overseas person’s appointment as automatic permission to work or reside.

Release the corporate shareholder file in the right order

Release the overseas corporate shareholder pack in this order: settle the investing entity and activity route; close authority and ownership evidence; complete the applicable authentication and translation; then sign and submit one consistent Vietnam dossier. This order protects against spending money on documents that describe an abandoned ownership plan.

Pause release when a different group company appears across documents, authority to approve or sign is unsupported, the ownership trail ends at an unexplained entity, or the authentication route has been assumed. Resolve the specific defect with its evidence owner. Once the file is consistent, proceed with the selected enterprise route and keep investment and operating milestones separately assigned.

Prepare the corporate file for submission

Bring the agreed ownership plan and available overseas records together for a review of the remaining filing dependencies.

Frequently asked questions

Can a recently formed overseas company be the investor?

Do not infer eligibility from the date of incorporation alone. Check the planned activity’s investor-capacity conditions and the evidence required for the particular project; a certificate of existence answers only part of that enquiry.

Does an Apostille remove the need for a Vietnamese translation?

No. Authentication and the language requirements serve different purposes. Keep the accepted source document, its authentication attachment and the required Vietnamese translation together.

Can the group replace the investor before submission?

A proposed change should trigger a new investor check. Reconcile the approval, representative appointment, ownership evidence and Vietnam forms against the replacement company before signing or submitting.

Does procedural authorisation give the filer management rights?

A filing authorisation concerns submission of the registration procedure. It should not be treated as an appointment to exercise the corporate investor’s ownership rights, manage the Vietnam company or operate its bank accounts.

What should be retained when a correction is requested?

Keep the official notice, the version that produced it, a record of each correction and the resubmitted pack with its receipt. This allows the overseas approval team to see exactly what changed and which signatures remain applicable.
