ANNUAL CORPORATE COMPLIANCE

Singapore Company Annual Filing Requirements: ACRA and IRAS Tasks

Coordinate the company-record and tax workstreams without confusing their deadlines, exemptions or proof of completion.

A Singapore company’s annual compliance cycle uses two clocks: its financial year end drives ACRA deadlines and the early tax estimate, while its Year of Assessment identifies the annual corporate tax return. Filing with one authority does not complete the other authority’s tasks. Start by confirming the accounting period, company category and any evidenced exemption before assigning submission dates.

The calendar below focuses on Singapore-incorporated companies, especially non-listed private companies. A foreign company’s Singapore branch has a separate ACRA reporting route; do not apply the local-company checklist to it simply because it has a Singapore registration number.

Key takeaways

  • One set of accounts feeds several obligations; give each filing its own owner and completion record so a handover does not conceal an unfinished task.
  • ECI can fall due before the accounts are ready for members, so the tax estimate needs an earlier finance-team checkpoint.
  • An AGM exemption changes the meeting route; it does not cancel the annual return or automatically remove financial-statement duties.
  • A dormant label needs separate ACRA and IRAS checks, including evidence of any tax-return waiver actually granted.
  • Treat the annual review as a reconciliation exercise: company records, approved accounts and tax filings should refer to the same underlying period.

Build the annual calendar from FYE and YA

For an ordinary Singapore-incorporated company, the recurring filing set is an ACRA annual return, financial statements where required, and IRAS tax filings comprising ECI and the applicable annual return unless an exemption or waiver applies. The Accounting and Corporate Regulatory Authority (ACRA) maintains company information; the Inland Revenue Authority of Singapore (IRAS) administers tax. The two submissions serve different purposes.

Use this standard calendar for a non-listed company with a 31 December 2025 financial year end (FYE), no overseas branch register and an ordinary 12-month accounting period. The tax return is for Year of Assessment (YA) 2026. These dates illustrate deadline calculations, not a claim that the company has filed.

Task Deadline basis Example date Owner to assign
IRAS Estimated Chargeable Income (ECI), unless waived Within 3 months after FYE 31 March 2026 Finance/tax preparer and authorised filer
Send accounts to members, if relying on this private-company AGM exemption Within 5 months after FYE 31 May 2026 Board and company secretary
Annual general meeting (AGM), unless exempt or dispensed with Within 6 months after FYE 30 June 2026 Board and company secretary
ACRA annual return Within 7 months after FYE 31 July 2026 Director, secretary or appointed filing provider
IRAS annual Corporate Income Tax Return: ordinary portal route YA 2026 filing deadline 30 November 2026 Tax approver

The bases above follow IRAS’s ECI rules , ACRA’s meeting requirements , ACRA’s annual-return deadlines and the YA 2026 filing notice . They are current as checked on 3 November 2026. Listed companies generally have earlier AGM and annual-return deadlines; the annual return is generally due within five months, or six with share capital and an overseas branch register. The corresponding non-listed exception is eight months.

Keep the actual accounting-period start and end beside the YA. A changed FYE or an unusual first accounting period needs individual mapping rather than copying this example. For the tax side of that mapping, matching ECI and annual tax filing dates helps distinguish the estimate from the later return.

As of 3 November 2026, most dates in this example have passed. If using it to check an existing company, mark each row with its submission evidence before focusing only on the approaching November return. An incomplete earlier row remains a separate issue.

Check which deadlines belong to your company

Bring the FYE, company category and last filing records to identify the annual tasks that still need an owner.

Resolve the accounts and AGM branches before Bizfile

Decide separately whether accounts must be prepared, whether an audit is needed, whether accounts must be filed with ACRA, and how members receive or consider them. A filing exemption is not a blanket accounting exemption. Record a reason for each decision rather than placing one ‘exempt’ label across the whole file.

Under ACRA’s financial-statement filing rules , a solvent exempt private company (EPC) need not file its statements. An ordinary EPC has fewer than 20 members and no corporate beneficial interest in its shares, directly or indirectly; solvency means being able to meet debts when due. A dormant relevant company must satisfy all applicable section 201A conditions to avoid preparation and filing. Audit exemption requires its own assessment.

For companies that must file, the required format depends on category. Smaller, non-publicly accountable companies use Simplified XBRL plus a PDF; other ordinary companies required to file use Full XBRL. The smaller-company test requires both revenue and assets not exceeding S$500,000, using the prescribed assessment basis. Banks, insurers and other special categories require their own route. ACRA’s current guidance includes the financial-reporting taxonomy applicable from 19 October 2026; do not assume an old upload file remains suitable.

A private company can qualify for an AGM exemption by sending financial statements to all members within five months after FYE. Alternatively, all members can resolve to dispense with AGMs. ACRA also describes a dormant-company exemption with specified conditions. Members retain rights to request meetings, so the secretary should check requests before recording the selected route. The official AGM safeguards explain the notice and response periods.

For internal control, keep the approved accounts, the audit conclusion where applicable, evidence of circulation, meeting minutes or the relevant resolution, and the basis for any exemption together. If circulation is the chosen exemption route, an unsigned draft in a shared folder does not demonstrate that members received the statements. Confirm recipients and the actual sending date.

At formation, the FYE and company records provide the starting data for later annual work. The underlying Singapore company registration requirements concern establishing the entity; incorporation itself does not complete a subsequent reporting year. A finance handover should therefore include those records and a separate schedule of recurring obligations.

The accounts decision and tax decision now split into distinct submission tracks. The diagram shows where they reconnect: the year can be closed internally only after both tracks have an evidenced outcome.

One accounting period, two annual filing tracks Confirm the reporting period, then use separate ACRA and IRAS tracks. ACRA needs the accounts and meeting route before the annual return. IRAS needs an ECI decision and annual tax-return decision. Keep separate evidence before closing the year. Confirm FYE, period and YA Assign each task an owner ACRA: accounts decision and AGM route IRAS: ECI filing or evidenced waiver Annual return and required statements Annual tax return or granted waiver Reconcile acknowledgements and decisions Track tax payment separately
The ACRA return and the IRAS returns share financial information, but each track needs its own completion evidence.

Submit the ACRA annual return with a checked evidence pack

ACRA requires a return while the local company remains live, including when it is inactive or has an IRAS waiver. Company officers or a corporate service provider (CSP) may file. Follow the current Bizfile filing instructions rather than using the tax portal for this task.

  1. Reconcile the registered details, ownership and officers against the company records; correct outdated information before proceeding.
  2. Log in to Bizfile as a Business User through Corppass and open ‘File annual returns’. Check the company category and financial period.
  3. Complete the declarations and AGM details, identify signing directors, and select the required accounts. Validate applicable XBRL before selecting it.
  4. Review the declaration, submit and pay the S$60 ACRA filing fee. This is the government transaction charge per return, separate from any professional work.
  5. Save the transaction record and free electronic Business Profile; its download expires after 60 days.

Use one approved version of the accounts as the reference for the filing pack. The person converting the figures into XBRL should identify the exact signed version, not choose a similarly named spreadsheet. Keep the conversion record with the source accounts so a director can trace a reported figure back to its approved statement.

A useful internal handover names three people or roles: who prepared the accounts, who approved the corporate declarations, and who submitted the return. They can be the same person where appropriate, but the handover should still distinguish those actions. A payment request or instruction to a provider is not the same evidence as the resulting filing record.

Choose the IRAS route without importing ACRA exemptions

Estimated Chargeable Income (ECI) is the earlier estimate of taxable profits. The ordinary ECI waiver requires both revenue of S$5 million or less and nil ECI , with ECI measured before the relevant tax-exemption deduction. It is self-assessed; a ‘Ready to File’ status alone does not remove an otherwise valid waiver. File ECI through myTax Portal where required; the filer needs the appropriate Corppass Approver authority. The ECI guidance also explains using management accounts when audited figures are unavailable.

For the later actual-income return, use the IRAS form eligibility rules . Revenue by itself does not determine eligibility: a small company claiming group relief, for example, cannot simply choose the shortest form.

Return route Eligibility decision Document consequence
Form C-S Singapore-incorporated; annual revenue at most S$5 million; qualifying income conditions; no disallowed claims Prepare accounts and tax computation; do not submit them routinely, but retain them for requests.
Form C-S (Lite) Must meet Form C-S conditions and have revenue at most S$200,000 Same preparation obligation despite fewer return fields.
Form C Use when the simplified routes are unavailable Submit financial statements, tax computation and supporting documents.
Form for Dormant Company No business and no income throughout the relevant basis period; no granted filing waiver Use the dormant digital service rather than assuming silence completes the year.

Form C-S excludes carry-back of current-year capital allowances or losses, group relief, investment allowance, and foreign tax credit or tax deducted at source. Its 17% income condition has specified exceptions for one-tier Singapore dividends and qualifying exempt foreign-sourced income. Check those exceptions before declaring eligibility.

For an ordinary portal submission, arrange the appropriate Corporate Tax Corppass Approver authority, open the required return in myTax Portal and confirm the YA. Complete the selected form against the reviewed tax workpaper, submit the required attachments, then save the resulting filing record. Check the portal’s filing status after submission; do not leave an unsubmitted draft as the evidence of completion.

The standard YA 2026 return date is 30 November 2026. IRAS provides a limited concession to 15 December for Form C-S filed through qualifying accounting software for YA 2023–2027; it does not extend every portal filing. Check the software filing conditions if relying on that route. Set the internal review date earlier so a software or eligibility problem does not consume the remaining time.

IRAS treats a company as dormant only if it did no business and earned no income for the whole basis period. A loss-making trader is therefore different from a dormant company. An application for a dormant-company filing waiver is also different from an approval. The waiver conditions address filings up to cessation, investment income, prior GST deregistration where relevant, and no intention to resume business within two years.

Keep two separate tax decisions in the workpaper: the ECI outcome and the annual-return outcome. Show the figures and evidence supporting each. If the ledger contains bank interest, rental receipts or late income after trading stopped, identify it before using a dormant return. That review is more useful than relying on the company’s informal description as ‘inactive’.

Resolve an exemption or form mismatch

An EPC status, nil estimate and dormant tax waiver answer different questions. Review the evidence before removing a task from the calendar.

Run annual register checks and isolate event-driven duties

An annual return is a useful checkpoint for company records, but it should not become the date on which all changes are first reported. The company’s Register of Registrable Controllers (RORC) has a separate annual verification task. Where the regime applies, send each controller a notice at least once a year and allow 30 days to respond; there is no universal FYE-based sending date. Follow ACRA’s controller-verification instructions for changes or non-responses.

Record the sending date, response deadline, confirmed particulars and follow-up outcome. A shareholder’s appearance on the Business Profile does not replace controller verification. If the notice produces a change, assess the private register and central filing actions separately; an unanswered email should remain an open item rather than a presumed confirmation.

As a planning control, add a short ‘outside this annual pack’ register beside the filing calendar. Ask the secretary and finance lead to identify any changes to officers, address, shares, controllers or nominee arrangements requiring separate action. Check the Register of Nominee Directors (ROND) and Register of Nominee Shareholders (RONS) where applicable. The annual-return pre-filing checks expressly include the controller and nominee registers.

Also assign separate checks for Goods and Services Tax (GST), withholding tax, employer and CPF reporting, work passes and licence renewals if the company’s activities trigger them. These are not cleared by filing an annual corporate return. The practical objective is to identify the owner and the relevant reporting cycle, without treating every company as subject to every regime.

For an overseas-owned local subsidiary, ask both the Singapore team and the parent’s finance team to confirm who supplies the accounts and who authorises each local filing. Group reporting delivery dates can differ from Singapore filing dates. Put the local evidence requirements in the handover instead of assuming the parent’s year-end pack contains every declaration needed here.

Reconcile submissions and repair missed or wrong filings

Use the following close-out matrix as an internal control. Its evidence column identifies what should be in the company’s file; it does not suggest that an internal tick changes a statutory deadline or guarantees that an authority has accepted the underlying tax treatment.

Open issue Evidence to obtain Action before closing the item
Return assigned to a provider, but no result received Submitted copy, transaction reference and recorded period Ask the filer to reconcile the instruction against the actual submission.
An exemption removed a calendar row Dated eligibility workpaper or the actual waiver approval Check which specific obligation the evidence covers.
ACRA and tax packs show different periods or figures Approved accounts and a reconciliation of differences Explain tax adjustments and timing; investigate unexplained mismatches.
A tax return was submitted, but the year is marked fully settled Filing record, assessment and payment record where applicable Track filing, assessment and payment as separate states.
Several financial years remain unfiled A period-by-period list of outstanding work Resolve the backlog in the authority’s required sequence.

For overdue ACRA returns covering multiple years, ACRA directs companies to file the overdue returns first. Do not disguise the gap by uploading only the latest year. If a deadline is still ahead but cannot be met, check the relevant extension route before the deadline; an application should not be treated as an approval.

For tax, directors remain responsible for timely, accurate filing even when an agent is engaged. The 2026 IRAS instructions explain checking filing status, revising a return and objecting to an assessment. They specify a two-month period from the Notice of Assessment for revision or objection; tax generally remains payable within one month of that notice despite a dispute. An approved instalment arrangement needs its own payment schedule.

If ECI was required but omitted, IRAS may raise an estimated assessment. Match any notice to the period and respond through the relevant channel rather than assuming the later annual tax return erased the omission. The ECI non-filing guidance describes the assessment consequences. ACRA and IRAS non-compliance can attract enforcement; correcting the return and addressing an assessment or penalty are separate pieces of work.

For practical escalation, tell the responsible director exactly what is missing: the period, portal task, evidence gap, deadline and proposed repair. ‘Compliance pending’ is too broad to allocate work. Keep the item open until the person reviewing the file can identify either the completed filing or the specific rule and evidence that removed it.

Close the annual filing cycle with a reconciled record

Treat the annual cycle as complete internally when each required ACRA and IRAS task has a submitted record, or a documented and correctly scoped reason why it was unnecessary. The working file should connect the company’s identity, reporting period, accounts version, approval route and tax YA without unexplained gaps.

Prioritise the earliest unresolved deadline, then the accounts and eligibility decisions that block the remaining submissions. Leave assessment responses and tax payments visible after filing. Where the records disagree, obtain clarification before marking the year closed; a current Business Profile and a tax payment each prove only part of the company’s annual work.

Organise the outstanding annual work

Use your period-by-period calendar and evidence gaps to define the remaining corporate and tax tasks for review.

Frequently asked questions

Can a company with an IRAS waiver stop filing with ACRA?

No. A live local company still has its ACRA annual-return obligation. Keep the tax waiver with the tax records and assess the corporate return independently; the waiver is not evidence that ACRA has closed or removed the company.

Are financial statements filed with ACRA confidential?

Financial statements filed as part of the annual return are available for public purchase. Before submitting them, make sure the filing pack contains the required approved documents rather than internal working papers added simply for convenience.

Who should retain the records when the company changes filing providers?

Keep a company-controlled copy of the filing history, submitted accounts, tax workpapers and decisions. Ask the outgoing provider to identify unfinished periods and missing evidence explicitly, so the incoming team does not mistake a paid invoice for a completed submission.

What if a dormant company starts receiving income after a tax waiver?

Notify IRAS within one month of recommencing business or starting to receive income, using the Recommencement of Business process to request the relevant return. Preserve the commencement or income date so the tax team can establish the reporting period.

Can we reuse last year’s return and change only the year?

Use prior data as a starting point, then reconcile the current period, ownership, company particulars, meeting route and tax eligibility. A change in business activity, claims or financial position may change the correct declarations even when the company name is unchanged.
