Small-business structure selection
Small Business Registration in Malaysia: Requirements and Options
Choose a form that your owners can use and your business can afford to maintain.
A small business in Malaysia does not have one universal registration form. Eligible citizens and permanent residents may use SSM’s sole-proprietor or ordinary-partnership route; an LLP and a Sdn. Bhd. are separate options with their own roles and obligations. Business size alone does not determine which route you can use.
Start with the owners’ eligibility and liability exposure, then compare governance, official filing costs and continuing administration. SSM registration establishes the relevant business or entity record; sector and local operating approvals remain additional checks.
Key takeaways
- The sole-proprietor route needs an eligible individual; it is not a general low-cost route for every foreign founder.
- Two founders should decide whether they need ordinary partnership or LLP arrangements before applying.
- Limited liability changes the legal structure, but personal guarantees and individual misconduct still need separate attention.
- Official fees are a small part of the decision and exclude professional services, premises and operational funding.
- A registration output and a permission to operate should have different completion checks.
Eliminate structures the owners cannot use
The current SSM EzBiz eligibility rules require business owners to be Malaysian citizens or permanent residents aged at least 18. All owners or partners must establish and verify their accounts. For an ordinary partnership, check each person individually. One qualifying owner cannot simply lend eligibility to another person who will actually own the business.
Confirm geography as well. The business-registration guidance describes the Registration of Businesses Act route for business operating in West Malaysia. A proposed operation in Sabah or Sarawak requires its own jurisdiction check. Do not purchase a generic registration service before the actual operating location has been identified.
For a Sdn. Bhd., identify at least one eligible director ordinarily resident in Malaysia and the shareholder arrangement. For an LLP, establish at least two partners and the required compliance officer. The owner, director and compliance officer are different legal roles. A person may fill more than one appropriate role, but every condition still needs to be met.
Record the eligibility outcome before comparing fees: available, unavailable or unresolved. If a form is unavailable, remove it from the shortlist. If the facts are unresolved, identify the missing status or residence evidence. This simple filter prevents a foreign founder from planning an enterprise registration that the actual owners cannot lawfully use.
Check your available business forms
Start with each owner’s status, the operating location and whether the venture has one or several owners.
Compare liability and the way you will make decisions
Choose the relationship you intend to create. A sole proprietorship belongs to its owner, while an ordinary partnership is a joint business relationship. An LLP is a body corporate with a separate legal personality; a Sdn. Bhd. is a company with shares and corporate governance. SSM’s LLP explanation describes the LLP’s separate status and partnership-style internal arrangements.
| Option | Ownership and management fit | Exposure and administration |
|---|---|---|
| Sole proprietorship | One eligible individual operating the business | Personal business exposure; business registration and renewals |
| Ordinary partnership | Eligible owners running a business together | Personal exposure and partner-authority risks; agree contributions and decisions |
| LLP / PLT | At least two partners using an LLP agreement | Separate entity with statutory duties and a qualified compliance officer |
| Sdn. Bhd. | Shareholders appointing a board to manage a company | Separate entity, company records and ongoing secretarial and reporting work |
Limited liability is not a promise that nobody will ever have personal exposure. A founder may give a personal guarantee, incur a personal obligation or be responsible for their own wrongful conduct. Read guarantees before assuming the entity protects the founder. The lender’s documents and the trading arrangements can matter as much as the structure’s name.
Use a commitment test: identify the first substantial lease, credit purchase, employee hire or customer indemnity. Ask who signs it and who bears the loss if it goes wrong. A founder testing a low-commitment service has a different risk profile from founders taking premises, stock credit and staff obligations, even if both call themselves a small business.
For two founders, settle contributions, spending authority, profit distributions, disputes and exit before filing. The LLP and Sdn. Bhd. governance comparison helps frame whether partner-based flexibility or shares and board decisions better support the intended relationship. Neither option removes the need to agree who can bind the venture.
Read the official fees without mistaking them for total cost
The following are SSM filing charges checked on October 24, 2026. They are not HSJGlobal quotations or a complete first-year budget. SSM lists the business fees , the LLP registration fee and the company filing charges separately.
| Registration item | Official MYR amount | Charging basis | Excluded from this figure |
|---|---|---|---|
| Personal-name sole proprietorship | 30 | Per year | Licences, professional help and operating costs |
| Trade-name business | 60 | Per year | Each additional branch and other applicable charges |
| Business branch | 5 | Per branch per year | The main registration charge |
| LLP registration | 500 | Registration filing | Compliance support and operating requirements |
| Company limited by shares | 1,000 | Incorporation application | Secretary, office, resident-director services and operations |
| Separate company-name reservation | 50 | Every 30 days or part, within the allowed limit | Company incorporation fee; this is a separate route choice |
For a one-year trade-name business with two branches, the listed registration components are MYR 60 + MYR 5 + MYR 5 = MYR 70. That arithmetic compares only those official items. It says nothing about whether the owners qualify or whether the premises can be licensed. A cheaper filing is not a cheaper lawful operation if it creates the wrong structure.
Build a second budget for professional services, ongoing secretarial or compliance work, accounting, local approvals, premises and any insurance. Request the applicable tax treatment, third-party charges, service period and renewal terms in writing. Keep money subscribed as capital or retained for working cash separate from registration expenses. No commercial package price is inferred from this table.
Complete the enterprise route with the owners’ own verified details
An eligible sole proprietor or ordinary partnership uses the business-registration process rather than a company-incorporation application. Establish the verified user accounts, choose the personal-name or trade-name route, and prepare the actual business particulars. SSM’s guidance identifies the business name, commencement date, main and branch addresses, owner or partner details and type of business.
- Confirm each owner’s eligibility and verified account.
- Settle the name, activity and actual operating address.
- Gather any required supporting licence or agency letter and the partnership agreement where relevant.
- Complete and check the current application, including each partner’s required confirmation.
- Pay through the official process, monitor queries and retain the approved registration output.
The business guidance requires registration no later than 30 days after commencement. That is a registration deadline, not a general permission to conduct a regulated activity without its required approvals. Where another authority’s consent is necessary, plan that dependency before trading.
Download the approval documents promptly. The current EzBiz page provides a 90-day window after approval for downloading the certificate and purchased business information. Store the files under the owner’s control and diarise the registration’s actual expiry. A screenshot of a payment or a provider’s “submitted” message should not be accepted as the completed registration.
Make the filing scope measurable
Identify the current application, confirmations and approval documents the owner should receive.
Use the distinct LLP or company process where it fits
For an LLP, prepare its proposed name, business, registered office, partner details and compliance-officer particulars. The appointed compliance officer lodges the registration. SSM’s LLP requirements include a compliance officer who meets the specified role qualification, is at least 18, is a citizen or permanent resident and ordinarily lives in Malaysia. Do not import the sole-proprietor owner restriction into every LLP role.
For a Sdn. Bhd., settle the shareholder and share arrangement, directors, business description, registered office and required declarations. Registering a company in Malaysia creates the company record, whereas appointing the secretary and establishing its ongoing administration are related corporate tasks. SSM permits direct incorporation or a separately reserved-name route.
The SSM company-incorporation guidance distinguishes the registration notice from a certificate obtained separately on request. It also requires the secretary to be appointed within 30 days after incorporation. Incorporated does not mean the compliance file is finished. Set the secretary appointment and record handover as named tasks rather than assuming the first filing covers everything.
When requesting assistance, define the deliverable by output. “Registration help” might cover preparation only, submission, query handling or the actual handover of accepted records. Ask who will control the official account, what the company receives and which obligations begin after the registration date.
Run an operating-permission check before the first commitment
Translate the business description into the real activity: the product or service, sales channel, premises, staff and any regulated act. A registered activity description is not itself a local premises licence or professional approval. The company-incorporation and business-registration guidance both preserve the need for relevant operating permissions.
Create a short permissions record with the activity, authority, applicant, premises and acceptance evidence. If an approval is not needed, record why. If it is needed, identify the condition that must be satisfied before the activity starts. This is more useful than a universal list of licences that may not fit the business.
Arrange accounting and tax onboarding for the actual entity and transaction model, then check payroll obligations before hiring. This selection exercise does not establish tax relief, SST registration or any founder’s work rights. Assign those questions separately so a low-revenue startup does not treat “small” as a blanket exemption from obligations.
Choose the smallest structure that can support the real business
Use the eligible business route when its ownership and personal-risk position fit the venture. Choose an LLP where the partners need that separate structure and can meet its officer and compliance requirements. Choose a Sdn. Bhd. where shares, board governance and the intended business relationships justify corporate administration.
Write the decision in four lines: eligible owners, acceptable exposure, required governance and recurring work the business can maintain. Then confirm the operating permissions and instruct the correct filing. Revisit the choice before major new commitments or investment, rather than waiting until the current structure prevents a transaction.
Turn the structure choice into an opening plan
Connect the selected registration with its governance, recurring administration and operating permissions.
Frequently asked questions
Does an online shop avoid registration?
An online sales channel does not itself exempt a business. Test the real owners, activities and location against the applicable registration and operating rules.
Can one person register an LLP?
SSM specifies a minimum of two partners. A sole founder should assess another suitable form rather than inventing a second partner.
Does a business name ending in Enterprise create limited liability?
A trading name does not by itself create a separate limited-liability entity. Check the actual registration form.
Can I transfer all contracts automatically when changing structure?
Do not assume so. Review each contract, asset, licence and account for transfer, consent or replacement requirements.
Should I decide from the official fee alone?
No. Eligibility, personal exposure and continuing administration can change the practical cost and suitability.
