Staffing operating models
Staffing Company Registration in Singapore: Placement vs Employment Services
Identify the employer, licence scope and deployment evidence before taking on a staffing engagement.
Before accepting a client's request for temporary staff in Singapore, establish whether the client will employ those people or your staffing company will employ them. That contractual and operational distinction determines the employment agency (EA) licensing analysis. A trading name such as recruitment, staffing or employment services does not settle it.
The Ministry of Manpower (MOM) requires licensing for covered placement activities, while recruiting solely for your own business and outsourcing your own staff are outside that licence requirement. Those exceptions do not remove work-pass deployment restrictions. Test the proposed engagement against both MOM’s EA licensing perimeter and the actual employer relationship before commencing the activity.
Key takeaways
- Treat each service line as a separate classification exercise; a mixed business may need both placement controls and an employer operating system.
- Candidate contact and résumé collection can cross the licensing boundary before a successful hire or placement invoice exists.
- A client-site assignment involving work-pass holders needs its own deployment assessment, even when your company employs the workers.
- The proposed licence applicant’s citizenship or permanent residence and registered position must be checked separately from company incorporation.
- Keep incorporation evidence, an issued EA licence where required, and worker-level deployment evidence in different launch files.
Map the staffing transaction before choosing a licence
Start with the employment contract, the customer agreement and the way the work will be managed. Permanent and temporary describe duration; neither tells you who employs the worker. A short assignment can involve a placement into the client’s employment, while a longer project can involve your own employees delivering a service. Write the intended arrangement in ordinary language before choosing the business description.
Use the matrix as a transaction design tool, not a licence exemption certificate. The final column identifies the evidence to assemble. If the contracts point one way and daily practice points another, resolve that mismatch before relying on a classification.
| Proposed service | Employment relationship | Regulatory direction | Evidence to reconcile |
|---|---|---|---|
| Find candidates for the client’s vacancies | Worker joins the client | Assess as placement; EA licence normally required | Client hiring instruction, candidate process and client employment offer |
| Place workers into short client employment contracts | Client employs for the assignment | Temporary duration does not remove placement licensing | Named employer and start/end dates in each offer |
| Employ staff to deliver your company’s service at a client site | Your staffing company employs | Own-staff outsourcing is outside EA licensing; assess deployment separately | Employment contract, service scope, payroll and supervision plan |
| Offer placement and your own employed service team | Employer differs by service line | Apply both assessments to the relevant transactions | Separate scopes, worker rosters and responsible managers |
MOM’s licensing test includes certain preparatory dealings with jobseekers, not only a completed introduction. Do not use the first completed placement as the point at which licensing begins. Confirm any statutory exemption against its precise scope before relying on it.
For a placement launch, MOM’s published application stages quote seven working days for most in-principle approval cases; a financial institution may take three weeks for the guarantee. These are stage estimates, not a complete launch timetable. Plan from an agreed model through incorporation and any required issued licence, allowing separately for eligibility, certification and document preparation.
Resolve who will employ the workers
Bring the proposed customer scope and employment arrangement together so the placement and own-staff activities can be identified before filing.
Register the company around the model you will actually sell
A private company limited by shares can be the operating vehicle, but incorporation records the entity rather than approving every service it intends to offer. The foundations of company formation in Singapore include the officers, owners, registered office and constitution; staffing-specific licensing remains an additional decision.
Under ACRA’s current Bizfile registration procedure , reserve the name first. Use the “Register new business entity” eService with Singpass, or have a Corporate Service Provider (CSP) file through Corppass. Prepare the registered office, financial year end, officers and shareholders, controller and relevant nominee information, capital and constitution. At least one director must satisfy local residency rules.
Review declarations and obtain required endorsements within 60 days unless a CSP files. Pay the S$300 incorporation fee and retain the receipt. Check the Bizfile inbox: approval provides the incorporation notice, Unique Entity Number (UEN) and Business Profile link. A submitted form or payment receipt alone is not the approval.
Make the activity description specific enough to expose the staffing model. “Providing trained staff to deliver our contracted service under our supervision” and “finding employees for client employers” raise different questions. Confirm the appropriate Singapore Standard Industrial Classification (SSIC) entries against the activities actually intended. Do not choose an unrelated consulting description to avoid those questions.
For overseas founders, ACRA’s rules for foreigners require a CSP for name reservation and registration. A foreigner moving to Singapore to run the business also needs appropriate work authorisation, with existing pass holders checking their position with the pass issuer. Local director eligibility and eligibility to apply for an EA licence are different checks; one appointment must not be assumed to satisfy both.
After filing, reconcile the approved company name and UEN across the service agreement, licence application and employer records. Keep a short change log if the service model changes during setup. That avoids a sales team promising own-staff delivery while the application pack describes only introductions to client employers.
Keep foreign-worker deployment separate from the EA exemption
Employing the worker yourself does not create unrestricted permission to supply that person to another business. MOM’s client-premises deployment rules allow work-pass holders to provide their employer’s services under a service agreement only when the pass occupation and sector match the work, the activity matches the employer’s declared business activity, and the employer directly supervises the work and pays salaries.
MOM prohibits deploying work-pass holders solely to supplement a client’s workforce. Limited labour-supply arrangements exist under conditions for the construction and process sectors; do not extend those exceptions to an ordinary staffing business. An EA licence does not override this restriction. An own-staff outsourcing exception is not a general foreign-labour supply permission.
Apply a three-document reconciliation before promising an assignment: the customer statement of work, the worker’s approved pass details and the named supervisor’s delivery plan. Ask whether the customer is buying your company’s service outcome or simply extra workers whom it will control. A label on the agreement cannot repair a different operating reality.
A useful diagnostic is the instruction chain. Record who allocates tasks, checks completed work and resolves performance problems, then compare that plan with the contractual service obligation. Keep the payroll owner visible in the same file. These records are planning evidence; they do not replace MOM’s assessment or establish eligibility for a sector exception.
If the client expects to direct the supplied workers as its own workforce, pause the proposed work-pass deployment and examine a lawful alternative, such as recruitment into the client’s own employment where eligible. Changing the invoice description to “outsourcing” does not answer the underlying restriction. Local-worker arrangements also require their own employment and service terms; do not infer a universal staffing exemption from a rule about EA licensing.
Match placement scope to the right EA licence and people
Select the licence by the workers you will place, rather than by the recruitment fee or the client’s industry. MOM’s licence comparison distinguishes Comprehensive Licence (All), covering any worker type; Comprehensive Licence (Local), for local workers; Comprehensive Licence (non-FDW), excluding foreign domestic workers; and Select Licence, for workers earning more than S$4,500 a month . A salary exactly at that figure does not meet the Select threshold.
All four licences have three-year validity. Comprehensive licensing requires Certificate of Employment Intermediaries (CEI) certification for relevant key appointment holders and personnel; Select Licence personnel do not need CEI. MOM also requires registration of the relevant personnel. New Comprehensive agencies face a S$60,000 security requirement and new Select agencies S$20,000. Those security amounts are distinct from application charges and from the financial institution’s guarantee terms.
Under the EA licence eligibility criteria , the applicant must be a Singapore citizen or permanent resident and hold the required ACRA-registered position; for a company, MOM lists managing director and director. The principal activity must be SSIC 78103 for domestic-worker placement agencies or SSIC 78104 for other employment agencies, with the stated online-marketplace exclusions. Bankruptcy, debarment, relevant convictions and involvement with a revoked agency licence also affect eligibility. Use the self-assessment tool before applying.
For a foreign-owned company, resolve the eligible applicant role as a real governance appointment with its responsibilities understood. Do not treat an outsourced company-filing contact as automatically authorised or eligible to be that applicant. Confirm who will do EA work and which individuals need certification and registration before assigning candidate-facing tasks.
Set the service catalogue against the licence scope. For example, a business targeting higher-paid placements should decide in advance how it will handle a client request below its licence threshold: decline, change its properly approved scope, or refer the work through a compliant arrangement. The sales team should not discover the limit after candidate processing has begun.
The operational distinction between incorporation and licensing also affects delegated setup work: separating company incorporation from recruitment licensing helps identify which company filing output must exist before a recruitment application can be completed. A corporate filing engagement should state its deliverables without implying that MOM’s licence or personnel approvals are included or assured.
Check the placement scope against the applicant
Review the proposed worker categories, salary range, registered activities and people who will carry out EA work before the licence submission.
Turn registration and licensing into separate release gates
For placement activity, MOM’s licence application procedure requires the ACRA Business Profile and director or owner identification, plus residential-address approval or immigration records where applicable. Complete eligibility and applicable CEI checks, then apply through GoBusiness Singapore. Non-refundable MOM charges, checked on November 3, 2026, are S$400 per application and S$100 per issuance. These do not represent an all-in setup price.
After in-principle approval (IPA), arrange the electronic guarantee and obtain MOM’s receipt confirmation within the IPA’s four-week validity. Complete the undertaking and licence issuance within two months of IPA issuance. The issued e-licence , available through GoBusiness, permits EA operations; IPA alone does not. Track the dates in the actual notification and resolve missing submissions before expiry.
Use the following release records for management handover. They are an internal control proposal, not additional government forms. Each record should identify the decision owner and the specific evidence checked, so an incorporation receipt cannot silently become approval for a different workstream.
- Close the entity record: retain the incorporation outcome and reconcile the UEN, activity and named officers with the proposed customer contracting party.
- Close the placement record where triggered: retain the issued licence, permitted scope and relevant personnel evidence before releasing candidate-facing EA work.
- Close the employer record: identify who signs employment terms, funds payroll and manages the workers; reconcile that identity with the customer agreement.
- Close each assignment record: confirm the worker, work location, duties, supervisor and applicable pass conditions before delivery starts.
The ACRA post-registration checklist also calls for a company secretary within six months, an auditor within three months unless exempt, applicable registers, and operational checks. Employers need a CPF Submission Number for monthly Central Provident Fund payments. Plan applicable employment compliance and appoint a Data Protection Officer. Candidate and employee records make data handling a practical setup issue, not merely a website policy.
Keep a separate exception list for facts that remain unsettled: a residential office awaiting approval, a director’s identity mismatch, an unregistered recruiter or an assignment with unclear supervision. Release the unaffected setup work only within its own scope. If an authority requests clarification, correct the underlying record and related documents together rather than sending an isolated explanation that contradicts the company file.
Accept the staffing engagement only when the responsibilities align
Match the proposed engagement to the matrix before agreeing a start date. A placement business needs the appropriate issued licence and people before regulated EA work begins. A company delivering services through its own employees needs a defensible employer and service arrangement, plus an assignment-specific work-pass assessment where relevant. A mixed business should preserve both sets of controls.
Use the next customer request as the final practical test: can the team name the employer, explain the service being sold, identify the required approval and produce the evidence permitting that activity now? If any answer depends on a future licence, an assumed exemption or supervision that will not happen in practice, hold that part of the engagement for clarification. Agree the operating model before making the registration and contract records fit it.
Prepare the first staffing engagement for review
Bring the proposed scope, employer identity, applicant details and assignment plan into one reviewable pack before committing to delivery.
Frequently asked questions
How should a client brief the staffing supplier before a quotation?
Describe the work outcome, expected duration, locations and who will employ the people. Include any expected candidate selection or worker supervision by the client. A headcount alone leaves too much unresolved to classify and price the engagement responsibly.
What belongs in the sales-to-operations handover?
Include the accepted scope, commercial start conditions and a named person who can approve changes. Attach the agreed responsibility record rather than relying on a sales email promising that every setup task is complete.
How should a new service request be recorded after the first contract?
Use a dated change request showing the proposed employer, duties and delivery arrangements, then assign the licensing or deployment question for review. Keep the new request distinguishable from the existing approved scope until the decision is documented.
Can an unsigned customer agreement prove operating readiness?
A draft can help reviewers understand the model, but mark its unresolved terms clearly. Keep proposed arrangements separate from issued approvals and completed checks; otherwise a planning document can be mistaken for evidence that an external decision has already been made.
